[DRAFT] Minutes of the MNF Tax Incentive Study Task Force October 6, 1992 - 9:00 to 11:00 MI Library & Historical Center, Lake Huron Room, Lansing, MI Present: Robert Ivory Dorothy Johnson Edward Blews Dave Egner Suzanne Feurt David Haynes John Hopkins Gary Wolfram Matthew McLogan Peter Remington Herbert Yamanishi Co-Chair Dorothy Johnson gave welcome and called meeting to order at 9:10 AM. After introductions, co-chairman Robert Ivory reviewed the progress of this committee to date. The Committee has retained the Public Affairs Associates, Inc., of Lansing. The group has an extensive background in dealing with tax issues and the legislature, as well as experience working with the nonprofit sector. The Council of Michigan Foundations and the United Way of Michigan have both contributed $5,000 toward the $30,000 consulting fee of the Public Affairs Associates, Inc. The Committee is in the process of securing funds for the remainder of the fee. The Public Affairs Associates, Inc. is working jointly with Gary Wolfram, Economics Professor at Hillsdale College and former Deputy Treasurer of Michigan. Wolfram has drafted a document that details the economic and social effect of tax incentives for the entire Michigan nonprofit sector. Wolfram's paper was then reviewed extensively by the committee. After discussion, it was concluded that the paper needed to be redrafted to take into account a variety of suggestions from the committee. The group then agreed upon the following next steps of action: �1. October 31 A revised draft of the paper will be completed and distributed to the Task Group. 2. November 16, 3:30-5:30 Task Group Meeting at the Michigan Library & Historical Center, Lake Erie Room, to discuss the redrafts and possible future action by MNF. 3. December 9, 9:00-12:00 MNF Public Policy Committee Meeting at Kellogg Center to review working paper for possible actions. 4. December 15, 10:00-Lunch Meeting at the Kellogg Foundation, Battle Creek, for the Executive Committee and interested members of the MNF Board to discuss the draft and recommendations of the Task Group. 5. Release of Paper to constituents for reactions. 6. If the Executive Committee and Board deem further action appropriate, Task Force to develop strategy for future action. 7. MNF Leadership to discuss the pro strategy by MNF or inform the MNF Members of planned action by individual organizations. Minutes of the Executive Committee Meeting February 26, 1993 - 1:00 to 3:00 p.m. Kellogg Center - Room 103, East Lansing, Michigan Members Present: Edward O. Blews, Jr. Robert E. Ivory Dorothy A. Welcome and Call to Order: The meeting was called to order by Chairman Mawby at 1:05 p.m. 2. Update on GGV: H. Philpott reported that the GGV program committee held its final planning meeting on February 9. She summarized the committee's work to date and praised the committee members for their commitment and dedication to insuring that this conference is a success. The conference will feature two keynote speakers, Russell Mawby of the W.K. Kellogg Foundation and Samuel Betances of Northeastern Illinois University. To insure adequate attendance and comfort at all breakout sessions, and to enhance conference marketing strategies, registration will be limited to 800. The committee has secured corporate sponsorships from Comerica and Blue Cross Blue Shield at $2500 each and hopes to secure an additional $3,000 to $5,000 from other potential sponsors. �3. Search Committee Update: H. Philpott reported that the committee has received almost 300 resumes in response to the Executive Director position advertisement. The committee retained an independent consultant, Steven O'Connor of the Michigan Hospital Association Service Corps, to review and rank the resumes based on the criteria developed at the January Board Retreat. H. Philpott commended Mr. O'Connor for his comprehensive and detailed efforts during the review process. The committee will be meeting to narrow the pool to ten candidates. After conducting reference checks on each candidate the committee will reconvene on March 17 to select the final candidates for interviews which will take place on March 25. Following the interview process, the committee will make a final recommendation to the executive committee. Upon executive committee approval, this recommendation will be submitted to the full MNF board. 4. Update on New Technology: D. Egner reported that MNF's development as a membership organization facilitated the need for a complete re-evaluation of the Forum's computer systems. Mike Thompson, a consultant to the W.K. Kellogg Foundation, has generously conducted this reviewed on a pro bono basis and has secured a donation to MNF of the needed new equipment and software. These system upgrades and additions will enable the Forum to manage memberships and conferences and to develop new services which will benefit the sector. 5. Update on the Campaign for Volunteerism: Governor Romney reported on progress to date on the Campaign for Volunteerism. He has visited a number of communities to date in an effort to assemble the leadership coalition necessary to make Volunteerism a higher priority in each community. 12-15 additional meetings are planned for late Summer and early Fall. Governor Romney also reported on the progress of the Detroit campaign which will kickoff the morning of April 19. 6. Proposed By-Laws Change (Attachment A): D. Egner reported that a bylaws change was needed to support the Board's decision at the retreat to move MNF in a more proactive direction in regards to public policy that has potential impact on the nonprofit sector. Approval of this proposed change at this time would not permit the executive committee to authorize the staff to take a definitive position on behalf of MNF. It would, however, permit the executive committee to authorize the staff to become involved, from an information standpoint, in major public policy issues that may come before the Michigan Legislature prior to the May 13, 1993, full board meeting. After discussion and minor editorial changes, the committee approved a motion by D. Johnson and seconded by H. Yamanishi to recommend the by-laws change for immediate written board approval. 7. Proposed Personnel Policy Changes (Attachment B): D. Egner reviewed format and language changes to MNF's personnel polices which were needed for clarity. He also noted that in order to comply with state and federal regulations, MNF should move from an optional, salary based benefits plan to a fixed benefits plan. After discussion, the committee approved the necessary medical/dental insurance adjustments. The committee agreed to postpone discussion on the remaining personnel items until after the MNF Executive Director position was filled, to allow for appropriate input by the executive. �8. Proposed Board Structure as Approved by Ad-Hoc Committee (Attachment C): D. Johnson summarized the recommendations from the ad-hoc structure committee which were unanimously approved by the membership committee earlier today. She noted that MNF members will elect the trustees through written ballots using nominating committee recommendations. During discussion, committee members noted that MNF is currently in a transitional phase as it continues to grow as a membership organization under the direction of a new executive. Realizing this, the committee stressed the importance of viewing the board structure proposal as a flexible system which may need modification as MNF matures. After discussion, the committee unanimously approved a motion to recommend this Board/Committee Structure to the full board approval. 9. Proposed Membership Dues Structure (Attachment D): D. Johnson reviewed the two proposed dues structures noting that Plan A was budget based; while Plan B was network organization based. She reported that earlier today the membership committee unanimously approved Plan A based on the fact that it was not only more fiscally sound and easier to implement, but it was also the model most other state-wide nonprofit associations followed. After discussion, the committee unanimously approved a motion to adopt the Plan A dues structure. 10. Finances (Attachments F, H, & I): The committee reviewed the finances to date and a revised 1992-93 budget presented by Treasurer, Ivory. Both were approved unanimously. The committee then reviewed the long range funding plan. Discussion pursued concerning the need for this plan to remain flexible and the projects of a deficit budget in the 1993-94 year. The committee approved the plan as presented. 11. Welcome and Call to Order: The meeting was called to order by Chairman Mawby at 10:10 a.m. 2. Approval of Minutes: The minutes of the September 23, 1992, and February 26, 1993, meetings were approved as circulated. 3. Proposed Personnel Policy Changes: The committee reviewed the changes which were made to the MNF Employment Polices and Procedures at the February 26 meeting which included (1) changing from 12 to 10 paid holidays, (2) adding of a "successor coverage option" to the medical/dental insurance, and (3) changing the wording to Resignations/Termination's, Employment At-Will, and Discrimination/Harassment. After discussion, the committee recommended the following additional changes: 1. At the end of each fiscal year carry forward of unused vacation days will be limited to one-half of one year's days. 2. Unused sick days will carry forward annually. The accumulated total will be applied to short-term disability. In the event of termination of employment, accrued sick days are not eligible for reimbursement. 3. After one full year of service, short-term and long-term disability coverage and retirement will be made available to each full-time employee. �4. After a 90-day probationary period, term life will be available by group plan to each full-time employee. 5. New employees' performance will be reviewed after an initial probationary period ~ 90 days for non-exempt staff and 180 days for exempt staff. 6. All employee benefits will cease on the last day of employment. Options to convert or continue health/dental coverage and retirement benefits are available and will be explained in detail prior to the separation date. Arrangements will also be made prior to the separation date to pay all due wages, accrued vacation, and reimbursable expenses to the employee. 3. Review of Membership/Meeting Report: D. Johnson reported on the recommended plan of the Board/Committee Structure Committee (attached). The plan, as outlined, suggested changing the Board structure from an association based, no term limit model to a more traditional, member elected model. After considerable discussion, it was agreed that a modified version of the plan would be presented to the full Board. A Bylaw Committee will be appointed to make the necessary changes to accommodate the new structure. 4. Review of Proposed 1993-94 Budget: B. Ivory reviewed the 1992-93 Financial Summary through March 31 noting that revenues and expenses were coming in on target. He then reviewed the 1993-94 Recommended Budget. After discussion, the committee approved this budget and recommended that staff develop a 5 year cash flow plan and a policy on fund balances. Additionally, the committee recommended that the finance report format be modified to include a cash flow analysis and estimated actuals for 1992-93. 5. Proposed Purpose Statements: The committee approved the Proposed Purpose Statements (attached) after making minor sequence and grammar changes. They will be recommended for full Board approval on May 13. 6. Proposed MNF Sponsored Retirement Program: D. Egner introduced the idea of developing a statewide, nonprofit retirement plan sponsored by MNF. After discussion, the Executive Committee agreed that a committee will be appointed to fully explore the possibility of establishing such a plan. 7. Report of the Public Policy Committee: H. Yamanishi noted that at the April 27 meeting of the Program/Public Policy Committee, members of the committee approved the following motions concerning the tax incentive paper: (1.) Recommended the paper as revised be circulated to the joint Program/Public Policy Committee with a ballot giving members the opportunity to vote yes or no on the approval of the paper (passed unanimously). (2.) The committee endorses substantive revisions in concept and recommends (subject to final editing) the paper to the board for approval (passed 5 to 2). �H. Yamanishi noted that the ballots were being mailed out this week from the MNF office and that Board members will be asked to review the tax incentive paper in preparation for discussion on potential further action regarding this initiative at the May 13, 1993, Board Meeting. 8. Rapanos Staff Present: David O. Egner 1. Welcome and Call to Order: The meeting was called to order by Chairman Keidel at 10:45 a.m. 2. Review of Objectives: Chairman Keidel first reviewed the four objectives of the Committee (see attached). These objectives will serve as guidelines for the Committee as they examine the possibilities of creating a MNF sponsored retirement program for nonprofits in Michigan. There was discussion about the need to supply alternatives to as many nonprofit organizations as possible. Finance Report: R. Ivory reviewed the 1992-93 Financial Summary noting that the fiscal year ended very close to the revised budget approved by the Executive Committee in March. After discussion the Summary was unanimously approved. 4. Structure Committee Report: D. Egner reviewed the recommendations of the Board Structure Committee. After discussion, the committee approved the recommendations for consideration by the full Board at the November 11 meeting. 5. Campaign for Voluntarism Report: G. Romney reported on the continued success of Michigan's Campaign for Volunteerism. As a direct result of the Campaign the number of Voluntary Actions Centers in Michigan has grown from 13 to 23, and the number of developing centers continues to grow. �G. Romney also discussed the concept of a merger between the Volunteer Centers of Michigan and the Michigan Nonprofit Forum. The merger would provide a sustained infrastructure for the Campaign and would enhance the ability of both organizations to address their missions of promoting and strengthening voluntarism in Michigan. After discussion the committee endorsed the merger in concept and nominated D. Johnson and D. Egner to represent MNF during the negotiation proceedings. A full report of the merger discussions will be made at the November 11 meeting. 6. Program Report: D. Egner updated the committee on several program issues. While MNF has only received a small number of the tax incentive paper approval ballots back, the response has been positive. Of the 9 responses received, there were 8 in support and 1 in opposition. D. Egner noted that MNF is beginning work on its second Public Policy Summit which will be held in late fall. The Summit will focus on the issues raised in The Philadelphia Inquirer and other publications. A panel of 12 individuals from the government, private and nonprofit sectors will be engaged at the Summit. D. Egner also reviewed the work of the Retirement Committee to date. The committee is composed of Gerard Keidel, MASA; Judith Rapanos, MCACA; Matt York, UWM; and Greg Zerlott, Muskegon Community Foundation. They have been in contact with several providers and hope to begin accepting bids in the late fall. A more detailed report will be available at the November 11 meeting. In closing, D. Egner indicated the Grantmakers/Grantseekers Program Committee would be gathering soon to begin work on GGVI. The committee structure and composition has been revised to reflect the co-sponsor ship of the conference by the Council of Michigan Foundations and the Michigan Nonprofit Forum. The conference objectives have also been redefined to promote a return to the original mission of the conference; which was to bring grantmakers and grantseekers together to discuss and examine common issues of importance and to promote constructive dialogue and awareness between the groups. 7. MNF's nonprofit sector retirement program committee is chaired by Gerard Keidel of MASA, rather than by Edward 0. Blews Jr. of AICUM. 3. Chairman's Report: R. Mawby announced that two MNF At-Large Trustees, Richard Austin and Elizabeth Upjohn, had submitted letters of resignation from the board for personal reasons. David Smith, former Executive Director at the Michigan Association of Rehabilitation Organizations, has also submitted his resignation after leaving his position at MARO. After discussion the committee agreed to accept the resignations of these trustees and to formally communicate their appreciation to them for service to MNF. 1 �D. Egner summarized MNF's current projects which include the Summit, a Member Survey, the VCM/MNF Merger, the Board Restructuring, the Bylaws Revisions, GGVI, a Computer Network, the Retirement Program, and a Legal Guide. 4. Finance Report: R. Ivory reviewed the first quarter Income/Expense Statement noting that revenues are lagging behind schedule primarily due to the timing of the Kellogg Foundation grant, while expenses are general coming in on target. After discussion the committee agreed to invoice founding members for their 1993-94 dues prior to the November 11 board meeting and unanimously approved the finance report. 5. Audit Committee Report: D. Egner reported that MNF's annual audit is underway. The final report will be available for review and approval at the November 11 meeting. 6. Retirement Committee Report: D. Egner reported that the committee has been discussing working with Fidelity Mutual in providing a nonprofit sector retirement program in Michigan via MNF. These options include 40l(a) programs, money purchase pension plans, employee contribution plans (403(b) and 457) or a hybrid plan approved as a prototype by the IRS. 7. Public Policy Committee Report: E. Blews reported that the committee will be meeting on November 2 to discuss next steps for action on the Tax Incentive Paper; with a progress report to be presented at the November 11 board meeting. E. Blews referred the committee to MNF's Forum Focus for updates on the Budget Reconciliation Act of 1993 and the new F ASB rules for nonprofit organizations. E. Blews also highlighted MNF's upcoming Summit on December 7 entitled Nonprofit Accountability: Improprieties, Myths and Misunderstandings. The conference, which is co-sponsored by the Michigan chapters of National Societies of Fundraising Executives, will consist of a panel discussion followed by a legislative reception. 8. Grantmakers/Grantseekers VI Committee Report: H. Philpott reported that the GGVI Program Committee met in late September to begin work on the conference. The committee structure and composition has been revised to reflect the co-sponsorship of the conference by CMF and MNF. The conference objectives and sessions have been redefined to promote a return to the original mission of the conference; which was to bring grantmakers and grantseekers together to discuss and examine common issues of importance and to promote constructive dialogue and awareness between the groups. The theme ofGGVI is "A Vital Alliance for Michigan" and the committee is working to secure Jimmy Carter as the keynote speaker. In response to the GGV evaluation results, the committee has shortened the breakout sessions and consolidated them into the morning portion of the conference in order to conclude the conference by mid-afternoon. 2 �9. Membership Committee Report: A. Rosewarne reported on the distribution of MNF's fust Member Survey. The survey is being sent to all MNF members and select others in the nonprofit sector. The survey results will be published in the winter edition of the Forum Focus and will allow MNF to develop products and services which will meet member and sector needs. 10. Volunteer Centers of Michigan/MNF Afriliation Update: D. Egner reported that the meetings between the organizational representatives have proceeded ahead of schedule. The parties are in agreement on all major substantive issues and both organizations expect to secure board approval for the merger before the end of the year. The formal merger would then take place at the beginning of 1994. 11. Campaign for Voluntarism Update: G. Romney reported on the continued success of Michigan's Campaign for Volunteerism. 12. Plans for November 11 Board Meeting: The committee reviewed the proposed agenda for the November 11 meeting. The meeting will run from 10:00 a.m. to 1:30 p.m. It will include reports from each of MNF's standing and ad hoc committees as well as a working lunch. 13. Welcome and Call to Order: The meeting was called to order by Chairman Mawby at 9:40 a.m. 2. Approval of Minutes: The minutes of the October 25, 1993, meeting were approved as circulated. 3. Chairman's Report: R. Mawby briefly reviewed the Report on Progress Since the January 12, 1993, Board Retreat. He noted that the MNF/VCM affiliation is now official. Angela Bailey has joined the MNF staff as director of volunteer programs and Volunteer Centers of Michigan. �4. Nominating Committee Report: D. Egner reported that the committee met by conference call on January 26 and agreed to a working timeline. In accordance with the restructuring plan approved by the board at the November 11, 1993 meeting, Chairman Mawby sent a letter to the existing associations on the board asking them to select which one of the two trustees will continue on the board at the conclusion of the fiscal year. A letter has also been sent to MNF dues paying members asking them to submit recommendations for 18-20 new board seats. The Committee will meet again on February 25 to review candidates. Ballots for open board seats will be mailed to the voting membership on March 24 and will be returned to the MNF offices by April 14. Egner also reported that N. Charles Anderson has resigned from the committee due to his new position with Mayor Dennis Archer's Administration. Michael Tate; Assistant Director of 4-H Youth Programs, Cooperative Extension Service and member of the Michigan Community Service Commission has agreed to serve on the committee in Anderson's place. 5. Retirement Committee Report: G. Keidel reported that the committee has continued to work with Fidelity Mutual to develop a nonprofit sector retirement program in Michigan via MNF. The committees progress to date has been encouraging. Barring any unforeseen circumstances, the program should be available sector-wide by July 1, 1994. A full detailed report of the plan will be presented at the April 12 Executive Committee meeting. 6. Grantmakers/Grantseekers VI Committee Report: H. Philpott reported that President Jimmy Carter has agreed to present the keynote address at GGVI. He will be introduced by Detroit Mayor Dennis Archer. She commended the W.K. Kellogg Foundation for its invaluable assistance with this matter. She also thanked the MNF and CMF offices for their efforts. GGVI will be held at the Hyatt Regency, Dearborn on May 12. The Annual Speaker's Dinner be held the evening before. 7. Voluntarism Update: Governor Romney reported on the efforts of the Detroit Volunteer Coalition. He also discussed the importance, both nationally and statewide, of forging a positive relationship between the media and the nonprofit sector. He proposed that Chairman Mawby and D. Egner review and identify areas where MNF could serve as a facilitator for such efforts. A. Bailey highlighted several aspects of the Michigan Campaign for Volunteerism including the (800) telephone number, Governor Romney's Leadership Summit visits, and the encouraging emergence of several new centers around the state. 8. Finance Committee Report: D. Egner reviewed the finance report and budget narrative for the period ending December 31, 1993. �9. Membership Committee Report: A. Rosewarne reported that the committee has developed a membership recruitment and retention strategy that will consist of written contacts followed by a board based telephone tree. The committee will activate the campaign in March. 10. Discussion of Member Survey Results: R. Mawby reviewed the results of MNF's fall member survey. He noted that MNF's diverse membership identified both tangible and intangible services as priorities. D. Clarke noted that staff continues to evaluate the survey results in light of MNF's purposes statements and board directives to insure that MNF's services continue to be of value to members and the sector. 11. Review of Publications and Upcoming Programs: D. Clarke reviewed MNF's current program and publication offerings. MNF's newly designed logo is being incorporated into all publications, including MNF's new membership brochure and the GGVI registration brochure. The inaugural issue of MNF's Member Mailing will go out on February 23. The Forum Focus continues to be a membership generator and will continue to go out on a quarterly basis. MNF will also release a nonprofit compensation and benefits survey this spring. The survey is being conducted in conjunction with the Michigan Society of Association Executives (MSAE). MSAE has published the survey independently for the past eleven years. 12. Call to Order: The meeting was called to order by Chair Rosewarne at 9:35a.m. 2. Review of Membership Mailing/Materials : While the committee agreed these materials have been moderately effective, they should be revised to better communicate MNF's message in an informative, positive, eye-catching manner. The renewal letters will be streamlined to highlight MNF's new services and to ask organizations to renew promptly. MNF's membership brochure will be similarly revised. A. Rosewarne will investigate the possibility of obtaining professional graphic and editing assistance with these revisions. 3. Do We Need a Theme for the Campaign : The committee agreed a theme was important to unify the trustees and to focus the campaign. After discussion, the committee agreed on "Making the Connection" as the theme. Staff will work to incorporate the theme into campaign materials and presentations. 4. Plan Board Member Involvement in Recruitment/Retention for MNF: The committee agreed direct trustee involvement was critial to the success of the campaign. Trustees will be asked to contact ten organizations for MNF membership. Staff will identify the target organizations based on participation at previous MNF events. The campaign will formally extend from October 9 to December 9, with the November 9 board meeting serving as the mid-point. Trustees will receive a campaign packet in September which will include a campaign summary and relevant recruitment materials. In terms of retention, the committee agreed to follow-up by phone with organizations that do not renew within the 90 days immediately following the organization's renewal date. �5. Planning for Membership Presentation at MNF Fall Board Meeting: The committee will develop a 15-20 minute presentation for the November 9 board meeting. A Rosewame will work with staff on the specifics of the presentation, but it will include an overview and status report of the campaign. The committee will also host a short, light-hearted awards program centering around the campaign theme to recognize the trustee's recruitment efforts. 6. Nominating Committee Report: D. Egner reviewed the committee's nominations for Association and At-Large Trustees, which are divided into three staggered classes, and the 1994-95 recommended Officers Slate. After discussion the committee approved a motion to accept both nominations and the slate of officers for full Board approval on May 11. 4. Bylaws Committee Report: E. Blews reviewed the committee's proposed bylaws amendments. These amendments reflect MNF's restructuring as a membership organization and address several minor language inconsistencies within the various bylaws provisions. Upon discussion, the committee approved a motion to adopt the bylaws amendments and to submit them to the full Board for adoption on May 11. The committee also approved the development of any amendments to the Articles of Incorporation which are necessary to insure that they are consistent with the bylaws. �5. Retirement Committee Report: G. Keidel reported that the committee has continued to work with Fidelity Mutual to develop a nonprofit sector retirement program in Michigan via MNF. While progress toward the program's development continues, details of the agreement with Fidelity Mutual have not been finalized. After discussion, the committee endorsed the retirement program in concept and agreed that the committee should develop a formal presentation on the details of the program for the May Board meeting. 6. Membership Committee Report: A. Rosewarne reported that because of the changing Board make-up and pending member services that will become available through MNF this summer, MNF's membership drive has been postponed until September of 1994. The campaign will be designed to include all trustees in the retention and recruitment process. The committee will develop a phone tree that will oversee the trustees' progress. The goals of 100 new members and $30,000 of income remain intact. However, the deadline for these goals is now June 30, 1995. She also noted that the committee will set up a MNF display table at Grantmakers/Grantseekers VI to be staffed by Board members. 7. Voluntarism Update: D. Egner reviewed several aspects of the Michigan Campaign for Volunteerism/Volunteer Centers of Michigan including the pending statewide assessment of existing Volunteer Centers, the Second Annual Volunteer Center Directors Retreat held on March 10-11, and Angela Bailey's recent testimony on House Bill 5069 before the House State Affairs Committee. HB 5069 would eliminate the $6.55 driver record-checking fee for 501(c)(3) organizations. 8. Finance Committee Report: D. Egner reviewed the 1993-94 Budget Revisions and the 1994-95 Suggested Budget. Upon discussion, the committee approved the budgets and recommended them to the full Board for approval on May 11. 9. Grantmakers/Grantseekers VI Committee Report: H. Philpott reported that to date 151 participants have registered for the conference. She also noted that the Speaker's Dinner on May 11 will be an informal opportunity for CMF and MNF Trustees, speakers and the GGVI Program Committee to meet and share in the light after-dinner humor of William Banfield, President of the Florida Independent College Fund. His remarks, "Reflections from a Tin Cup," will be an exciting addition to the dinner. Finally, she indicated that the Grantmakers/Grantseekers Program Committee has added a session to the program. Grantseeking Basics will focus on Michigan grantmakers and the grantmaking process. �10. Public Policy Committee Report: E. Blews reviewed several pieces of legislation which the public policy committee recently reviewed and supported. House Bills 4661 and 4662, currently before the Michigan House Taxation Committee, would exempt certain nonprofit entities with annual gross sales of less than $5,000 from collecting sales tax when making sales of tangible personal property for fund-raising purposes. The bills would also improve and simplify the process by which the state determines a nonprofit organization's eligibility for an exemption when purchasing goods. Passage of the bill would automatically extend exemption to nonprofit organizations which are exempt from federal income tax under Sections 501(c)(3) and 501(c)(4) of the Internal Revenue Code. After discussion, the committee endorsed the bills in concept and recommended them to the full Board for approval on May 11. The U.S. House of Representatives recently passed the Lobbying Disclosure Act without amendments supported by Independent Sector and many other nonprofit organizations. The legislation has been sent to conference committee for further consideration later in the spring. Independent Sector is working to insure that the final bill would (1) accept the reporting threshold in the Senate version of the bill of $5,000 per organization for each semi-annual reporting period and (2) permit public charities to use the IRS rules in disclosing their lobbying contacts. After discussion, the committee endorsed Independent Sector's position on the legislation and recommended its adoption by the full Board on May 11. The MNF public policy committee has completed its work on the The Case for Expanding Michigan's Tax Incentives for Charitable Giving. The final paper establishes the case for expanding current tax incentives to include other charitable contributions, while stressing that tax incentives for charitable giving must never offset the state's responsibility to support the efforts of the nonprofit sector. After discussion, the committee accepted the tax incentive paper and recommended its adoption by the full Board on May 11. 11. Preparation for May 11, 1994 Board of Trustees Meeting: R. Mawby led a discussion regarding the agenda of the May 11 Board meeting. Staff will circulate the final agenda and meeting materials approximately two weeks prior to the meeting date. 12. Executive Director Performance Review: The committee met in closed session following the formal meeting for the executive director performance review. 13. Overview of Committee Member Responsibilities: L. Davis reviewed the Guide for GGVII Program Committee members. 4. Review of GGVI Evaluations: D . Clarke reviewed the GGVI evaluations noting that attendance for the GGVI seminar exceeded 700 people. She indicated that the average registration for any future grantmaker/grantseeker seminars should range from 600 - 700 people. After reviewing GGVI evaluation results of individual breakout sessions, committee members agreed to the goal of having all GGVII breakout sessions be ranked at least a 4 by participants. D . Clarke noted that �GGVII would be held in Lansing due to participants interest in having the seminar held outside the Detroit area. 5. Selection of Keynote Speaker: K. Straus led the discussion on keynote speaker selection. The committee agreed that the keynote speaker sets the tone for the entire conference and should be inspirational. The speaker should also be someone who is thought provoking and has a broad-based appeal. He indicated that $10,000 is the goal for GGVII corporate sponsorship which can be achieved by recruiting 4 sponsors at $2,500 each. R. Brooks and K. Straus agreed to assist D. Egner in pursuing corporate sponsorships and will discuss the issue further at the November 29 meeting. 8. Review of Planning Calendar: K. Straus reviewed the GGVII planning calendar and timeline. She noted that the next committee meeting would be on November 29 at Blue Cross/Blue Shield ofMichigan in Detroit (600 Lafayette East, Dining Room D - Lower Level). At that time, breakout coordinators should have their session title, descriptions and speakers in place to present to the committee since registration brochure copy is due at the MNF office on December 15 . 9. Welcome and Call to Order: The meeting was called to order by Public Policy Committee Chair E. Blews at 10:05 a.m. 2. Report on the Development of Cooley Clinic: M. Pierce, staff attorney for the Cooley Clinic, updated the committee on the Clinic's progress. To date, the Clinic provides legal services to approximately 80 clients. They have been granted a position for a third year Cooley law student to work with the clinic in exchange for 10 law school credit hours and the opportunity to gain practice and experience in the legal arena as it relates to nonprofit law. M. Pierce also reported that she and D. Egner are collaborating on several grants that will expand the Clinic's services for nonprofit organizations. 3. Update on the Changes in the Sales and Use Tax Law: J. Tuchinsky reported on the new sales and use tax law enacted in June of this year. Unfortunately, the new law was inadvertently repealed 10 days later. Treasury believes the legislature will rectify the situation during the upcoming lame duck legislative session. A meeting has been arranged for J. Tuchinsky, D. Egner, G. Keilitz, and L. Wells to meet with Jesse Weaver of the Michigan Department of Treasury to discuss questions and concerns related to the new law. C. Eisendrath made a motion that the public �policy committee endorses in concept and principle items to be discussed as outlined by J. Tuchinsky with the Department of Treasury representatives The motion was seconded by S. Johns-Boehme and passed. G. Keilitz extended appreciation and gratitude to J. Tuchinsky for his dedication and hard work on following through with the changes in the sales and use tax law. 4. Update on the Proposed Federal Lobbying Disclosure Bill: D. Egner reported that the Federal Lobbying Disclosure Bill is at a standstill. The MNF Board voted to support Independent Sector's amendments to the bill clearing up the dual definitions of lobbying that the bill currently contains. 5. Update on the Proposed Volunteer Drivers Bill: D. Egner reported that the Michigan Volunteer Drivers Bill is on hold. The bill will most likely be withdrawn this year and reintroduced early in the next legislative session. The Secretary of State is not in support of this legislation due to the amount of revenue the department would lose. D. Egner informed the committee that he is traveling to Washington D. C. in early October and meeting with legislative assistants from Congressman Kildee's, Carr's and Ehlers1 offices and Senator Levin's office. 6. Report on the Proposed House Bill Concerning Charitable Solicitation: G. Keilitz reported that plans to rewrite the charitable solicitation law in Michigan are on hold. He informed the committee that the original intent of the legislation was good but it contained several problems. The bill as proposed was withdrawn. J. Tuchinsky motioned that the public policy committee identify revisions that need to be made to the charitable solicitation law and pursue those changes over the next year. G. Keilitz seconded the motion and it passed. Given the interest of several legislators, J. Tuchinsky, G. Keilitz and D. Egner will meet before the year end to draft suggested revisions to the law. Discussion of this issue will be continued at the next public policy meeting. 7. Report on MNF Board action on "Expanding Michigan's Tax Incentives for Charitable Giving.": E. Blews reported that the MNF Board adopted and endorsed the "Expanding Michigan's Tax Incentives for Charitable Giving" paper. Helen Philpott will appoint a task force to address items outlined in the paper. The task force should meet in early December and report back to the public policy committee. 8. I n i t i a l l y conceived as a mechanism to convene members for joint discussions about shared issues, the Forum has evolved into an entity charged with facilitating a new awareness and increased capacity of Michigan's nonprofit sector, and with serving as a "mediating structure" between funders, nonprofits and the p u b l i c (working collaboratively with existing efforts in the state) to promote the cause of voluntarism and philanthropy for the P u b l i c Good. The M i c h i g a n Nonprofit Forum differs substantially from the increasing number of statewide nonprofit associations that are emerging across the country. The Forum w i l l not itself serve as a trade association, competing for memberships and support with existing associations in Michigan. Nor w i l l it provide the fieldspecific services and advocacy provided by current Michigan associations. Instead, the Michigan Nonprofit Forum creates, for the first time, a statewide mechanism for dialog, planning and cooperative action among a l l stakeholders in the nonprofit sector. U n l i k e any existing state association of nonprofits, the Forum has brought together in its Steering Committee and its design not just traditional charities, but also p u b l i c and private funders and taxsupported institutions (such as the public schools and universities) that also have an increasingly-recognized stake. The activities of the Forum address voluntarism, philanthropy and the nonprofit sector not as proprietary interests but as p u b l i c goods, which broadly affect the state's economy, polity and quality of life, and which therefore merit careful analysis and planning, human resource development, informed p u b l i c discussion, and dependable investment. MNF Mission and Goals. Nonprofit Forum is: The primary mission of the Michigan to promote the awareness and effectiveness of Michigan's nonprofit sector, and to advance the cause of voluntarism and philanthropy in the state. Toward that end, the Forum promotes dialogue, cooperation and collaboration across fields (health, human services, arts and humanities, community development, education, r e l i g i o n ) and economic sectors (nonprofit, p u b l i c and for-profit) to address mutual problems, strengthen the sector as a whole, and raise p u b l i c awareness and recognition of the nonprofit sector's role and significant contributions in Michigan. �To accomplish this mission, the Forum undertakes activities in these five areas: (1) Dialogue: The Forum regularly convenes meetings among sector leaders and stakeholders on key issues, such as those related to state and federal legislation, governance and l i a b i l i t y ; it serves as both a resource for understanding and a catalyst for further action. (2) Information Sharing and Research: The Forum compiles and disseminates current information and insights, as a basis for analysis, planning and action. The Forum also works to strengthen the network among Michigan scholars of the nonprofit sector, toward a more solid knowledge base for p u b l i c policy and practice in the state. (3) P u b l i c Policy Information: In addition to its broader information-sharing function, the Forum seeks greater awareness and understanding of p u b l i c policy issues that effect the sector as a whole. (4) Capacity-BuiIdi ng: Human resource and organizational development in the nonprofit sector are w i d e l y recognized as critical investments for the 1990s. So, w i t h i n the Forum's broad mission of improved sector effectiveness and greater p u b l i c understanding and commitment, the Forum's Steering Committee seeks to increase awareness of resources across the sector and serves as a catalyst for collaborative p l a n n i n g and action. (5) Annual Grantmakers/Grantseekers Seminar: As a centerpiece for its work, the Forum has assumed responsibility for the Annual Grantmakers/Grantseekers Seminal now in its third yeat which brings the sector's stakeholders together for day-long presentations and di scussions. The Forum's Steering Committee serves as the governing body. Although it is not intended to represent a l l stakeholders—an impossible task—it does bring together a small number of statewide organizations with broad reach into many fields. Lewis. At the pleasure of the Committee , Ms. James agreed to undertake Dr. Ell is' support role for t he Committee's work. 2. Mi nutes of the August 28 meeting were approved. 3. Mrs. McDona 1 d reported on the meeting she attended i n San Francisco with Dr. Ell is: the first National Conference f o r Nonprofit Associations. At that meeting, the growing number o f trade associations for nonprofits across the country were presented and discussed, and groundwork was 1 aid for the first nat 1on a 1 association of nonprofits. She noted especially that most 1f no t all these associations provided direct services to their members. 4. After reaffirming the case statement, members discussed the h i story of th i s Steering Committee and agreed that its or1g 1na l focus sti ll remained paramount: finding ways to pr o mo ~ e voluntarism and philanthropy in Michigan, and to improve th e cond i tions of the nonprofit sector. 5. Members discussed future options for the MNF. The earlier pl a n to have a rotat i ng, vo l untar y p l anning group to convene a nd hos~ For ums had proved to be unrea l 1st i c. The meet i ng adjourned at 1 2 :00. �CONCEPT PAPER MICHIGAN NONPROFIT FORUM - BACKGROUND We affirm that nonprofit organizations in Michigan have common interests and goals even though the specific purposes for which they were formed are different. The nonprofit sector is facing challenges and opportunities that require collaboration -- enabling all nonprofits to benefit from a shared relationship and utilizing the best skills and strengths of each organization. There are areas of mutual interest for all nonprofits, including: 1. Promote awareness of the role, diversity, capacity, and impact of the sector. 2. Research; 3. Media and marketing activities; 4. Legislative and regulatory issues and concerns, at both the state and national level; 5. Advocacy; 6. Education and Leadership Development, both volunteer and professional; 7. Increasing philanthropy and encouraging volunteerism; 8. Recognition of the nonprofit sector, especially the economic impact of nonprofit organizations. 9. Program progress and services which strengthen the ability of nonprofit agencies to fulfill us their missions. PURPOSE The Michigan Nonprofit Forum is a ns twork of nonprofit organizatio~ united for the purpose of discussion, plann i ng and collaborative action on issues which affect the nonprofit movement in Michigan. This is achieved through special meetings, conferences and the exchange of material relative to specific topics identified as high priority. · �2 ORGANIZATION The Michigan Nonprofit Forum is an informal network, the members of which are determined by the initial nonprofit organizations participating in this effort. It serves without an established set of bylaws or formal structure. Staffing needs are met by the nonprofit organizations and shift depending on the need or capability being sought. The chief volunteer and executive officer of each organization serve as a committee of the whole with assignments being made to specific groups of persons or to an individual. Meetings are determined on the basis of specific projects and the timeliness required or on an "as needed" basis to be determined by any of the nonprofit organizations. The organizations come together at least quarterly for a planned activity or for general sharing of information and ideas. ACTIVITIES The Michigan Nonprofit Forum would become an organization that may build joint activities and programs to meet specific needs identified by the organization's leadership. This may include: 1. Legislative coalitions on issues affecting the nonprofit movement at the state and federal level and which are best served by bringing together nonprofit groups to respond as a united force, on issues such as tax deductions for nonprofits, reductions in federal/state support and unrelated business income tax regulations; 2. Conferences and educational seminars on topics of related interest or for the purpose of training volunteers or professionals in special skill areas or on topics which affect the nonprofit movement; 3. Research projects in order to expand the knowledge in theory and practice of nonprofit organizations as well as to study the impact of nonprofit organizations from the economic, volunteer or service activity level; 4. Marketing and media activities to promote a positive image of nonprofit organizations and offer recognition for outstanding efforts of donors, volunteers, and professionals; 5. Volunteer leadership development to improve skills in individuals to serve as volunteers and board members for nonprofit organizations and to identify persons to serve in this role. �3 It may be appropriate to choose one or two activities to begin efforts. This will assist in determining if there is significant interest in this type of organization and the willingness of others to participate. Two activities that might be considered could be the legislative and research areas. OPTIONS FOR THE FUTURE ---- 1. One of the ten participating nonprofit organizations could be chosen as the "host" for the inistrative a aratus of the Forum. The host organization would provide office space and office equipment for the "secretariat" of the Forum consisting of positions of Executive Director and Executive Secretary. The "secretariat" would be responsible for the general administration of the Forum, including calling and coordinating meetings, and providing a channel of communication among the Forum's members. A goal might be to take on the organization of the 1991 "Grantmaker-Grantseeker III Meeting," now coordinated jointly by the Council of Michigan Foundations and the National Society of Fund Raising Executives, Michigan Chapters. After a period of time, a decision would be made whether to keep the secretariat under the aegis of the "host" organization, or to [ 'spin" it off as a free-standing organization. 2. All of the ten participating nonprofit organizations could collaborate to establish a free-standing secretariat organization with the positions of Executive Director and Executive Secretary. The secretariat would be responsible for general administration of the Forum, and would call meetings at spaces provided by Forum members. The other functions of the secretariat would be identical to those provided in option No. 1, above. Similarly, a goal would be to take over the management of the Grantmaker-Grantseeker meeting. After the grant period, a decision would be made to maintain the secretariat as the nucleus of an inde endent Non rofit Forum, or canso idate it within a member organization 9f the Forum as 1n option No. 1, above. 3. The Michigan Nonprofit Forum could consider becoming a larger membership organization. This could be achieved by means ot a "hosted" secretariat as envisioned in option No. 1, or through a free-standing secretariat, as outlined in option No. 2. The staffing needs would be larger than those described in either of the options above, perhaps requiring a part-time Assistant Director, and a part-time secretary in addition to the Executive Director and the Executive Secretary described above. The goal would be to recruit an additional 20-25 statewide nonprofits as members by the end of the grant period. Also, membership would be thrown open to individuals. By the end of the grant period, the Forum w u be artially sustained by membershi fees rom organizations and individuals, but would still need to ra1se lemental funds from corporations, foundations, and ivers. �4 4. Another organization, outside of the founding group, would be identified to implement either Option 1 or 2. 5. ·Contract with a Michigan research organization to do a feasibility/market study of the nonprofit sector to determine the need for and acceptability of such an organization. 6. Hold a membership-expansion luncheon and include a keynote speaker from a statewide nonprofit association in conjunction with several development workshops to identify pertinent concerns. 7. Hold an annual nonprofit conference and include the volunteer leadership of statewide organizations and discuss opportunities for networking and discussion. 8. The current co~position of the MNF steering Committee is made up of associations or membership organizations representing constituencies across the state. 2. The Steering Committee's resources and perspective could be enhanced by selected "at large" or "outside" perspectives from such fields as business, government, philanthropy or clients served by associations, etc. Recommendation: The Governance Task Group recommends the following: 1. B. Five "at large" positions be added to the MNF to represent such interests as business, government, philanthropy, clients, etc. LBADERSRIP POSITIOB: Issues: 1. Establish position of Chairperson and select a person to serve as Chairperson to direct the Board process during year one. 2. Ideally, the Chairperson should be a volunteer with an understandinq of non-profit sector, capacity to reach across the various seqments of the sector and time to provide such leadership. Recommendations: 1. Dr. Russ Mawby has been informally approached about his willingness to provide this leadership in year one. �Governance Task Group Paqe 2 The Governance Task Group recommends that Dr. Mawby be formally requested to serve as the Chairperson for year one. 2. In year one, it is recommendedd that a second volunteer leader be selected to serve as Vice Chairperson to Dr. Mawby, with the intent of being positioned as year two Chairperson. The Task Group would recommend the name of Helen Philpott of Flint, an active volunteer with Flint Foundation and former Chairperson of United Way of Michiqan, as Vice Chairperson for year one. C. STAPP SELECTIOlU Issues: 1. The position of Executive Director of the MNF is an important leadership role and requires an ~ selection process to select the best candidate for this position. 2. Maintaining the momentum of the initial activities ot MNF is also critical in order to assure measurable proqress in year one. Recommendations: 1. The Governance Task Group recommends that Maryellen Lewis be appointed Acting Executive Director by the Steering Committee for the first six months of the grant period. (Action so taken at April 12 meeting, following GrantmakersjGrantseekers Conference.) 2. During the first six months of the project, a selection committee be named to conduct the search process for the position of Executive Director of the MNF. Instead, the Forum would be choosing to serve as advisor (as it has from the beginning, through Pete E l l i s ) and as access point to nonprofits throughout the state, and also to assist in planting beneficial outcomes in the state for longterm benefits (e.g., by creating a resource bank of "experts" who could assist others in their fields, or by assisting associations to do the same). As a result of this Steering Committee's interest in the media as a vehicle for raising p u b l i c awareness of the nonprofit sector, Pete E l l i s laid groundwork for the MNF to assist in a statewide, yearlong Michigan Communication Project that would serve these broad purposes: (1) Educate the media about the nonprofit sector's key role in addressing social problems; (2) Raise the level of sophistication of nonprofit organizations to articulate their social missions and impacts to the p u b l i c through the media; and (3) At the end of the year, bring the two audiences together, to address shared concerns in Socratic dialog. FACS mission is to improve the quality of information reaching the public through the news. Our goal is to expand the ability of journalists to understand and analyze issues in such areas as the economy, law, ethics, science and international affairs and to provide sources of the news an Improved understanding of the journalism process. Since 1979 the Foundation for American Communications has provided intensive short-term issue education for professional journalists. More than 5,500 editors, reporters, and others in the news process have benefited from FACS programs conducted throughout the United States. FACS journalism education conferences are funded by news organizations and charitable foundations. FACS also presents source education programs on the news process for academic, business and nonprofit organizations. During the last six years, FACS has taught over 45,000 nonprofit representatives to effectively communicate their story to the public primarily through the news media. In 1988, FACS initiated a new curriculum 1n strategic marketing for nonprofit organizations. These programs provide independent sector executives with a better system of analysis that allows for the improved identification of needs of both donors and consumers. The marketing program helps organizations effectively combine media relations, program development, fundraising, and promotions. Background Shortly after the formation of the United States, a young French aristocrat and philosopher, Alex de Tocqueville, visited America and became fascinated with the Independent sector of society. He observed that Americans solved social problems through private initiative, unlike other societies that relied on the state. He recognized the importance of small voluntary institutions and their involvement in the American experiment. Nonprofit organizations and charitable donors populate philanthropy, sometimes called the world of the "third sector." The third sector has distilled the best qualities of both private and public into a specialized enterprise combining the voluntarist, public-spirited side of business and the grass roots, participatory side of public activity. FACS plays a unique role by successfully bringing together representatives from business, journalism and philanthropic sectors to meet community needs. This is accomplished by teaching the leadership of the "not for profit" sectors how to better communicate their stories to the public through the news process. When a nonprofit organization is successful in communicating their story, several positive things happen that help them accomplish their mission. They have a better opportunity to attract more volunteers, increase donations to meet their financial needs and solve the needs of their communities. �FACS Communications Program for the Independent Sector has become a major resource for helping leaders 1n the nonprofit community. These programs have be primarily developed and presented through grants from The Gannett Foundation. I I I I I I I 1 1 FACS and the Gannett Foundation developed the curriculum material to teach Individuals how to understand their role 1n the news process. The State Communications Project After years of educating journalists about economics and teaching nonprofit executives how the news media works, FACS observed some chronic problems that demanded a new educational approach. Under a grant from The James R. Irvine Foundation, FACS conducted a focus group consisting of economists, marketing, media experts, community development and foundation executives to determine what approaches would meet the specific educational needs of nonprofits. The focus group clearly defined the following educational needs: * Economic, marketing and media education for nonprofit and foundation people involved with community development * Journalism education programs on the economic news of community development. FACS, with the sponsorship of the San Francisco Chronicle and The James R. Irvine Foundation conducted a conference titled "Marketing, Economics and the Media" on November 29 in San Francisco. The purpose of the workshop was to educate participants about marketing, economics and media relations. FACS scholars presented lectures and lead a media panel in a discussion of basic economic theories and marketing applications with participants. A second conference 1s schedule for January 24 in Los Angeles. The Los Angeles Times. The James R. Irvine Foundation and FACS will sponsor this workshop. Since 1981 over 45,000 nonprofit leaders have attended FACS communications programs for the independent sector. FACS is working with The Gannett Foundation, The Meadows Foundation and The James R. C a l l to Order and Introductions. Dorothy Johnson convened the meeting and began the introductions around the table. 2. Comments. Russell Mawby commended the Steering Committee on its significant progress since meeting in his office 20 months before. The common ground identified at that meeting had proved to be s o l i d , and the group had clearly learned how to work together effectively and creatively, sorting through critical ideas and now developing a significant plan and structure. Much work lies ahead, but the challenge has clearly been accepted. 3. Staff Report on MNF Current Status. Maryellen Lewis briefly reviewed the status of the proposal to the Kellogg Foundation, the new Executive Summary, and current staff work to flesh out (a) activities committed in the proposal that are now being developed, and (b) c l o s e l y - a l l i e d themes of interest to Committee members that w i l l be brought to the Committee for review. 4. Next Steps. Governance. Dorothy Johnson reported the recommendations of the Ad Hoc Governance Task Group, that the Steering Committee expand to include not only additional organizational members (bringing new networks of stakeholders not now included in the Committee) but also five (5) At-Large Members who are recognized leaders in philanthropy, voluntarism and the nonprofit sector. Funding. Russell Mawby reported that the proposal w i l l be considered at the May meeting of the Kellogg Foundation Board. Staffing. Dorothy Johnson reported the Ad Hoc Governance Committee's recommendation that Maryellen Lewis be appointed Acting Executive Director, and that the Committee determine selection procedures for a permanent executive w i t h i n six (6) months. The Committee unanimously approved Ms. Lewis' appointment. 5. Discussion and Comments. Members shared their agencies' support and commitment and reaffirmed the timely nature of the formation of the Forum. Dorothy Johnson convened the meeting at 9:40 and introduced Robert Ivory, new President of the United Way of Michigan. 2. Selection of a Chairperson. After Dorothy Johnson declined the Chairmanship, the Steering Committee discussed the advantages of selecting one of their organizations' trustees as MNF Chair. After reaching general agreement on this strategy, Dottie Johnson and Bob Ivory agreed to explore the issue informally with trustees, and other members were invited to do the same, in order to make recommendations to the Steering Committee. (Later, this task was charged to the new Ad Hoc Governance Task Group, described below.) Based on Committee consensus, Maryellen Lewis facilitated the meeti ng. 3. Approval of the Minutes. Minutes of the October 30, 1989 meeting were approved, with the addition of attendee S h i r l e y Stock, representing Thomas Bernthal of the Michigan Community College Association. 4. Review of the Draft Proposal: Narrative. Workplan and Budget. With minor changes in wording, the Committee unanimously approved the proposal. Members authorized Maryellen Lewis to add a section on MNF's future, to prioritize the Workplan, to formalize the Grantmakers/Grantseekers Workshop as a separate program l i n e item, and to make other appropriate changes consistent with the approved proposal. The Committee agreed to commit $10,000 to the Forum, leaving specific levels of contributions for �each member organization for later determination. Governance. The Committee determined that the major governance issues (such as expanded Steering Committee membership, By-Laws, and procedural matters such as selection of an Executive) need not be decided at this meeting, in advance of the proposal submission to the Kellogg Foundation. Also, members volunteered to explore Membership Expansion and to recommend names to the committee at its next meeting: Ed Slews, Bunny Goldman, Beverley McDonald, Bob Ivory and Dottie Johnson. 5. Next Steps. The Committee agreed that the upcoming Grantmakers/Grantseekers Workshop represents a major "coming out" event of the MNF, and members would a l l try to be there. In addition, the Committee agreed to attend a brief meeting after the workshop on A p r i l 12, to talk with Russell Mawby of the Kellogg Foundation and to demonstrate solidarity and commitment. These members formed an Ad Hoc Nominating Task Group, in order to make the followin g formal recommendations to the Committee. In particular, members of the Task Group were char g ed by the Steering Committee with nominating religious organizations to be invited to join the Committee. Nationally, reli g ious organizations receive over 40 % of all charitable donations, half of which is returned to the community through grants and programs in human services and community betterment--totalling more than the total giving b y foundations and corporations combined. Further, members of religious groups are more than twice as likely to be volunteering their time, and more than twice as likely to contribute financially to nonreligious charitable causes than are other Americans. At the April 12 Steering Committee meeting, the members of this Task Group were further charged with nominating no more than five (5) At-Large Members, persons who are widely reco g ni zed as significant leaders in philanthropy, voluntarism and the nonprofit sector. The current composition of the MNF steering Committee is made up of associations or membership organizations representing constituencies across the state. 2. The Steering Committee's resources and perspective could be enhanced by selected "at large" or "outside" perspectives from such fields as business, government, philanthropy or clients served by associations, etc. RecommendatiQD: The Governance Task Group recommends the following: 1. B. Five "at largen positions be added to the MNF to represent such interests as business, government, philanthropy, clients, etc. LEADERSHIP PQSITION: Issues: 1. Establish position of Chairperson and select a person to serve as Chairperson to direct the Board process during year one. 2. Ideally, the Chairperson should be a volunteer with an understanding of non-profit sector, capacity to reach across the various segments of the sector and time to provide such leadership. Recommendations: 1. Dr. Russ Mawby has been informally approached about his willingness to provide this leadership in year one. �Governance Task Group Page 2 The Governance Task Group recommends that Dr. Mawby be formally requested to serve as the Chairperson for year one. 2. In year one, it is recommendedd that a second volunteer leader be selected to serve as Vice Chairperson to Or. Mawby, with the intent of being positioned as year two Chairperson. The Task Group would recommend the name of Helen Philpott of Flint, an active volunteer with Flint Foundation and former Chairperson of United Way of Michigan, as Vice Chairperson for year one. C. STAFF SELECTION: Issues: 1. The position of Executive Director of the MNF is an important leadership role and requires an open selection process to select the best candidate for this position. 2. Maintaining the momentum of the initial activities of MNF is also critical in order to assure measurable progress in year one. Recommendations: 1. The Governance Task Group recommends that Maryellen Lewis be appointed Acting Executive Director by the Steering Committee for the first six months of the grant period. (Action so taken at April 12 meeting, following GrantmakersjGrantseekers Conference.) 2. During the first six months of the project, a selection committee be named to conduct the search process for the position of Executive Director of the MNF. In response to that charge, the Search Committee has met twice (once physically and then in a foil ow-up tel ephone conference call ) to develop recommendations regarding the Executive Director Search/Selection process. As members of the Search Committee, we are pleased to recommend to the Michigan Nonprofit Steering Committee: 1.) the following process and schedul e for the search/sel ection process, 2.} the attached document (Addendum A) entitled "Invitation For Applications, Position of Executive Director of the Michigan Nonprofit Forum," and 3.) the attached (Addendum B) language and plan for classified advertising of the position in major Michigan daily newspapers. RECOMMENDED SEARCH/SELECTION PROCESS (MICHIGAN NONPROFIT FORUM EXECUTIVE DIRECTOR) RECOMMENDATION Hi: THE SEARCH COMMITTEE RECOMMENDS THAT THE STEERING COMMITTEE OF THE MICHIGAN NONPROFIT FORUM REVIEW, DISCUSS AND ADOPT THE FOLLOWING SEARCH PROCESS AND SCHEDULE FOR SELECTION OF THE EXECUTIVE DIRECTOR, AND AUTHORIZE THE SEARCH COMMITTEE TO PROCEED ACCORDINGLY. [Adopted by MNF Steering Committee at 6/27/90 Meeting.] �MNF Steering Committee I. II. -2- June 27, 1990 EXECUTIVE DIRECTOR POSITION DESCRIPTION/INVITATION FOR APPLICATIONS A. Position Description: The recommended new document entitled "Invitation For Appl ications, Position of Executive Director of Michigan Nonprofit Forum" (Addendum A) will be used to announce and describe the search within the nonprofit community and in response to inquiries about the position. That document contains a fairly detailed description of the position, the skill s, experience and education required and the application procedures. B. Organization Description: The existing document entitled "Executive Summary, The Michigan Nonprofit Forum" will be utilized in the search process as the official description of the Michigan Nonprofit Forum. ."OPEN" STATE SEARCH: A. SCOPE, DISSEMINATION, PUBLICITY Scope: The scope of the Executive Director selection process will be an open, state-wide (not national) search. B. Methodologies for Dissemination of Invitations: Th e following methods will be util ized to disseminate the information and invitations for applications as widely but economically as possible: 1. Nonprofit Forum Members: The associations and organizations represented on the Steering Committee of the Nonprofit Forum will be asked during the summer to disseminate the "Invitation For Applications" to their institutional and individual members as they see fit, and to encourage posting of the information. In addition, Forum Members will be encouraged to publicize the position in newsletters or through other existing mechanisms. (This method is intended to reach the nonprofit community.) 2. C1 assified Advertising: During August cl assified a d v e r t i s e m e n t s ( S e e Addendum B for recommended language) will be placed for three consecutive days (at an estimated total cost of $828.52, See Addendum C for quotations) in the following daily newspapers: a.) b.) c.) d.) Detroit News; Fl int Journal; Grand Rapids Press; Kal amazoo Gazette; �MNF Steering Committee -3- June 27, 1990 e.) Lansing State Journal ;and f.) The Michigan Chronicle. (This method is intended to reach the general public and to make it truly an open search process.) III. News Release (August): A news release will be issued in August announcing the Executive Director position and describing the application/search process. 4. News Release (September): Though the media is highly unlikely to publicize a news release about a position s e a r c h ( v i e w i n g that as an a d v e r t i s i n g function), another news release will be issued just prior to the September meeting of the Forum, announcing its formation, reporting that Maryell en Lewis is serving as the Acting Executive Director, and describing briefly the search process and application procedures. C. Invitation to Acting Executive Director: In recognition of her service to the Forum and to be very clear about the invitation, a formal letter will be sent to Acting Executive Director Maryell en Lewis from the Steering Committee Chair and the Search Committee Chair inviting and encouraging her to submit an appl i cation for the Executive Director position. D. Cost: The cost of the search will be covered from the funds from the financial contributions of the Forum Members. APPLICATION LOGISTICS A. B. IV. 3. Responses Required: Applicants will be required to submit the following documents: 1. A Letter of Application; 2. A Current Resume; and 3. A Listing of Three References (with Name, Title, Address and Telephone Number). Mail ing Address: Appl icants will be directed to mail their application packets to the Chair of the Search Committee in care of the office of the Association of Independent Colleges and Universities of Michigan. CALENDAR FOR SEARCH PROCESS A. Final Selection Decision: November 15 S e a r c h Committee M e e t i n g s : A s c h e d u l e of S e a r c h Committee meetings to accommodate the Search calendar has been adopted and charted (See Addendum D). SELECTION PROCESS A. Processing of Initial Applications: Applications will be mailed to the AICUM office (location of the Search Committee Chair) and will be opened, date-stamped, and copied by that office. B. Screening of Applications: Depending on the numbers received, the applications will first be divided among Search Committee members for screening and identification of qual ified meritorious candidates. C. Selection of Semi-Finalists: The Search Committee will meet to select 10-12 semi-finalists. D. Reference Checks: Reference checks of the semi-finalists will be c o n d u c t e d by d e s i g n e e s from among the Search Committee members. E. Selection of Finalists: Based on reference checks and further review of the semi-final applications, the Search Committee will sel ect 3-5 final ists. F. Fi nal ist I n t e r v i e w s / F i n a l Sel ect ion: At this point in the process, the Search Committee identifies the following three possible options relating to the extent of Search Committee or S t e e r i n g Comittee i n v o l v e m e n t in the p r o c e s s . The Search Committee recommends that the Steering Committee determine which of the three approaches it prefers: Option #1: The Search Committee conducts the then final interviews and sel ects a singl e final candidate to introduce, describe in detail and recommend to the Forum Steering Committee. [This Option #2 Adopted By MNF Steering Committee at 6/27/90 Meeting.] �MNF Steering Committee -5- June 27, 1990 Option #2: The Search Committee conducts the final interviews and recommends two or at most three final c a n d i d a t e s to the Steering Committee. An opportunity for the Steering Committee to meet these finalists is arranged at an informal reception or lunch. The Search Committee t h e n d e s c r i b e s t h e f i n a l i s t s i n detail t o t h e Steering Committee, which votes to determine the Executive Director from among the finalists recommended. Option #3: The full Forum Steering Committee participates in the formal interviews of all the finalists and then votes on the new Executive Director. RECOMMENDATION #2: THE SEARCH COMMITTEE RECOMMENDS THAT THE MICHIGAN NONPROFIT FORUM STEERING COMMITTEE REVIEW AND APPROVE THE DOCUMENT (ADDENDUM A) ENTITLED "INVITATION FOE APPLICATIONS, POSITION OF EXECUTIVE DIRECTOR OF MICHIGAN NONPROFIT FORUM" AS AN OFFICIAL DOCUMENT FOE PURPOSES OF THE EXECUTIVE DIRECTOR SEARCH PROCESS. [Adopted by MNF Steering Committee at 6/27/90 Meeting.} RECOMMENDATION $3: IT IS RECOMMENDED THAT THE MICHIGAN NONPROFIT FORUM STEERING COMMITTEE APPROVE THE LANGUAGE AND PLAN (ADDENDUM B) FOR CLASSIFIED ADVERTISING OF THE EXECUTIVE DIRECTOR POSITION. [Adopted by MNF Steering Committee at 6/27/90 Meeting.] RECOMMENDATION #4: IT IS RECOMMENDED TEAT THE STEERING COMMITTEE DETERMINE ITS PREFERENCE FROM AMONG THE THREE OPTIONS FOR HANDLING THE FINALIST INTERVIEWS AND THE SELECTION OF THE EXECUTIVE DIRECTOR (SEE ITEMS V-F ABOVE). [Option #1 adopted by MNF Steering Committee at 6/27/90 Meeting.] RECOMMENDATION #5: FINALLY, IT IS RECOMMENDED THAT RUSS MAMBY, AS THE NEW CHAIR OF THE MICHIGAN NONPROFIT FORUM STEERING COMMITTEE, BE INVITED TO SERVE AS AN EX OFFICIO MEMBER OF THE SEARCH COMMITTEE.
