The name of the Corporation shall be Michigan Nonprofit Forum (hereinafter referred to as "Forum"). The Forum shall exist for charitable and educational purposes, specifically: To promote the awareness and effectiveness of Michigan's nonprofit sector, and to advance the cause of volunteerism and philanthropy in the state. Within these general purposes, the Corporation has been organized to have and exercise all rights and powers conferred on nonprofit corporations under the laws of the State of Michigan, provided, however, that this corporation shall not engage in actions or exercise powers not in furtherance of these purposes. (2) Membership. The Membership or Members shall consist of ORGANIZATIONAL MEMBERS and AFFILIATE MEMBERS. ORGANIZATIONAL MEMBERS shall be any IRS designated nonprofit organization that (a) has a principal or branch office in Michigan; (b) makes application and receives approval of that application by the Board of Trustees; and (c) makes an annual contribution to the corporation, the amount of which is in accordance with the criteria established by the Board of Trustees. Organizational Members which have a representative present at a meeting of the members or who is represented by proxy shall be entitled to one vote at the meeting. Organizational members shall elect the At-Large Trustee positions of the Board of Trustees. AFFILIATE MEMBERS shall be organizations and individuals that (a) make application and receive approval of that application by the Board of Trustees; and (b) make an annual contribution to the corporation, the amount of which is in accordance with the criteria established by the Board of Trustees. Affiliate Members shall have no vote and shall have only privileges as may be determined by the Board of Trustees. (3) Annual Meeting of the Corporation. There shall be a meeting of the Corporation annually. Notice of the annual meeting of the Corporation shall be sent to all duly qualified Organizational Members on or before thirty (30) days prior to the meeting. Twenty (20) members, present in person or by proxy, shall constitute a quorum. The Trustee approved minutes and financial statements from the current fiscal year shall be available for review at the meeting. �(4) Founding Members and Founding Trustees. The Organizational Members represented by the signers of the Articles of Incorporation shall also be known as FOUNDING MEMBERS of the Forum. Founding Members shall be Members as of the date of adoption of the Articles of Incorporation. The Founding Members are: Association of Independent Colleges and Universities of Michigan (AICUM) Council of Michigan Foundations (CMF) Michigan Association of School Administrators (MAS A) Michigan Association of School Boards (MASB) Michigan Community College Association (MCCA) Michigan Council for the Arts (MCA) Michigan Health Council (MHC) Michigan League for Human Services (MLHS) President's Council, State Universities of Michigan United Way of Michigan (UWM) The individual signers of the Articles of Incorporation shall also be known as FOUNDING TRUSTEES. Founding Trustees shall be Trustees as of the date of adoption of the Articles of Incorporation. The Founding Trustees are: Thomas M. Bernthal, Executive Director, MCCA Edward O. Stevens, Executive Director, Presidents Council James R. Tarrant, Executive Director, MHC (5) Removal from Membership. A Member may be removed from the Corporation if the Member: (a) Fails to remain an eligible Member, according to standards determined by the Board; or (b) Engages in egregious conduct contradictory to the purposes of the Forum. A Member may only be removed by an affirmative vote of two-thirds of the Trustees present at a duly called and constituted meeting. (6) Membership Liability. A Member of the Forum shall not be personally liable for the debts, liabilities or obligations of the Forum. (7) Other Members. Other categories of membership may be created by the Board of Trustees, at its discretion, which shall determine the terms, obligations and privileges of such membership. �ARTICLE II: Dedication of Assets (1) Dedication of Assets. The properties and assets of the Forum are irrevocably dedicated to charitable and educational purposes. No part of the net earnings, properties, or assets of the Forum shall inure to the benefit of any private person or individual, or any Member, Trustee or Officer of the Forum. ARTICLE III: Board of Trustees (1) Designation of Trustees. The Board of Trustees shall develop policy for and oversee the management of the business and property of the Forum. The Board of Trustees shall consist of 18 permanent ASSOCIATION TRUSTEE positions, no less than 10 nor no more than twenty AT-LARGE TRUSTEE positions, and three representatives from the VOLUNTEER CENTERS OF MICHIGAN OPERATING COUNCIL, AND THREE REPRESENTATIVES FROM THE MICHIGAN CAMPUS COMPACT. The Board of Trustees shall decide the number of At-Large Trustees positions there shall be on the Board, for the purpose of the subsequent election to be conducted pursuant to this Section. All Trustees shall carry one vote and have equal rights and privileges. ASSOCIATION TRUSTEES shall be (a) Michigan-based associations which represent statewide segments of the nonprofit sector, or (b) other broad-based Michigan organizations. Organizations chosen to be Association Trustees must each have as a central concern or must have a substantial impact on the advancement of philanthropy, volunteerism and the nonprofit sector, and must support the purposes of this Forum. The Association Trustees are: Association of Independent Colleges and Universities of Michigan Council of Michigan Foundations Council of Michigan Urban Leagues Food Bank Council of Michigan Michigan Association of Rehabilitation Organizations Michigan Association of School Administrators Michigan Association of School Boards Michigan Catholic Conference Michigan Community Action Agency Association Michigan Community College Association Michigan Council for the Arts and Cultural Affairs Michigan Ecumenical Forum Michigan Health Council Michigan Jewish Conference Michigan Hospital Association Michigan League for Human Services President's Council, State Universities of Michigan United Way of Michigan �Association Trustees may be added or removed from the Board of Trustee by an affirmative vote of two-thirds of the Trustees present at a duly called meeting. Association Trustees shall designate one voting representatives who shall be known as a TRUSTEE. Each Association Trustee shall determine and designate its own representatives/Trustees, which shall consist of either (a) the Chief Professional Officer, or (b) a Board Representative. Guidelines for selection of the Board Representatives may be determined by the Trustees. AT-LARGE Trustees shall be (a) individuals of widely recognized statewide prominence who contribute significantly to the advancement of Michigan's nonprofit sector, or (b) individuals representing Organizational Members of the Corporation. At-Large Trustees shall be elected by the Organizational Members of the Corporation. The Nominating Committee shall invite recommended nominees from the Membership, for consideration by the Nominating Committee, on or before forty-five (45) days prior to the annual meeting. Thereafter, the Nominating Committee shall nominate for the election to the Board of Trustees one nominee for each At-Large Trustee position of the Board with its term expiring at the next annual meeting. On or before thirty (30) days prior to the annual meeting, a written mail ballot containing the Committee's nominations, with space for a write-in vote for each At-Large Trustee position, and stating the deadline for casting ballots shall be mailed to each Organizational Member. Those persons receiving the highest number of votes for each AtLarge Trustee position on validly marked ballots delivered to the Forum's office by the deadline shall be elected to the Board of Trustees. (2) Terms and Vacancies. Trustees serving in Association, Volunteer Centers of Michigan Operating Council, and Michigan Campus Compact Operating Council Trustee positions shall serve terms of three years and may succeed themselves. At-Large Trustees shall serve terms of three years and may succeed themselves only once. All vacancies in the Board may be filled by the Chair until the next regular annual meeting of the corporation. Service provided for an unexpired or incomplete term shall not be counted as an elected term. (3) Meetings and Notices. Meetings of the Board of Trustees may be called by the Chair or at the request of no less than one-fourth of the Trustees. Written announcements of each meeting of the Board of Trustees shall be made by, or at the direction of, the Chair not less than ten and no more than sixty days before the date set for the meeting �and shall include the date, time, place and purpose of the meeting. Preliminary or reminder notices may be made at any time. (4) Regular Meetings. The Trustees shall hold at least two regular meetings annually on September 1 and on March 1, or as provided by the Michigan Nonprofit Corporation Act within 90 days following those dates. The March 1 meeting shall be the Annual Meeting. The two regular meetings shall be the record dates for determining the Members of Record and their designated representatives, entitled to notice of and to vote at Membership meetings. The Board of Trustees may fix the day, time and place for each regular meeting of the Trustees. (5) Special Meetings. Special meetings of the Trustees may be called by the Chair or at the written request of not less than one-fourth of the Trustees. (6) Quorum. A quorum at any duly called meeting of the Trustees shall consist of not less than a simple majority of the Trustees. Any proper action of those present at a duly called and constituted meeting shall be the action of the Board and the Membership. (7) Adoption. Adoption of new program initiatives shall require an affirmative vote of a majority of the Trustees present at any duly called and constituted meeting. Public policy positions may be adopted regarding matters of common concern of the Membership and shall require an affirmative vote of three-fourths of the Trustees present at any duly called and constituted meeting. Other actions shall require a majority affirmative vote of the quorum present, except as provided in these Bylaws. (8) Action by Unanimous Written Consent. Any action required or permitted to be taken by the Board may be taken without a meeting and without prior notice, if all Trustees consent in writing to the action. The written consents shall be filed with the minutes of the proceedings of the Board. The action by written consent shall have the same force and effect as the unanimous vote of the Board. (9) No Compensation. Trustees shall not receive compensation for holding such office. (10) Liability. Consistent with the Michigan Nonprofit Corporation Act, a Trustee shall not be personally liable for monetary damages for a breach fiduciary duty, and the Forum shall assume all proper liability, except in the case of: (a) A breach of the Trustee's legal duty of loyalty to the corporation or its members; (b) Acts or omissions by the Trustee not in good faith or that involve intentional misconduct or a knowing violation of law; (c) An affirmative vote or other lawful concurrence by the Trustee in an unlawful corporate act, including those prohibited by these bylaws and by the Michigan Nonprofit Corporation Act; (d) A transaction from which the Trustee derived an improper personal benefit; or �(e) An act or omission by the Trustee that is grossly negligent. (11) Indemnification. Consistent with the Michigan Nonprofit Corporation Act, the Forum shall indemnify any person who serves as its Trustee, Officer, employee or agent who is a party or threatened to be made a party to any threatened, pending, or completed action, suit or proceeding, against expenses ~ including attorneys' fees, judgments, penalties, fines, and amounts paid in settlement ~ actually and reasonably incurred by the person in connection with an action, suit or proceeding incurred by reason of the fact that the person is or was a Trustee, Officer, employee or agent of the corporation, if the person acted in good faith and in a manner the person reasonably believed to be in or not opposed to the best interest of the corporation or its members, and ~ with respect to any criminal action or proceeding — if the person had no reasonable cause to believe that the conduct was unlawful. However, as prescribed by the Act, indemnification shall not be made for a claim, issue, or matter in which the person has been found liable to the corporation unless and only to the extent that the court in which the action or suit was brought has determined upon application that, despite the adjudication of liability but in view of all circumstances of the case, the person is fairly and reasonably entitled to indemnification for expenses which the court considers proper. Article IV: Officers and Executive Director (1) Forum and Board Officers. The Officers of the Forum shall be identical to the Officers of the Board of Trustees. The Officers shall be elected annually by a two-thirds affirmative vote of the Trustees present at a duly called and constituted meeting. (2) Designation of Officers. The Officers of the Board shall be a Chair, a Vice-Chair, a Secretary, and a Treasurer, all nominated and duly elected by the Board. (3) Duties of the Chair. The Chair shall serve as the president of the Forum and president of the Board of Trustees. The Chair or, when absent, the Vice Chair shall preside at the regular and special meetings of the Board of Trustees. The Chair shall preside at meetings of the Executive Committee. The Chair shall appoint Committee Members and Committee Chairs, with Board ratification, consistent with designations in these Articles. The Chair shall perform such other duties as are incident to the office or are properly delegated by the Board of Trustees. (4) Duties of the Vice Chair. The Vice Chair shall preside at regular and special meetings of the Board of Trustees when the Chair is absent. The Vice Chair shall become Interim Chair, pending Board action, should the Chair resign or become unable to perform the duties of office. (5) Duties of the Secretary. The Secretary shall perform or direct and oversee the performance of the following duties: (a) issue notice of all meetings; (b) keep all minutes which shall be signed by the Secretary upon approval by the Board; (c) �maintain the corporate records; and (d) make such reports and perform such other duties as are incident to the office or properly delegated by the Board of Trustees. (6) Duties of the Treasurer. The Treasurer shall have, under the direction of the Board of Trustees, the custody of all monies, securities and other property of the Forum. The Treasurer shall perform all duties incident to the office or properly delegated by the Board of Trustees. The Treasurer shall perform or direct and oversee the performance of appropriate fiscal record keeping for the Forum. (7) No Compensation. Officers of the Board shall not receive compensation for holding such office. (8) Requirements for Officer Participation. Requirements for Officer participation shall be determined by the Board. When such requirements are not satisfied and proper remediation procedures have been followed (according to procedures determined by the Board), the Board may elect to remove an Officer from office by a two-thirds affirmative vote of the Trustees present at a duly called and constituted meeting. (9) Executive Director. The Executive Director shall serve as the Chief Executive Officer of the Forum. The Executive Director shall be appointed by the Board of Trustees, through procedures designated or delegated by the Board, and shall serve at the pleasure of the Board. The Executive Director shall not be a Trustee. ARTICLE V: Committees of the Board of Trustees (1) The Board of Trustees shall create the following Standing Committees, whose members shall be appointed by the Chair and ratified by the Board and shall serve at the pleasure of the Board. The Standing Committee Chairs shall report directly and regularly to the Board of Trustees. All Standing Committees shall include the Executive Director as a nonvoting ex officio member.. (a) Executive Committee. The Executive Committee shall consist of the Officers, the Chairs of Standing Committees, the immediate past Board Chair, two representatives from the Volunteer Centers of Michigan designated by the Volunteer Centers of Michigan Operating Council, and one representative from the Michigan Campus Compact Operating Council. The Board Chair shall chair the Executive Committee. The Executive Committee shall be empowered to act on behalf of the Board of Trustees (1) in recommending to the Board appropriate matters for its consideration at scheduled Board meetings; (2) in implementing and developing details of policy positions previously adopted by the Board; (3) in addressing and enacting policy matters delegated by the Board; (4) in emergencies and between Board meetings when prompt policy attention is required (subject to subsequent reporting and, where appropriate, ratification by the Board); and (5) in personnel matters and oversight relating to the Executive Director. �(b) Budget and Finance Committee. Members of the Budget and Finance Committee must all be Trustees, and the Committee shall be chaired by the Treasurer. The Budget and Finance Committee shall oversee and develop policy for the financial health of the Forum, and shall make recommendations for Board approval concerning the Forum's annual and long-range budget. The Committee shall develop fund raising policies for Board approval and shall propose initiatives to the Board concerning the Forum's resource development operations. The Committee shall perform such other duties as are incident to this charge or are properly delegated by the Board of Trustees. (c) Audit Committee. The Audit Committee shall be chaired by a Trustee other than the Treasurer, who shall not serve on the Audit Committee. The Audit Committee shall oversee the annual audit of the Forum. Members of the Audit Committee may include such non-Trustees as necessary to insure a responsible, comprehensive and enlightening audit. (d) Nominating Committee. Members of the Nominating Committee must all be Trustees. The Nominating Committee shall recommend candidates forAT-LARGE MEMBERS to the Board of Trustees. The Nominating Committee shall recommend candidates to the Board for the Offices of the Board. The Committee shall perform such other duties as are incident to this charge or are properly delegated by the Board of Trustees. (e) Public Policy Committee. The Public Policy Committee Chair must be a Trustee. Members of the Public Policy Committee may include such non-Trustees as will promote the effective accomplishment of this part of the Forum's mission. The Public Policy Committee shall develop policies for Board approval and shall propose initiatives to the Board concerning the Forum's work in the area of public policy related to philanthropy, volunteerism and the nonprofit sector. The Committee shall perform such other duties as are incident to this charge or are properly delegated by the Board of Trustees. (f) Membership Committee. The Membership Committee will recommend and recruit ORGANIZATIONAL and AFFILIATE Members to the Corporation. The Committee shall perform such other duties as are incident to this charge or are properly delegated by the Board of Trustees. (g) Volunteer Centers of Michigan Operating Council. The Volunteer Centers of Michigan Operating Council will be comprised of the current and future Volunteer Centers of Michigan membership as noted in the Volunteer Centers of Michigan Bylaws, article III, membership qualifications, dues and voting. The Committee will make policy recommendations to the Forum Board on issues related to volunteerism 8 �programming, and will be responsible for leadership and programmatic support to the Volunteer Centers of Michigan. Notwithstanding any other provisions of these Bylaws to the contrary, the Operating Council shall operate in accordance with the Bylaws of Volunteer Centers of Michigan. (i) Michigan Campus Compact Operating Council. The Michigan Campus Compact Operating Council will be comprised of the presidents of colleges and universities that are dues paying members of the Michigan Campus Compact. The Committee will make policy recommendations to the Forum board on issues related to volunteerism and servicelearning programming, and will be responsible for leadership and programmatic support of the Michigan Campus Compact. (h) Michigan Campaign for Volunteerism. The Michigan Campaign For Volunteerism Committee shall oversee and develop policy for the Michigan Campaign for Volunteerism. Members of the Campaign for Volunteerism Committee may include such non-Trustees as will promote the effective accomplishment of this part of the Forum's Mission. The Committee shall perform such other duties as are incident to this charge or are properly delegated by the Board of Trustees. (2) Ad-Hoc Committees. The Board may establish, at its discretion, such other ad hoc committees and advisory groups as it deems necessary or desirable for the continuing purpose and effective operation of the Forum and the conduct of its affairs. Ad-hoc Committees must be Chaired or Co-Chaired by a member of the Board of Trustees. Members of ad-hoc Committees may also include such non-trustees as will promote the effective accomplishment of the assigned responsibility. The annual GRANTMAKERS/GRANTSEEKERS SEMINAR Planning Committee will be appointed annually by the Chair as an ad-hoc Committee. (3) Action by Unanimous Written Consent. Any action required or permitted to be taken by a Committee may be taken without a meeting and without prior notice, if all Committee Members consent in writing to the action. The written consents shall be filed with the minutes of the proceedings of the Committee. The action by written consent shall have the same force and effect as the unanimous vote of the Committee. (4) Action by Written Ballot Without a Meeting. Any action that may be taken at any Committee meeting may be taken without a meeting and without prior notice by complying with the following provisions concerning written ballots. The Committee Chair shall direct the mailing or delivery of one written ballot to each Committee Member entitled to vote on the matter. Information shall be included that: (a) Sets forth the proposed action; �(b) Provides Committee Members with an opportunity to specify approval, disapproval or abstention for each proposal; (c) Indicates the number of responses needed to meet the quorum requirements; (d) States the percentage of approvals necessary to pass the measure or measures; and (e) Provides and specifies a reasonable time by which the ballot must be received in order to be counted. All written ballots shall be maintained in the Committee records. ARTICLE VI: Standard of Care (1) Duties and Liability. The Trustees shall adhere to the Standard of Care required by the Michigan Nonprofit Corporation Act: that is a Trustee or Officer of the Forum shall discharge the duties of that position in good faith and with that degree of diligence, care, and skill which an ordinarily prudent person would exercise under similar circumstances in a like position. In discharging those duties, a Trustee or Officer, when acting in good faith, may rely upon the opinion of the Forum's counsel; upon the report of an independent appraiser selected with reasonable care by the Board; or upon financial statements of the Forum represented to the Trustee or Officer as correct by the Officer of the Corporation having charge of its books or account, or as stated in a written report by an independent public or certified public accountant or firm of accountants fairly to reflect the financial condition of the Forum. (2) Self-Dealing Transactions. Except as approved in Section 3 below, the Board shall not approve a self-dealing transaction. A self-dealing transaction is one to which the Forum is a party and in which one or more of the Trustees has a material financial interest, or a transaction between the Forum and one or more of the Trustees, or between the Forum and any person in which one or more of its Trustees has a material financial interest. (3) Approval. The Board of Trustees may approve a self-dealing transaction if the Board determines and documents that the transaction is in the best interest of, and is fair and reasonable to, the Forum and, after reasonable investigation under the circumstances, determines that this corporation could not have obtained a more advantageous arrangement with reasonable effort under the circumstances. Such determinations must be made by the Board, in good faith, with knowledge of the material facts concerning the transaction and the Trustee's interest in the transaction, and by a vote of two-thirds of the Trustees present, without counting the vote of the interested Trustee(s). 10 �(4) Loans. The Forum shall not make any loan of money or property to, or guarantee the obligation of, any Trustee, Officer, employee or agent; provided, however, that the Forum may advance money to a Trustee, Officer, employee or agent of the Forum for expenses reasonably anticipated to be incurred in performance of assigned duties, so long as such individual would be entitled to reimbursement for such expense absent that advance. (5) Disclosure. Trustees shall disclose the material facts as to any relationship or interest relating to contracts, programs, policies or other transactions that may be considered by the Board. A transaction may nonetheless be approved, as provided above in Section 3 of this Article. ARTICLE VII: Administrative Matters (1) Fiscal Year. The fiscal year of the Forum shall be July 1 through June 30. (2) Investment Policy. The Trustees shall adopt and oversee an Investment Policy that shall provide for careful and prudent investment of the Forum's resources. (3) Permanent Records of the Forum. The Forum shall keep at its principal office the original or copy of its Articles of Incorporation and Bylaws as amended to date, which shall be open to inspection by the Members and Trustees at all reasonable times during office hours. The Forum shall keep appropriate books and records of accounts; written minutes of the proceedings of its Members, Board and Committees; and a record of each Member's and Trustee's name and address. All such records shall be kept at the principle office of the Forum. Upon leaving office, each Officer, employee or other Agent of the Forum shall turn over to the successor or the Board Chair, in good order, originals of such corporate monies, books, records, minutes, lists, documents, contracts or other property of the Forum as have been in the person's custody during the term of office. On written demand of the Forum, any Trustee may inspect, copy, and make extracts of the accounting books and records, record the names and addresses of the Members entitled to vote, and the minutes of proceedings of the Members, the Board, and Committees at any reasonable time for a purpose reasonably related to the Trustee's interest as a Trustee. Any such inspection and copying may be made in person or by the Trustee's agent or attorney. ARTICLE VIII: Dissolution (1) Upon proper dissolution of the Forum, consistent with the Michigan Nonprofit Corporation Act, all assets of the corporation shall be properly distributed for charitable and educational purposes, in accordance with the Act. 11 �ARTICLE IX: Amendments to these bylaws (1) The Trustees may adopt, amend, or repeal bylaws by the affirmative vote of two-thirds of the Trustees present. Both of these positions were approved as a part of the 199596 budget. At the last Executive Committee meeting it was recommended that MNF postpone the hiring of these positions. Recent collaborative efforts make it possible to do this work with a staff restructuring. Additionally, efforts to alleviate the chief staff person's administrative load so that he may more strategically work with flinders, board members, and public policy issues can be achieved through a restructuring plan. Therefore, the attached organizational chart introduces the creation of a chief operating officer; the replacement of the director of programs and operations with a position titled director of member services, responsible for member recruitment, retention, and all MNF direct service activities; and the addition of a half-time member services assistant, responsible for publication layout and providing assistance to the director of member services. This year' s conference planning committee is chaired by Judith A. Rapanos, Chair, Michigan Council for Arts and Cultural Affairs, and Maureen H . Smyth, Vice President-Programs, Charles Stewart Mott Foundation. • MNF continues to work with the National Center for Nonprofit Boards to develop a workshop to be held this spring in Michigan. Last spring MNF co-sponsored a seminar in Detroit with NCNB on increasing board diversity. We are reviewing potential topics for the spring 1996 meeting and should have dates confirmed in the near future. • MNF continues its effort to work with technical assistance providers around the state in coordinating their services to nonprofit organizations. The Management Services Organization Roundtable will meet in mid-November to discuss progress to date and potential areas of collaboration for 1996. Members of this group include the Direction Center of Grand Rapids, the Accounting Aid Society in Detroit, the NEW Center in Ann Arbor and Washtenaw County, the Michigan League for Human Services in Lansing, and United Way ofMichigan in Lansing. To date, the roundtable has agreed to developing common evaluation questions, developing a state training calendar, and utilizing technology for the delivery of technical assistance programs. • On June 14, 1995 MNF was one of the many co-sponsors for the Nonprofit Management Association conference in Detroit. Approximately two hundred nonprofit organizations from around the country attended the three day seminar that focused on nonprofit practices and issues. • MNF is in the process of developing a series of regional member meetings for members ofMNF. These meetings will focus on providing networking opportunities among MNF members. Networking has been identified by our members as one of the most important services that Michigan Nonprofit Forum can provide. The first of these meetings will be in January of 1996 and will be held on a quarterly basis throughout the state. �MNF's role in disseminating information • In the spring and summer months, MNF worked in cooperation with Michigan State University and Wayne State University to distribute editions of "The State of Nonprofit Michigan," by Dr. Mark Wilson, and "The State ofNonprofit Detroit," by Dr. F. K. Marsh. Wilson's publication utilizes employment data to track the location and growth of nonprofit organizations in Michigan. Marsh's publication uses survey data gathered from human service agencies in the greater Detroit area to identify trends in nonprofit management and service delivery. • MNF is in the process of completing an arrangement with the Cooley Clinic that would result in the development of a nonprofit legal series for Michigan. This collection ofbooklets will be an important management tool for nonprofit organizations throughout the state. Additionally, we are discussing with the Clinic the possibility of delivering their services and newsletter publications at a discount to MNF members. • MNF' s member mailing has been moved to a monthly time frame. Member mailings will now be mailed on the first Monday of every month. This change in the mailing timeline will provide timely information to MNF members on a more regular basis. • Thanks to the generosity ofBlue Cross/Blue Shield ofMichigan, MNF will be reviewing its entire dissemination and communication plan. Blue Cross/Blue Shield has agreed to review MNF' s communication pieces and plans for publications. They will advise MNF on an overall communication plan that will be developed and utilized by MNF staff. Our initial meeting with Blue Cross/Blue Shield will take place sometime in late November or early December. MNF's role in increasing voluntary giving and service: Volunteer Centers ofMichigan • VCM continues to review the potential for using technology in delivering their programs and services. A review committee of volunteer centers has been assessing volunteer management software. The committee will make a final recommendation for statewide adoption of a software program at their next meeting on November 15. Additionally, Sam Singh continues to work with the University of Michigan and a group of nonprofit organizations to investigate the opportunities that an on-line service would offer to the volunteer center network. CommNet, a University of Michigan based human services communication network, is partnering with VCM and other nonprofit organizations to develop a possible web page site for nonprofit utilization in Michigan. 2 �• MNFNCM continues to work with the Michigan Community Service Commission (MCSC) and the Governor' s office in the development of a Governor' s Summit on Volunteerism. In a recent meeting with the Governor and representatives ofMCSC, it was agreed that a summit would be conducted in January or February of 1996. The summit will be an invitation only event for 50-60 individuals representing Michigan' s economic, public, social, and moral sectors. The work of the Governor' s Summit will drive a great deal ofthe Campaign for Volunteerism's effort in 1996. Currently, we anticipate the Campaign will include the development of a SuperConference, bringing together key volunteer and service organizations in a two to three day long conference setting; the further development of corporate volunteer councils in major industrial areas of Michigan; and the development of an ongoing recruiting and recognition program for volunteerism and service throughout Michigan. • Another item for review at this board meeting is the development of the George W. Romney Fund for Volunteerism in Michigan. The fund will focus on providing ongoing resources to local volunteer centers and on developing a broader state infrastructure for volunteerism. • MNF continues to work with the Points ofLight Foundation in Washington to bring capacity building and technical assistance programs to Michigan. Michigan volunteer centers continue to take leadership roles with the Points ofLight Foundation. It is our hope that our state will become a national model for training and technical assistance programmmg. Michigan Campus Compact • Lisa McGettigan was hired on August 14, 1995 as Director ofMichigan Campus Compact. Lisa came to us from St. Norbert College as director of student activities. Prior to that Lisa worked at Kent State University as the coordinator for student leadership development. • Lisa has been conducting a series of meetings with key groups of individuals working with community service on MCC campuses. To date, she has met with the community service coordinators of each of the member institutions, the student community action network, and key faculty members that sit on the MCC Curriculum Development Committee. Lisa will be spending the rest of this calendar year visiting each individual MCC campus to assess their needs and priorities from MCC. • Venture Grants and Generation Grants: Linking Campus to Community Resources Book, Volume II was published in September. The book is being distributed to MCC campuses and key supporters ofthe compact. The book is a summary of programs and outcomes that resulted from Venture Grants and Generation Grants awarded by MCC in the last year. 3 �• A Request for Proposal was distributed by MCC for service learning grants in the areas of science, engineering, architecture, math, and computer science. The SEAMS grants will be awarded by National Campus Compact in coordination with the National Service Corporation. The purpose of these grants is to advance service learning in the above mentioned areas while improving low income neighborhood environments. MNF's role in public policy • MNF continues to work in collaboration with United Way ofMichigan, the Council of Michigan Foundations, and other key nonprofit organizations to promote legislation that would expand Michigan's tax incentives for charitable giving. To date, the tax incentive task force has had meetings with former house co-speaker Curtis Hertel, and State Treasurer Doug Roberts. Additional meetings are being planned in the near future with Senate Majority Leader Posthumous and Governor Engler. • MNF continues its work in opposition to the lstook-Macintosh bill silencing nonprofit organizations. Passage of the Istook bill will have tremendous impact on all nonprofit organizations and their ability to communicate and cooperate with the public sector. • MNF has been involved in efforts to rewrite the Michigan Charitable Solicitation Act. The rewrite is necessary to clarify several points of the act and to strengthen the regulation against fraudulent solicitation in Michigan. Donna Clarke is participating in a committee which is developing a draft rewrite of the act. The rewrite will be shared with MNF board members and other key nonprofit leaders before it is presented to legislative leadership in early 1996. • The National Child Protection Act (NCPA) requires states to report child crime information to the FBI. It encourages states to pass legislation requiring criminal background checks of all employees and volunteers that work with children. Donna Clarke has been working with a statewide committee that is monitoring potential state legislation designed to implement NCPA' s recommendation. This committee is composed of organizations throughout the state that serve children. • Sam Singh continues to work with Representative McNutt on potential volunteer driver legislation. The proposed legislation will permit organizations to check the driving record of volunteers that will be used as drivers. MNF's role in providing programs and services • On August 30, 1995, MNF held its first member advisory group meeting in East Lansing. The meeting was designed to provide members with an opportunity to share their thoughts, comments, and criticisms regarding a number of current and new initiatives MNF is considering for fiscal year 1995-96. The output from the meeting will be invaluable to MNF as it plans program efforts over the next few months. 4 �• On October 20, 1995, MNF signed an agreement with Crain's Nonprofit News to publish a statewide nonprofit job placement and classified advertisement listing. The listing will run in Crain' s Nonprofit News and is designed to create a broader scope of career growth and personal development in Michigan's nonprofit sector. This classified service will assist nonprofit organizations in securing qualified job candidates and also assist individuals in finding job opportunities in Michigan's nonprofit sector. • Currently there are a variety of discounts available to MNF members in a number of areas including ADP payroll and tax services, AT&T phone service, <::rain's Nonprofit News subscription, Michigan Association and Compensation Benefit Survey, National Center ofNonprofit Boards membership and publications, and Jossey-Bass publications. Additional cost saving services are being researched by MNF staff It is anticipated that additional services will come on-line in late 1995 or early 1996. The programs being researched include car rental, office supply purchases and mailing services. • MNF's retirement program continues to develop at a slow pace. We have experienced difficulty with investment companies. These companies have wanted a commitment of funds before they will provide a program. However, it is difficult to provide funds until a program is developed. MNF has recently identified a larger nonprofit organization in Michigan that is willing to work with us in the final stages of the program's development. The organization will bring several million dollars in retirement funds to the table that will help us with investment organizations. We now anticipate that a program will be available in the spring of 1996. • As MNF continues its efforts to increase membership, it has become apparent that our internal tracking system needs to be upgraded. We are currently researching a number of software packages that will fully automate all aspects of member tracking, solicitation, and renewal. The new software will allow MNF staff to more adequately track and identify MNF member needs. The new software should be on-line in late 1995 or early 1996. 5 �Other Staff Activities • Donna Clarke continues her pursuit of a Jaw degree from Thomas M . Cooley Law School. Donna earned a 4 .0 average in the summer term earning a book award (highest grade in the class) in Family Law. In September, Donna began her first term as an associate on law review. She is currently ranked number one in her class and will graduate in May of 1996. • Maura Dewan has spent her spare time working with the Michigan Political Leadership Program at Michigan State University. The program is a nonprofit, nonpartisan program that trains individuals in how to run for and serve in public office. Twenty four full paid fellowships are awarded to individuals across Michigan. Maura is assisting in the development and conducting of trainings that are held one weekend a month for ten months. • Dave Egner was appointed to the position of Secretary of the Capital Area Chapter of the National Society of Fund Raising Executives on July 1. His term in office will be two years. He also continues to serve on the Independent Sector Task Force on future leadership. The task force is focusing on how to attract and keep leaders in the nonprofit sector as managers and board representatives. The committee will have its final meeting in December, 1995 and make its complete report to the Independent Sector board later that month. • David Mayo has joined the MNF staff as an intern for the fall 1995 term. David is a student from the Sudan, Africa who is working on his master's degree in public administration. David will be assisting Sam Singh and Lisa McGettigan in our efforts in service and volunteerism. He also will be spending some time on MNF' s public policy activities. • Lisa McGettigan was invited by the Ministry of Education in Malaysia to co-present a topic on service learning as it relates to leadership development and higher education. The training session, originally scheduled for October, was canceled due to a scheduling conflict with teachers in Malaysia. The conference will be rescheduled at a later date. • Amanda Osborne entered the master' s in public administration program at Michigan State University this fall. The three year master program will see Amanda receiving a degree in 1998. • Sam Singh is currently in the process of contesting election for one of three East Lansing City Council positions. In the August primary, Sam finished fifth out of eleven candidates putting him on the ballot for the November 7 general election. We wish Sam the best ofluck on election day. 6 �Calendar Highlight.s 2 D. Egner spoke to the executive directors and lead staff from Michigan Red Cross Chapters at their annual conference. "In Pursuit of Customer Focused Services" was the title ofhis remarks. 14-15 D. Clarke and D. Egner attended the Nonprofit Management Association (NMA) conference in Detroit. 15 D. Egner met with Bob Loeb of Telecommunications Cooperative Network regarding the utilization of technology for nonprofits. 15-17 D. Egner served as the lead facilitator for the Points ofLight Foundation Volunteer Center Start-Up Academy. The session was held at the POLF Conference in Kansas City. 15-19 S. Singh attended the Points ofLight Foundation's Annual Conference in Kansas City. 22 S. Singh met with the Untied Way ofMuskegon County to discuss the further development of the local volunteer center. 19 S. Singh conducted a volunteer management training session with the Saginaw Area Department of Social Services. 20 D. Egner met with Western Michigan University's Nonprofit Leadership Group, a group of faculty members in the process of developing a nonprofit leadership degree and/or certificate program. 20 D . Egner met with Randy Blackman and Dwight Burlingame from Indiana University/Purdue University Center on Philanthropy concerning nonprofit projects in Michigan. 22 S. Singh conducted a teambuilding workshop for the Lansing Area American Cancer Society. August 11 S. Singh spoke at the MCC conference at Camp Miniwanca about the collaborative ties between VCM, MNF, and MCC. 7 �18 S. Singh spoke at a meeting for the United Way ofMichigan regarding volunteer management. 18-23 S. Singh conducted a three day training on youth/adult partnership for the Council ofMichigan Foundation's Youth Conference. September 12 S. Singh participated as a celebrity waiter in the Mid-Michigan Volunteer Center Fund-raiser. 16 S. Singh participated in the Capital Area United Way Day of Caring community service activities. 19 L. McGettigan attended the Governor's Summit on Education in Lansing. 27 D. Egner was a guest lecturer at Wayne State University for a nonprofit management class. He presented information on MNF, Independent Sector, and the Michigan nonprofit community. October 2 D. Egner participated in an advisory committee meeting for the Aspen Institute's Michigan Project. The committee advised the Institute on research grants in Michigan. 6 D . Egner was a panel presenter for the Michigan Association of Community Arts Agencies conference in Lansing. His remarks were titled "Demystifying Private, Corporate, and Community Foundations." 9 D . Egner attended the Children's Trust Fund's Annual Conference in Boyne Mountain. He served as a panel presenter with other Michigan Grantmakers and discussed grantseekers concerns in approaching Michigan foundations. 10 D. Interest and Dividends- When the 1995-96 budget was proposed, MNF had not yet received the full four year grant payment from the W.K. Kellogg Foundation. Therefore, the budgeted amount for this line item will need to be adjusted. The finance committee will be reviewing an adjusted budget at its meeting on October 20, 1995. Grants and Contracts - Changing our accounting system to accrual will have some effect on the grants and contracts line item. The $159,500 reflected here is $147,500 from theW. K. Kellogg Foundation grant and $12,000 from the Points of Light Foundation. An additional $147,500 will be moved from deferred revenue to the grants and contracts line item on January 1, 1996. Program Income- The majority of this income will come in the last quarter of the fiscal year due to the Grantmakers/Grantseekers conference. The committee also anticipates an adjustment in the $80,000 budgeted for 1995-96. This adjustment will reflect a delay in the retirement program and other revenue producing program activities. Additional adjustments will be made in the expenditures related to these program areas as well. Membership Dues - The accrual accounting system has changed how member dues will be accounted on our income/expense statements. Since members pay yearly dues, a portion of their dues will be calculated for the fiscal year in which they pay; the months remaining within that year's worth of dues will be accrued into the next fiscal year. Approximately $20,000 of the funds reflected in this line item are from the 1994-95 fiscal year. MCC Member Dues - $30,000 year to date was paid to MNF from Michigan State University. An additional $19,000 is due to MNF before the end of the calendar year. MCC member institutions pay their dues on a calendar basis in the month of January. MCC Venture Grants- We anticipate some change in the 1995-96 budget for venture grants. The MCC presidents will review these changes at their annual meeting in January. �Expenses: Salaries- Currently MNF has expended only 19% of its salaries. A portion of this is due to a later than anticipated hiring of Mary Moomaw, director of fund development. We anticipate additional savings through a proposed change in staff structure and redesigning programs that had additional staff salaries budgeted. Those restructuring items will be discussed in more detail in the executive session at the end of the meeting today. Benefits- You will see an adjustment in this budget item because of the change in salaries. Additionally, the accrued vacation and benefits items on the balance sheet reflect funds due to individual employee retirement accounts. Once our retirement program is up and running, adjustments will be made in this line item. Contracts and Services -We anticipate this line item will run on target with the 199596 budget. Office Operations- The $25,000 spent year to date includes approximately $14,000 paid to National Campus Compact for annual dues. Liability Insurance, Meetings, Travel- We anticipate that these three line times will be on target with the majority of the spending coming in the last quarter of the fiscal year. VCM Program Expenditures- There will be some adjustments in this budget item. $50,000 in program expenditures was carried forward from the 1994-95 fiscal year. MCC Venture Grants - Changes here will reflect the recommendation of the MCC Presidents. There will be very little if any venture grants paid out in this fiscal year. With funds being raised in the first quarter of 1996, an RFP will probably be released in late spring for MCC venture grants that will be paid out in the fall of 1996. There are many reasons why the Istook amendment has a profound negative affect on nonprofit organizations. In this letter, I want to call your attention to three specific reasons why you should oppose the Istook amendment. The Istook amendment threatens collaborative relationships between nonprofit organizations and local, state, and federal governments. In 1993 when you spoke to the attendees at the Michigan Nonprofit Forum Grantmakers/Grantseekers conference, you emphasized the importance of a collaborative relationship between nonprofit organizations and all units of government. The Istook amendment is a direct threat to collaborative relationships that you characterized as mechanisms to solve community problems. The Istook amendment's definition of "advocacy" is so broad that it considers nearly every contact with elected representatives or government employees as advocacy. For example, local youth organizations, like the Boy Scouts or Girl Scouts, talking with the board of education or school representatives about youth leadership programming in the school curriculum would be considered advocacy. There are already effective limits on nonprofit organizations' ability to perform advocacy activities. Currently, nonprofit organizations are prohibited from using federal funds for any advocacy activities. Furthermore, existing legislation limits the amount of a nonprofit organization's budget and time that can be used for lobbying or advocacy activities. In addition, the Istook amendment creates an unneeded bureaucracy for nonprofit organizations and the federal government, as it would impose major record keeping and reporting burdens on federal grantees. Nonprofits represent the arts, religion, human service, health care services, education, economic development, etc. By limiting or preventing these organizations from sharing their knowledge and experience with public sector representatives, the Istook amendment seriously threatens local problem solving and community vitality. Furthermore, the Istook amendment singles out nonprofit organizations alone; for-profit organizations will still have the luxury of receiving government funds and maintaining their ability to lobby or advocate. To give you a flavor for these exciting service related activities, I have attached the campus reports from the minutes of both meetings. Also, in an effort to provide the services most important to campus compact institutions the following survey was sent to campus representatives in early October. The results of this survey are being compiled currently. I have made arrangements to visit all of the compact campuses before the end of the calendar year. I will visit with each institution's president, community service coordinator, key faculty members engaged in service learning, and students that have been involved in service learning and service activities. Alma: Will be going to a selective/competitive work study program due to the success of the program and in working with agencies. Their service learning courses (15-20) are now designated in the course catalogues. Joel from Kellogg will be speaking on volunteerism and leadership in America at Alma on Nov. 20 - flyers will be sent to CSC's. That same evening there will be a hunger banquet that same evening as part of the Global Hunger and Poverty program. Central Michigan University: The provost has been taking Denise to many meetings with him. She appreciated the opportunity and still finds their faculty to be the toughest audience. They are planning an alternative spring break and volunteer fair this semester. University of Michigan: U of M will have 60 Alternative Spring Break Site Leaders (31 sits 2 leaders per site). This was the first year that there have been faculty and staff site leaders since it is a year-long commitment. Great fundraising idea: students raise 80% of the budget by cleaning the football and basketball stadiums. Doing Into the Streets four times a year for different populations (freshmen, campuswide, MLK holiday, and staff that get release time). Anita is also going to send out flyers for the speakers coming to campus (Alice Walker's daughter, Greg Luganis...). A Jeanne Gray update: she is living in Denver and just took a job at a minimum security facility for boys doing case and group counseling. Wavne State University: Just completed Campus Plunge using 5 sites. Have been thinking about a mid winter retreat, probably a nice indoor facility, chance to re energize. Planning an alternative spring break. The Planned Parenthood Founder will be speaking on Nov. 1 (breakfast is at 8:30, lecture at 9:00) and all are invited. Oakland Community College: COOL (student organization) planning service projects at Ronald McDonald house and soup kitchen. SVLP is working with high school student tutoring program. They have planned a Halloween party (Oct. 21) and participation in Make a Difference Day (Oct. 28), Into the Streets (Oct. 7), and Students Against Hunger program "Empty Bowl" where many student groups worked together. Students from Macomb were also involved. Grand Valley State University: Has a new volunteer center! Working on Break Away site leader training on Nov. 11 - open to all. The Break Away conference will be in Nashville Nov. 20-22. This is the third year for Leadership and Service - connected with four campuses. Public school teachers and AYF cosponsoring. They have 15 new courses funded through the philanthropy center. Jay is looking for a graduate assistant looking to get their Masters degree in the Education program. The Habitat Chapter got all of the Dept. of Safety's lost and found items donated and had an auction. Adrian: Over 600 hours of service were provided by the freshmen class in one day. Adrian is working on connecting with volunteer agencies, volunteer centers in town. Lansing Community College: Moved their Volunteer Services area to Student Life office. They were involved in Welcome Week activities (students very pleased). Terri helped with the volunteer fair (thank you) and it was very successful. LCC will be involved in Make a Difference Day. The Leadership �Academy has 15 first year students enrolled (each receiving a scholarship). Next year their will be two classes (1st and 2nd year students). There will also be discussion groups in the summer with faculty, staff and student participants. The staff has also attended many classes to talk about service learning. Western Michigan University: Enrollment is up! Service learning grants are coming through too - they had been doing stuff for years and now it is connecting! Terri now has a graduate assistant (Randy)! She has many students going to Break Away - anyone interested in car pooling? She has funding for a van. They sponsored a volunteer opportunities fair where agencies met with students - evaluations good (she says due to the buttons). Terri worked with a group of students on teaching a class component on AIDS, it won a national award and they are invited to go the National Honors conference to present. She has a service component in her Interpersonal Communications class. She is working on a welfare reform teleconference to make sure it is reformed the right way. They will be doing Into the Streets, Trick or Treat for Loaves and Fishes with International Students (canned goods). They also do Into the Streets twice a year. Terri spoke to each group of freshmen through the orientation department. 80% of WMU's football players are volunteering in the community. Their athletic department is very supportive. Michigan State University: The office has moved from the student life office to career services and placement. They do a great deal of work study placements. They sponsored a non-profit career fair. They have a placement program on-line. There are over 900 local positions. Students can apply from anywhere (on and off campus). They are keeping their fingers crossed for an IBM grant. Members of their staff spoke to the 6500 new freshmen in groups of 200 at a time. This is a very successful way for them to get new students involved, although they are questioning the follow-through. The MSU Day of Caring was huge. They will also be involved in Into the Streets. The students are very active and excited. The office spends a lot of time meeting with faculty and doing many presentations. There is a service learning requirement for some classes and the office assists with placement. They are continuing with the internships and advisors working with them. The new faculty member in the HALE program is assisting in doing some grant writing. The office also advises eight student groups with a service focus. Andrews University: Will have their 2nd annual volunteer fair on Oct. 26. They will take part in Make a Difference Day and Into the Streets. They have a partnership program with the churches where students go back to their "home" areas during the summer and work for the churches. They get money from the churches, campus, and fundraise so that when they come back they have a stipend waiting for them. The Upton Foundation has given them a $90,000 incorporate community, service and leadership into the classroom. Faculty members get $1,000 and student helpers $500. Larry said that there was an unsolicited article written in the local paper about their office serving as a "pipeline of opportunities for service learning" - the best publicity that he could hope for. �Michigan Campus Compact SCAN (Student Community Action Network) Campus Updates (Taken from the October 6,1995 Meeting Minutes) Albion: The college is "embattled". Faculty and administration have been working out faculty cuts due to perceived new building. Albion will participate in Make a Difference Day on Oct. 28 where there will be senior leaf raking done by college and community organizations. There will be a reopening of a historic theater in town and community service events that will coincide. There had been a Special Olympic event held on Oct. 5. The students involved in community service at Albion are having fun and trying to get more students involved. They said they are continually looking for faculty and staff support. Oakland: Kelly Masters, the past Community Service Coordinator has gone to work for United Way Community Services. They miss her. The Student Volunteer Leadership Program (SLVP) integrates community service/service learning with high school students. The program took place in July and August. They attended MCC's Camp Miniwanca Service and Leadership conference and also served as primary group leaders at the CMF camp. Their SVLP, Catholic Social Services, and Special Olympics programs are still going strong. They will be participating in Make a Difference Day with Wayne State and also working on Into The Streets. They are currently looking for an advisor. They, too, are looking for ways to get faculty, staff, and administrators involved in integrating service into the curriculum. Wayne State: Is participating in Into The Streets where they are coordinating many projects. They are also involved in Habitat for Humanity, Break Away and National Make a Difference Day. Kalamazoo: Also involved in Habitat for Humanity, Senior Citizens bingo, taking latch key kids to the planetarium, vets hospital and pumpkin carving. Eastern Michigan: Are having their Big Kid Connection that will involve 115 volunteers that will work in the high schools. They are also involved in Best Buddies which is a program that pairs college students with mentally disabled people in the community. They have planned an Alternative Spring Break (ASB) program. SAHA (Students Against Hunger and Homelessness), a Martin Luther King project and Make a Difference Day are all programs that are happening on EMU's campus. Alma: There is a new service leadership coordinator on campus. SOS, a student run organization in the past is now possibly getting merged with the Volunteer Center. This organization worked to bring faculty and students together. Alma has a student that sits on the faculty board that makes decisions on academic classes that have a service component. Alma will be involved in Make a Difference Day. The Volunteer Fair will be an open house this year where 12 service departments will have tables set up and a lot of volunteers will be involved. Alma is also sponsoring a lock-in with Central Michigan and their SADD chapter. Western Michigan: WMU is participating in Into The Streets where they will be providing transportation for those who don't have rides. The Greek system is highly involved in the planning and sponsorship. Aaron Cantrell will be there as a speaker. They are hoping to have other colleges come and volunteer with them. They will be having a candle fund-raiser, participating in Care Center bingo, doing door hangers, and trick or treating for canned goods that will involve their international students. They will furnish participants with rolls of film so that they can take pictures of their experiences. They will also be providing breakfast and dinner at the end of the day. They have eight sites lined up for ASB's and already have their site leaders chosen. Their board has expanded to include members from RHA and international affairs. �Grand Valley State University: GVSU will also have a trick or treat for canned goods for all of west Michigan. The food they collect will supply two Grand Rapids soup kitchens for a year! GVSU is hosting a ASB site leader training open to all in November. They have between six and eight sites selected. They are participating in Best Buddies and report a host of new coordinators. Their structure and number of volunteers allows for two volunteers per issue (ASB, Best Buddies, PALS, Hunger and Homelessness, Habitat for Humanity, Literacy, Seniors, Youth, Volunteer Corps, Substance Abuse, Health, and Disabilities). All were impressed with Becky's ability to rattle all of them off! She also stated that faculty involvement was a great challenge for them. Welcome and Call to Order: The meeting was called to order by Chairperson H. Philpott at 1:05 p.m. 2. Review of Minutes [Tab 1]: The minutes of the January 25, 1995, meeting were approved as printed and distributed. 3. Report on the Affiliation with Michigan Campus Compact [Tab 2]: D. Egner reported on the progress of the MNF/MCC affiliation agreement. As of March 1, 1995, D. Egner has been serving as interim director of MCC. The search for a director of MCC has been extended through May to recruit more candidates for the position. Interviews will be conducted in mid-June with the goal of having someone on board by early July. He also reported that MNF received a $950,000 grant from the W.K. Kellogg Foundation for the operation of MNF/MCC/VCM to be paid over the next four years. 4. Proposed Bylaws Amendments [Tab3]: H. Philpott reviewed the proposed amendments to Article III, section 1 and 2; Article V, section la and li; and Article IV, section 1 of the MNF bylaws. These changes will allow: Michigan Campus Compact Operating Council to have three representatives serve as At-Large Trustees on the MNF Board of Trustees and one of the three MCC At-Large Trustees to serve on the MNF Executive Committee; amend name changes of two permanent associations, �the Michigan Jewish Conference (formerly Michigan Jewish Council) and the Michigan Health and Hospital Association (formerly Michigan Hospital Association); and change officers terms from one year to two years and elect officers bi-annually. The proposed changes were passed unanimously. 5. Executive Director's Report: D. Egner reported on MNF's work over the last year. The focus of MNF's efforts have included the development of a retirement program, conducting a statewide membership drive and developing new member services, planning the Grantmakers/Grantseekers conference, maintaining the affiliation with the Volunteer Centers of Michigan and creating a new affiliation with the Michigan Campus Compact. He referred to MNF's 1994-95 year as a rollercoaster ride and projected 1995-96 to be the year of completing unfinished business and developing a level of stability for the organization. 6. Nonprofit Retirement Program [Tab 5]: G. Keidel reviewed the work of the retirement committee. He reported that the Michigan Health and Hospital Association has agreed to join in partnership with MNF to develop the MNF retirement program. The partnership with MHA offers a way to cut costs considerably for the program and would remove a third party company to serve as the record keeper, since MHA has the capability of providing this service. The partnership with MHA has raised some questions for Fidelity Mutual that are currently being reviewed and will be addressed. The program is expected to be fully operational by January 1, 1996. 7. Nominating Committee Report [Tab 4]: Sr. Monica Kostielney outlined the nomination and membership election process that was followed to fill the five At-Large trustee positions. Candidates for the positions included Virgil Carr, Rob Collier, Michelle Engler, Dennis Marvin, and Mark Wilson. The MNF trustees confirmed the appointment of the 5 candidates as At-J^arge trustees as selected by the MNF membership. Sr. Monica Kostieleny thanked her committee for all their hard work in completing this process. She expressed gratitude to out-going board members Michael Payne, Nancy Beukema and Tom Washington for their service on the board. 8. Member Services Report: D. Clarke reviewed current MNF member services and updated the board on new services under consideration. Based on results from MNF's member survey conducted earlier this year, discounts on office supplies and car rentals are being researched. Also in response to the member survey, MNF is working to develop a partnership with Gifts in Kind America to establish a technology clearinghouse for members. The partnership would allow MNF to provided recycled and refurbished computers to members. D. Clarke also reviewed the potential addition of a nonprofit job classified service. MNF has had discussions with Opportunity NOC's, a San Francisco based organization that sells classified franchises. MNF plans to meet with Opportunity NOC's in mid-June and will report its findings to the board. �9. Volunteer Centers of Michigan Report: A. Cantrell reported on VCM's annual retreat hosted on March 16 and 17 at the Kellogg Center in East Lansing. The two day retreat consisted of strategic planning for growing and strengthening volunteer centers, as well as a professional development segment on outcome based evaluations. The next meeting of the VCM operating council is scheduled for mid-July. A formal review of the MNF/VCM affiliation agreement will be conducted at that time. A. Cantrell's preliminary feedback on the affiliation indicated that he was happy with the arrangement and very excited about the leadership that D. Egner and S. Singh have provided on behalf of VCM. Governor Romney reported on MNF's efforts to resurrect the Michigan Campaign for Volunteerism. He also reviewed the possibility of MNF co-hosting a summit on volunteerism, government, business and nonprofits with the Michigan Community Service Commission (MCSC). MNF and MCSC are working to develop a proposal outlining the specific guidelines of the summit. The proposal will be submitted in late June or July to Governor Engler for his review and decision. 10. Finance Committee Report [Tab 6]: R. Ivory reviewed the 1994-95 revised budget. The revised budget was unanimously approved by the trustees. R. Ivory then reviewed the 1995-96 proposed budget. After review, the budget was unanimously approved by the trustees. D. Johnson requested that copies of financial reports be circulated to board members. 11. Tax Incentive Report: R. Ivory reported on the work of the Tax Incentive Task Force. R. Ivory and D. Egner have been working with D. Haynes to develop a coalition of statewide leaders that can help influence the legislature on this issue. The Michigan State Chamber of Commerce has endorsed the concept and has agreed to lend their name in support of MNF's efforts in this area. Work on this issue will be continued throughout the summer months and brought to the legislature's attention in the fall. 12. Public Policy Committee Report TTab 7]: E. Blews reviewed legislation under consideration by the Michigan House of Representatives (HB 4550) regarding sales tax on charitable goods in Michigan. The legislation addresses earlier concerns discussed by the board regarding the amount of sales tax paid on auctioned items. A motion to endorse the concept of the HB4550 was voted on and passed unanimously. Lou Glazer, executive director of Michigan Future, Inc., gave a presentation on the shifts in our political paradigms and the impact of these shifts on our economy and the nonprofit sector. E. Blews presented a proposed public policy strategy developed by the committee. The plan was divided into three components; the legislative strategy, nonprofit strategy and �public strategy. The strategy, which will serve as an action plan for 1995-96, was voted on and passed unanimously. 13. Membership Committee Report [Tab 8]: A. Rosewarne reported that the membership campaign was just shy of its goal of 100 new members with 88 members joining MNF this year. In an effort to simplify the MNF message and mission, a change to the organization name "Michigan Nonprofit Forum" was discussed. The board charged the staff with preparing a slate of recommended names with rationale on the benefits of the new name to be voted on at the next board meeting. 14. Election of Officers [Tab 9]: Sr. Monica Kostielney presented the slate of officers for 1995 and 1996: Richard T. Cole, chairperson; Michael Tate, vice-chairperson; Anne Rosewarne, secretary; and Justin King, treasurer. The vote to accept the officers slate passed unanimously. Following the vote, R. Cole recognized Chairperson H. Philpott for her outstanding leadership on behalf of MNF and presented her with a MNF memento for her service. 15. Grantmakers/Grantseekers Report: D. Clarke provided a preview of Grantmakers/Grantseekers VII. She reviewed conference arrangements, and board member assignments and activities for the seminar. More than six hundred registrations had been received for the day-long conference, featuring Governor John Engler as the keynote speaker. A first annual legislative reception was being hosted prior to the member/speaker dinner. 16. Romney Fund for Volunteerism in Michigan Announced The Volunteer Centers ofMichigan and the Michigan Nonprofit Forum announced today the creation of the George W. Romney Fund to increase and improve volunteerism in Michigan. The fund, named after Michigan's former governor, will distribute funds on an annual basis to benefit local volunteer centers and innovative volunteer programming throughout Michigan. Romney was recognized nationally as a leader in the volunteerism movement. He was the founder of the National Volunteer Center, served as a founding trustee of the Points of Light Foundation and the Michigan Nonprofit Forum as well as spearheading the development of a number ofvolunteer centers in Michigan. Three years ago Romney, in collaboration with Michigan's first lady Michelle Engler and former first lady Janet Blanchard, started the Michigan Campaign for Volunteerism, an initiative to increase the number of volunteers in Michigan and to strengthen Michigan's volunteer centers. Since that campaign was initiated the number of volunteer centers in Michigan has grown from nine to twenty-seven. The Volunteer Centers ofMichigan and the Michigan Nonprofit Forum have set a goal for the Romney Fund of$1 .5 million dollars. Investment return from the endowed fund will be used annually for initiatives to increase and enhance volunteerism and service in Michigan. $750,000 of the fund will be earmarked for local endowments for Michigan's volunteer centers. Each volunteer center will be expected to match the Romney Fund endowment with local funds on a one to one basis within a three year period. The remaining $750,000 of the fund will be used to fund model initiatives and program innovations that increase or enhance volunteerism in Michigan. The Volunteer Centers ofMichigan is a statewide coalition ofMichigan's Volunteer Centers. The proposals threaten to erode financial support for nonprofit organizations, create onerous administrative and valuation burdens and distort the financial picture of nonprofit corporations. These proposed FASB standard changes would: 1.) Require nonprofit organizations to count pledges as actual revenues (rather than the general practice by nonprofits currently of recording pledges at the time the cash payment is received); 2.) Require nonprofits to record as revenue the value of all contributions of works of art or other items of historical significance and to appraise virtually all such items in order to do so; and 3.) Require the value of services contributed to nonprofit organizations to be recorded as current revenues. Responses to and comments on these proposed changes are being sought by the Financial Accounting Standards Board before it renders a final decision. The FASB standard to require accrual recording of pledges as current revenues would force nonprofit organizations to abandon the current practice generally of recording pledges at the time the cash payment is received. The proposed standard fails to recognize that 100\ of pledges do not always translate into actual revenues. The line between a firm pledge and a statement of intent is not always clear. Though there have been some court decisions supporting legal enforcement of pledges, it is ridiculous to imply that nonprofits would or could go to court to enforce pledges. To do so would alienate donors and depress the willingness of people to pledge. And to count pledges as revenues distorts the financial statements, showing a higher level of income than is accurate or realistic. 2.) Requiring donated art and historical works to be appraised and recorded as revenues would be an unreasonable and unnecessarily costly imposition. such gifts are rarely assets which could be sold at their appraised value to produce revenues, if the donor desired to do so. And since donors give out of a desire to support a charitable cause rather than on the financial strength or statements of the organization, the request is simply unnecessary. 3.) To record contributed services as revenues would create an administrative nightmare, forcing major new systems to track such services and methods of valuing them. And philosophically, it desecrates or trivializes the spirit of voluntarism which is at the heart of the nonprofit sector, translating it from something which is unique to just another thing with a price tag attached to it. �RECOMMENDED POSITION PAPER ON FEDERAL TAX DEDUCTIBILITY OF CHARITABLE CONTRIBUTIONS MICHIGAN NONPROFIT FORUM Background Historically, Congress has provided in the Internal Revenue Code for the full deductibility from income taxes of charitable contributions to recognized nonprofit organizations holding Federal 501 (c) tax-exempt status and organized and operated for religious, charitable, scientific, educational and certain other purposes. For many years, that full deductibility of charitable contributions has been available to taxpayers filing Schedule A as part of the long-form tax filing. In 1981, the Congress established a new "non-itemizer" charitable contribution deduction of up to $100 for persons who file the short form and do not utilize Schedule A ~ Regrettably, the non-itemizer deducti on was repealed in 1986. Then in 1990, the Congress established a floor or threshhold of 3% of i ncome to be subtracted from Schedule A deductions (including charitable contributions) before recognizing them for tax purposes, for persons filing individual returns with income above $100,000 and for joint filers reporting income above $150,000. This new threshhold provision in the Internal Revenue Code will "sunset" or expire in 1996 unless it is renewed by the Congress. Enlightened tax policies which recognize and encourage charitable contributions to qualifying nonprofit organizations are critically important, and have long been recognized in American law. Both the repeal of the non-itemizer deduction (granted by a recent innovation in tax policy) and the imposition of a 3% floor on Schedule A deductions for higher income taxpayers are distressing erosions in such enlightened tax policy toward the nonprofit sector. The continuation beyond its "sunset" date and any increase in the 3% threshhold would constitute a very serious and damaging discouragement and depression in charitable giving. Congress should be reminded of this regularly between now and the sunset date. In February, that rate increased substantially , and current proposals could increase the rate in October by as much as another 45%. RECOMMENDATION: THAT THE BOARD OF THE MICHIGAN NONPROFIT FORUM UNANIMOUSLY ADOPT A POSITION URGING FULL FUNDING OF THE PREFERRED BULK MAILING RATE FOR NONPROFIT ORGANIZATIONS. FURTHER, THAT THE EXECUTIVE DIRECTOR BE AUTHORIZED TO CONVEY THIS POSITION TO THE MICHIGAN CONGRESSIONAL DELEGATION AND MEMBERS OF THE CONFERENCE COMMITTEE, AND TO NOTIFY MNF TRUSTEES AND OTHER NONPROFIT LEADERS THROUGHOUT MICHIGAN. Rationale: In order to maintain the rate at post-February levels, Congress must earmark $649 million specifically for this purpose . Unless Congress appropriates full funding in the next few weeks , the nation's nonprofit sector will face a significant handicap in the challenging years ahep d. Both the House and Senate budget committees have recommended reduced funding. In the next week or so, their recommendations will go to a Conference Committee that has yet to be appointed after which allocation decisions will be made by Congress. Ivory, Finance Committee Chairman Subject: Date: Proposed Budget Changes using 1990-91 Surpluses May 1, 1991 Based on the recommendations of the 4/23 Finance Committee meeting, our Executive Director spoke with Joel Orosz (our Kellogg Program Officer) about budget changes utilizing some of our budget surpluses from the first grant year. Based on those discussions and the Committee's further deliberations on May 1, the MNF Finance Committee unanimously recommends the changes outlined below, using 1990-91 surpluses. Please Note: We now have preliminary approval to rollover our program funding surpluses into programs for the second year. The following proposed budget changes leave those program surpluses intact, and draw only from personnel and administrative surpluses, while still leaving comfortable surpluses in every line item. I. Creation of a New 1991-92 Staff Position from 1990-91 Personnel Budget Surpluses We have preliminary approval from the W.K. Kellogg Foundation to use most of the personnel budget surpluses for a new staff position in the second year: Administrative Assistant (salary range: $24,000 to 28,000, plus 20% fringe benefits). That position is built into the Core Budget and the proposed membership income, so it will be covered by new income in years 3 and thereafter. RATIONALE: In the first six start-up months, a complete staff of two was entirely adequate. Now, however, t hat all MNF committees are operating, and now that field contacts are increasingly important, a third pair of hands is critical for basic operations. This position will become ever more important as we expand our internships and program-related staff. �Responsibilities of this person will include: coordinating meetings and managing conferences, providing staff support to committees, supervising students interns, managing memberships, producing the newsletter, managing office staff, and other duties under the direction of the Executive Director. The MNF Finance Committee unanimously recommends approval of the creation of this new staff position, authorizinq the Executive Director to fill the position at the beqinninq of the second qrant year (June 1991). II. Funding for additional Computer Technology, including a small Local Area Network CLAN) and software We also have preliminary approval from the Kellogg Foundation to transfer up to $11,500 from administrative surpluses (rent, postage, phone, copying, printing) to expand MNF's office technology, in order to accommodate the new staff member and anticipated program needs during the next few years. {A comfortable surplus will still be left in each line item.) RATIONALE: According to Joel Orosz, the Kellogg Foundation's intent is to support the start-up of the Forum, including preparing MNF for the years ahead. That includes investing in systems that will last and grow with MNF, rather than (as he put it) "cobbling together enough to get by." With the new staff member, MNF will need one additional computer. One computer has already reached memory capacity, and both current computers must be upgraded to handle desktop publishing software. With added interns and any program-related staff, MNF's needs will grow. Witn advice from Joel Orosz and other Kellogg Foundation staff, our Executive Director is exploring ways to expand MNF's computer capacity in light on long-range needs, including "networking" current and one additional computers and adding related software. In addition, at Kellogg's suggestion, she is looking into the purchase of a laptop computer for use in the field. Minutes of the MNF Membership Committee Tuesday. March 19. 1991 -- 10:00 to 12:00 at the Michigan Association of School Boards 421 W. Kalamazoo, Lansing, Michigan Trustees Present: Barbara Goldman, Justin King, Len Young Staff Present: Donna Clarke, Maryellen Lewis 1. Welcome and Introductions. As Committee Chair, Barbara Goldman welcomed members and convened the meeting at 10:05. 2. Review of the Committee Charge. B. Goldman reviewed the charge from the Bylaws, emphasizing this Committee's formative role in defining membership categories and privileges. In a mature organization, this Committee's primary task will be to nominate new Trustees and Officers. Now, however, the Committee must create an overall membership structure -- consistent with the Bylaws -- and lay groundwork for an effective membership campaign. 3. Discussion of Membership Categories. The Committee discussed the question of terms for At-Large Members, without final recommendation. Most of the discussion addressed the yet-unrefrned category of nonvoting Associate members. Several principles were adopted: -- That this category should be inclusive rather than exclusive. -- That among its privileges are inclusion in the MNF information dissemination network; participation in MNF committees and planning process; opportunity to participate in forums, represent their constituencies in visible ways, and use MNF briefs/updates/issue syntheses to strengthen their own capacity to be of service (e.g., to include in their newsletters, share with their members). -- That the criteria for participation as a nonvoting Associate Membership should be few and general, perhaps these: that the organization represent ... and support the purposes and activities of the Forum. �-- That among the special privileges of Associate Membership should be the possibility of being selected by the Nominating Committee to fill one of five new Trustee positions, created by a Bylaws Amendment. 4. Committee Recommendations to the Board. The Committee agreed tentatively to recommend a Bylaws change, which will allow five new Trustee positions to be filled from among the nonvoting Associate Members. The Committee discussed several principles: --In selecting candidates, the Nominating Committee should give due consideration to Board balance, scope and flexibility, and especially to filling perceived gaps in Board coverage. --The Elected Associate Members then would each designate one representative to serve as MNF Trustee, for a two-year term. The Board should prepare guidelines for this selection, as it did for Organizational Members. For example, MNF might suggest that the Representatives be respected leaders, influential persons capable of filtering useful information and insight throughout their community of nonprofits. The Committee also briefly discussed membership dues/contributions, a subject which will also be considered by the Finance Committee. No consensus was reached on whether to propose dues or voluntary contributions (which is the current format). Three dues systems were mentioned: One based on a formula (e.g. , 0. 0125 % of the organization's budget); a second with a stair-step structure based on overall budget size; and a third with a stair-step structure based on personnel budget. 5. Follow-up tasks and Assignments to Staff. The Committee agreed to develop a set of recommendations at its next meeting, for submission to the Finance Committee. B. Goldman agreed to send an example of a good formula for membership dues. Staff was charged with drafting a Bylaws Amendment for the Committee's consideration. The next meeting was set for April 3 from 10:00 to 12:00, same place. 6. Adjournment. The Membership or Members shall consist of not less than ten nor more than twenty ORGANIZATIONAL MEMBERS -- together representing a broad and diverse cross-section of Michigan's nonprofit sector -- and not more than five AT-LARGE MEMBERS. [In addition, the Membership shall include no more than five NETWORK MEMBERS elected from amonq the nonvotinq Network Associates described below in Section 6.] New Members shall be nominated and duly elected by an affirmative vote of two-thirds of the current Members present at a duly called and constituted meeting. [Orqanizational] Members shall serve until the qualification and appointment of their successors, or until their resignation or removal from Membership. Current Members shall nominate and duly elect new Organizational Members with due care to achieve breadth, depth and balance in the Forum's deliberations. As much as reasonably possible, Members shall be non-duplica~ive in their fields and membership bases.
