The purpose of this assessment was to gain information which would help develop a statewide plan of action with Volunteer Centers, using key findings of the assessment to request financial support for the plan's implementation. The assessment was commissioned by the Michigan Campaign for Volunteerism, now a program of the Michigan Nonprofit Forum, and conducted in collaboration with the Points of Light Foundation. The primary goal in creating the collaboration was to ensure that state and national plans are complementary rather than duplicative; however, a secondary goal of the collaboration was to use Michigan Volunteer Centers as a focus group of the national body of Volunteer Centers. The assessment itself was defined as a forward-looking on-going process of organizational learning, not as a report card of activity. Care was taken by the assessment management team to ensure that the process was used for participant discovery and enlightenment, not for judgment or the exercise of sanctions. The assessment gathered information in seven focus areas: Vision, Mission and Goals; Leadership and Management; Structure and Function; Financial Management; Relationship with Customers; Supportive Mechanisms; and Volunteer Center Impact. Semi-structured interview and focus group formats provided interviewers with specific questions about each of the seven areas. Four primary data collection methods were used: on-site interviews with 130 Volunteer Center leaders; focus groups with 130 Volunteer Center customers; completion of approximately 196 each of two surveys distributed to Volunteer Center leaders and customers; and review of statistical records and other quantitative data. Data collected from the seven focus areas of the assessment was analyzed to formulate recommendations in response to three overarching questions: What will ensure that strong, effective Volunteer Centers exist in Michigan? What needs to occur in Michigan if Volunteer Centers are to meet the needs of their customers and communities in the future? and How must statewide supports be prioritized, structured, staffed, and funded to maximize benefits to Volunteer Centers? In addition, data was looked at in light of the current environment, using United Way of America's report on nine forces of change. This information offes predictions about the social, economic, political and technological changes which will"drive" the 1990's. �Recommendations from the assessment findings are summarized herein and described in further depth in the report's conclusions and recommendation section. What will ensure that strong, effective Volunteer Centers exist in Michigan? --Shift the mission of Volunteer Centers to incorporate their current position and strengths by focusing on "enhancing the volunteer experience." --Adopt a vision which places Volunteer Centers in a position to "deliver creative solutions to the community." --Include the volunteer as a key customer of the Volunteer Center, cultivating the volunteer as a lifelong contributor much like the United Way views the donor as its primary customer; --View volunteer management much like human resource management, incorporating techniques and tools which empower individuals to serve and benefit from their service; --Build internal management systems that support effective organizational developing, including strategic planning, total quality management, and evaluation; --Incorporate new processes and systems thinking to revise traditional methods of doing business that are no longer relevant; --Intensify efforts to develop Volunteer Center staff and board leaders through training, peer network development, and support; --Implement personnel systems which reward and recognize leadership within Volunteer Centers; --Initiate and spin out programs that meet important community needs, continually exploring the possibility of new services or products and the relevance of existing ones; --Diversify funding and develop new financial support through self-generated funds or products like fundraising approaches or events, fees for service or product sales;. --Identify ways to reach and serve the entire community, including neighborhood-based methods, which reach people not presently benefiting from service; 11 �--Meet regularly with community customers to gain important feedback as to how well the Volunteer Center is meeting customer expectations; --Use technology to lessen or eliminate time-consuming day-to-day activities including data base management of volunteer opportunities at a state level or the provision of disks for computers at corporations or public places; --Identify new measures of impact that consistently demonstrate and articulate the importance of the Volunteer Center; and --Increase public awareness about the Volunteer Center as well as volunteering. What needs to occur in Michigan if Volunteer Centers are to meet the needs of their customers and communities in the future? In summary, local and state peer support and technical assistance is the most utilized and influential source of information for Volunteer Center staff. The Volunteer Centers of Michigan, a program of the Michigan Nonprofit Forum, is positioned to serve as the lead volunteering organization in Michigan. To meet the needs of Volunteer Centers and their customers, Volunteer Centers of Michigan should serve in the following capacity: 1. A resource of core volunteer technology information-providing cutting edge information about volunteer recruitment, volunteer retention, information about volunteers as customer, the processes of volunteerism, as well as trends, best ideas, and relevant statistical information. 2. A resource for increasing the effectiveness of Volunteer Center leadership-- increasing the professional and career development of staff and board leaders; providing recognition of success; and maintaining training and other programs that increase Volunteer Center leadership development; 3. A network of Volunteer Center peers-convening and sharing information among leaders; developing a mentoring system of support; distributing the best ideas from Volunteer Centers; 4. A resource for increasing organizational effectiveness-Empowering Volunteer Centers with current tools like strategic planning, evaluation methods, fundraising events or ideas, and human resource tools; ll1 �5. A service provider to Volunteer Centers of common needs and processes-Offering services which increase the local efficiency and impact of Volunteer Centers such as a state volunteer clearinghouse, state-sponsored fundraising event or state grants to support key changes within Volunteer Centers; 6. A collaborator on a state level with key organizations and corporations that work with Volunteer Centers-identifying and building partnerships with important state groups and customers which will help to increase the impact of local Volunteer Centers; 7. A pacesetter in developing the future of Volunteer Centers-Keeping an eye toward the future and changes which have a direct impact on Volunteer Centers and their communities; and 8. A partner with the Points of Light Foundation-establishing a relationship with the Points ofLight Foundation to help strengthen local Volunteer Centers. How must statewide supports be prioritized, structured, staffed, and funded to maximize benefits to Volunteer Centers? In summary, it is important to respect the diversity and uniqueness of individual communities and their Volunteer Centers. Likewise, it is important that communities decide what changes will best benefit their organization in the future . However, to maximize benefits to Volunteer Centers and to increase their collective effectiveness, a joint path must be developed with Volunteer Centers ofMichigan to prepare for the future . This will require that recommendations be prioritized, that structures be adapted to encompass new players, that sufficient staff be available to carry forward priority recommendations, and that adequate funding be obtained for Volunteer Centers ofMichigan and local Volunteer Centers plans. Prioritize -- the recommendations, identifying ones which hold the most benefit for Volunteer Centers in the future; Structure-- activities for the future through the Volunteer Centers ofMichigan, involving Volunteer Centers and their local leaders as a partner in the organization; IV �Staff-- the Volunteer Centers of Michigan with volunteer, loaned professionals and staff executives that bring special expertise in identified priorities, (fundraising, public relations) and that can offer tangible support to all Volunteer Centers. Fund-- the Volunteer Centers ofMichigan as well as Volunteer Centers to meet prioritized objectives for the future. Evaluate-- consistently to implement continuous improvement and adapt quickly to a constantly changing environment. In the future, Volunteer Centers can continue to be significant organizations in their community, enhancing the volunteer experience through its work with individuals, groups and organizations. However, it is anticipated that the majority of the revenue in this line item will be received in the fourth quarter of the fiscal year. Interest and Dividends - Later than anticipated receipt of a $150,000 grant has reduced the first quarter revenue in this line item. However, it is anticipated that revenue in this area should be on track by the end of the fiscal year. Grants and Contributions - The $150,000 grant reflected here was budgeted to be received in the 1993-94 fiscal year. Therefore, this line item should exceed the annual budgeted amount by the close of the fiscal year. Program Income - The majority of this income will come from the Grantmakers/Grantseekers seminar in May, 1995. Member Dues - Traditionally, approximately 50% of budgeted member dues have come in around the last quarter of the fiscal year. This has been attributed to new members signing up around the time of the Grantmakers/Grantseekers seminar. However, the membership campaign we are conducting this fall should substantially raise the revenue in this line item in the first two quarters of the year. Expenses Total Benefits - Because we are waiting for the new retirement program, funds scheduled to be paid out for employee retirement have not yet appeared on the expense statements. Adjustments will be made to this account in January, once the new retirement program is in place. Additionally, because the program was not available at the end of the 1993-94 fiscal year, some retirement expenditures will be carried over from last fiscal year. We are now projecting, by year end, this line item will see expenditures exceeding the annual budgeted amount by approximately $10,000. The majority of this cost over-run is due to additional attorney fees as a result of unforeseen complications in the development of the nonprofit retirement program. Office Operations - We continue to operate below our projected expenditures in office operations. Liability Insurance - Expenses in this category are billed to us in the last quarter of the fiscal year. Meetings - The majority of the expenditures in this line item occur during the Grantmakers/Grantseekers seminar. VCM Program Expenditures - $50,000 of the $150,000 grant received in this quarter is earmarked for continued growth and development of volunteer centers in Michigan. VCM must appoint a committee at their November meeting to set the criteria for distributing this money. Welcome and Call to Order: The meeting was called to order by Chairman Mawby at 12:45 p.m. 2. Review of Minutes [Minutes Tab]: The minutes of the November 11, 1993, meeting were approved as printed. 3. Report of the Bylaws Committee [Tab 2 and 3]: E. Blews summarized the changes to the articles of incorporation recommended by the bylaws committee. The trustees unanimously approved the proposed amendments. E. Blews then explained the process that the committee used in developing the recommended changes to the MNF bylaws. After reviewing the committee's work, the trustees unanimously approved the recommended changes as presented. 4. Nominating Committee Report [Tab 4]: D. Johnson outlined the nomination and membership election process that was followed to fill the newly developed At-Large trustee positions. The MNF trustees confirmed the appointment of 18 new At-Large trustees as elected by the MNF membership. Johnson then reviewed the new bylaws provision for association trusteeship. She then presented 20 nominees for association trusteeship. After review of the recommendation, the board unanimously appointed these 20 individuals. Finally, D. Johnson announced the establishment of the MNF advisory cabinet, composed of former trustees of the MNF Board of Directors. Cal Patterson, of the McGregor Fund and the Council of Michigan Foundations, has agreed to chair the advisory cabinet in its first year. 5. Executive Director's Report [Tab 5]: D. Egner highlighted sections of the report "MNF: One Year Later," a report on MNF's progress since the board's January 12, 1993, retreat. He then commented that the 1994-95 fiscal year would focus on the continuation of building member products and services, greater financial stability, and developing proactive public policy programs. 6. Membership Committee Report: A. Roswarne reported that the membership committee has postponed the membership drive until the fall of 1994. This postponement is due primarily to the delay in the start of the nonprofit retirement program and other products and services. She reported that the goal for 1994-95 would be 100 new members and $30,000 of income from new members. 7. Finance Committee [Tab 7 and Budget Tab]: R. Ivory reviewed the 1993-94 revised budget. The revised budget reflects changes due to the Volunteer Centers of Michigan/Michigan Nonprofit Forum affiliation and 3rd quarter corrections. The revised budget was unanimously approved by the trustees. R. Ivory then reviewed the 1994-95 proposed budget. After review, the budget was unanimously approved by the trustees. 8. Volunteerism Report [Tab 8]: C. Harvey reported on the activities of the Volunteer Centers of Michigan. She reviewed the recent activities of the VCM retreat in Gaylord. She also outlined briefly the assessment of existing volunteer centers that is underway as a result of a partnership with the Points of Light Foundation and VCM/MNF. G. Romney then briefly reported on the Campaign for Volunteerism activities in Detroit. 9. Nonprofit Retirement Program Committee Report [Tab 6]: G. Keidel introduced John McKendry of the law firm of Warner, Norcross and Judd. Mr. McKendry has been working with the retirement committee on the establishment of a prototype 401(a)/403(b) retirement plan. He also introduced Susan Camp of Fidelity Mutual Funds. Ms. Camp has been the lead representative for Fidelity Mutual in its negotiations with MNF. The details of the membership retirement program were discussed and questions were taken from the trustees. The board then unanimously approved the plan as outlined; empowering the executive committee to make the final changes necessary to implement the plan and make it available to MNF members. �10. Elections of 1994-95 Officers [Tab 4]: D. Johnson presented the 1994-95 officers slate as recommended by the nominating committee: Chair - Helen Philpott, Vice-Chair Richard Cole, Treasurer - Justin King, Secretary - Michael Tate. The officers were elected by an unanimous vote of the trustees. 11. Public Policy Committee Report [Tab 9 and 10]: E. Blews discussed the recent recommendations of the MNF public policy committee to adopt the position of support for Michigan House Bills 4661, 4662, and 5069. He also reviewed the committee's recommendation to support Independent Sector's amendments to the federal lobbying disclosure act. After review, the trustees unanimously approved the committee's recommendations. E. Blews then summarized the process that has been followed over the last 18 months to develop a paper and a position on tax incentives for charitable giving. Discussion of the latest draft of "The Case for Expanding Michigan's Tax Incentives for Charitable Giving," by Maryann Pierce, J.D., then followed. The trustees then approved a position in support of increasing tax incentives for charitable giving in the state of Michigan. The vote was recorded as 19 for, 3 against, and 2 abstentions. Justin King, Ann Marshton, and Gail Colwell asked that their nay votes be recorded as part of the minutes. 12. Grantmakers/Grantseekers VI Preview: H. Philpott previewed the program for Grantmakers/Grantseekers VI, featuring former President Jimmy Carter as keynote speaker. She also reviewed the speaker's dinner activities that were scheduled to take place the evening of May 11. 13. Welcome and Call to Order: The meeting was called to order by Public Policy Committee Chair E . Blews at 10:05 a.m. 2. Report on the Development of Cooley Clinic: M. Pierce, staff attorney for the Cooley Clinic, updated the committee on the Clinic's progress. To date, the Clinic provides legal services to approximately 80 clients. They have been granted a position for a third year Cooley law student to work with the clinic in exchange for 10 law school credit hours and the opportunity to gain practice and experience in the legal arena as it relates to nonprofit law. M. Pierce also reported that she and D. Egner are collaborating on several grants that will expand the Clinic's services for nonprofit organizations. 3. Update on the Changes in the Sales and Use Tax Law: J. Tuchinsky reported on the new sales and use tax law enacted in June of this year. Unfortunately, the new law was inadvertently repealed 10 days later. Treasury believes the legislature will rectify the situation during the upcoming lame duck legislative session. A meeting has been arranged for J. Tuchinsky, D. Egner, G. Keilitz, and L. Wells to meet with Jesse Weaver of the Michigan Department of Treasury to discuss questions and concerns related to the new law. C. Tuchinsky with the Department of Treasury representatives The motion was seconded by S. Johns-Boehme and passed. G. Keilitz extended appreciation and gratitude to J. Tuchinsky for his dedication and hard work on following through with the changes in the sales and use tax law. 4. Update on the Proposed Federal Lobbying Disclosure Bill: D. Egner reported that the Federal Lobbying Disclosure Bill is at a standstill. The MNF Board voted to support Independent Sector's amendments to the bill clearing up the dual definitions of lobbying that the bill currently contains. 5. Update on the Proposed Volunteer Drivers Bill: D. Egner reported that the Michigan Volunteer Drivers Bill is on hold. The bill will most likely be withdrawn this year and reintroduced early in the next legislative session. The Secretary of State is not in support of this legislation due to the amount of revenue the department would lose. D. Egner informed the committee that he is traveling to Washington D. C. in early October and meeting with legislative assistants from Congressman Kildee's, Carr's and Ehlers' offices and Senator Levin's office. 6. Report on the Proposed House Bill Concerning Charitable Solicitation: G. Keilitz reported that plans to rewrite the charitable solicitation law in Michigan are on hold. He informed the committee that the original intent of the legislation was good but it contained several problems. The bill as proposed was withdrawn. J. Tuchinsky motioned that the public policy committee identify revisions that need to be made to the charitable solicitation law and pursue those changes over the next year. G. Keilitz seconded the motion and it passed. Given the interest of several legislators, J . Tuchinsky, G. Keil itz and D. Egner will meet before the year end to draft suggested revisions to the law. Discussion of this issue will be continued at the next public policy meeting. 7. Report on MNF Board action on "Expanding Michigan's Tax Incentives for Charitable Giving.": E. Blews reported that the MNF Board adopted and endorsed the "Expanding Michigan's Tax Incentives for Charitable Giving" paper. Helen Philpott will appoint a task force to address items outlined in the paper. The task force should meet in early December and report back to the public policy committee. 8. Tuchinsky Executive Director BULLETIN: MICHIGAN'S SALES/USE TAX EXEMPTION FOR NONPROFITS A funny thing happened on the way to the tax exemption. Only days after the signing of two new laws giving 501(c)(3) and 501(c)(4) organizations automatic exemption from Michigan's sales and use tax, one of the laws was accidentally repealed. It seems that an unrelated bill (on use tax for cargo aircraft), amending a different subsection of the use-tax law, reprinted the rest of the section as it had been before the nonprofit amendment. The legal effect was unintentional reversion of the use-tax law to its old form, while the sales-tax law retains the new automatic exemption provisions. In an October 5 meeting with some nonprofit association representatives, officials of the Treasury Department indicated that the Revenue Administrative Bulletin containing official interpretations of the new laws, and a new form, may have to wait until the Legislature takes corrective action. Legislative action on a bill to correct the error is expected before the end of 1994. Meanwhile, Treasury officials will do what they can to minimize confusion. They plan to be guided by the revised sales-tax law while waiting for the Legislature to correct the use-tax law. This is the best advice we and they can offer now to Michigan nonprofit organizations: • Nonprofit organizations with Michigan sales/use-tax exemptions previously granted by the Michigan Treasury continue as before, except that they will not have to apply for renewal. • Other 501(c)(3) and 501(c)(4) organizations can claim exemption from Michigan sales and use tax on purchases for their work. They can type onto their own letterhead the Treasury-Departmentapproved temporary form in the box below and give it to the vendor when a purchase is made, along with a copy of the first page of their IRS tax-exemption determination letter (it can be copied onto the back of the form). Unfortunately, many vendors won't know this is acceptable because they haven't yet been informed by Treasury about the new law. Nonprofits having problems getting the exemption may want to ask vendors to verify this procedure by calling the Technical Section of the Sales, Use & Withholding Taxes Division, 517/373-3190. • Exempt organizations with sales of less than $5,000 in a calendar year are not required to collect and remit sales tax on their fundraising sales. This exemption applies only if total retail sales (including both taxable and nontaxable items) are under $5,000. The intrusiveness of the provision, which was added to the legislation very recently, created a firestorm that caused groups across the political spectrum to call for defeat of the measure. At the request of a coalition of charities, some helpful modifications were made in the legislation during recent weeks. However, the measure continued to require disclosure that would have been a major burden to most charities. Both of these positions were approved as a part of the 199596 budget. At the last Executive Committee meeting it was recommended that MNF postpone the hiring of these positions. Recent collaborative efforts make it possible to do this work with a staff restructuring. Additionally, efforts to alleviate the chief staff person's administrative load so that he may more strategically work with funders, board members, and public policy issues can be achieved through a restructuring plan. Therefore, the attached organizational chart introduces the creation of a chief operating officer; the replacement of the director of programs and operations with a position titled director of member services, responsible for member recruitment, retention, and all MNF direct service activities; and the addition of a half-time member services assistant, responsible for publication layout and providing assistance to the director of member services. Welcome & Introductions: With Chairperson's Davis and Straus present, the meeting was called to order at 10:15 a.m. Those present introduced themselves. 2. Update on Keynote Speaker Selection: L. Davis reported that C. Everett Koop is unable to deliver the keynote address at GGVII due to a scheduling conflict. However, she indicated that he might be able to speak in 1996 once the MNF board sets a date for GGVIII. The committee agreed that James Earl Jones should be invited to deliver the keynote address for GGVII. G. Keilitz and J. Rapanos volunteered to lead this effort. The committee hopes to have an update by the beginning of next year. 3. Update on Breakout Sessions: Opening Panel: S. Katt notified the committee about current negotiations with Michael Josephson to open the GGVII conference with a discussion centering on ethics. Due to his high fee structure, Michael Josephson will not be a speaker. However, two people have been identified as potential backup speakers. M . Kramer also suggested that many universities have ethic centers which provide an excellent source for speakers. Meet the Grantmakers (repeated): S. Katt reviewed this session noting that representatives from the General Motors Foundation, Fremont Area Foundation, 1 �Miller Foundation and the Erving S. Gilmore Foundation have confirmed their participation as panelists. Resources for Grantseekers: M . Kramer described this session as a two person presentation. The focus will be on resources and grantwriting. Lists of valuable resources will be given to audience members. Outputs vs. Outcomes: G. Keilitz highlighted that this session will identify how organizations can evaluate the benefits of a program. I. Strumwasser added that the discussion will also include comments from foundation staff on what they look for in proposals and final reports. Planned Giving: S. Nedwicki described this breakout session as presenting a general overview of planned giving supplemented by detailed handout materials. Coalition Building: J. Rapanos reviewed that the areas of human resources, education and the arts will be represented in this session. C. Anderson stated that an individual from the Warren Conner Development Coalition will discuss the mechanics of bringing various funding sources together. A. DeBoer reported that the role of politics in coalition building will be highlighted by a collaborative effort of 20 school districts. A panelist from a children's museum in the Upper Peninsula will also address questions involving turf and funding issues related to coalition building. Standards and Regulations (repeated): D . Egner described this session as fast paced with time for audience questions. Forest Lewis, ofPiante & Moran, will address questions about F ASB ; Duane Tamacki, of Clark, K.Iien, and Beaumont, will discuss charitable receipts; and MaryAnn Pierce, of Cooley Clinic, will talk about changing legislation on the state and federal level. Board Relations: E . Rogers reported that panelists will address real problems and give real solutions for board relations. Panel members will accomplish this by responding to case studies. Anne Rosewarne, of the Michigan Health Council; Joe Bianco, ofDIA- Founders Society; and Lucy Allen, of the Saginaw Community Foundation, have been identified as panelists. A representative from the National Center for Nonprofit Boards will provide the case studies and be the moderator for this session. 4. Discuss Conference Format and Sessions: L. Davis reminded the committee that every session needs a moderator who can be an excellent facilitator. MNF is available to assist committee members in identifying moderators and will supply moderator guides. It was suggested that speakers meet before the conference to ensure successful breakout sessions. 2 �D . Clarke indicated that brochure copy is due to the MNF office by December 15. MNF will be sending breakout update forms to the committee which will help facilitate this process. She also commented that MNF will formally request biographies from the speakers and send them confirmation letters. Egner also mentioned that the Speakers Dinner might have a different focus in 1995. He said that MNF and CMF may sponsor an annual award honoring a person who has made a great individual contribution to philanthropy. This award would be the focus of the dinner on the night before GGVIT. He mentioned that a joint committee will be organized in January to identify potential candidates for the award if the idea is finalized . 5. Review Exhibits: D. Clarke suggested that the committee review the criteria that will be used to invite vendors to GGVIT. In the past, most exhibitors have been resource oriented. She asked if the committee would like to pursue the option of inviting retail exhibitors. The committee offered many innovative ideas about the vendors. A. DeBoer suggested that the exhibitors could get more exposure by being located in the networking room. I. Strumwasser said that the exhibitors could buy space in the program brochure to advertise their services. K. Straus stated that a drawing could be held at the networking reception using products that the vendors donated. It was decided that the staff should discuss these various options and bring a list of potential exhibitors to the next committee meeting. 6. Review Corporate Sponsorship: D . Egner led this discussion by stating that between $7,500 and $10,000 needs to be raised in corporate sponsorships. It was mentioned that different levels of support could mean different levels of benefit. Several conference events, such as the lunch and continental breakfast, could be marketed as individual sponsorship events. D . Egner will give the committee an update on sponsorships at the next meeting. 3 �7. Review Planning Calendar: K. Both organizations have experienced staff and budgetary growth. Both have struggled to find their niche and the financial security necessary for an institution to become self-sustaining. Michigan Campus Compact and the Michigan Nonprofit Forum have both become important players in the field of volunteerism and service. Michigan Nonprofit Forum, through its recent affiliation with the Volunteer Centers of Michigan (VCM), is conducting a wide range of volunteer activity throughout the state. The Michigan Campus Compact, through its member campuses and other programmatic ventures, is having a similar effect at colleges and universities in Michigan. With the recent transition of staff leadership at the Michigan Campus Compact, MCC has reached a crossroads in its development. The MCC board, funders, and member institutions are in agreement that MCC programs are dynamic and should be maintained. The leadership of Michigan Campus Compact has been exploring a number of alternatives regarding the future direction, staff leadership and location of MCC. One option that has been proposed for the future of Michigan Campus Compact is a formal affiliation with the Michigan Nonprofit Forum. The question of a formal affiliation was first raised by John Marshall, president of the Kresge Foundation, in an August 2, 1994, meeting of college and university presidents discussing the future of Michigan Campus Compact. As the presidents met privately, Marshall raised this issue in a small meeting of MCC funders. If sufficient mutuality of interest could be demonstrated, he suggested that this alternative should be discussed by the presidents. Exploration of this possibility was then discussed internally at the Michigan Nonprofit Forum, with key members of the MNF board, and with the executive committee of the Michigan Campus Compact. In a subsequent meeting with Bob Church, a member of the MSU faculty who is overseeing MCC's activities, he suggested that a brief discussion paper would be in order. A formal affiliation between MNF and MCC would provide opportunities to build a more effective and efficient organization for the delivery of volunteer and service learning programs. A formal connection with the Volunteer Centers of Michigan would provide MCC member institutions with greater access to community resources �and volunteer/service opportunities. The affiliation would provide local volunteer centers increased opportunities to partner with campus outreach and service learning programs. Working together, MCC and VCM will more creatively engage individuals in voluntary giving and service, increase the educational opportunities offered through service learning programs, create a critical mass of community problem solvers, and assure the transference of America's philanthropic spirit to the next generation of leaders. Governance and Staff Structure: If an affiliation between MNF and MCC were to take place, it would be vitally important that MCC maintain its identity as a higher education based membership organization. MNF's recent affiliation with the Volunteer Centers of Michigan dealt with a similar identity issue through the development of an unique governance and staff structure. To assure that the Volunteer Centers of Michigan were properly represented within the MNF structure, three of the 39 MNF board seats have been reserved for VCM association members. VCM selects its own members for MNF board service -currently appointing its officers. VCM is also represented on the MNF executive committee. This structure has assured that the concerns of the membership of the Volunteer Centers of Michigan association are properly addressed by the overall governance body of the Michigan Nonprofit Forum. We would propose a similar arrangement in an MNF/MCC affiliation. Ideally, the presidents of the member institutions will serve as the MCC Operating Council. Like the VCM/MNF affiliation, the MCC Operating Council will elect representatives to the MNF board. The responsibility for overall organizational governance will rest with the MNF board, with policy recommendations from the MCC Operating Council. The Operating Council will also advise the director of MCC on programmatic direction. In terms of staff structure, we would again propose a structure similar to the MNF/VCM affiliation. Specifically, a director of Michigan Campus Compact would be appointed to work with MCC's programs and services. The day to day administrative tasks of MCC would be absorbed into the existing MNF structure. In addition to the director of Michigan Campus Compact, we would propose hiring an administrative assistant and a director of development. The director of development would spend approximately 50% of his or her time working with the programs of the Michigan Campus Compact and 50% working with those of MNF and VCM. With the shifting of administrative duties to the MNF staff, we estimate that the cost of operating Michigan Campus Compact administratively and programmatically can be �reduced to an amount equal to, or only slightly above, the dues revenue currently received from member institutions. The director of MCC and the director of VCM would have duties specific to the respective organizations that they represent. However, given the complementary nature of MNF and VCM, we are proposing a team staffing concept that would take greater advantage of the expertise that both directors possess. This relationship will result in more service opportunities for students involved in MCC programs, as well as strengthening volunteer centers by using university or college resources in community problem solving and service. The director of development becomes a crucial position in this affiliation. Within four years from the date of the affiliation the director of development will be raising the equivalent of 1.5 to 2 times the membership dues revenue for allocation to member institutions through a mini-grants program. These funds will be raised primarily from corporations and private foundations, thus diversifying MCC's funding base. The director of development will also give technical assistance to MCC member institutions that are interested in pursuing funds from federal and state sources for the purpose of campus service and service learning. As part of the discussion with funders interested in seeing this affiliation take place, the Michigan Nonprofit Forum has an oral commitment for a four year $200,000 grant. These funds would be used to offset any administrative over runs and to pay a portion of the salary and benefits for the director of development. Programmatic Activities: The MCC staff and other key stakeholders have characterized MCC's programmatic activities as falling into three categories ~ student service/volunteerism, internshipbased service learning, and instructional-based service learning. There seems to be great enthusiasm for MCC's ability to facilitate and enhance campus based service/volunteerism and to assist institutions in internship-based service learning activities. However, there has been multiple concerns expressed about MCC's success in engaging faculty in the integration of service learning into the curriculum. In the first 12 to 18 months of the affiliation, we propose building an advisory committee of chief academic officers, or their representatives who have responsibility for facilitating instructional and curriculum development, and faculty that have been successful in delivering service learning programs. This committee would develop a strategy for delivering MCC and other service learning instructional models to university and college classrooms throughout Michigan. We propose that the advisory committee work with the Presidents Council, State Universities of Michigan; the Association of Independent Colleges and Universities of Michigan; and the Michigan �Community Colleges Association in the development of this dissemination system. All three associations are represented on the MNF board. By utilizing the resources of the three associations of higher education in Michigan, MCC could greatly enhance its impact on higher education classrooms throughout the state. Additionally, MNF/MCC would propose an annual meeting of the presidents of public and private colleges and universities in Michigan. Working in conjunction with three associations, we see this annual meeting as an opportunity to discuss the work of Michigan Campus Compact and permit the presidents to discuss other issues important to higher education in Michigan. Assistance Needed: For a formal affiliation with the Michigan Nonprofit Forum and the Michigan Campus Compact to be successful we will need some assistance. While this list may not be exhaustive, it should characterize the type of assistance we anticipate needing: • A commitment from the presidents of MCC member institutions to perform four tasks on an annual basis. 1.) To attend an annual meeting of public and private college and university presidents. 2.) To appoint their chief academic officer, or other appropriate representative, to serve in an advisory capacity to Michigan Campus Compact's instructional development efforts. 3.) To assist Michigan Campus Compact in the recruitment and retention of members. 4.) To assist the director of development by identifying potential funding sources for the MCC minigrants program. • The continuation of the provision of office space at Michigan State University. The Michigan Nonprofit Forum has been discussing the possibility of purchasing a building for shared office space with state associations concerned about volunteerism and service. The Michigan Campus Compact has been included in these discussions for the last 12 months. However, focusing staff time and effort on the affiliation and the continued success of Michigan Campus Compact would slow the effort. Therefore, we need Michigan State University's assistance by providing the existing MCC and MNF office space for up to an additional three years. • Technically, the equipment and technology utilized by Michigan Campus Compact is owned by Michigan State University. We would request that equipment be transferred to the Michigan Nonprofit Forum as part of the affiliation. This would relieve us of the cost necessary for proper equipment and furnishings. �Given MCC's dependence upon MSU for bookkeeping, we need MSU's assistance in the development of a transition plan. Welcome and Call to Order: The meeting was called to order by Chairperson H. Philpott at 10:15 a.m. 2. Review of Minutes [Tab 1]: The minutes of the May 11, 1994, meeting were approved as printed. 3. Chair's Report: H. Philpott welcomed new board member Kathryn Rossow, executive director of the Southwestern Michigan Volunteer Center. Rossow is filling the board seat vacated by Sharon Radtke. She announced that Bill Barram resigned from the board. Bill has left the Michigan office of the American Cancer Society for a senior position with the national organization in Colorado Springs, CO. In October H. Philpott, D. Clarke, and D. Egner attended Independent Sector's Annual conference in Chicago. In conclusion, she reported that the MNF board retreat is scheduled for January 25 from 1 p.m. to 4 p.m. at the University Club in Lansing. �4. Executive Director's Report [Tab 2]: D. Egner highlighted sections of his executive director's report on MNF's progress from July 1, 1994 through November 1994. He commented on MNF's progress in the following areas: establishing a research roundtable; disseminating up-to-date information to MNF members through member mailings on a more frequent basis; Sam Singh's efforts as director of Volunteer Centers of Michigan; advancing MNF's name in the public policy arena by meeting with members of Michigan's congressional delegation; the development of the Cooley Clinic; and the possibility of establishing a technology clearinghouse with the assistance of Gifts in Kind America. 5. Public Policy Committee Report [Tab 3]: E. Blews reported on the public policy committee's efforts to continue to take a more aggressive role in representing the nonprofit sector on public policy issues. Many items of legislation being followed by the committee are currently on hold due to the fall elections. Legislative priorities that the committee has been following include: a federal lobbying bill; House Bill 5069, concerning the record check of volunteer drivers; and House Bill 5571, concerning charitable solicitation. E. Blews reported that these bills may be re-introduced in the new legislative session beginning in 1995. E. Blews discussed recent efforts to amend legislation affecting sales and use tax exemption for nonprofit organizations in Michigan. The new legislation has created concern with the Department of Treasury's interpretation of the law, particularly as it pertains to collecting sales tax on auctioned items. D. Egner is scheduled to meet with Mudhu Anderson, deputy treasurer for the state of Michigan to address the committee's concerns. 6. Membership Committee Report [Tab 4]: A. Roswarne reviewed the goals and objectives of the MNF 1994-95 membership campaign and the responsibility of each trustee to secure two new members. Membership campaign packets were sent to all trustees and a boilerplate letter was distributed for those trustees wanting to send an introductory letter in advance of their phone calls. The deadline to complete membership calls is December 9. Results of the campaign will be discussed at the board retreat in January. 7. Finance Committee [Tab 5 and Budget Tab]: J. King reviewed MNF's Income/Expense statement through September 30, 1994. MNF received a $150,000 grant from the Kellogg Foundation. He reported that expenses are in line with the budget appropriations with the exception of contracts and services. This line item will exceed its budgeted amount by approximately $10,000 due to unforeseen attorney fees in the development of the MNF retirement program. The finance report was unanimously approved by the trustees. 8. Audit Report: R. Means presented the 1993-94 audit report as prepared by David Ambrose, P.C. In reviewing the report's balance sheet, he pointed out that accounts payable is high due to MNF not receiving a phone or copy bill from Michigan State University in over 18 months. The bills have been requested on numerous occasions; however, MSU has not responded. Accrued benefits is another item that is higher than anticipated due to retirement funds that have been accruing, while the nonprofit �retirement program is being established. He recommended that the finance committee review the accrued funds and recommend a way to distribute the funds to a qualified pension plan in the 1995 calendar year. R. Means also recommended that the executive committee review MNF's vacation and sick leave policy. In regards to the revenue and expense statement portion of the report, he reported that grant contributions decreased in 1993-94. This was due to a $150,000 grant anticipated to arrive before the end of the fiscal year being received in the first quarter of 1994-95. Also, the contributions line item was down because contributions from founding organizations were moved to the membership dues line item. The 1993-94 fiscal year ended with a fund balance of $34,000. The audit report was unanimously approved by trustees. 9. Volunteerism Report [Tab 61: C. Harvey reported on the activities of the Volunteer Centers of Michigan. An assessment of volunteer centers was conducted by the Points of Light Foundation's staff. The results are being reviewed by the individual volunteer centers and will be discussed at the VCM operating council's meeting on November 16th. The council plans to use the assessment finding to design a strategic plan that will grow and strengthen volunteer centers over the next five years. 10. Grantmakers/Grantseekers VII [Tab 7]: K. Straus reported on the plans for Grantmakers/Grantseekers VII. The conference is scheduled for Friday, May 12, 1995, at the Lansing Center. A draft list of breakout sessions was reviewed. Possible keynote speakers being pursued include C. Everett Koop, Charles Kuralt, Betty Ford, and James Earl Jones. J. Lore suggested that there be more representation on the program planning committee from the National Society of Fundraising Executives. R. Collier suggested that a survey be conducted as to the day of the week that the conference is held. The suggestions made will be reviewed by the program committee and a report on the restructuring of the Grantmakers/Grantseekers conference will be given at the next board meeting. 11. Nonprofit Retirement Program Committee Report [Tab 6]: G. Keidel updated the board on the progress of the retirement program. He introduced Joe Brooks and Dick Herrald from Financial Technologies. Financial Technologies would serve as a third party administrator for the retirement program. The details of the membership retirement program were discussed and questions were taken from the trustees. 12. Description: "Celebrating our Common Ground" is the theme for this year's Grantmakers/Grantseekers seminar, scheduled for May 12, 1995. For the first time in Grantmakers' history the conference will be outside of the greater Detroit area. The seminar will be hosted at the newly renovated Lansing Center in downtown Lansing. Preliminary conference materials are being sent as a part of the January MNF member mailing. End Date: May 12, 1995 Partners: Council of Michigan Foundations, National Society of Fundraising Executives Lead Staff: Donna Clarke Technical Assistance Roundtable/Manaeement Services Oreanization CMSO) Network Objective: Strengthen Michigan's nonprofit sector by coordinating and enhancing training and management services activities through a collaborative of key organizations. Description: On December 12, representatives from the major nonprofit technical assistance and MSO organizations met in Lansing to discuss the delivery of services throughout the state. The group agreed to develop a system to evaluate the training needs of organizations throughout Michigan, develop common evaluation questions that would be used by all of the organizations in their programs, to build a statewide training directory, and to explore the utilization of technology in the delivery of training and management services. Glenn Stevens, executive director of the Presidents Council of State Universities of Michigan, hosted a meeting of representatives from public universities on December 19. Subsequently, a working task force has been appointed to explore how colleges and universities in Michigan can best ftll the role of trainer and educator for nonprofit organizations. The roundtable also includes nonprofit practitioners who focus on the pragmatic use of research for advancement of the sector. The Michigan roundtable has become part of a regional research group that includes representatives from Indiana and Ohio. This regional group is sponsored by the Center on Philanthropy at Indiana University/Purdue University in Indianapolis. The next meeting of the Michigan group is scheduled for March 3rd. Description: The MNF/VCM affiliation is now one year old. VCM is currently providing technical assistance and support to volunteer centers, as well as serving as a liaison with other state and national organizations working in the field of volunteerism and service. MNF staff currently serve on curriculum and training development committees for the Points of Light Foundation, as well as serving on committees and as an exofficio commissioner to the Michigan Community Service Commission. In the next several months the Volunteer Centers of Michigan will work to develop a plan of growth for volunteer centers throughout the state, as well as institutionalize a technical assistance infrastructure. Description: The Campaign for Volunteerism will take on somewhat of a new organizational structure in 1995. The key Campaign leadership will be expanded to include more nonprofit organizations working in the area of volunteerism and service, as well as public organizations that have taken on greater responsibility in this area. The Campaign will continue to focus on an annual public awareness campaign. However, additional focus will be given to creating opportunities for organizations in the volunteer and services field to work together to find solutions to common concerns and to work jointly on other projects that will advance volunteerism in Michigan. Description: Discussions of an affiliation with the Michigan Nonprofit Forum and the Michigan Campus Compact have been ongoing for the last several months. The formal affiliation would provide opportunities to build a more effective and efficient organization for the delivery of volunteer and service learning programs. Michigan's communities will benefit from the increased access to college and university resources that would be available through formal partnerships with Campus Compact Campuses and Michigan Voluntary Action Centers. Working together, MNF, MCC, and VCM will more creatively engage individuals in voluntary giving and service, increase the educational opportunities offered through service learning programs, create a critical mass of community problem solvers, and assure the transference of America's philanthropic spirit to the next generation of leaders. Description: MNF's member mailing is sent every six weeks to MNF members and other targeted organizations. Recently, we have sent the member mailing to key groups of organizations that have been identified as potential MNF members. The average circulation of the member mailing is approximately 500. The member mailing continues to be our greatest source of membership generation. End Date: Ongoing Partners: A number of state and federal organizations that permit MNF, or utilize MNF, to disseminate their information to Michigan Nonprofit Organizations. These publications are available through sale at a discounted rate through the Michigan Nonprofit Forum, or have been disseminated for free through MNF. Our most popular publications continue to be those provided by NCNB. Description: Working in partnership with the Michigan Society of Association Executives, MNF released its first salary and compensation survey in 1994. The survey utilized an universe of 200 nonprofit organizations of various budgets and staff sizes to generate the published data. The Salary and Compensation Survey will be conducted again in 1996. We anticipate redesigning this survey to better represent the non-association, nonprofit organizations that participate. End Date: Survey development- completed, survey dissemination- ongoing, 1996 survey planning - June 30, 1996 Partners: Michigan Society of Association Executives Lead Staff: Donna Clarke/Dave Egner MNF's ROLE IN PUBLIC POLICY Tax Incentives for Charitable Givin2 Objective: To increase charitable giving in Michigan by working with the legislature to create tax incentives for contributions to any 501(c)(3) organizations in Michigan. Description: MNF invested two years of time to develop a position on tax incentives for charitable giving. That document was approved by the MNF Board of Trustees on May 11, 1994. Chairperson Philpott has appointed Bob Ivory, United Way of Michigan, to lead a task force to develop a strategy to pursue legislative action. A number of nonprofit organizations and associations will join MNF in this effort. End Date: Projected for December, 1995 Partners: More that 25 nonprofit associations and organizations have expressed interest in supporting MNF's efforts in this area. Lead Staff: Dave Egner 7 �Special Events Fundraisine and Michigan's Sales Tax Objective: To change the current legislation requiring nonprofit organizations to pay sales tax on the gross proceeds of any item, other than food for immediate consumption, sold for charitable fundraising purposes. Description: The current sales and use tax laws originally written in 1954 were not written with nonprofit charitable giving in mind. The recent change in the sales and use tax law brought attention to the fact that any organization, including nonprofits, selling items other than food for immediate consumption must collect sales tax. Nonprofits are exempt from this ruling only if theirotal annual sales are less than $5,000. While the law has seldom been enforced in Michigan, a decision by the Department of Treasury to enforce this legislation could have a tremendously damaging impact on Michigan nonprofit organizations. Six percent of all charitable fundraising activities would go to the state of Michigan as sales tax. Additional penalties could also be levied on organizations not complying with the law. End Date: Projected at July 30, 1995 Partners: United Way of Michigan, Michigan League for Human Services, and numerous other nonprofit organizations that have expressed an interest in becoming involved in this effort. Lead Staff: Dave Egner 8 �- The Continued Tracking of Ongoing Issues at the State and Federal Level Objective: To identify proposed and potential legislation that will effect Michigan nonprofit organizations, taking appropriate action of support or opposition when it is in the best interest of Michigan's nonprofit sector. Description: Legislation affecting nonprofit organizations has seemingly become more abundant in recent years. In addition to the current efforts at MNF to influence the sales tax legislation, there are a number of activities that the public policy committee continues to monitor for potential action. These activities currently include: the background check legislation for volunteers working with children, currently contained in the recently passed crime bill; potential legislation resulting from the Kerrey/Danforth report; a potential rewrite of Michigan's charitable solicitation law; and the potential impact of the block grant program, proposed as part of the republican Contract With America, on nonprofit organizations. Description: The 401(a)/403(b) retirement program developed by MNF is currently available no where else in the country. Preliminary research indicates that MNF's plan is competitive on administrative cost, and superior on return. Preliminary marketing of the plan will take place during the first half of 1995, with the first funds rolling into the program on July 1, 1995. End Date: Development of preliminary marketing materials- March 15, 1995, Premarketing seminars and meetings- June 30, 1995 Program operation - ongoing Partners: none Lead Staff: Dave Egner Development of a Technoloey Clearinehouse Objective: To improve the management and programs of Michigan nonprofit organizations by making technology available for as little cost as possible. Description: MNF is currently in the planning stages of the Michigan Technology Clearinghouse. Working in partnership with Gifts in Kind America, MNF would make available to its members computer equipment that is previously owned. This equipment will be refurbished in our Clearinghouse and shipped to nonprofits at the cost of a flat transaction fee for each piece of equipment. MNF's arrangement with Gifts in Kind America and other potential vendors would make available to MNF members as many as 500 computers each month. We anticipate that the operation of the Clearinghouse will be self sufficient within a three year period of time. Initial funding will be pursued in the first three years of operation. End Date: Planning and the business plan preparation- April 15, 1995 Partners: Gifts in Kind America, United Way of Michigan Lead Staff: Donna Clarke 10 �Nonprofit Employment Classified Service Objective: To assist nonprofit organizations in finding qualified candidates for employment and to provide a listing of jobs available for individuals interested in working in Michigan's nonprofit sector. Description: MNF is exploring the possibility of a state wide classified employment service. Steve Jarvis, an intern working with MNF, is currently exploring an organization named Opportunity NOCS. Opportunity NOCS has been successful at franchising its classified services operation in major metropolitan areas in the U.S. Jarvis will be reviewing the franchise cost and benefits as well as considering what resources would be necessary if MNF were to take on this project without the expertise of an existing franchise. This project should be self sufficient in three years. It is projected that it will generate revenue above expenditures by the fourth year. Description: MNF currently has an arrangement with ADP Payroll Services that has provided an opportunity for MNF members to take advantage of accounting services at a 20% discount. Donna Clarke has been exploring other possible discount services including long-distance services, car leasing, and printing services. However, it is anticipated that the majority of the revenue in this line item will be received in the fourth quarter of the fiscal year. Interest and Dividends- Later than anticipated receipt of a $150,000 grant has reduced the first quarter revenue in this line item. However, it is anticipated that revenue in this area should be on track by the end of the fiscal year. Grants and Contributions- The $150,000 grant reflected here was budgeted to be received in the 1993-94 fiscal year. If approved, the Michigan Campus Compact/MNF affiliation would add an anticipated $300,000 to this line item by the close of the fiscal year. Program Income - The majority of this income will come from the Grantmakers/Grantseekers seminar in May, 1995. Member Dues- Traditionally, approximately 50% of budgeted member dues have come in around the last quarter of the fiscal year. This has been attributed to new members signing up around the time of the Grantmakers/Grantseekers seminar. Expenses Total Benefits - Because we are waiting for the new retirement program, funds scheduled to be paid out for employee retirement have not yet appeared on the expense statements. Adjustments will be made to this account as soon as we test the administrative and record keeping systems of the retirement program in the last quarter of the fiscal year. Additionally, because the program was not available at the end of the 1993-94 fiscal year, some retirement expenditures will be carried over from last fiscal year. Liability Insurance - These expenditures are traditionally incurred in the last quarter of the fiscal year. Contracts and Services - As reported at the end of the first quarter of the fiscal year, we are now projecting that this line item will see expenditures exceeding the annual budget amount by approximately $10,000. The majority of this cost over-run is due to additional attorney fees as a result of unforeseen complications in the development of the nonprofit retirement program. The name of the Corporation shall be Michigan Nonprofit Forum (hereinafter referred to as "Forum"). The Forum shall exist for charitable and educational purposes, specifically: To promote the awareness and effectiveness of Michigan's nonprofit sector, and to advance the cause of volunteerism and philanthropy in the state. Within these general purposes, the Corporation has been organized to have and exercise all rights and powers conferred on nonprofit corporations under the laws of the State of Michigan, provided, however, that this corporation shall not engage in actions or exercise powers not in furtherance of these purposes. (2) Membership. The Membership or Members shall consist of ORGANIZATIONAL MEMBERS and AFFILIATE MEMBERS. ORGANIZATIONAL MEMBERS shall be any IRS designated nonprofit organization that (a) has a principal or branch office in Michigan; (b) makes application and receives approval of that application by the Board of Trustees; and (c) makes an annual contribution to the corporation, the amount of which is in accordance with the criteria established by the Board of Trustees. Organizational Members which have a representative present at a meeting of the members or who is represented by proxy shall be entitled to one vote at the meeting. Organizational members shall elect the At-Large Trustee positions of the Board of Trustees. AFFILIATE MEMBERS shall be organizations and individuals that (a) make application and receive approval of that application by the Board of Trustees; and (b) make an annual contribution to the corporation, the amount of which is in accordance with the criteria established by the Board of Trustees. Affiliate Members shall have no vote and shall have only privileges as may be determined by the Board of Trustees. (3) Annual Meeting of the Corporation. There shall be a meeting of the Corporation annually. Notice of the annual meeting of the Corporation shall be sent to all duly qualified Organizational Members on or before thirty (30) days prior to the meeting. Twenty (20) members, present in person or by proxy, shall constitute a quorum. The Trustee approved minutes and financial statements from the current fiscal year shall be available for review at the meeting. �(4) Founding Members and Founding Trustees. The Organizational Members represented by the signers of the Articles of Incorporation shall also be known as FOUNDING MEMBERS of the Forum. Founding Members shall be Members as of the date of adoption of the Articles of Incorporation. The Founding Members are: Association of Independent Colleges and Universities of Michigan (AICUM) Council of Michigan Foundations (CMF) Michigan Association of School Administrators (MAS A) Michigan Association of School Boards (MASB) Michigan Community College Association (MCCA) Michigan Council for the Arts (MCA) Michigan Health Council (MHC) Michigan League for Human Services (MLHS) President's Council, State Universities of Michigan United Way of Michigan (UWM) The individual signers of the Articles of Incorporation shall also be known as FOUNDING TRUSTEES. Founding Trustees shall be Trustees as of the date of adoption of the Articles of Incorporation. The Founding Trustees are: Thomas M. Bernthal, Executive Director, MCCA Edward O. Blews, Jr., President, AICUM Don R. Elliott, Executive Director, MASA Barbara K. Goldman, Executive Director, MCA Robert E. Ivory, President, UWM Dorothy A. Johnson, President, CMF Justin P. King, Executive Director, MASB Russell G. Mawby, Chairman & CEO, W.K. Kellogg Foundation Beverley L. McDonald, Executive Director, MLHS Glenn R. Stevens, Executive Director, Presidents Council James R. Tarrant, Executive Director, MHC (5) Removal from Membership. A Member may be removed from the Corporation if the Member: (a) Fails to remain an eligible Member, according to standards determined by the Board; or (b) Engages in egregious conduct contradictory to the purposes of the Forum. A Member may only be removed by an affirmative vote of two-thirds of the Trustees present at a duly called and constituted meeting. (6) Membership Liability. AMember of the Forum shall not be personally liable for the debts, liabilities or obligations of the Forum. (7) Other Members. Other categories of membership may be created by the Board of Trustees, at its discretion, which shall determine the terms, obligations and privileges of such membership. �ARTICLE n: Dedication of Assets (1) Dedication of Assets. The properties and assets of the Forum are irrevocably dedicated to charitable and educational purposes. No part of the net earnings, properties, or assets of the Forum shall inure to the benefit of any private person or individual, or any Member, Trustee or Officer of the Forum. ARTICLE HI: Board of Trustees (1) Designation of Trustees. The Board of Trustees shall develop policy for and oversee the management of the business and property of the Forum. The Board of Trustees shall consist of 18 permanent ASSOCIATION TRUSTEE positions, no less than 10 nor no more than twenty AT-LARGE TRUSTEE positions, and three representatives from the VOLUNTEER CENTERS OF MICHIGAN OPERATING COUNCIL, AND THREE REPRESENTATIVES FROM THE MICHIGAN CAMPUS COMPACT. The Board of Trustees shall decide the number of At-Large Trustees positions there shall be on the Board, for the purpose of the subsequent election to be conducted pursuant to this Section. All Trustees shall carry one vote and have equal rights and privileges. ASSOCIATION TRUSTEES shall be (a) Michigan-based associations which represent statewide segments of the nonprofit sector, or (b) other broad-based Michigan organizations. Organizations chosen to be Association Trustees must each have as a central concern or must have a substantial impact on the advancement of philanthropy, volunteerism and the nonprofit sector, and must support the purposes of this Forum. The Association Trustees are: Association of Independent Colleges and Universities of Michigan Council of Michigan Foundations Council of Michigan Urban Leagues Food Bank Council of Michigan Michigan Association of Rehabilitation Organizations Michigan Association of School Administrators Michigan Association of School Boards Michigan Catholic Conference Michigan Community Action Agency Association Michigan Community College Association Michigan Council for the Arts and Cultural Affairs Michigan Ecumenical Forum Michigan Health Council Michigan Jewish Conference Michigan Hospital Association Michigan League for Human Services President's Council, State Universities of Michigan United Way of Michigan �Association Tmstees may be added or removed from the Board of Trustee by an affirmative vote of two-thirds of the Trustees present at a duly called meeting. Association Trustees shall designate one voting representatives who shall be known as a TRUSTEE. Each Association Trustee shall determine and designate its own representatives/Trustees, which shall consist of either (a) the Chief Professional Officer, or (b) a Board Representative. Guidelines for selection of the Board Representatives may be determined by the Trustees. AT-LARGE Trustees shall be (a) individuals of widely recognized statewide prominence who contribute significantly to the advancement of Michigan's nonprofit sector, or (b) individuals representing Organizational Members of the Corporation. At-Large Trustees shall be elected by the Organizational Members of the Corporation. The Nominating Committee shall invite recommended nominees from the Membership, for consideration by the Nominating Committee, on or before forty-five (45) days prior to the annual meeting. Thereafter, the Nominating Committee shall nominate for the election to the Board of Trustees one nominee for each At-Large Trustee position of the Board with its term expiring at the next annual meeting. On or before thirty (30) days prior to the annual meeting, a written mail ballot containing the Committee's nominations, with space for a write-in vote for each At-Large Trustee position, and stating the deadline for casting ballots shall be mailed to each Organizational Member. Those persons receiving the highest number of votes for each AtLarge Trustee position on validly marked ballots delivered to the Forum's office by the deadline shall be elected to the Board of Trustees. (2) Terms and Vacancies. Trustees serving in Association, Volunteer Centers of Michigan Operating Council, and Michigan Campus Compact Operating Council Trustee positions shall serve terms of three years and may succeed themselves. At-Large Trustees shall serve terms of three years and may succeed themselves only once. All vacancies in the Board may be filled by the Chair until the next regular annual meeting of the corporation. Service provided for an unexpired or incomplete term shall not be counted as an elected term. (3) Meetings and Notices. Meetings of the Board of Trustees may be called by the Chair or at the request of no less than one-fourth of the Trustees. Written announcements of each meeting of the Board of Trustees shall be made by, or at the direction of, the Chair not less than ten and no more than sixty days before the date set for the meeting �and shall include the date, time, place and purpose of the meeting. Preliminary or reminder notices may be made at any time. (4) Regular Meetings. The Trustees shall hold at least two regular meetings annually on September 1 and on March 1, or as provided by the Michigan Nonprofit Corporation Act within 90 days following those dates. The March 1 meeting shall be the Annual Meeting. The two regular meetings shall be the record dates for determining the Members of Record and their designated representatives, entitled to notice of and to vote at Membership meetings. The Board of Trustees may fix the day, time and place for each regular meeting of the Trustees. (5) Special Meetings. Special meetings of the Trustees may be called by the Chair or at the written request of not less than one-fourth of the Trustees. (6) Quorum. A quorum at any duly called meeting of the Trustees shall consist of not less than a simple majority of the Trustees. Any proper action of those present at a duly called and constituted meeting shall be the action of the Board and the Membership. (7) Adoption. Adoption of new program initiatives shall require an affirmative vote of a majority of the Trustees present at any duly called and constituted meeting. Public policy positions may be adopted regarding matters of common concern of the Membership and shall require an affirmative vote of three-fourths of the Trustees present at any duly called and constituted meeting. Other actions shall require a majority affirmative vote of the quorum present, except as provided in these Bylaws. (8) Action by Unanimous Written Consent. Any action required or permitted to be taken by the Board may be taken without a meeting and without prior notice, if all Trustees consent in writing to the action. The written consents shall be filed with the minutes of the proceedings of the Board. The action by written consent shall have the same force and effect as the unanimous vote of the Board. (9) No Compensation. Trustees shall not receive compensation for holding such office. (10) Liability. Consistent with the Michigan Nonprofit Corporation Act, a Trustee shall not be personally liable for monetary damages for a breach fiduciary duty, and the Forum shall assume all proper liability, except in the case of: (a) A breach of the Trustee's legal duty of loyalty to the corporation or its members; (b) Acts or omissions by the Trustee not in good faith or that involve intentional misconduct or a knowing violation of law; (c) An affirmative vote or other lawful concurrence by the Trustee in an unlawful corporate act, including those prohibited by these bylaws and by the Michigan Nonprofit Corporation Act; (d) A transaction from which the Trustee derived an improper personal benefit; or �(e) An act or omission by the Tmstee that is grossly negligent. (11) Indemnification. Consistent with the Michigan Nonprofit Corporation Act, the Forum shall indemnity any person who serves as its Trustee, Officer, employee or agent who is a party or threatened to be made a party to any threatened, pending, or completed action, suit or proceeding, against expenses -- including attorneys' fees, judgments, penalties, fines, and amounts paid in settlement — actually and reasonably incurred by the person in connection with an action, suit or proceeding incurred by reason of the fact that the person is or was a Trustee, Officer, employee or agent of the corporation, if the person acted in good faith and in a manner the person reasonably believed to be in or not opposed to the best interest of the corporation or its members, and ~ with respect to any criminal action or proceeding ~ if the person had no reasonable cause to believe that the conduct was unlawful. However, as prescribed by the Act, indemnification shall not be made for a claim, issue, or matter in which the person has been found liable to the corporation unless and only to the extent that the court in which the action or suit was brought has determined upon application that, despite the adjudication of liability but in view of all circumstances of the case, the person is fairly and reasonably entitled to indemnification for expenses which the court considers proper. Article IV: Officers and Executive Director (1) Forum and Board Officers. The Officers of the Forum shall be identical to the Officers of the Board of Trustees. The Officers shall be elected annually by a two-thirds affirmative vote of the Trustees present at a duly called and constituted meeting. (2) Designation of Officers. The Officers of the Board shall be a Chair, a Vice-Chair, a Secretary, and a Treasurer, all nominated and duly elected by the Board. (3) Duties of the Chair. The Chair shall serve as the president of the Forum and president of the Board of Trustees. The Chair or, when absent, the Vice Chair shall preside at the regular and special meetings of the Board of Trustees. The Chair shall preside at meetings of the Executive Committee. The Chair shall appoint Committee Members and Committee Chairs, with Board ratification, consistent with designations in these Articles. The Chair shall perform such other duties as are incident to the office or are properly delegated by the Board of Trustees. (4) Duties of the Vice Chair. The Vice Chair shall preside at regular and special meetings of the Board of Trustees when the Chair is absent. The Vice Chair shall become Interim Chair, pending Board action, should the Chair resign or become unable to perform the duties of office. (5) Duties of the Secretary. The Secretary shall perform or direct and oversee the performance of the following duties: (a) issue notice of all meetings; (b) keep all minutes which shall be signed by the Secretary upon approval by the Board; (c) �maintain the corporate records; and (d) make such reports and perform such other duties as are incident to the office or properly delegated by the Board of Trustees. (6) Duties of the Treasurer. The Treasurer shall have, under the direction of the Board of Trustees, the custody of all monies, securities and other property of the Forum. The Treasurer shall perform all duties incident to the office or properly delegated by the Board of Trustees. The Treasurer shall perform or direct and oversee the performance of appropriate fiscal record keeping for the Forum. (7) No Compensation. Officers of the Board shall not receive compensation for holding such office. (8) Requirements for Officer Participation. Requirements for Officer participation shall be determined by the Board. When such requirements are not satisfied and proper remediation procedures have been followed (according to procedures determined by the Board), the Board may elect to remove an Officer from office by a two-thirds affirmative vote of the Trustees present at a duly called and constituted meeting. (9) Executive Director. The Executive Director shall serve as the Chief Executive Officer of the Forum. The Executive Director shall be appointed by the Board of Trustees, through procedures designated or delegated by the Board, and shall serve at the pleasure of the Board. The Executive Director shall not be a Trustee. ARTICLE V: Committees of the Board of Trustees (1) The Board of Trustees shall create the following Standing Committees, whose members shall be appointed by the Chair and ratified by the Board and shall serve at the pleasure of the Board. The Standing Committee Chairs shall report directly and regularly to the Board of Trustees. All Standing Committees shall include the Executive Director as a nonvoting ex officio member.. (a) Executive Committee. The Executive Committee shall consist of the Officers, the Chairs of Standing Committees, the immediate past Board Chair, two representatives from the Volunteer Centers of Michigan designated by the Volunteer Centers of Michigan Operating Council, and one representative from the Michigan Campus Compact Operating Council. The Board Chair shall chair the Executive Committee. The Executive Committee shall be empowered to act on behalf of the Board of Trustees (1) in recommending to the Board appropriate matters for its consideration at scheduled Board meetings; (2) in implementing and developing details of policy positions previously adopted by the Board; (3) in addressing and enacting policy matters delegated by the Board; (4) in emergencies and between Board meetings when prompt policy attention is required (subject to subsequent reporting and, where appropriate, ratification by the Board); and (5) in personnel matters and oversight relating to the Executive Director. �(b) Budget and Finance Committee. Members of the Budget and Finance Committee must all be Trustees, and the Committee shall be chaired by the Treasurer. The Budget and Finance Committee shall oversee and develop policy for the financial health of the Forum, and shall make recommendations for Board approval concerning the Forum's annual and long-range budget. The Committee shall develop fund raising policies for Board approval and shall propose initiatives to the Board concerning the Forum's resource development operations. The Committee shall perform such other duties as are incident to this charge or are properly delegated by the Board of Trustees. (c) Audit Committee. The Audit Committee shall be chaired by a Trustee other than the Treasurer, who shall not serve on the Audit Committee. The Audit Committee shall oversee the annual audit of the Forum. Members of the Audit Committee may include such non-Trustees as necessary to insure a responsible, comprehensive and enlightening audit. (d) Nominating Committee. Members of the Nominating Committee must alt be Trustees. The Nominating Committee shall recommend candidates forAT-LARGE MEMBERS to the Board of Trustees. The Nominating Committee shall recommend candidates to the Board for the Offices of the Board. The Committee shall perform such other duties as are incident to this charge or are properly delegated by the Board of Trustees. (e) Public Policy Committee. The Public Policy Committee Chair must be a Trustee. Members of the Public Policy Committee may include such non-Trustees as will promote the effective accomplishment of this part of the Forum's mission. The Public Policy Committee shall develop policies for Board approval and shall propose initiatives to the Board concerning the Forum's work in the area of public policy related to philanthropy, volunteensm and the nonprofit sector. The Committee shall perform such other duties as are incident to this charge or are properly delegated by the Board of Trustees. (f) Membership Committee. The Membership Committee will recommend and recruit ORGANIZATIONAL and AFFILIATE Members to the Corporation. The Committee shall perform such other duties as are incident to this charge or are properly delegated by the Board of Trustees. (g) Volunteer Centers of Michigan Operating Council. The Volunteer Centers of Michigan Operating Council will be comprised of the current and future Volunteer Centers of Michigan membership as noted in the Volunteer Centers of Michigan Bylaws, article III, membership qualifications, dues and voting. The Committee will make policy recommendations to the Forum Board on issues related to volunteensm 8 �programming, and will be responsible for leadership and programmatic support to the Volunteer Centers of Michigan. Notwithstanding any other provisions of these Bylaws to the contrary, the Operating Council shall operate in accordance with the Bylaws of Volunteer Centers of Michigan. (i) Michigan Campus Compact Operating Council. The Michigan Campus Compact Operating Council will be comprised of the presidents of colleges and universities that are dues paying members of the Michigan Campus Compact. The Committee will make policy recommendations to the Forum board on issues related to volunteerism and servicelearning programming, and will be responsible for leadership and programmatic support of the Michigan Campus Compact. (h) Michigan Campaign for Volunteerism. The Michigan Campaign For Volunteerism Committee shall oversee and develop policy for the Michigan Campaign for Volunteerism. Members of the Campaign for Volunteerism Committee may include such non-Trustees as will promote the effective accomplishment of this part of the Forum's Mission. The Committee shall perform such other duties as are incident to this charge or are properly delegated by the Board of Trustees. (2) Ad-Hoc Committees. The Board may establish, at its discretion, such other ad hoc committees and advisory groups as it deems necessary or desirable for the continuing purpose and effective operation of the Forum and the conduct of its affairs. Ad-hoc Committees must be Chaired or Co-Chaired by a member of the Board of Trustees. Members of ad-hoc Committees may also include such non-trustees as will promote the effective accomplishment of the assigned responsibility. The annual GRANTMAKERS/GRANTSEEKERS SEMINAR Planning Committee will be appointed annually by the Chair as an ad-hoc Committee. (3) Action by Unanimous Written Consent. Any action required or permitted to be taken by a Committee may be taken without a meeting and without prior notice, if all Committee Members consent in writing to the action. The written consents shall be filed with the minutes of the proceedings of the Committee. The action by written consent shall have the same force and effect as the unanimous vote of the Committee. (4) Action bv Written Ballot Without a Meeting. Any action that may be taken at any Committee meeting may be taken without a meeting and without prior notice by complying with the following provisions concerning written ballots. The Committee Chair shall direct the mailing or delivery of one written ballot to each Committee Member entitled to vote on the matter. Information shall be included that: (a) Sets forth the proposed action; �(b) Provides Committee Members with an opportunity to specify approval, disapproval or abstention for each proposal; (c) Indicates the number of responses needed to meet the quorum requirements; (d) States the percentage of approvals necessary to pass the measure or measures; and (e) Provides and specifies a reasonable time by which the ballot must be received in order to be counted. All written ballots shall be maintained in the Committee records. ARTICLE VI: Standard of Care (1) Duties and Liability. The Trustees shall adhere to the Standard of Care required by the Michigan Nonprofit Corporation Act: that is a Trustee or Officer of the Forum shall discharge the duties of that position in good faith and with that degree of diligence, care, and skill which an ordinarily prudent person would exercise under similar circumstances in a like position. In discharging those duties, a Trustee or Officer, when acting in good faith, may rely upon the opinion of the Forum's counsel; upon the report of an independent appraiser selected with reasonable care by the Board; or upon financial statements of the Forum represented to the Trustee or Officer as correct by the Officer of the Corporation having charge of its books or account, or as stated in a written report by an independent public or certified public accountant or firm of accountants fairly to reflect the financial condition of the Forum. (2) Self-Dealing Transactions. Except as approved in Section 3 below, the Board shall not approve a self-dealing transaction. A self-dealing transaction is one to which the Forum is a party and in which one or more of the Trustees has a material financial interest, or a transaction between the Forum and one or more of the Trustees, or between the Forum and any person in which one or more of its Trustees has a material financial interest. (3) Approval. The Board of Trustees may approve a self-dealing transaction if the Board determines and documents that the transaction is in the best interest of, and is fair and reasonable to, the Forum and, after reasonable investigation under the circumstances, determines that this corporation could not have obtained a more advantageous arrangement with reasonable effort under the circumstances. Such determinations must be made by the Board, in good faith, with knowledge of the material facts concerning the transaction and the Trustee's interest in the transaction, and by a vote of two-thirds of the Trustees present, without counting the vote of the interested Trustee(s). 10 �(4) Loans. The Forum shall not make any loan of money or property to, or guarantee the obligation of, any Trustee, Officer, employee or agent; provided, however, that the Forum may advance money to a Trustee, Officer, employee or agent of the Forum for expenses reasonably anticipated to be incurred in performance of assigned duties, so long as such individual would be entitled to reimbursement for such expense absent that advance. (5) Disclosure. Trustees shall disclose the material facts as to any relationship or interest relating to contracts, programs, policies or other transactions that may be considered by the Board. A transaction may nonetheless be approved, as provided above in Section 3 of this Article. ARTICLE VII: Administrative Matters (1) Fiscal Year. The fiscal year of the Forum shall be July 1 through June 30. (2) Investment Policy. The Trustees shall adopt and oversee an Investment Policy that shall provide for careful and prudent investment of the Forum's resources. (3) Permanent Records of the Forum. The Forum shall keep at its principal office the original or copy of its Articles of Incorporation and Bylaws as amended to date, which shall be open to inspection by the Members and Trustees at all reasonable times during office hours. The Forum shall keep appropriate books and records of accounts; written minutes of the proceedings of its Members, Board and Committees; and a record of each Member's and Trustee's name and address. All such records shall be kept at the principle office of the Forum. Upon leaving office, each Officer, employee or other Agent of the Forum shall turn over to the successor or the Board Chair, in good order, originals of such corporate monies, books, records, minutes, lists, documents, contracts or other property of the Forum as have been in the person's custody during the term of office. On written demand of the Forum, any Trustee may inspect, copy, and make extracts of the accounting books and records, record the names and addresses of the Members entitled to vote, and the minutes of proceedings of the Members, the Board, and Committees at any reasonable time for a purpose reasonably related to the Trustee's interest as a Trustee. Any such inspection and copying may be made in person or by the Trustee's agent or attorney. ARTICLE Vni: Dissolution (1) Upon proper dissolution of the Forum, consistent with the Michigan Nonprofit Corporation Act, all assets of the corporation shall be properly distributed for charitable and educational purposes, in accordance with the Act. 11 �ARTICLE IX: Amendments to these bylaws (1) The Trustees may adopt, amend, or repeal bylaws by the affirmative vote of two-thirds of the Trustees present. This move was made to be consistent with future budgeting practices and to do away with any confusion that resulted in separating corporate grants from private foundation grants. Interest and Dividends — This shortfall from the original budget is due to receiving a $150,000 grant later in the year than anticipated. Grants and Contracts — The increase in this line item is due to the larger grant from the W.K. Kellogg Foundation that was a part of MNF's affiliation with the Michigan Campus Compact. Additionally, $35,000 of corporate contributions has been moved from general contributions for this line item. Program Income — The original budget assumed $10,000 income from the MNF retirement program. The delay in the start of this program has therefore changed our projection. Membership Dues ~ We are predicting a considerable shortfall in member dues revenue. This shortfall is due to the delayed start of the retirement program and the need to restructure our membership recruitment strategy. Miscellaneous — The $49,500 in this line item represents six months of Michigan Campus Compact member dues. These funds will be transferred in late June. EXPENSES Salaries - Staff salaries are on track with the original budget projections. Savings in the student/interns salary is a result of James Madison College at Michigan State University providing a student to MNF at no cost. Benefits — Savings in this category is a result of less PICA taxes paid because of the student/interns savings and retirement benefits that will be paid in the 1995-96 fiscal year as a result of the delay in our retirement program. Contracted Services — We realized savings in payroll services because of our arrangement with ADP in marketing their services to MNF members. We also realized a savings in the mailing services with the elimination of the MNF quarterly newsletter; �which has been replaced with our member mailing. The overage in this area is due to additional fees that have been associated with the development of the MNF retirement program. Warner, Norcross, and Judd, the law firm representing us in the development of the retirement plan, have agreed to recover any additional cost for the retirement program after the program has been implemented. Office Operations — The primary savings in this area has been a result of changing our publications strategy. Moving from the quarterly newsletter to a member mailing has saved us $21,000 in professional printing. Conversely, we have seen only a minor increase in copying expenses. Liability Insurance — The anticipated savings here is a result of changing D&O providers. Welcome & Introductions: With Chairperson's Davis and Straus present, the meeting was called to order at 10:15 a.m. Those present introduced themselves. 2. Update on Keynote Speaker Selection: L. Davis reported that James Earl Jones is unable to deliver the keynote address at GGVII. However, she announced that Governor John Engler has agreed to be the keynote speaker. He will discuss the importance of public, private and nonprofit partnerships in the new government paradigm. In addition to making a speech, Governor Engler will provide a question and answer opportunity. 3. Update on Breakout Sessions: Opening Panel: S. Katt notified the committee that Rushworth Kidder, President of The Institute for Global Ethics and Trustee of the Charles Stewart Mott Foundation, will lead a panel discussion in examining the ethical relationships between grantmakers and grantseekers. A Conversation With Rush Kidder: S. Katt discussed this session as an informal continuation ofthe opening panel subject which will allow participants to further explore ethical issues involved in the grantmaking/grantseeking process. 1 �Crossing To The New Economy: Can Nonprofits Prosper In A Service Economy? D . Egner explained that this session will be facilitated by Louis Glazer, ofMichigan Future, Inc. The discussion will focus on the shift to a service based economy and its effect on nonprofit organizations and those they serve. They Want Me To Do What? What Lansing And Washington Expect From Nonprofits In 1995 (repeated): D. Egner explained that participants will learn about recent federal and state legislative and accounting changes which will have an impact on donors and charitable organizations. Examples of topics to be discussed include F ASB accounting rules and sales tax information. Grantseeking from The Grantmaker's Eyes: An Open Dialogue With Foundation Staff (repeated): S. Katt reviewed this session noting that five foundation representatives will share candid information about foundation interests, expectations and application procedures. Building A Winning Proposal From The Ground Up: S. Katt described this session as a presentation by two experts in developing successful proposals. The focus will be on resources and grantwriting. Lists of valuable resources will be given to audience members. From Chaos To Collaboration: Togetherness Can Work For You: J. Rapanos reported that the panel will examine the role that funding plays in fostering, driving and sometimes ending collaboration. She noted that Lolita Pfeiffer will be replaced by Hilary Ferguson of the Saginaw Bay Education Consortium. Evaluation In The 21st Century: The Trend Towards Outcome Based Evaluation: G. Keilitz highlighted that this session will include an examination of what foundations look for in proposals and final reports as it relates to outcome evaluation. Baffied By Your Board? How To Work With Your Board To Make Great Things Happen: E . Rogers reported that she has been working with Larry Slessinger of the National Center for Nonprofit Boards in developing potential case studies for the panel members to use. Building Blocks of Charitable Giving: S. Nedwicki described this breakout session as presenting a general overview of planned giving supplemented by detailed handout materials. 2 �4. Update On Registration Brochure: D. Clarke discussed the MNF board's suggestion of making a strong distinction between member and nonmember registration fees. The early bird registration fee for MNF and CMF members is $40.00 and for nonmembers is $75 .00. After April22 the price is $65 .00 for CMF or MNF members and $100.00 for nonmembers. D. Clarke also thanked Crain's for graciously offering to give a free subscription of Crain's Nonprofit News to anyone signing up as a new MNF member when registering for GGVII. She indicated that committee members would be receiving registration brochures to mail to their constituents within the next two weeks. 5. Discussion of Corporate Sponsorships: D . Egner discussed the possibility of acquiring four to five corporate sponsors at $2,500 each. He listed several potential sponsors including Michigan Hospital Association, AT&T and Consumer's Power Company. Blue Cross and Blue Shield ofMichigan and Comerica have confirmed their sponsorships. Several conference events, such as the lunch and the continental breakfast, could be marketed as individual sponsorship events. He also noted that signs and space in the brochure could be used to advertise the sponsorships. 6. Review of Timeline, Logistics and Next Steps: The committee made several logistical suggestions which the staff will incorporate into their planning. L. Davis explained that 14 additional volunteers are needed for the day of GGVII. Extra volunteer forms are available from the MNF office and volunteers receive free registration. She reminded the committee that this was the last GGVII planning meeting, but they would be kept up-to-date as the conference approaches. She praised them for their excellent work and commitment to making GGVII very successful. 7. Discussion ofExhibits: S. Katt reviewed a list of exhibitors that attended GGVI and a summary of potential exhibitors for GGVII. Committee members agreed that organizations from both lists should be invited to exhibit at the seminar. They also gave additional suggestions for exhibitors. It was decided that for-profit companies would not be invited to exhibit in 1995 . Exhibitor contracts and letters of invitation will be sent to exhibitors from the MNF office. 8. Almost universally when one indicates that they are affiliated with the Michigan Nonprofit Forum, a tag line must be added stating that MNF is: a statewide association of nonprofit organizations promoting giving, volunteering, and a strong, effective, nonprofit sector in Michigan. While the tag line is helpful, it is also cumbersome and detracts from people remembering the actual name of the organization. It's certainly a hindrance when trying to recruit someone to join! Particularly in the area of membership, a name and its image go a long way toward making the sale. The name alone should reflect the character and mission of the organization. While MNF certainly has name recognition, the committee believes that now is the best time for a name change. The organization has spent the last 18 months restructuring. It is now a growing membership organization and is affiliated with both the Volunteer Centers of Michigan and The Michigan Campus Compact. The organization is also taking an active role in the public policy arena and has become a media resource on the nonprofit sector. Our name should reflect the character and strength of these efforts. As such the executive committee agreed with the recommendation of the membership committee to change the name of MNF.
