Information Qil MNF Employment Policies and Procedures (REVISED) 1) Hours: The Forum's office hours are from 8:30 unti15:00. In an organization with such a small staif, promptness and dependability are essential. So all employees are expected to arrive early enough to begin work without delay. 2) Holidays and other office closings: All full-time employees (i.e., those working more than 30 hrs/wk) will receive paid holidays as scheduled throughout the year, when the office will be officially closed. In total, 12 holidays will be scheduled for each year by the Executive Director in consultation with the staff, coinciding with bank holidays and consistent from year to year as much as possible. 1991 Holidays January 1 --New Years Day January 21 -- Martin Luther King Day ~1arch 29 -- Good Friday May 24 & 27-- Memorial Day Weekend July 4 --Independence Day September 2 -- Labor Day October 14 -- Columbus Day November 11 -- Veteran's Day November 28 & 29 -- Thanksgiving December 25 -- Christmas In case of a weather emergency or other forced closing of the office, that day will be treated as an additional paid holiday, since employees will be unable to enter their place of employment. 3) Vacation Days: It is the Forum's policy to provide eligible employees with periods for rest and recn~tion. It is in the best interest of both the Forum and the employee that these days be used regularly throughout the year, for better health and productivity. For this reason, and to encourage employees to use their earned vacation time on a regular basis, vacation days may not be c.:'lrried more than a year beyond the year in which they accrue. Vacation days accrue at the end of each quarter during the calendar year for full-time employees (prorated on a monthly basis where appropriate). Although vacation days may not be used until after the probationary period for new employees (3 months) --during which time the days are not available and will not be reimbursed if termination occurs before probation is completed -- they accrue normally during this period and become available in the next quarter. After the probationary period, vacation days may be used as they accrue at the end of each �quarter, but must be scheduled in advance with the employee's supervisor. Requests will not be denied unreasonably, though attention must be paid to the Forum's workload and current staffmg patterns. Vacation Days will accrue quarterly on the following basis and must be taken before the end of the next year. Years 1 and 2 2 weeks vacation 3 weeks vacation Years 3 and 4 4 weeks vacation Years5+ 4) Sick /Emerf:ency Leave: For times of illness, tragedy or personal hardship, the Forum provides paid leave, so that hardship is not compounded by loss of pay. Six days annually may be used for these purposes, accruing one half day per month (not reimbursed on termination nor carried forward into subsequent years). Employees should call in early, so that arrangements can be made for work coverage. 5) ~: From time to time employees may be asked to work extra hours, arranged with administrative approval. In those cases, Compensatory Time will accrue, to be used as soon as possible. To encourage its immediate use and prevent stress, Comp Time does not carry into subsequent quarters except by special arrangement. 6) Reimbursement: When staff members or agents incur costs related to their MNF responsibilities, the Forum will reimburse those costs within the limits set by the Internal Revenue Service. Appropriate forms and guidelines have been established to insure adequate documentation for the Forum's audit. 7) Equal Employment Opportunity Policy: The Forum is committed to promoting equal employment opportunity. In particular, the Forum will recruit, hire, train and promote persons in all job groups without regard to race, color, religion, sex, marital status, physical handicap, national origin or ancestry, or age with respect to persons over 40, except where these are bonafide occupational qualifications. 9) ~nations. Terminations and Discharges: In the event that an employee plans to resign, advance notice is expected: -- Two weeks advance notice from hourly personnel -- Four weeks notice from salaried personnel Should it be necessary for the Forum to terminate employment because of lack of work or the employee's inability to do the job successfully, an employee will be given the same advance notice or an equal amount of severance pay (except probationary employees). Neither advance notice nor severance pay will be granted if the employee is discharged for cause. �10) EmplQyment at Will. Personnel changes are sometimes unavoidable, initiated by and management alike. It is expressly understood that each employee retains the right to terminate employment at any time, with proper notice. MNF also retains the same right. The name of the Corporation shall be Michigan Nonprofit Forum (hereinafter referred to as "Forum"). The Forum shall exist for charitable and educational purposes, specifically: To promote the awareness and effectiveness of Michigan 1 s nonprofit sector, and to advance the cause of voluntarism and philanthropy in the state. Within these general purposes, the corporation has been organized to have and exercise all rights and powers conferred on nonprofit corporations under the laws of the State of Michigan, provided, however, that this corporation shall not engage in actions or exercise powers not in furtherance of these purposes. (2) Membership and Terms. The Membership or Members shall consist of not less than ten nor more than twenty ORGANIZATIONAL MEMBERS -- together representing a broad and diverse cross-section of Michigan 1 s nonprofit sector -- and not more than five AT-LARGE MEMBERS. In addition, the Membership shall include no more than five NETWORK MEMBERS elected from among the nonvoting Network Associates described below in Section 6. New Members shall be nominated and duly elected by an affirmative vote of two-thirds of the current Members present at a duly called and constituted meeting. Members shall serve until the qualification and appointment of their successors, or until their resignation or removal from Membership. At-Large Members shall serve terms of two years and may succeed themselves. Network Members elected from Network Associates shall serve two-year terms and may not succeed themselves more than once. ORGANIZATIONAL MEMBERS shall be (a) Michigan-based associations which represent statewide segments of the nonprofit sector, or (b) other broad-based Michigan organizations. Such organizations chosen to be Organizational Members must each have as a central concern or must have a substantial impact on the advancement of philanthropy, voluntarism and the nonprofit sector, and must support the purposes of this Forum. Current Members shall nominate and duly elect new Organizational Members with due care to achieve breadth, depth and balance in the Forum 1 s deliberations. �As much as reasonably possible, Members shall be non-duplicative in their fields and membership bases. Each Organizational Member shall designate two voting representatives who shall be known as TRUSTEES. Each Organizational Member shall determine and designate its own representatives/Trustees, which shall consist of either (a) the Chief Professional Officer and a Board Representative, or (b) two Board Representatives, in cases where the organization has no Chief Professional Officer. Guidelines for selection of the Board Representatives may be determined by the Trustees. AT-LARGE MEMBERS shall be individuals of widely recognized statewide prominence who contribute significantly to the advancement of Michigan's nonprofit sector. At-Large Members shall also be known as Trustees and shall each carry one vote. NETWORK MEMBERS shall be elected from among nonvoting Network Associates (described below in section 6) to provide balance, scope and flexibility or otherwise to strengthen the Board and the Forum. To be elected, a Network Associate must have as a central concern, or have an important impact on the advancement of philanthropy, voluntarism and the nonprofit sector, and must support the purposes of this Forum. Once elected, each NEIWORK MEMBER shall designate a Representative to serve as a Forum Trustee, who shall be either the chief professional officer or a board representative. Together, the At-Large Members, the designated representatives of the Organizational Members, and the designated representatives of NETWORK MEMBERS shall make up the Board of Trustees, which shall develop policy for and oversee the management of the business and property of the Forum. All Trustees shall have equal rights and privileges. (3) Foundine Members and Foundine Trustees. The Organizational Members represented by the signers of the Articles of Incorporation shall also be known as FOUNDING MEMBERS of the Forum. Founding Members shall be Members as of the date of adoption of the Articles of Incorporation. The Founding Members are: Association of Independent Colleges and Universities of Michigan (AICUM) Council of Michigan Foundations (CMF) Michigan Association of School Administrators MASA) Michigan Association of School Boards (MASB) Michigan Community College Association (MCCA) Michigan Council for the Arts (MCA) -2- �Michigan Health Council (MHC) Michigan League for Human Services (MLHS) Presidents Council, State Universities of Michigan United Way of Michigan (UWM) The individual signers of the Articles of Incorporation shall also be known as FOUNDING TRUSTEES. Founding Trustees shall be Trustees as of the date of adoption of the Articles of Incorporation. The Founding Trustees are: Thomas M. Bernthal, Executive Director, MCCA Edward 0. A Member may be removed from the Corporation if the Member: (a) Fails to remain an eligible Member, according to standards determined by the Board; or (b) Engages in egregious conduct contradictory to the purposes of the Forum. A Member may only be removed by an affirmative vote of two-thirds of the Trustees present at a duly called and constituted meeting. (5) Membership Liability. A Member of the Forum shall not be personally liable for the debts, liabilities or obligations of the Forum. (6) Network Associates. The nonvoting designation NETWORK ASSOCIATE shall be open to organizations which represent networks of nonprofit members or statewide organizations with demonstrated interest in or impact on the nonprofit sector. The terms, obligations and privileges of NETWORK ASSOCIATES shall be determined by the Board of Trustees. (7) Other Members. Other categories of membership may be created by the Board of Trustees, at its discretion, which shall determine the terms, obligations and privileges of such membership. -3- �Article II: Dedication of Assets (1) Dedication of Assets. The properties and assets of the Forum are irrevocably dedicated to charitable and educational purposes. No part of the net earnings, properties, or assets of the Forum shall inure to the benefit of any private person or individual, or any Member, Trustee or Officer of the Forum. ARTICLE ill: Board of Trustees (1) Desi~nation of Trustees. All properly designated representatives of duly elected Organizational Members, all duly elected At-Large Members, and all properly designated representatives of duly elected NEIWORK MEMBERS (as defined in Article 1, Section 2 above) shall be Trustees. (2) Terms and Vacancies. Trustees representing Organizational members shall serve until the qualification and appointment of their successors, or until their resignation or removal from office. At-Large Members shall serve terms of two years and may succeed themselves. NEIWORK MEMBERS shall serve two-year terms and may not succeed themselves more than once. All vacancies in the Board may be filled by the Chair until the next regular meeting of the Trustees. (3) Meetin~s (4) Re~ular Meetin~s. and Notices. Meetings of the Board of Trustees may be called by the Chair or at the request of no less than one-fourth of the Trustees. Written announcements of each meeting of the Board of Trustees shall be made by, or at the direction of, the Chair not less than ten and no more than sixty days before the date set for the meeting and shall include the date, time, place and purpose of the meeting. Preliminary or reminder notices may be made at any time. The Trustees shall hold two regular meetings annually, which shall also be known as the meetings of the Membership: on September 1 and on March 1, or as provided by the Michigan Nonprofit Corporation Act within 90 days following those dates. The September 1 meeting shall be the Annual Meeting. The two regular meetings shall be the record dates for determining the Members of Record and their designated representatives, entitled to notice of and to vote at Membership meetings. The Board of Trustees may fix the day, time and place for each regular meeting of the Trustees. (5) Special Meetin~s. Special meetings of the Trustees may be called by the Chair or at the written request of not less than one-fourth of the Trustees. (6) Quorum. A quorum at any duly called meeting of the Trustees shall consist of not less than a simple majority of the Trustees - including not less than one representative from each of two-thirds of the ORGANIZATIONAL MEMBERS and elected NETWORK MEMBERS, and at least one AT-LARGE MEMBER. Any proper -4- �action of those present at a duly called and constituted meeting shall be the action of the Board and the Membership. (7) AdQption. Adoption of new program initiatives shall require a two-thirds affirmative vote of the Trustees present at any duly called and constituted meeting. Public policy positions may be adopted regarding matters of common concern of the Membership and shall require a unanimous affirmative vote of the Trustees present at any duly called and constituted meeting. Other actions shall require a majority affirmative vote of the quorum present, except as provided in these Bylaws. (8) Action by UnaoimQus Written CQnsent. Any action required or permitted to be taken by the Board may be taken without a meeting and without prior notice, if all Trustees consent in writing to the action. The written consents shall be flled with the minutes of the proceedings of the Board. The action by written consent shall have the same force and effect as the unanimous vote of the Board. (9) No CQmpensation. Trustees shall not receive compensation for holding such office. (10) Liability. Consistent with the Michigan Nonprofit Corporation Act, a Trustee shall not be personally liable for monetary damages for a breach fiduciary duty, and the Forum shall assume all proper liability, except in the case of: (a) A breach of the Trustee's legal duty of loyalty to the corporation or its members; (b) Acts or omissions by the Trustee not in good faith or that involve intentional misconduct or a knowing violation of law; (c) An affirmative vote or other lawful concurrence by the Trustee in an unlawful corporate act, including those prohibited by these bylaws and by the Michigan Nonprofit Corporation Act; (d) A transaction from which the Trustee derived an improper personal benefit; or (e) An act or omission by the Trustee that is grossly negligent. (11) Indemnification. Consistent with the Michigan Nonprofit Corporation Act, the Forum shall indemnify any person who serves as its Trustee, Officer, employee or agent who is a party or threatened to be made a party to any threatened, pending, or completed action, suit or proceeding, against expenses - including attorneys' fees, judgments, penalties, fines, and amounts paid in settlement-- actually and reasonably incurred by the person in connection with an action, suit or proceeding incurred by reason of the fact that the person is or was a Trustee, Officer, employee or agent of the corporation, if the person acted in good faith and in a manner the -s- �person reasonably believed to be in or not opposed to the best interest of the corporation or its members, and - with respect to any criminal action or proceeding - if the person had no reasonable cause to believe that the conduct was unlawful. However, as prescribed by the Act, indemnification shall not be made for a claim, issue, or matter in which the person has been found liable to the corporation unless and only to the extent that the court in which the action or suit was brought has determined upon application that, despite the adjudication of liability but in view of all circumstances of the case, the person is fairly and reasonably entitled to indemnification for expenses which the court considers proper. Article IV: Officers and Executive Director ( 1) Forum and Board Officers. The Officers of the Forum shall be identical to the Officers of the Board of Trustees. The Officers shall be elected annually by a twothirds affirmative vote of the Trustees present at a duly called and constituted meeting. (2) Desi2nation of Officers. The Officers of the Board shall be a Chair, a Vice-Chair, a Secretary, and a Treasurer, all nominated and duly elected by the Board. (3) Duties of the Chair. The Chair shall serve as the president of the Forum and president of the Board of Trustees. The Chair or, when absent, the Vice Chair shall preside at the regular and special meetings of the Board of Trustees. The Chair shall preside at meetings of the Executive Committee. The Chair shall appoint Committee Members and Committee Chairs, with Board ratification, consistent with designations in these Articles. The Chair shall perform such other duties as are incident to the office or are properly delegated by the Board of Trustees. (4) Duties of the Vice Chair. The Vice Chair shall preside at regular and special meetings of the Board of Trustees when the Chair is absent. The Vice Chair shall become Interim Chair, pending Board action, should the Chair resign or become unable to perform the duties of office. (5) Duties of the Secretary. The Secretary shall perform or direct and oversee the performance of the following duties: (a) issue notice of all meetings; (b) keep all minutes which shall be signed by the Secretary upon approval by the Board; (c) maintain the corporate records; and (d) make such reports and perform such other duties as are incident to the office or properly delegated by the Board of Trustees. (6) Duties of the Treasurer. The Treasurer shall have, under the direction of the Board of Trustees, the custody of all monies, securities and other property of the Forum. The Treasurer shall perform all duties incident to the office or properly delegated by the Board of Trustees. The Treasurer shall perform or direct and oversee the performance of appropriate fiscal recordkeeping for the Forum. -6- �(7) No Compensation. Officers of the Board shall not receive compensation for holding such office. (8) ReQuirements for Officer Participation. Requirements for Officer participation shall be determined by the Board. When such requirements are not satisfied and proper remediation procedures have been followed (according to procedures determined by the Board), the Board may elect to remove an Officer from office by a two-thirds affirmative vote of the Trustees present at a duly called and constituted meeting. (9) Executive Director. The Executive Director shall serve as the Chief Executive Officer of the Forum. The Executive Director shall be appointed by the Board of Trustees, through procedures designated or delegated by the Board, and shall serve at the pleasure of the Board. The Executive Director shall not be a Trustee. ARTICLE V: Committees of the Board of Trustees (1) The Board of Trustees shall create the following Standing Committees, whose members shall be appointed by the Chair and ratified by the Board and shall serve at the pleasure of the Board. The Standing Committee Chairs shall report directly and regularly to the Board of Trustees. All Standing Committees shall include the Executive Director as a nonvoting ex officio member. Committee Members shall each have two-year terms, staggered to maintain continuity, except as designated by the Board. (a) Executive Committee. The Executive Committee shall consist of the Officers, the Chairs of Standing Committees, the immediate past Board Chair, and one other Trustee designated by the present Board Chair. The Board Chair shall chair the Executive Committee. The Executive Committee shall be empowered to act on behalf of the Board of Trustees (1) in recommending to the Board appropriate matters for its consideration at scheduled Board meetings; (2) in implementing and developing details of policy positions previously adopted by the Board; (3) in addressing and enacting policy matters delegated by the Board; (4) in emergencies and between Board meetings when prompt policy attention is required (subject to subsequent reporting and, where appropriate, ratification by the Board); and (5) in personnel matters and oversight relating to the Executive Director. (b) Bud2et and Finance Committee. Members of the Budget and Finance Committee must all be Trustees, and the Committee shall be chaired by the Treasurer. The Budget and Finance Committee shall oversee and develop policy for the financial health of the Forum, and shall make recommendations for Board approval concerning the Forum's -7- �annual and long-range budget. The Committee shall develop fundraising policies for Board approval and shall propose initiatives to the Board concerning the Forum 1 s resource development operations. The Committee shall perform such other duties as are incident to this charge or are properly delegated by the Board of Trustees. (c) Audit Committee. The Audit Committee shall be chaired by a Trustee other than the Treasurer, who shall not serve on the Audit Committee. The Audit Committee shall oversee the annual audit of the Forum. Members of the Audit Committee may include such non-Trustees as necessary to insure a responsible, comprehensive and enlightening audit. (d) Membership and Nominatine Committee. Members of the Nominating Committee must all be Trustees. The Nominating Committee shall recommend candidates for ORGANIZATIONAL and AT-LARGE MEMBERS to the Board of Trustees. The Nominating Committee shall recommend candidates to the Board for the Offices of the Board. The Committee shall perform such other duties as are incident to this charge or are properly delegated by the Board of Trustees. (e) Public Policy Committee. The Public Policy Committee Chair must be a Trustee. Members of the Public Policy Committee may include such non-Trustees as will promote the effective accomplishment of this part of the Forum Is mission. The Public Policy Committee shall develop policies for Board approval and shall propose initiatives to the Board concerning the Forum Is work in the area of public policy related to philanthropy, voluntarism and the nonprofit sector. The Committee shall perform such other duties as are incident to this charge or are properly delegated by the Board of Trustees. (f) Grantmakers/Grantseekers Seminar Proeram Committee. The GGS Program Committee shall plan and oversee the annual GG Seminar. The GGS Program Committee shall be Co-Chaired by one representative of the grantmak:ing community and one representative of the grantseeking community. At least one Co-Chair must be a Trustee. Membership on the Committee may include such nonTrustees as will insure a successful event, consistent with the Forum 1 s mission. Membership shall include official representation from each of the Michigan Chapters of the National Society of Fundraising Executives, and shall include balanced representation from grantmakers, grantseekers and other stakeholders, as determined by the Board. -8- �(g) Promm Committee. The Program Committee must be chaired or cochaired by Trustee(s) of the Forum. Membership may include such non-Trustees as will insure the effectiveness of the Forum's programs, consistent with its mission. The Program Committee shall develop policies for Board approval and shall make recommendations to the Board concerning new program initiatives in the four areas of the Forum's mission: (1) Voluntarism, (2) Philanthropy, (3) Public awareness of the nonprofit sector, and (4) Effectiveness of the nonprofit sector. The Program Committee shall perform such other duties aS are incident to this charge or are properly delegated by the Board of Trustees. (2) Action by Unanimous Written Consent. Any action required or permitted to be taken by a Committee may be taken without a meeting and without prior notice, if all Committee Members consent in writing to the action. The written consents shall be filed with the minutes of the proceedings of the Committee. The action by written consent shall have the same force and effect as the unanimous vote of the Committee. (3) Action by Written Ballot Without a Meetin~:. Any action that may be taken at any Committee meeting may be taken without a meeting and without prior notice by complying with the following provisions concerning written ballots. The Committee Chair shall direct the mailing or delivery of one written ballot to each Committee Member entitled to vote on the matter. Information shall be included that: (a) Sets forth the proposed action; (b) Provides Committee Members with an opportunity to specify approval, disapproval or abstention for each proposal; (c) Indicates the number of responses needed to meet the quorum requirements; (d) States the percentage of approvals necessary to pass the measure or measures; and (e) Provides and specifies a reasonable time by which the ballot must be received in order to be counted. All written ballots shall be maintained in the Committee records. -9- �(4) Other Committees. The Board may establish, at its discretion, such other ad hoc committees and advisory groups as it deems necessary or desirable for the continuing purpose and effective operation of the Forum and the conduct of its affairs. ARTICLE VI: Standard of Care (1) Duties and Liability. The Trustees shall adhere to the Standard of Care required by the Michigan Nonprofit Corporation Act: that is a Trustee or Officer of the Forum shall discharge the duties of that position in good faith and with that degree of diligence, care, and skill which an ordinarily prudent person would exercise under similar circumstances in a like position. In discharging those duties, a Trustee or Officer, when acting in good faith, may rely upon the opinion of the Forum's counsel; upon the report of an independent appraiser selected with reasonable care by the Board; or upon financial statements of the Forum represented to the Trustee or Officer as correct by the Officer of the Corporation having charge of its books or account, or as stated in a written report by an independent public or certified public accountant or firm of accountants fairly to reflect the financial condition of the Forum. (2) Self-Dealin~ Transactions. Except as approved in Section 3 below, the Board shall not approve a self-dealing transaction. A self-dealing transaction is one to which the Forum is a party and in which one or more of the Trustees has a material financial interest, or a transaction between the Forum and one or more of the Trustees, or between the Forum and any person in which one or more of its Trustees has a material fmancial interest. (3) Ap_proval. The Board of Trustees may approve a self-dealing transaction if the Board determines and documents that the transaction is in the best interest of, and is fair and reasonable to, the Forum and, after reasonable investigation under the circumstances, determines that this corporation could not have obtained a more advantageous arrangement with reasonable effort under the circumstances. Such determinations must be made by the Board, in good faith, with knowledge of the material facts concerning the transaction and the Trustee's interest in the transaction, and by a vote of two-thirds of the Trustees present, without counting the vote of the interested Trustee(s). (4) LQans. The Forum shall not make any loan of money or property to, or guarantee the obligation of, any Trustee, Officer, employee or agent; provided, however, that the Forum may advance money to a Trustee, Officer, employee or agent of the Forum for expenses reasonably anticipated to be incurred in performance of assigned duties, so long as such individual would be entitled to reimbursement for such expense absent that advance. -10- �(5) Disclosure. Trustees shall disclose the material facts as to any relationship or interest relating to contracts, programs, policies or other transactions that may be considered by the Board. A transaction may nonetheless be approved, as provided above in Section 3 of this Article. ARTICLE VII: Administrative Matters (1) Fiscal Year. The fiscal year of the Forum shall be determined by the Board of Trustees. (2) Investment Policy. The Trustees shall adopt and oversee an Investment Policy that shall provide for careful and prudent investment of the Forum's resources. (3) Permanent Records of tbe Forum. The Forum shall keep at its principal office the original or copy of its Articles of Incorporation and Bylaws as amended to date, which shall be open to inspection by the Members and Trustees at all reasonable times during office hours. The Forum shall keep appropriate books and records of accounts; written minutes of the proceedings of its Members, Board and Committees; and a record of each Member's and Trustee's name and address. All such records shall be kept at the principle office of the Forum. Upon leaving office, each Officer, employee or other Agent of the Forum shall turn over to the successor or the Board Chair, in good order, originals of such corporate monies, books, records, minutes, lists, documents, contracts or other property of the Forum as have been in the person's custody during the term of office. On written demand of the Forum, any Trustee may inspect, copy, and make extracts of the accounting books and records, record the names and addresses of the Members entitled to vote, and the minutes of proceedings of the Members, the Board, and Committees at any reasonable time for a purpose reasonably related to the Trustee's interest as a Trustee. Minutes of the Finance Committee Meetin~: October 1, 1991 -- 9:30 to 11:30 a.m. (UWM, 300 N. Washington Sq., Suite 405) Members Present: Staff Present: Joyce A. Brown Robert E. Ivory Donna M. Clarke Maryellen J. Lewis 1. Call to Order. With the Chair present, the meeting was called to order at 10:00 a.m. 2. Review of 1990=91 Financial Statement and 1991-92 Bud~:et: The committee reviewed and adopted the annual financial statement and recommended final adoption by the Executive Committee and the board. Because the Finance Committee was unable to meet before the August 6 Executive Committee meeting, this statement was provisionally adopted on 8/6 based on the Treasurer's report. The Finance Committee reviewed the construction of the 1991-92 budget: starting with the original Kellogg budget (11 months from Year 2 plus 1 month from Year 3, to adjust to MNF's fiscal year), then adding the fund balance from 1990-91, then adding the Grantmakers/Grantseekers budget for 1991-92. The committee adopted the budget, with the following changes (primarily concerning the unbudgeted Year 2 "fund balance"): A. Staff Development: $1500 will be transferred from the unbudgeted fund balance to staff development, which now has no budget. This will be used primarily for computer training and training of the administrative assistant on administrative skills (e.g., nonprofit accounting). B. EQuipment: Currently, a balance remains from funds allocated in Year 1 for the newly-networked computer system. Most of these funds are already �earmarked for that purpose. However, funds will be needed in Year 2 for the following, for which no budget now exists: - Postage meter - Car phone and related monthly costs - Peripheral software to fine-tune the new system -Repairs, including a pending computer repair on one of MNF's original computers For these purposes, $2500 will be transferred from the current fund balance to Equipment. C. AYmt: Estimates are now being sought for MNF's first audit. Based on experience, the UWM Director of Finance estimates that the cost will be between $3000 and $3500. For that purpose, $3500 will be moved to Other Expenses from the current fund balance. D. Rent and Utilities: Space is now being donated to MNF, and the cost of parking is minimal in the current location. However, the board should continue to anticipate realistic costs in the budget. This is particularly true since MNF has grown -- now with 3 staff and 2 interns -- and current space is inadequate. To anticipate the real costs of adequate office space and utilities, $2750 has been added to the current budget for Rent and $466.35 for Parking, taken from the current fund balance. E. Other Expenses: The rest of the fund balance ($3149.65) will be moved to Insurance, in anticipation of costs of Directors and Officers Liability Insurance (bids pending). 3. Review of First Ouarterly Report. The committee reviewed and adopted the first quarterly report, with a few format changes which will be incorporated in the 10/8 report to the Executive Committee. 4. Review of Income Sources. After discussion, the committee adopted the Proposed Sources of Other Income for 1991-92, with the following changes: A. Only $2,000 will be targeted from Individual Trustees (now 36 persons) B. $2,000 will be targeted from new Network Associates Check-writin~ 5. Policy. M. Lewis reported that now that MNF is located away from the United Way of Michigan, the current ceiling on checks without a co-signature ($1000) has proved to be very awkward and time-consuming. After discussion, the committee recommended that the board adopt a new ceiling of $2000. The committee also recommended that MNF staff be bonded. 6. Frin~e Benefits: M. Lewis reported that currently, MNF is exploring a possible arrangement with UWM for payroll and fringe benefits. Pending whether or not this 2 �arrangement is formalized, the committee recommended postponing further consideration of MNF fringe benefits. 7. Investment Policy: M. Lewis reported that currently and in the foreseeable future, MNF funds are invested in CO's and an interest-bearing checking account. The United Way of Michigan recently completed an investment policy, which the committee will review for the next meeting. No further action was taken. 8. Update on Audit and Accountin~: System. M. Lewis reported that bids are pending on the audit, estimated to cost $3000 - $3500. She also noted that a new accounting system has been installed (Peachtree Crystal for Windows) and staff are now receiving training. 9. Committee Structure and Schedule. After discussion, the committee agreed to request that the Chairman add additional Lansing-area members, to replace two members who have rotated off the board (Paul Borman and Ken Gruber). The committee also agreed to schedule regular quarterly meetings, two weeks after the close of each quarter. Staff will circulate possible dates. Monthly reports will be shared with the Committee Chairman/Treasurer, after executive review. 10. Adjournment. Wetherholt Staff Present: Donna M. Clarke Maryellen J. Lewis 1. Call to Order: With the Co-chairs present, the meeting was called to order at 10:15 a.m. Those present introduced themselves. J. Lore discussed the history of the Grantmakers/Grantseekers Seminars. D. Sieger reviewed the meeting agenda and the "role" description for members. 2. Review of 1991 Grantmakers/Grantseekers Seminar A. Staff Report. M. Lewis reviewed the Summary of Evaluations from Grantmakers/Grantseekers ill, as well as the attendance breakdown by sector. Sample comments mentioned the outstanding speakers, variety and number of sessions, the lack of adequate hotel signage and overcrowding at some sessions. The members discussed the evaluation comments and ways to incorporate them into GGIV. It was suggested that efforts be made to categorize those who attend the Grantmakers/Grantseekers Seminars by position/title. This information would allow the committee to tailor future seminars appropriately. �J. Wetherho1t reported on the history and current status of the exhibits at the seminar. She suggested that the committee look at inviting vendors to display at GGIV for a fee. Staff will review the implications of these recommendations and make further recommendations to the committee. B. Insi~hts for 1991 Plannin~. Committee members reflected on their individual perceptions of the previous Grantmak:ers/Grantseekers Seminars. Several common themes emerged; maintaining diversity, capturing the "small" group feeling, encouraging volunteer leadership participation, and nurturing enthusiasm among the participants. The committee agreed to keep these items in mind during every phase of the planning. 3. Selection of 1992 Seminar Theme. J. Lore presented a history of the previous GGS themes and encouraged the committee to follow along those lines. After brainstorming, the committee chose: "Living our Mission: Meeting our Public's Needs." 4. Identification of Key Speakers. Both D. Sieger and J. Lore emphasized that the Keynote speaker sets the tone for the entire conference. The opening session needs a charismatic, thought-provoking speaker who is in-tune with the independent sector. The speaker should also be someone of prominence and broad based appeal. After discussion, the committee decided to invite Father Bill Cunningham of Focus Hope in Detroit. J. Lore will formally contact Father Cunningham on behalf of the committee. In light of participants' preference for networking time, the committee decided not to have a luncheon speaker. Staff is working with the hotel on ways to divide the lunchroom, in order to decrease the noise and increase the feeling of intimacy. Noting that the conference is on a Friday and many conference participants usually leave before 5:00p.m., the committee decided not to have a closing speaker or formal reception. Instead, the conference will end at 4:00p.m. and space will be made available from 4:00p.m. to 5:00p.m. for anyone who would like to continue meeting/networking. 5. GGIV Pro~ram Outline and Assi~nments. After discussion, the committee agreed to nominate G. Welcome and Call to Order: With the Co-chairs present, the meeting was called to order at 10:05 a.m. Those present introduced themselves. 2. Review of the Minutes: The committee reviewed and unanimously approved the minutes of the August 27, 1991 meeting of the GGIV program committee. 3. Overview of GGIV in the context of the Michigan Nonprofit Forum: M . Lewis presented an informational video on the history and background of the Michigan Nonprofit Forum, noting that MNF is integrating the Grantmakers/Grantseekers Seminar with its ongoing work with the sector. �4. Review and Update on GGIV Pro2ram Plans: A. Openin2 Session: J. Lore reviewed prior discussions on the opening speaker and announced that Marian Wright Edelman, president of the Children 1 s Defense Fund, has agreed to be the keynote speaker for GGIV. J. Lore also asked the committee to consider inviting representatives from the Kresge Foundation to make a presentation on the VanDusen Endowment Challenge. The committee unanimously agreed to invite the Kresge Foundation to participate in an afternoon breakout session. This two-hour program will replace the "Grantmaker meets Grantseeker" program previously scheduled for the afternoon. J. Lore will make the appropriate follow-up contacts. B. Display Areas: J. Wetherholt reviewed the question of vendoring the display area. After discussion, the committee decided to continue operating the display area as it had in the past. Select groups will be invited to display their materials at no charge. However, staff will work to evaluate and measure the effectiveness and usefulness of the display area in order to re-evaluate for GGV. C. Mana2ement Session: D. Sieger reported for L. Patterson who was unable to attend the meeting. L. Patterson has been in touch with Flo Green, who has agreed to be a presenter at GGIV. F. Green mentioned several "hot" management topics which she would be willing to address. After discussion, the committee agreed to invite F. Green to speak in two sessions on "Collaboration and Appropriate Mergers" and "Innovative Income Generation". D. Voluntarism Session: M. Lewis reported on the morning session on volunteering, which will be based on the planned Michigan Campaign for Voluntarism which will kick-off at GGIV. The announcement of Michigan Is Year of the Volunteer will be made then, followed by a press conference at noon. This breakout session will report on the entire effort and will include Frank Popoff, CEO of Dow Chemical and Co-chair of the Campaign, as the keynote speaker. E. Evaluation Session: D. Moore reported on the outline for this session. It will include representatives of a range of organizations from grantmaking to grantseeking, such as a trustee or a board member of a nonprofit, an administrator in a nonprofit, and a United Way director in order to speak to the accountability issue. J. Sanders of the Kellogg Foundation will discuss the evaluation approach at the Kellogg Foundation. All panel members serve on an ad hoc committee looking at evaluation and accountability issues of nonprofits in Battle Creek. D. Moore suggested, and program committee members agreed, that this session will provide the audience with a strong "real world" world example for understanding a complex set of issues. 2 �F . Meet the Grantmakers Session: D. Sieger asked the committee to look at the value of this type of "dog and pony show" session. The committee agreed this session might work best if focused on a particular segment of the grantmaking community. After discussion the committee agreed this session should focus on the role of community foundations, both financial and non-fmancial. The panel should also include a person who can help provide the "big picture," such as how community foundations can serve as partners for leveraging corporate and foundation dollars. G. Public Policy Issues Session: G. Stevens reported this session will focus on both national and state level policy issues. Joy Terrel of Independent Sector will speak to the national issues and Edward Blews of the Association of Independent Colleges and Universities of Michigan will speak to the state issues. After discussion, the committee agreed that this session should not only be used to present information, but also to garner information for MNF's mission. Staff will work with G. Stevens to incorporate this into the session, possibly through a questionnaire. H . Trustees Session: C. Murray reported that G. Panas, author of "Born to Raise," "Megagifts," and "The Fundraising Almanac" , has agreed to speak at this session. He will present two one-hour back-to-back sessions in the afternoon. I. Media and Demo~raphics Sessions: M. Lewis reported on these two sessions. She noted MNF' s work with the Michigan Communication Project and discussed how this could be coordinated into a media relations session. She also mentioned Mark Wilson's work on the State of Nonprofit Michigan Project and discussed how this could be integrated into a demographics session. However, because F. Green will be presenting two sessions, one afternoon session may need to be cancelled. Staff will work with the hotel to fmd additional space to prevent this from happening, but M. Lewis asked the committee to be aware of this possibility. J. Advocacy/Lobbyin~ Session: S. Feurt reported on her work with the Alliance for Justice on this session. The committee discussed the difference between state and federal lobbying regulations and noted this is something to be very cautious of and sensitive to during the presentation. S. Feurt will continue to flesh out this session with the help of L. Wells. 5. Discussion of Moderators: M. Lewis pointed out moderators must be finalized at the next meeting, on December 3. Moderators often are very knowledgeable about the topic and help to provide coherence and continuity between speakers and panelists. The selection of moderators -- in the past done mainly by co-chairs and staff-provides an important opportunity to add stature, balance and diversity to the sessions and to the Seminar as a whole. 6. Publicity: M. Lewis is working with the Kellogg Foundation on the advance notice postcard, which should be ready for dissemination in November. After discussion, 3 �the committee agreed that each member should begin to contact their own media contacts with the infonnation on GGIV. Later, a media kit will be put together which includes a press release and a post card, followed by a press release and a brochure as the conference date approaches. Efforts should also be made to insure the mention of GGIV in the Crain's Detroit Business Nonprofit Edition coming out in December. 7. Timeline and Next Steps: The next meeting will be December 3, 1991 at the Kellogg Center in East Lansing. Progress reports are due to the Co-chairs and M. Lewis by November 18. 8. The Michigan nonprofit community should promote constructive dialogue among all these parties. 1. Persuade community and private foundations that financially supporting volunteer centers and information referral centers on a continuing basis should be a top priority policy. (6) GUIDING PRINCIPLE #4: Michigan's nonprofit sector should define and aspire to the highest management standards of ethics, efficiency, and accountability, while preserving its historic and essential independence. 1. Ethics in nonprofit arena. (4) GUIDING PRINCIPLE #5: The Michigan nonprofit community should develop the rationale for tax exemption (rather than waiting for it to emerge from the pattern of decisions by government officials) and then play an active role in encouraging Michigan's leadership - including elected officials -- to embrace it. 1. Encourage communities to establish a complete volunteer intra-structure: a. A representative leadership council b. Strong United Way c. An effective volunteer center as well known as the post office d. Corporate employee and professi onal volunteer councils e. An informative and referral center as well known as the post office f. Sources of Other Income for 1991-92 In 1991-92, a total of $12,163 must be raised from sources other than the W.K. Kellogg Foundation ($160,163), the ten Founding Member Organizations ($10,000), MNF subscriptions ($2,000), and the Grantmakers/Grantseekers Seminar (which is heavily subsidized and not intended to produce excess revenue for MNF general support). Review of the DRAFT Brochure: M. Lewis discussed the development of the DRAFT MNF brochure. It will be used not only to garner membership, but also to disseminate information on MNF. It includes descriptive information on MNF activities and can also be adapted to include timely information on MNF summits and initiatives. In reviewing the brochure, the committee stressed the importance of outlining and clarifying membership benefits as MNF continues to campaign for members. The committee also made note of minor language and graphic changes. 4. Review of potential Network Associates: The committee reviewed the list of potential Network Associates and the comments and suggestions which had been received from MNF Trustees. The committee again noted the importance of using the brochure for informational as well as membership purposes. Staff will continue to work with Trustees, especially the Michigan League for Human Services, to further define the membership mailing list. �5. Development of Membership Campai~:n Strate2y: After discussion, the committee decided that for the membership campaign to be successful, it would need the personal appeal of MNF's Trustees behind it. The first phase of the campaign will involve mailing out the brochure with a cover letter from individual MNF Trustees who have knowledge of the targeted organization (planned for November). Staff will provide the Trustees with a sample form letter which can be personally modified by each Trustee. Trustees will follow-up this written communication with a personal phone call approximately two weeks after the brochure is mailed. The second phase of the campaign will begin in January with an evaluation of the efforts to date and a second, broader mailing targeted to a specific group of individuals, such as those who attended GGill. As a benefit of membership, organizations will receive discounts on MNF events. This second mailing could be timed to arrive prior to the registration period for GGIV, thus providing potential members with a natural incentive to join MNF immediately. 6. Determination of Candidate to rtaJlace Helen Milliken: The committee discussed the resignation of Helen Milliken from the Board of Trustees for health reasons and reviewed the names of potential replacements which had been submitted by MNF Trustees. The committee recommended that Elizabeth Upjohn be named as an AtLarge Member of MNF. The full Board of Trustees will consider this recommendation on October 28, 1991. 7. Confirmation of the Slate of Officers: In order to insure continuity and stability during MNF's crucial start-up years, the committee recommended that MNF's current officers remain in office for a second term. The committee also discussed the need to identify future officers and committee chairs so that they may become familiar with the responsibilities associated with these positions. 8. Lewis discussed the transfer of the chairmanship from B. Goldman to L. Young. She also indicated that the fmance committee members present were invited so that the membership committee could plan and implement a membership campaign with the knowledge of MNF's current fiscal status and policies. 2. Review of Bylaws Amendment & Membership Structure: The committee reviewed the bylaws amendments in Article I & III, the membership structure, and the dues and contributions schedule (see attached) which were approved by the Board of Trustees on 5/9/91. The committee stressed the current need to define and clarify benefits of membership which are associated with each category of Membership. In reviewing the dues structure, the committee reiterated that MNF will not actively solicit members from any MNF member association (such as the United Way of Michigan or the Council of Michigan Foundations), except with the consent and in cooperation with that member. As recommended by the board, the committee reviewed the category of "Other Members." After discussion, they determined that this category merely allows the Board to create new membership categories in the future, should it choose to do so; it �is not in itself an active category for membership. The committee also recommended that the entire membership structure continue to be reviewed as the membership grows. 3. Review of Proj?osed Bud&ets: The committee reviewed the attached MNF Three Year General Cash Income for Years 2 & 3 (1991-1993) and the Target Income from Membership and General Contributions for Year 4 (1994). In 1992 MNF must raise $12,163 from contributions/dues. In 1993 this figure increases to $54,913, including the new staff position (currently covered by unexpended funds from 1990-91). In light of these figures, the committee determined that MNF should begin a targeted membership drive during the fall of 1991. 4. Devela,pment of a Strate&y: After lengthy discussion, the committee decided to develop a membership brochure which will be mailed in October to a targeted list consisting of 100 organizations. This target list will be compiled from the MNF database, from lists made available to MNF by D. Johnson, and from Organizational Member recommendations. Organizational Members will also take responsibility for follow-up contacts to targeted organizations. 5. Next Steps: The membership committee and staff will continue to work on specifying membership benefits. MNF staff will assemble a target membership list which to circulate among organizational members for their input. M. Lewis will work with the W .K. Kellogg Foundation to develop a membership brochure. 6. MNF should actively support and encourage educational programs that promote voluntary giving and service, and should continue to explore an appropriate role in this growing field. The Michigan nonprofit community should promote constructive dialogue among all these parties. 4. MNF should begin a series of formal MNF-sponsored Summits on critical issues (one or two per year), beginning with the Summit planned for February 1992. 5. These Summits should be taped and disseminated through structured regional/local discussion groups, to stimulate the widest possible dialogue, understanding and constructive action. 6. MNF should continue to sponsor the Grantmakers/Grantseekers to promote the strongest and most effective partnership among funders and providers. OTHER: �GUIDING PRINCIPLE #3: In order to assist in re-educating the public and public leaders with concrete evidence of the PUBLIC BENEFIT of the nonprofit sector, the Michigan nonprofit community should encourage and undertake studies of its many unique benefits provided to the community at large. 7. MNF should collect existing research on Michigan 1 s nonprofit sector and disseminate it in usable form to nonprofit professionals and the public. 8. MNF should continue to cooperate with others to stimulate additional research on Michigan Is nonprofit sector, so that dependable information is available for planning (for example, by continuing the Scholars Roundtables). 9. MNF should continue to explore ways to become a resource to scholars seeking to access nonprofit organizations for research purposes; similarly, MNF should become an effective mechanism for the practicing nonprofit sector to communicate its research questions to researchers, in order to reduce the gap between research and practice. OTHER: GUIDING PRINCIPLE #4: Michigan's nonprofit sector should derme and aspire to the highest management standards of ethics, efficiency, and accountability, while preserving its historic and essential independence. 10. MNF should implement its interactive Computer Bulletin Board, as a tool for better communication across the sector. 11. MNF should produce a composite calendar of training opportunities, for dissemination in printed form and/or on the Computer Bulletin Board. 12. MNF should develop a working network among providers of technical assistance and training, for joint planning and more comprehensive services to all regions. With the President and the Secretary present, the meeting was called to order at 10:20 a.m. Those present introduced themselves. 2. Minutes. The minutes of the October 16, 1990 meeting were approved as printed and distributed. 2.1. Upcoming Meeting. The next meeting of the MNF Board will be determined by the Executive Committee after circulating a list of possible dates. 3. Reoort of the Finance Committee: Committee Chairman R. Ivory reviewed the interim financial report through April 30, 1991. He indicated that both a 12-month and a 13-month budget were included, reflecting a requested change in the �Kellogg grant year to July-to-June, to match the Forum's fiscal year. J. King moved the adoption of the financial report for eleven months. After discussion, the motion carried unanimously. 3.1. Proposed Budget Chancres. The Finance Committee, with the endorsement of the Executive Committee, recommended adjustments in the budget for the second year of the Kellogg Grant to create a third staff position and to transfer $11,500 from 1990-91 administrative surpluses to expand the MNF's office technology. On behalf of the Finance Committee, R. Ivory moved the adoption of these recommendations. After discussion, the motion was adopted unanimously. 3.2. Office Facilities. M. Lewis reported on the move to the Kellogg Center in East Lansing. She indicated that this space will be available until September 1, 1991. After that time, MNF must move to rental space in Lansing. Charles Anderson raised a question about whether the intention was to maintain the Forum offices in Lansing. It was the consensus of the Board that the offices sho.uld remain in the Lansing area. 4. Report of the Audit Committee: M. Lewis gave a preliminary report of the audit committee, at the request of Chairman G. Stevenson who was unable to attend. She indicated that the Chairman was seeking a pro bono audit if possible. Further, she reported that MNF's first seven months were already audited as part of the United Way of Michigan's 1990 calendar-year audit. 5. Report of the Membership/Nominating Committee: B. Goldman reported the recommendations of the committee to amend the bylaws in Article I & III (SEE ATTACHED). She reviewed the current membership structure of MNF and indicated the committee's recommendation that a new category of members entitled "Network Members" be established, including five positions elected from among smaller network s of nonprofits not now represented on the Board. Each o f these new Members would appoint one representative (either the executive or a trustee) to serve as MNF Trustee . RATIONALE: These new Members would build turnover into the Board, which is now made up entirely of permanent Organizati onal Members (although the Trustees representing those permanent members may change). The new members would also allow the Board to expand gradually, as new permanent Organizational Members are identified through e x perience. In addition, the committee recommended changing the name of the current bylaws category of nonvoting Associa te 2 �Members to "Network Associates," so that the term "Member" in the bylaws is reserved to the Board. The five Network Members would be elected from among the "Network Associates" who join MNF as subscribers/supporters (as indicated below in the recommended dues/contributions structure) . After considerable discussion, J. Marshall moved that the proposed amendment be adopted. The motion carried unanimously. 5.1. "Other" Members. There was discussion regarding the bylaws category of "Other Members" (Article I, Section 7). M. Lewis indicated that this is not an active category, but is rather a "bookmark" in the bylaws to enable the Board to create new membership categories in the future. The Board asked the Membership Committee to give consideration to further clarifying this category. 6. Proposed Dues/Contributions Structure: Treasurer R. Ivory reviewed the joint recommendations of the Finance and Membership Committees regarding a Dues/Contributions Structure. E. Blews suggested, and others agreed, that members of Organizational Members be recruited only in consultation and collaboration with the Organizational Member. E. Blews moved the adoption of the Proposed Dues & Contributions Schedule (SEE ATTACHED) in principle and authorized the Executive Committee, in consultation with the Finance Committee, to make necessary adjustments. The motion carried unanimously. B. Goldman indicated that the Membership Committee planned to initiate a membership campaign, to begin probably in the fall. RECESS: The meeting recessed for lunch at 11:50 a.m. and reconvened at 12:55 p.m. 7. Report of the Program Committee: H. Philpott, Chair, presented the report of the committee including its recommendations: a. Fall Summit: that MNF conduct a fall summit on the key role of the nonprofit sector in Michigan communities, and its evolving relation to government and the private sector, and that the Summit will be an invitational dialogue among civic leaders, focussed by a seminal paper presented by a respected national spokesperson. b. Video: that MNF sponsor a roundtable in the spring, videotaped for wide distribution, on 3 �similar issues as (a), but with a broader educational purpose. c. Youth Community Service: that MNF continue to assist with the development of a state-wide initiative for youth community service programs, targeted for support from the National and Community Service Act. d. "Give Five" Campaign: that, consistent with the Trustees' recommendation at the 10/16/90 board meeting, MNF should initiate a state-wide "Give Five" campaign, to achieve a new personal standard in Michigan of contributing 5% of income and volunteering 5 hours a week; and that this should be accomplished by identifying one or more "lead agencies" -- such as the United Way of Michigan and/or the Council of Michigan Foundations -- to work collaboratively with MNF and its other member organizations. e. "Funding Fundraising": that this represents a critical need for Michigan's nonprofit sector; but, since it may be too large for MNF at this time, that staff should continue to explore the possibilities of a "lead agency" for this important project. G. Romney recommended that a fall summit -- possibly in conjunction with the fall board meeting -- focus on the critical importance of voluntarism in Michigan communities. H. Yamanishi moved to endorse the recommendations of the Program Committee. The motion carried unanimously. 8. Report of the Coordinating Committee on Voluntarism: G. Romney reviewed the work of the Committee and focused on the role of voluntarism in promoting the solution of many of today•s social problems. M. Lewis distributed a chart that described specifics of the voluntarism plan (SEE ATTACHED). 9. Report of the Public Policy Committee: E. Blews reviewed the work of the committee. Following discussion the committee presented four recommendations (SEE ATTACHED) relating to the following topics: 1) 2) 3) 4) Development of a Michigan Nonprofit Forum "White Paper"; Financial Accounting Standards Board Nonprofit Accounting Proposals; Federal Tax Deductibility of Charitable Contributions; and Bulk Rate Increase for Nonprofit Organizations. 4 �On motion by E. Blews, these four recommendations were each individually adopted by a unanimous vote. 10. Staff Uodate: M. Lewis gave a brief report of the activities of the staff since the last Board meeting including an update of pending and future activities for the Forum. 11. Announcements: Various announcements were made regarding the GrantmakersjGrantseekers Conference. Projected dates for this conference and the preceding MNF Board Meeting for upcoming years are: 1992 - April 23 & 24 1993 - May 13 & 14 1994 - April 21 & 22 12. The Membership or Members shall consist of not less than ten nor more than twenty ORGANIZATIONAL MEMBERS-- together representing a broad and diverse cross-section of Michigan s nonprofit sector -- and not more than five ATLARGE MEMBERS. [In addition, the Membership shall include no more than five NETWORK MEMBERS elected from among the nonvoting Network Associates described below in Section 6.] 1 New Members shall be nominated and duly elected by an affirmative vote of two-thirds of the current Members present at a duly called and constituted meeting. [Organizational] Members shall serve until the qualification and appointment of their successors, or until their resignation or removal from Membership. [At-Large Members shall serve tenns of two years and may succeed themselves. Network Members elected from Network Associates shall serve two-year tenns and may not succeed themselves more than once.] ORGANIZATIONAL MEMBERS shall be (a) Michigan-based associations which represent statewide segments of the nonprofit sector, or (b) other broad-based Michigan organizations. Such organizations chosen to be Organizational Members must each have as a central concern or must have a substantial impact on the advancement of philanthropy, voluntarism and the nonprofit sector, and must support the purposes of this Forum. Current Members shall nominate and duly elect new Organizational Members with due care to achieve breadth, depth and balance in the Forum Is deliberations. As much as reasonably possible, Members shall be non-duplicative in their fields and membership bases. Each Organizational Member shall designate two voting representatives who shall be known as TRUSTEES [/, each carrying one vote and who shall serve until the qualification and appointment of their successors, or until their resignation or removal from office/]. �Each Organizational Member shall determine and designate its own representatives/Trustees, which shall consist of either (a) the Chief [/Operational/] [Professional] Officer and a Board Representative, or (b) two Board Representatives, in cases where the organization has no Chief [/Operational/] [Professional] Officer. Guidelines for selection of the Board Representatives may be determined by the Trustees. AT-LARGE MEMBERS shall be individuals of widely recognized statewide prominence who contribute significantly to the advancement of Michigan's nonprofit sector. At-Large Members shall also be known as Trustees and shall each carry one vote. [NETWORK MEMBERS shall be elected from among nonvoting Network Associates (described below) to provide balance, scope and flexibility or otherwise to strengthen the Board and the Forum. To be elected, a Network Associate must have as a central concern, or have an important impact on the advancement of philanthropy, voluntarism and the nonprofit sector, and must support the purposes of this Forum. Once elected each NETWORK MEMBER shall designate a Representative to serve as a Forum Trustee, who shall be either the chief professional officer or a board representative.] Together, the At-Large Members[,] [land/] the designated representatives of the Organizational Members[, and the designated representatives of NETWORK MEMBERS] shall make up the Board of Trustees, which shall develop policy for and oversee the management of the business and property of the Forum. It was agreed that such a document should build upon and flow from rather than reinvent efforts to develop such a program at the National level and then integrate unique Michigan perspectives for use within this state. A task force consisting of Edward Blews, Chair, Joyce Brown, Sister Monica Kostielney, Maryellen Lewis, Linda Patterson and Herbert Yamanishi was formed. The national organization, "Independent Sector" is developing such a national statement, "The Work of the Volunteer Sector" through a steering group organized into eight subsector groups: arts, civil and human rights, education, environment, health, public official, religion and social welfare. The Michigan Nonprofit Forum's Executive Director Maryellen Lewis and Public Policy Committee Chair Edward Blews have discussed this process and the opportunity for Michigan inputs with Independent Sector Vice President Robert Smucker. In view of the Independent Sector process, it makes much sense to coordinate the Michigan White Paper time frame with the Independent Sector process. The proposals threaten to erode financial support for nonprofit organizations, create onerous administrative and valuation burdens and distort the financial picture of nonprofit corporations. These proposed FASB standard changes would: 1.) Require nonprofit organizations to count pledges as actual revenues (rather than the general practice by nonprofits currently -of recording pledges at the time the cash payment is received); 2.) Require nonprofits to record as revenue the value of all contributions of works of art or other items of historical significance and to appraise virtually all such items in order to do so; and 3.) Require the value of services contributed to . nonprofit organizations to be recorded as current revenues. Responses to and comments on these proposed changes are being sought by the Financial Accounting Standards Board before it renders a final decision. The FASB standard to reqUire accrual recording of pledges as current revenues would force nonprofit organizations to abandon the current practice generally of recording pledges at the time the cash payment is received. The proposed standard fails - ~<:? recognize that lOOt of pledges do not always trans~ate i~~ actual revenues. The line between a firm pledge and a statement of intent is not always clear. Though there have been some court decisions supporting legal enforcement of pledges, it is ridiculous to imply that nonprofits would or could go to court to enforce pledges. To do so would alienate donors and depress the willingness of people to pledge. And to count pledges as revenues distorts the financial statements, showing a higher level of income than is accurate or realistic. 2.) Requiring donated art and historical works to be appraised and recorded as revenues would be an unreasonable and unnecessarily costly imposition. such gifts are rarely assets which could be sold at their appraised value to produce revenues, if the donor desired to do so. And since donors give out of a desire to support a charitable cause rather than on the financial strength or statements of the organization, the request is simply unnecessary. 3.) To record contributed services as revenues would create an administrat;ye nightmare, forcing majo~~~w systems to track such~ices and methods-of valullrlg them. And philosophi~~ly, ) ~~ desecrate~ L pr trivializes the spirit of vol~ut~ri~•~ich is at .~the heart of the nonprofit sect~ t~ ~~~ng it from something which is unique to just an~ thing with a price tag attached to it. · ~.-:.-.,.. �RECOMMENDED POSITION PAPER ON FEDERAL TAX DEDUCTIBILITY OF CHARITABLE CONTRIBUTIONS MICHIGAN NONPROFIT FORUM Background Historically, Congress has provided in the Internal Revenue Code for the full deductibility from income taxes of charitable contributions to recognized nonprofit organizations holding Federal 501 (c) tax-exempt status and organized and operated for religious, charitable, sdentific, educational and certain other purposes. For many years, that full deductibility of charitable contributions has been available to taxpayers filing Schedule A as part of the long-form tax filing. In 1981, the Congress established a new "non-itemizer" charitable contribution deduction of up to $100 for persons who file the short form and do not utilize Schedule A. Regrettably, the non-itemizer deduction was repealed in 1986. Then in 1990, the Congress established a floor or threshhold of 3% of income to be subtracted from Schedule A deductions (including charitable contributions) before recognizing them for tax purposes, for persons filing individual returns with income above $100,000 and for joint filers reporting income above $150,000. This new threshhold provision in the Internal Revenue Code will "sunset" or expire in 1996 unless it is renewed by the Congress. Enlightened tax policies which recognize and encourage charitable contributions to qualifying nonprofit organizations are critically important, and have long been recognized in American law. Both the repeal of the non-itemizer deduction (granted by a recent innovation in tax policy) and the imposition of a 3\ floor on Schedule A deductions for higher income taxpayers are distressing erosions in such enlightened tax policy toward the nonprofit sector. The continuation beyond its "sunset" date and any increase in the 3\ threshhold would constitute a very serious and damaging di scouragement and depression in charitable giving. Congress should be reminded of this regularly between now and the sunset date. MNF should continue to explore ways to become a resource to scholars seeking to access nonprofit organizations for research purposes; similarly, MNF should become an effective mechanism for the practicing nonprofit sector to communicate its research questions to researchers, in order to reduce the gap between research and practice. In this overview, she emphasized the present opportunity for Trustees to revisit MNF's mission and the commitments established by the board, and to use the Year 1 experience to set priorities for Year 2. It is now possible and necessary to clarify a solid identity for the Forum, for the future. Her report was organized on the basis of these commitments made by the Trustees in the original proposal to the W .K. Kellogg Foundation: A. That MNF would promote dialogue on cross-sector issues; B. That MNF would share information on the sector, to promote greater public understanding and commitment; �C. That MNF would clarify public policy issues related to the sector as a whole; D. That MNF would work to increase the capacity of the sector; and E. That MNF would create an operating organization to accomplish these goals. A synopsis of the report of the executive director is attached. As a matter of record, the Co-chairs and the committee thanked M. Lewis for her excellent report and her fine leadership on behalf of MNF during its crucial startup year. The committee also asked M. Lewis to send a synopsis to the committee chairpersons, who will send it to members who were unable to attend today's meeting. E. Blews also discussed MNF' s position in opposition to standards governing nonprofits which have been proposed by the Financial Accounting Standards Board (FASB) as further evidence of MNF's impact. The proposed standards would erode financial support for nonprofits, create administrative and valuation burdens and in general distort the financial picture of nonprofits. In light of the information F ASB has received, such as MNF's opposition statement, it is re-evaluating the standards. 4. Discussion of a Framework of Guidin~ Principles for MNF's Work: Chairman Blews proposed that, in order for MNF to establish priorities for the upcoming year, a set of guiding principles would provide a useful framework. Preliminary discussions between the co-chairs and the executive director produced a discussion draft of principles, which committee members had received in advance of the meeting. After lengthy discussion the committee unanimously approved seven Guiding Principles. Further, the committee recommends to the board the adoption of these Principles, from which MNF public policy and program goals will flow. The Principles, listed in priority order, are as follows: A. The future of Michigan's quality of life depends on the commitment of its citizens and future citizens to the values of the nonprofit sector. Therefore it is in the best interest of the sector and the state to actively encourage voluntary giving and service. B. The service of the nonprofit sector to the public depends on an interactive partnership between service providers, funders, policy makers and the public. The Michigan nonprofit community should promote constructive dialogue among all these parties. C. In order to assist in re-educating the public and public leaders with concrete evidence of the PUBLIC BENEFIT of the nonprofit sector, the Michigan nonprofit community should encourage and undertake studies of its many unique benefits provided to the community at large. 2 �D. Michigan's nonprofit sector should define and aspire to the highest management standards of ethics, efficiency, and accountability, while preserving its historic and essential independence. E. The Michigan nonprofit community should develop the rationale for tax exemption (rather than waiting for it to emerge from the pattern of decisions by government officials) and then play an active role in encouraging Michigan's leadership -- including elected officials -- to embrace it. F. The Michigan nonprofit community should encourage positive public policies and incentives to promote giving to and the vitality of the nonprofit sector. G. The Michigan nonprofit sector should take an active role in shaping statewide regulations and rulings that define clear, consistent interpretations and applications for purposes of tax exemption. [ADJOURN TO THE CORNICHE ROOM FOR A WORKING LUNCH] 5. Update and Discussion of the First MNF Summit in Jaouacy/February 1992: M. Lewis reviewed the previous work of the joint committees on the summit, which will focus on the changing partnership between the nonprofit sector, government and the private sector. Keynote Speaker. The committee discussed the importance of a keynote speaker who is able to articulate the ongoing, multi-dimensional relationship which exists between the nonprofit, private and public sectors. M. Lewis reported that R. Mawby had offered to approach John Gardner, founder of Common Cause and founding president of Independent Sector. The joint committees agreed unanimously that Mr. Gardner would be ideal, and asked M. Lewis to enlist R. Mawby's help in securing him as the speaker at MNF's first summit. In the event that Mr. Gardner is not available, the committee agreed that Elizabeth Dole of the American Red Cross would be an exceptional speaker. Roundtable Participants. As originally conceived, the roundtable will include 15-18 participants with a moderator and speaker(s). Another 30-40 selected persons will form an outer circle as audience, participating in a formal question-and-answer period after the roundtable discussion. The committee noted that this summit is the first in a series, designed to educate audiences across the state, and also to enlighten the invited participants over the long term. The roundtable participants will be selected to include senior level individuals who are in a position to influence policy, organizational actions and conceptual visions. Participants will be carefully chosen to promote lively and informed, as well as balanced, discussion. These preliminary names were suggested: Mariam Noland, Executive Director, Community Foundation of Southeastern Michigan; Joseph Bianco, President of the Detroit Institute of Art; Douglas Roberts, State Treasurer; 3 �Father Cunningham of Detroit; and several MNF Trustees. Committee members reemphasized that the focus of the summit will be on structural changes and their implications, and that the discussion will be grounded in specifics, not purely abstract. The aim will be to achieve a new understanding of and renewed commitment to the nonprofit sector and its mission of voluntary provision of public goods. Moderator. In choosing a moderator for the roundtable discussion, the committee noted the importance of selecting an individual who is committed to achieving a common understanding of the value of the nonprofit sector as it serves public needs. This is absolutely necessary in order to keep the panelists and the agenda on track. The moderator must be a thought-provoking individual who will encourage the panelists to engage in an enlightening and challenging debate. Cochairperson H. Philpott suggested and the committee agreed that Edward 0. Blews, Jr., President of the Association of Independent Colleges and Universities of Michigan would be an ideal moderator. E. Blews, being present, tentatively agreed to moderate the panel discussion, pending program development. Subcommittee to Follow Up. Given the time constraints, the chairs agreed to appoint a sub-committee to continue working on the details of the summit. This subcommittee is made up of E. Blews, H. Philpott, K. Gruber, D. This presentation will include a legal history of nonprofits, as well as a current overview of the nonprofit sector in Michigan. This presentation will be followed by a one-hour discussion on the unique value of nonprofits in today's society. This discussion will include individuals from the nonprofit sector who represent broad and diverse nonprofit interests. The third and fmal session of the seminar will focus on a moderated roundtable discussion which involves individuals from both the nonprofit and public sectors, as well as the private sector. This session will address a specific issue, such as education or health, which involves and affects all three sectors. The panelists will number from 15-20, with an audience of 30-35. The moderator should be a thought-provoking individual who is well-versed in the issue at hand. All three session will be videotaped, so that they may be made available to a larger public. I can see how that might be helpful, since the Forum has an unusual structure. It was created as a network organization, a hub or bridge that allows information and ideas to be shared more easily across the sector (from arts to health to human services to education, for example), and which creates settings where diverse nonprofit professionals can link up with others who share the same purpose. For example, many 50l(c)(3) organizations need technical assistance with management skills, such as accounting or managing volunteers effectively. We do not conduct training, but it is within our mission to help raise the management capacity of 501(c)(3) organizations in Michigan. So we keep a running calendar of where and when workshops are conducted-- quality, low-cost workshops by 501(c)(3) service providers or lllQ bono workshops for nonprofits by professional firms -- and alert nonprofits around the state. We also work with providers to conduct training in underserved regions or on untapped issues. This activity serves a serious expressed need in this state, since information about training opportunities has been hard to obtain in the past. �The Forum also serves the role of catalyst and convener, to encourage diverse 50l(c)(3) organizations to collaborate in order to reduce costs and maximize impact. With such a small staff, the Forum cannot conduct largescale programs on its own. But on issues that concern so many people -- like increasing volunteering, increasing giving, and creating more opportunities for young people to learn about citizenship through community service -- the Forum has been successful at convening many persons and organizations to discover a common cause and work together to achieve it. The Forum also serves as a clearinghouse, where individuals and organizations can call to get general information and be referred to others who are experts. Do they want to start a Volunteer Center? We can refer them to guidebooks, a few possible funding sources, and the network of Michigan Volunteer Centers which will assist them at no cost. Do they want to know how to approach companies for donations? We can respond with information, references and dates of upcoming workshops in their area. Do they need pro QQnQ. assistance from an attorney or accountant? We refer them to a directory and to the state association which can assist them. I hope these general comments help to clarify our work. I also want to respond to your list of specific questions: OUESTION #3: Are your activities limited to individuals and other section 501(c)(3) organizations: Is there a designated class of individuals that can be recipients of your services? If not, please explain. Our purpose is to serve the community of 50l(c)(3) organizations which serve the public good in Michigan. To accomplish that purpose, our activities often involve much larger audiences than just 50l(c)(3) organizations. For example, our statewide Campaign for Voluntarism (beginning April 1992), involves activities which include the much larger community of persons who volunteer (approximately 54% of the population), and which seek to reach the many other who express willingness to volunteer but don't know how (approximately 34% of the population). Another example is our roundtable discussion in February, which is being planned as an educational program, bringing together leaders from 50l(c)(3) organizations, business and government to discuss the changing relationship between those sectors and implications for the delivery of human services and other public goods (focusing on Michigan). The discussion will be videotaped and used as the focus for educational discussions in communities across the state. QUESTION #4: What is meant by the "nonprofit sector"? By "nonprofit sector," we mean the community of 50l(c)(3) tax-exempt organizations in Michigan. 2 �OVESTION #5: Submit details of the nonprofit jobbank you want to establish. How will you conduct this activity? We do not plan to operate the jobbank, which is being created by ACCESS, a 501(c)(3) organization based in Boston, with support from the W.K. Kellogg Foundation. We serve as a collaborator on that project, without compensation, because it will create an important free resource for 50l(c)(3) organizations in Michigan. Our role will be to publicize the free resource in our newsletter, and to assist ACCESS to locate information in the initial stages of development. OVESTION #6: Was your publication The State of Nonprofit Michigan sold? If so, what amount of fees were charged and how were the amount determined? Was the fee above, below, or at cost? H above or below cost, what percentage above or below cost were the fees? This was not a Forum publication. We are one of several collaborators, assisting in the dissemination of this important document and co-sponsoring Scholars Roundtables to encourage additional research on Michigan's nonprofit sector. OPESTION #7: Describe future research that will be conducted. Will all research be available to the general public? Explain. The Forum is not a research facility . However, we work with researchers to locate useful new data to disseminate to practitioners, and we communicate research questions from practitioners to capable researchers. We also plan to collect and synthesize scattered studies on research questions, in order to synthesize them into essays addressed to practitioners in 50l(c)(3) organizations. Any authorities granted are done so in the Articles of Incorporation and the Bylaws of the organization.
