She served as executive director of the Michigan Council of the Arts from 1985-91 following several years in the Michigan Department of Commerce. Kratcbman was vice president of non-profit services at the advertising agency of Stone, August, Baker prior to joining ArtServe Michigan's president in 1997. She began her career as an aide to U.S. Senator Jacob Javits, (New York) and remains politically active. Kratchman has served on the boards of many organizations including Arts Midwest, Concerned Citizens for the Arts in Michigan, Business Volunteers for the Arts, Ahna College, Jewish Community Council, Jewish Community Center, Lyric Chamber Ensemble, Birmingham-Bloomfield Arts Association and Michigan Women's Foundation. Welcome and Call To Order The meeting was called to order by chair E. Blews at 9:10 a.m. He thanked everyone for attending the meeting. He asked everyone to introduce themselves and to briefly state what challenges their organization is facing at this time. During introductions, G. Stevens reported that it would be the last meeting he would be attending as an MNA Board of Trustee as he is retiring from his position as Executive Director of Presidents Council State Universities of Michigan in December. He noted that it was a great privilege to be on the Board since the original meeting in 1990. 2. Approval of Minutes of June 18, 2002 E. Blews asked if there were any additions or amendments to the minutes. There being none, a motion to accept the minutes of the September 17, 2002 MNA Board of Trustees meeting was made by R Collier and seconded by D. Algra. Motion carried. 3. Chair's Report E. Blews noted that there was a revised agenda for the meeting and the items added to the agenda were, VCM Nomination, Info Quest Survey, 401(1<) Amendments and the Russell G. Mawby Fund and George W. Romney Fund· Transfer from MNA to CMA. He noted that the documents containing support 1 �information on the additional agenda items were placed on the table in front of each Trustee. E. Blews reported that he received a nomination for consideration from the Executive Committee of the Volunteer Centers of Michigan for Nicole L. Shugars, Executive Director of the Volunteer Center of Battle Creek to fill a vacant at-large seat on the MNA Board of Trustees. He recommended that the Board of Trustees accept that nomination. A motion was made by J. King to accept the nomination ofN. Shugars as a MNA Board of Trustee and seconded by C. Nelson. Motion carried. 4. President's Reoort S. Singh reviewed the Strategic Plan Progress Report and noted that MNA is making significant process. He reported that MNA has continued collaboration in the SE Michigan area and that a significant part ofMNA's membership comes from that area. The plans are to open a regional office in that area thus creating more of a presence and building on the strengths of the partners. S. Singh reported that R Schultheiss, Vice President, has resigned her position at MNA as a full-time employee, but will continue to perform consultant work for MNA. S. Singh held interviews for the position and narrowed the field to two candidates. He hopes to have a new Vice President on board by the middle of January. He pointed out that M. Corbin, Director of Training and Technical Assistance, has been with MNA for five weeks and is reshaping this vital service areaofMNA. S. Singh next reported that MNA contracted with Info Quest to survey 60 MNA members in an effort to identify the quality of services provided by MNA. The Rehmann Group presented a PowerPoint presentation on the results of the survey category by category. The next steps in the process are to digest the data, develop strategies to react to customer feedback and then to respond to the customers. 5. Fund Advancement Committee Report T. Swope presented the MNA Fund Advancement Report. He reviewed the programs and the potential sponsors for each program and acknowledged these organizations for their past sponsorship. T. Swope noted that in the report the Leadership Program is budgeted over a three-year period. There were no action items to come before the Board. 2 �6. Finance Committee Report S. Singh provided an overview of the fmancial activities. He reviewed the Statement of Revenue and Expense. He noted that year-to-date MNA is $12,000 behind in anticipated revenue, but MNA has also spent $71,000 less than projected. All in all, MNA is doing very well. E. Blews made a recommendation that the Financial Statements for month ending October 31,2002 be approved. A motion was made by D. Price and seconded by J. King. Motion carried. S. Singh next reported that information on an amendment to the 401 (k) ProfitSharing Plan requires formal action by the Board. The amendment reflects certain provisions of the Economic Growth and Tax Relief Reconciliation Act of 2001 ("EGTRRA") and shall be effective as of the first day of the first Plan year beginning after December 31, 2001. A motion to accept the changes to the MNA 40l(k) Profit-Sharing Plan as required by the Economic Growth and Tax Relief Reconciliation Act of2001 was made by D. Seaman and seconded by D. Price. Motion carried. 7. Audit Committee Report A. Rosewarne reported that the Audit Committee met December 11, 2002 and everything went very smoothly. She turned over the report to D. Ambrose, MNA's Independent Auditor. D. Ambrose reviewed the Independent Auditor's Report, for year ending June 30, 2002. He presented a letter to the Board of Directors and Management ofMNA stating that he noted no matters involving the internal control structure and its operations that he would consider to be a material weakness. He urged the Board and Committee to continue its attention to detail in regards to the Association's financial reporting. A recommendation to accept the audit report for the year ending June 30, 2002 was made by A. Rosewarne and seconded by D. Price. Motion carried. 8. Membership Committee Report D. Mikula reported that MNA hit the 700 member mark in November which is a significant increase from 636 members. As a result of increased numbers, membership revenue is above budgeted goals for the current time period. Member benefits were reviewed at the December 3, 2002 Membership Committee meeting and J. Harper reported that a comparison of benefits will be reported at the next Board of Trustees meeting. E. Rogers noted that the Nonprofit Links: Resource 3 �& Networking Directory 2002-03 is an excellent resource. S. Singh also noted that the MNA Annual Report 2001-2002 was just completed and delivered for distribution to the Board members today. E. Blews thanked the Committee for their report and recognized the Membership Committee and the MNA staff for their excellent work in reaching the 700 member mark. 9. Leadership and Training Committee Report J. Moore reviewed upcoming scheduled trainings including GrantrnakerGrantseeker 2003, to be held May 19 and 20 at the Lansing Center; the Local Learning Series Winter/Spring 2003; Michigan Nonprofit Leadership fustitute; Michigan State Housing Development Authority Workshops and the fudiana University Fund Raising School. E. Blews encouraged all Board members to consider attending the GrantrnakerGrantseeker 2003 Conference. S. Singh thanked D. Algra for her leadership as this year's Committee Chair. 10. Public Policy Committee Report G. Stevens discussed the Public Policy Alert information provided to the Board members. This document gives information on the current political enviroument, what this means for nonprofits, what individuals can do and what MNA is doing. He discussed the results of the satisfaction survey and noted that the Public Policy arm ofMNA is extremely important. E. Skene reviewed The Michigan Nonprofit Agenda- Recommendations for State Policymakers. She noted that about 85 organizations have signed on thus far. The Public Policy Committee has agreed that the top three issues are: Revise the Charitable Organization and Solicitations Act (1975), Simplify the State Grant and Contracting Process and Promoting Capacity Building for the Nonprofit Sector. Work has began on these topics and a tentative meeting with Attorney General M. Cox, is scheduled. The "Issues fu Brief' sessions will restart in February. E. Skene thanked G. Stevens for all of his years of guidance, assistance and wealth of knowledge that guided the Public Policy Committee. 11. Russell G. Mawby Fund and George W. Romney Fund Transfer R. Collier noted that the MNA Executive Committee has reviewed and discussed this issue during their conference call last week and moved to recommend that the MNA Board of Trustees donate the control of the George W. Romney for 4 �Volunteerism in Michigan and the Russell G. Mawby Fund for Youth Service and Volunteerism to the ConnectMichigan Alliance. The MNA Executive Committee also added *three caveats that would position the Michigan Nonprofit Association with this donation. The first caveat is that if the ConnectMichigan Alliance ceases to exist both funds would revert back to the ownership to the Michigan Nonprofit Association. The second caveat is that as both of the funds are utilized that the Michigan Nonprofit Association be recognized as a contributor. The third caveat is it is understood that both funds will remain under their current names and the documents that outline their use will be fully honored. Rob Collier further noted that with six months left to complete the campaign, ConnectMichigan Alliance would have approximately $650,000 to raise giving the campaign the opportunity to come to a successful close. A. Rosewarne stated that this gift would be most generous and would be in keeping with the philosophy of MNA' s mission and focus. This is the logical step to take to complete the CMA Campaign. S. Singh gave a brief history of the two funds and said that the transfer of the funds to CMA would create new programs through them. S. Singh said he feels it is the right and ethical move to make. A motion was made by R Collier that the George W. Romney Fund for Volunteerism in Michigan and the Russell G. Mawby Fund for Youth Service and Volunteerism with the insertion of the three caveats (see* above) be transferred to the ConnectMichigan Alliance Campaign. The motion was seconded by J. King. Motion approved. (E. Blews, C. Bloodworth, A. Rosewarne and J. Lore abstained from voting, stating a conflict of interest- due to their involvement with the Board of ConnectMichigan Alliance). 12. ConnectMichigan Alliance Reoort E. Blews noted that the ConnectMichigan Alliance held their Board meeting December 5, 2002 and the focus was on the endowment campaign and the various volunteerism programs and initiatives that are truly a part of CMA. He also stated that as Chair of ConnectMichigan Alliance the vision and concept to move the above funds began with S. Singh who brought the idea to the Executive Committee. He expressed on behalf of the CMA Board of Trustees their deepest gratitude. J. Lore noted that this gift of $1.3 million to CMA brings substantial excitement to the Campaign. He reviewed the progress on the ConnectMichigan Alliance 5 �Campaign Gift Snapshot Report dated 12/16/02 which shows a total of $18,060,460 to date. Most recently, The Kalamazoo Foundation gave $25,000 to the Campaign which opens the door to other foundations in that area. J. Lore reported that the DaimlerChrysler Corporation Fund pledged $250,000, which was a match of the General Motors Corporation's gift of$250,000. Once again, he thanked the MNA Board of Trustees for their generous gift. G. Stevens noted that as the ConnectMichigan Campaign draws to an end, this would be a good time to thank the key people who have been critical to the Campaign, such as, First Lady M. Engler, Governor J. Engler, Senator H. Gast, and Senator D. DeGrow, to name a few of the people who are so significant to the Campaign's success. G. Stevens said that perhaps crafting a status report would be a terrific reinforcement and also a way of saying thanks for this unusual contribution. E. Blews said that appropriate steps will be taken to communicate thanks. He also noted the leadership that MNA has taken at the end of the Endowment Fundraising just as it did at the beginning. 13. Other E. Blews opened the floor for a general discussion. B. Liebold acknowledged the great job J. Lore and the CMA Campaign Committee are doing during this difficult time for fund raising. K. Willis suggested that the Nominating Committee consider one of the new Emerging Leader graduates for a position on the Board of Trustees. A. Rosewarne noted that the MNA Board of Trustees were always seated alphabetically- this is the time when Governor Romney was on the MNA Board of Trustees. A. Rosewarne said that he always asked her, "What did you do good yesterday"? She said that Governor Romney would be proud of what the MNA Board, with the transfer of funds, has done today. R. Collier said that the Giving and Volunteering Survey that M. Wilson is conducting is nearly completed. E. Skene said the survey is a partnership with the Council of Michigan Foundation, Michigan Nonprofit Association, Michigan Community Service Commission and ConnectMichigan Alliance. M. Wilson said that one thing that can be reported to the media thus far is that individual giving is 6 �holding on. S. Singh noted that corporate and foundation funding is down. The results of the survey will be presented in a publication this spring. R. Collier reported that in the last 2 Y:z years 300 new charitable foundations have been created in Michigan. E. Rogers reported that foundations are looking for fiscal reporting. She noted that possibly MNA could develop a letter that encourages nonprofits in Michigan to be good stewards of their funds. 0. Cash said that in times of economic growth and surplus it is easier to stay true to your mission. It is most difficult to do this when there are little resources. MNA did a good job in staying true to their mission and values. It is important that we have evidence that nonprofits in the state are staying true to their mission. E. Blews thanked everyone for their input. He said that at the next MNA Board of Trustees meeting he will ask everyone to share what is the greatest satisfaction or joy in what you do. 14. Presentation to Glenn Stevens E. Blews recognized G. Stevens, who has been a part of the Michigan Nonprofit Association family from the beginning, as a founding trustee of the Michigan Nonprofit Forum. E. Blews thanked G. Stevens for his commitment and the tremendous contributions he has made to the cause ofnonprofits. G. Stevens was presented with a small token of the MNA Board of Trustees' and staffs' appreciation. G. Stevens discussed his experience on the Michigan Nonprofit Association Board of Trustees and how important the issues are and how large this organization has become. Additional information regarding the rationale for this position statement is enclosed in this Board packet. Updates The committee briefly received an update on the latest State and Federal Legislation that had been supported by MNA last legislative session and reintroduced this year. The committee also discussed l'vlNA's plans for implementing the Michigan Nonprofit Agenda- Recommendations for State Policymakers, which includes surveying and l'vlNA membership regarding their experiences with the state grant and contracting process. In addition, the committee agreed that staff should research the issue of casino bingo regulations and the differences between non-profit and for-profit regulation on this issue. �Michigan Non profit Association Revenue Restoration The state of Michigan is currently facing its worst fiscal crisis since WWII. In January the state's Revenue Estimating Committee determined that the current year's budget was short $300 million ($158 million deficit in the General Fund and $134 million in the School Aid Fund). Governor Granholm has announced reductions of3.8 percent in discretionary and supplemental funds to schools to correct the $134 million deficit in the School Aid Fund. On February 19, the House and Senate Appropriations Committees approved the $158 million Executive Order to close the current state deficit. Actions of the Executive Order include: • Expenditure Reductions (84%): State Agency Reductions - $7 6.2 million Higher Education- $30.3 million Grants- $10.4 million Life Sciences- $12.5 million Legislative Reductions - $2.1 million Judiciary Reductions - $1.1 million • Medicaid Financing (9%): Physician Special Adjuster Payment- $4.9 million Hospital Assessment - $8.9 million • Bond for Final Midfield Terminal Payment (7%): Comprehensive Transportation Fund Bonds- $12 million In addition to this year's cuts, the Revenue Estimating Committee also projected that the state would have a $1.6 billion shortfall ($1.2 billion in the General Fund and $364 million in the School Aid Fund) next year. The Executive Order for the 04 budget will be presented to a joint session of the House and Senate Appropriations Committees on March6. These cuts are extremely disturbing considering that state spending on arts and entertainment, k-12 education, higher education, environment and natural resources, and health and human services are already at a bare minimum. Additional funding cuts to these programs and services would devastate the quality oflife here in Michigan. In addition to direct assistance from the government for individuals and municipalities, the �state also makes grants and contracts to and with nonprofit organizations to provide the services. These programs are often ones that the government can not provide or do not have the ability to provide. Not only would additional cuts harm the individuals and municipalities that rely on direct state funding, but it would also hinder if not prevent the nonprofit community from carrying out its charitable missions of providing the services and protecting the resources that the state often leaves to the responsibility of this sector. In addition, with the current status ofthe economy foundation and individual giving is down which does not leave the nonprofit sector with sources to replace existing funding or to find funding to provide the critical services to Michigan residents that could be cut to fill the deficit. In recent years reductions to the state budget have been significant, however, these cuts have mainly been temporary solutions. With no extra money in the budget, more permanent solutions to the state's economic crisis most be explored. A strategy for solving the state's fiscal problems is to address the lack of revenue by exploring revenue restorations, including suspending the scheduled reduction of the income tax rate which could save the state $118 million. To address this issue MNA would like to have a position statement encouraging revenue restoration. The following is the proposed statement: The Michigan Nonprofit Association supports state and federal revenue restoration that would prevent spending reductions in the areas of arts, k-12 education, higher education, environment and natural resources, and health and human services. By creating a $20 million endowment, through private and community foundation contributions, as well as a $10 million challenge from the state of Michigan, CMA 's mission will be forwarded into perpetuity. Since its inception in 2000, CMA has housed two long standing and successful programs: Michigan Campus Compact {MCC) and Volunteer Centers of Michigan {VCM). These two programs were an obvious fit into the partnership of CMA, based on their own missions and visions. Through the leadership of CmmectMichigan Alliance, these programs have accomplished the following over the past year: Michigan Campus Compact: Michigan Campus Compact promotes the education and commitment of Michigan college students to be engaged citizens, through creating and expanding academic, co-curricular and campus-wide opportunities for community service, service-learning and civic engagement. Through their partnership with the ConnectMichigan Alliance, MCC has been able to advance this tnission by providing grant opportunities to students, faculty and staff at their thirty-four member campuses throughout the state of Michigan. Additionally, MCC has joined forces with other state Compacts to form the Midwest Collaboration (MWC). The MWC is currently involved in the "Raise Your Voice Campaign: Student Action for Change". The disengagement of America's youth has serious in1plications for their ability to address public issues for the future of democratic politics. Increasing student civic engagement is at the core of Campus Compact's tnission, as well as the mission of CMA, which focuses on "the civic purpose of higher education." Through tins initiative, Miclngan Campus Compact will call upon the talents and energies of students to participate in the renewal of American democracy. The goals of the campaign are: Increase student involvement in public life; Highlight and document student civic engagement activities; and Empower students while making civic engagement central to student learning. MCC, with CMA partner the Michigan Community Service Connnission, has co-sponsored the Institute on · Academic Service Learning each winter at a member campus. This year's institute is scheduled for February 13-14 at Central Michigan University. Last year's Institute was a great success. Faculty and Staff from around the state and country attended, with over 300 persons leaming from the programs and events. Attendance rises every year. Two keynote speakers, Dr. Barbara Holland and Dr. Jinl Kilsmeier, kept the group challenged and engaged. MCC offers a Service Leaming Camp at the heginning of the academic calendar, for all students, and Service Advisors, of the MCC member campuses. On September 27-29, 2002, Miclngan Campus Compact {MCC) held their ammal Service Leadership Camp at Camp Matntou-Lin in Middleville, MI. This camp allowed 112 college students and advisors from 18 member campuses to come together to participate in plamnng and learning about community service, service-learning and civic engagement as a part of fueir education, and how they can take their experiences back to their campus and put them into action. Michigan Campus Compact (MCC) ammally hosts the 2Y,-day training for teams of college students and their advisors from across the state who are interested in community service and service-learning in higher education. The MCC Service Leadership Camp: Provides an environment and opportunity for team building among campus teams; Encourages informal networking and coalition building among those with a common interest in community service on their campus and across the state; Assists teams in meeting their specific needs during "team time". This time can be used for creating an action plan for the year to come, program plamllng, organizational development, and more; Explores important components of service/service-learning, civic responsibility and leadership through interactive workshop sessions. Highlights of tins year's Service Leadership Camp included keynote presentations from Daniel Caron on "Original �Play" and Johnnie Tuite! of the Alternatives in Motion organization on "Handicapitolism: The Power of Human Spirit". Students also participated in content session including Leading Lives of Commitment, Student Advocacy, and Fzmdraising Through Creative Thinking. Additionally, MCC is a sponsor of colloquiums and forums throughout the year on Service-Learning and Civic Engagement. MCC also sponsors many annual awards for faculty and staff, as well as students, on their member campuses. The Faculty Staff Service Learning Awards are held each year in conjwtction with the Institute on Academic ServiceLearning. In addition, MCC holds the Outstanding Student Service Awards in the spring of each year. Recently, MCC was awarded a grant to implement the Jimmy and Rosalyn Carter Campus Community Partnership Award in the state of Michigan. Tllis award will highlight the importance of long lasting, dynanlic campus community collaborations and will carry a cash award to both the campus and community partner. MCC is one of only two grants given this year and, along with Minnesota and Massachusetts, will pioneer the award outside of Georgia. Volunteer Centers of Michigan The nlission of VCM is to strengthen existing volunteer centers, to provide leadership in developing new centers, and to promote and strengthen volunteerism statewide. Through their partnership with CMA, VCM has been able to provide their 34 member Volunteer Centers with support that is uwnatched in the state. VCM has been instrumental in providing advocacy training and guidance to their membersllip. This allowed the VCM member Centers to remain involved in the advocacy of federal funding of the Volunteer Center National Network through appropriations under the Citizen Service Act. Issues closer to home were determined by the membersllip to be of highest priority for public education and advocacy efforts. These opportutlities allowed VCM to construct legislative priorities as follows: I. Support, protect and expand Miclligan's Volunteer Investment Grants. 2. Advocate federal reauthorization process wtder Citizen Service Act of2002- including first-time appropriation to Volunteer Centers National Network. 3. Generate operating dollars from local and state levels. 4. Create tax incentives for corporate and individual volunteers. 5. Increase tax incentives (tax credits) for donations to l!!l_501(c) (3)'s. Additionally, VCM is sponsoring a statewide program involving all member Volunteer Centers (34) in recognizing lligh school graduates who volunteer a significant number of cotwnunity service hours during the course of their high school career. As far as we can tell, this is the only such statewide program in the country. Students will complete and document 400 hours of non-paid service that meet recogtlized community needs, mtder the auspices of a nonprofit organization, goverwnent programs, community group or school. The following types of activities would quality, and would be certified by the local Volunteer Center: • Direct Service, such as river clean up, tutoring, spending time with a nursing home resident • Indirect Service, such as computer data entry, fundraising, food collection, board or cownlittee work for a nonprofit • Civic Engagement, advocacy or community organizing, such as beautification, mural painting, cotwnunity surveys Students will periodically complete an evaluation form and reflective sunmtary of their experience that will build in a learning piece as well as an outcome measurement component during their years of volunteer service. Recognition will take place at the high school honors (or awards) event. The student will receive: • A medallion of distinction, to be worn at commencement exercises • A Certificate of Distinction for Commitment to Service from the community Volunteer Center • Community-wide recognition by the Volunteer Center during National Volunteer Week Pilot Program: In order to test the program, seven Volunteer Centers are piloting this statewide program during the 2002-2003 school year. The number of hours is reduced proportionately during this first year for graduating seniors. The pilot program will involve Vohmteer Centers from Michigan's upper petlinsula, and northem, nlid- and southemlower peninsula. These Centers each will work with at least one high school during the pilot year. Long-tetm Goal: Within five years, all VCM member Volunteer Centers will be working with 75% of the high schools in their catchments area. �VCM has collaborated with Michigan Association of United Ways (MAUW) to detennine what the factors are that contribute to a strong United Way Volunteer Center. About half of Michigan's Volunteer Centers are United Way programs. While independent 501(c) (3) Volunteer Centers have their own challenges to confront, those that are programs internal to other agencies have different issues to consider. MAUW and VCM have hosted a series of conference calls and meetings among the United Way directors and the affiliate Volunteer Center directors of five Michigan United Ways. They explored structure, relationships, community image and impact, in an effort to assist other con111lunities to emulate those characteristics that foster success. This information will be especially useful to start-up United Way Volunteer Centers. Finally, VCM's member Centers have provided national leadership to the Volunteerism effort. VCM is concluding our work in compiling a guidebook to establishing and maintaining a Volunteer Center State or Regional Association. The VCM Director and Aaron Cantrell (Kalamazoo) were speakers for the Illinois Association of Volunteer Centers aruma! training event. The VCM Director and Nonie Bretman (VCNNC Board and CMA Board) presented at the Northem Ohio Regional Conference on Volmtteering. Kathy Rossow (POLF United Network Task Force and CMA Board) was instrumental in introducing Title III of the Citizens Service Act to Congressional members in March. Dale Weighill's (VCM Executive Committee and CMA Board) advocacy strategy was so successful that a letter he authored has become the template for education efforts by POLF. Other CMA Programs: As CMA concludes the $20 million fundraising campaign on June 1, 2003, we move forward in promoting the concept of a lifelong ethic ofservice. CMA has hired a program coordinator who currently leads the Michigan's Pr01nise/America's Promise statewide effort. Since this program was transferred to CMA from the Michigan Community Service Commission in the Fall of2002, there has been much contact with the 26 Communities of Promise (COPs). Site visits are platmed for all26 by the Spring of2003. This program is, again, a natural fit to with CMA, and it will flourish under its wing. ) Additionally, CMA is in discussions with other youth philanthropy and civic oriented programs, to provide these service on a statewide level, to breakdown the silos that have been created at all levels ofvolunteerism and engagement. Specifically, the stakeholders of the Michigan Civics Summit have convened in a meeting sponsored by the CotmectMichigan Alliance, determined the next logical step in the continuation and expansion of that program, as well as to discuss the following: 1. 2. 3. Welcome and Call To Order The meeting was called to order by the Chair, E. Blews at 2:15 p.m. E. Blews asked everyone to introduce themselves and thanked them for attending the meeting. 2. Approval of the Minutes of the December 11, 2002 Meeting A motion was made by D. Algra to approve the minutes of the December 11, 2002 meeting as presented and seconded by J. Moore. Motion can·ied. 3. MNA Board ofTtUstees Nomination Recommendation Sr. Kostielney reported on the search for a representative from the environmental field and noted that the Nominating Committee had targeted the environment category after reviewing the demographic information presented during the nominating process. Sr. Kostielney reviewed information received from the Michigan Environmental Council. A discussion followed and it was recommended that Tom Bailey, Executive Director of the Little Traverse Conservancy, a program dedicated to the preservation of land and environmental education, be contacted about potential Board membership before the June 24 Board of TtUstees meeting. R. Collier will provide Sr. Kostielney with the contact information. 4. MNA Detroit Office D. Swenson distributed a proposal summary for the Michigan Nonprofit Association Metropolitan Detroit Office, which is a goal identified in the MNA Strategic Plan. S. Singh noted that over 40% ofMNA membership is located in the Detroit area. D. Swenson said that there are over 13,000 nonprofits in the Detroit area. The proposed three-year pilot program budget will suppott the staffing and establishment of a �metropolitan Detroit MNA office. Matching funds requested from the HudsonWebber Foundation will be requested from Detroit area foundations, including the Kresge Foundation. Additional revenue for site activities will be provided through fees paid by organizations participating in training and technical assistance activities. MNA hopes to gather the interest of other nonprofits, to get them involved and potentially join MNA membership. A metropolitan Detroit MNA site office advisory committee will be established to assist in focusing the membership, training and technical assistance activities to be provided from this site. The Advisory Committee will consist of 15 representatives from southeast Michigan nonprofit organizations. S. Singh noted that MNA will probably need to be co-located with an existing organization in Detroit. MNA will not statt this project until seed funding is secured. D. Swenson also noted that he and E. Skene are working with The Joyce Foundation to develop regional policy councils in Calhoun, Genesee and hopefully, in the Detroit area as well. 5. Michigan Nonprofit Leadership Institute S. Singh said that MNA has been focused on the leadership program and which has been the most planned program MNA has undettaken. He distributed a copy of the Business Plan for the Executive Committee to pass around and review. The Michigan Nonprofit Leadership Institute has four areas: 1. Emerging Leaders · 2. Emerging Nonprofit Executives 3. Seasoned Executives 4. Building the Capacity of Organizations a. Board Training b. F inancials c. Liabilities d. Best Practices A request has been made to the W.K. Kellogg Foundation for $1 million to fund the Michigan Nonprofit Leadership Institute. M. Corbin noted that R. L. Schultheiss has been the leader in constmcting the Michigan Nonprofit Leadership Institute. He reported that Emerging Leaders are holding its second class with 19 participants who are very eager and very talented. Mentoring is a huge part of the program. The first year of the program was selffunded by MNA and the second year is being funded by the DTE Energy Foundation. S. Singh thanked all of the MNA Board ofTmstees who had agreed to be mentors. 2 �A question was raised if the Michigan Nonprofit Leadership Institute could become a certificate program? At this time, MNA has not received a fotmal endorsement from a university. C. Bloodworth said that organizations and Boards need to understand the importance of professional development for staff. M. Corbin stated that each Institute participant must be sponsored by their organization. The individual can pay for their own training, but they must have the commitment from the organization they work for to attend the two-day sessions and other activities, such as Nonprofit Day and Grantmakers-Grantseekers. · 6. MNA Budget FY 2003-2004 S. Singh said the budget being distributed today will not be the final budget, but is a draft that the Executive Committee can review. The Finance Committee will review the budget next week. S. Singh said it will be a challenging year. GrantmakersGrantseekers 2003 was a successful conference but sponsorship came in at $20,000 less than the year before. Due to the economy, MNA's long term sponsors didn't have the money to give or they scaled back on giving. There is a potential that this will put MNA at a small deficit at the end of the year. All end of the year expenses are being reviewed. It has been a very difficult year for MNA. P. Casale distributed a copy of the proposed Revenue/Expense Summary for the 2003-2004 MNA Budget. She reviewed each revenue line item noting that the . General Contributions line item last year had been moved to the Grants and Contracts area. This year, Strategic Fund contributions from individuals will be recorded under General Contributions. A question was raised as to whether membership dues should be increased. S. Singh said that he will ask the Membership Committee to review this area. P. Casale noted that Miscellaneous Income has been eliminated as this information will be recorded in specific areas. · P. Casale next reviewed each expense item. She noted that that one Full Time Equivalent (FTE) had been built into Salaries for a MPPI Assistant Director and that other staff changes are reflected under contracted services. The Printing/Publishing line item had significantly increased as MNA distributes more infmmation to MNA members. The Finance Committee will bring a finalized budget to the Board of Ttustees meeting June 24. 3 �7. Public Policy- Position Statement- Language Update R. Long-time co-hosts, the Council of Michigan Foundations and Michigan Nonprofit Association, were pleased to welcome the Michigan Association for Evaluation as co-host of the 2003 conference. The theme of the conference, attended by over 640 individuals, was Evaluating Impact- Delivering Results. The conference featured: • 39 workshops related to non-profit management, fund development, public affairs or program evaluation; • Two professional development sessions for evaluators; • Talks by Governor Jennifer Granholm, actor and activist Mike Farrell and utilization-focused evaluation consultant Michael Quinn Patton; • Panels on accountability and the futnre of grant making; • Exhibits of products and services; and • Opportunities to network with colleagues. Michigan Nonprofit Leadership Institute The second class of Emerging Leaders has been meeting with revised curriculum based on feedback from the first class. The 20 participants are very enthusiastic and very pleased with their mentor relationships. The class graduation will be September 25 in Lansing. The proposal for the complete MNLI package has been submitted to the Kellogg Foundation. A favorable response is eagerly anticipated. Local Learning Series The summer/fall Local Learning Series material has been distributed. Offerings are: The Nonprofit Board of Directors: Meeting Responsibilities in Challenging Times; Working Effectively with the Media; Spending Your Teclmology Dollars Effectively (presented by NPower Michigan); and Successful Grant Writing: Where Do I Go, What Do I Say When I Get There? MNA will also offer a fall workshop on Personal Financial Planning for Nonprofit Executives in cooperation with Mutual of America. Michigan Center for Rural Health The series of workshops for MCRH using satellite downlinks to hospitals and clinics in northern Michigan and the UP is continuing with two remaining sessions on fund development. MNA hopes to apply this model for reaching out-state constituents with other capacity building during 20032004. Over please �Indiana University Fund Raising School The class in grant writing was rescheduled from June to October due to low registration. Other scheduled classes in Livonia through March 2004 address major gifts, basic training in development and donor communications. MSO Network The MSO Network met June 9. The Michigan Nonprofit Compensation and Benefit Survey has secured seven sponsors, including MNA and is moving forward well in pminership with the Johnson Center for Philanthropy and Nonprofit Leadership. The network will be supporting an expansion of the consultant network hosted on Michigan Nonprofit. com. Southeast Michigan Nonprofit Continuum The Continuum partners are wrapping up service to the pilot group of agencies and beginning work with a second phase of organizations. Assessment is moving forward with focus groups for partner organizations, volunteers and client agencies. City Connect Detroit is supporting the search for funding for on-going operations. Consultations Recent consultations by MNA staff have included a workshop in building program sustainability for teen programs supported by the Michigan Department of Community Health and strategic planning for the Nonprofit Alliance in Battle Creek. Greater Lansing Area MSO MNA has begun exploration of the possibility of establishing a formal management support organization serving the greater Lansing area. MNA has provided some MSO functions to the region through the Local Learning series of trainings and other services. This more established approach is being examined in response to needs stated often by local nonprofit organizations. The assessment of need and what programming would be appropriate will focus on local needs and include the involvement of key Lansing area organizations. Now, more than ever, the delivery and quality of services is critical to attracting and retaining members. !Publications Surveying for the 2004 Michigan Compensation and Benefit Survey will begin in August or September. Seven Management Suppoti Organizations have agreed to sponsor the survey. The Dorothy A. Johnson Center for Philanthropy at Grand Valley State University will conduct the survey and compile the data. I Benefits & Services Four new member benefits have been finalized during the past quarter: 1. ProfNet- A service ofPRNewswire that provides a mechanism for nonprofit organizations to connect with news writers seeking expertise in specific subject areas. This is a fee-based service that is discounted for MNA members and is especially directed toward statewide organizations and others that would like to establish name recognition nationally, as well as in Michigan. 2. ATX CoreComm- A telecommunications service provider program that offers long distance telephone service, toll fi·ee service, conference calling, internet access and other communication services. In addition to low rates, ATX will pay annual MNA membership dues for any organization that signs a service agreement. The free dues program is a renewable benefit and is available to current and new MNA members. 3. The 501 Alliance- An unemployment insurance program that allows 501(c)(3) organizations an alternative to the Michigan Unemployment Agency. The 501 Alliance is a self-funded nonprofit organization that can reduce unemployment insurance expenses and provide high-quality personal service. 4. CityConnect Detroit- This exciting new Web-based funding opportunity service is provided free of charge for one year for members ofMNA. CityCotmect's services will replace MNA's cunent funding opportunity e-mails and bulletins with more listings and a great anay of resources to assist grantseekers and grantwriters. �( IMNA Newsletter By the end of June, the MNA staff will finalize the subjects for the next 18 issues of MNA Links. From homeless shelters, to protecting our great lakes, to neighborhood improvement and supporting the arts, nonprofits provide valuable services that would be otherwise unavailable to our citizens. In addition to foundation, corporate, and individual support, Michigan's grant and contract making process makes it possible for nonprofits to fulfill the services required by the people of Michigan. By outsourcing to the nonprofit community, the State is able to provide these services by experienced personnel at the local level, and the nonprofits are able to provide services that would otherwise be unavailable. This makes the grant and contract making process a vital component in many of the services that Michigan's citizens utilize on a daily basis. In these difficult economic times it is more important than ever for nonprofits and government to work together. The Michigan Nonprofit Association recently sent a survey out to its 700+ members across the State to gauge how well they perceive the grant and contract making process to be working. This survey was designed not only as a measure of the current state of the process, but as a tool for both government and the nonprofits to use when looking for ways to improve the system. The survey asked respondents to answer questions regarding the type of organization they represented, where they were located, their size, funding situation, and whether they currently had a grant or contract with a state agency. If the respondent's organization did have a grant or contract from the State, they were then asked a variety of questions about that grant or contract. If the respondent did not currently have a grant, then they were asked questions related to why they did not. Finally, all respondents were given a chance to comment on the grant and contract making process in general. The survey was completed and returned by 218 respondents, representing a diverse segment of the nonprofit community. Respondents came from organizations involved in education, human services, health, community improvement, arts, and many other areas of focus located throughout the state of Michigan. In addition, the Michigan Nonprofit Association held focus groups with leaders from the nonprofit community to further identify problem areas with the grant and contract making · process. These focus groups provided anecdotal information to complement the statistical data taken from the survey. a Sixty-four percent of nonprofits responded that they currently had grant or contract with the State, while 36% responded that they did not. This shows that a significant portion of the nonprofit sector is currently relying on the State's grant and contracting program for at least a portion of their funding. �KEY FINDINGS • Few non profits are finding information regarding available grants through state agency announcements. There is a consensus among nonprofit grantseekers that information regarding available grants and contracts from state agencies can be difficult to find. The majority of nonprofits that have grants or contracts with the state find out about them through previous experience with that particular agency, or through contacts they have with the agency. There is a clear lack of uniformity between state agencies when it comes to their grant and contracting processes. Each agency has their own procedures and requirements in both the application and administration process. This makes it difficult to understand what the requirements are for an agency, especially for nonprofits that have grants and contracts with multiple agencies. Adjust Payment Reimbursement Procedures- Review payment procedures in all departments to determine where delays occur and what changes can be made to avoid delay in payment. Also, develop special mles for small nonprofits that allow payments to an account that can be drawn upon to pay for expenses the group cannot afford to advance. Initiate Outreach to Make Non profits Mm·e Aware of State Grant ProgramsAgencies need to conduct outreach programs to make more nonprofits aware of State grant opportunities. Expand Technical Assistance on Grant Application Process- All State agencies need to provide training and technical assistance for nonprofits that wish to apply for State grants. Provide feedback, as needed, on existing and emerging regulations affecting the nonprofit sector. The purpose of this objective is to periodically review the existing state legislation and regulations governing the charitable community and to provide suggestions for maintaining cohesion between the law and the changing nonprofit/fundraising environment. The input and feedback of the sector through the Nonprofit Advisory Committee will inform revision and implementation of these laws and practices. Priorities in this area may include: • Periodic review and suggestions for revision of relevant regulations, • Providing input and feedback to proposed changes in charitable legislation emanating from the legislature, Attorney General or other source, and • Exploring opportunities to educate and work with the legislature regarding the regulation of charities. 2. Assist the Attorney General with educating donors and citizens about charities and charitable giving. The Charitable Trust Section of the Attorney General's office is an important source of information about and for the sector. This objective will help inform the Attorney General on how to maximize the information, tools and leadership available to educate donors and citizens about charities and charitable giving. Changes in the fundraising environment, including on-line giving and recent scandals regarding the accountability of charities, have made it imperative that the public make educated choices for donations. Priorities in this area may include: • Providing feedback and recommendations on current public education efforts, mid �• Identifying oppotiunities and strategies for the Attomey General to educate donors/citizens about the state's nonprofits, including the importance of giving and how donors can give wisely. 3. Enhance the effectiveness and efficiency of collecting data about charities and fundraisers. Although over 3,000 charities are registered with the Charitable Ttust Section, there are still a number of charities and fundraisers that are not aware of the registration and disclosure requirements of the state. For the purpose of accountability of organization practices and an accounting of the scope of the sector, it is important that all required charities register and understand the disclosure requirements. Some key priorities in this area may include: • Exploring and implementing methods to inform nonprofits and fundraisers about registration/disclosure requirements, • Reviewing the type of data collected and its uses, suggest potential audiences for this information, and explore how technology can facilitate the collection process, and • Evaluate models and experiences from other states, regarding their collection of data. Composition of Committee MNA proposes that the full Committee meet twice a year and be chaired by the Attomey General or senior staff member. As discussed previously, the Michigan Nonprofit Association is willing to coordinate and manage the committee. MNA also proposes to assign committee members to work groups organized around the objectives outlined above. These committees would also meet twice during the year and would be staffed by MNA. To reflect the geographic and mission diversity of the sector, the following is a list of potential "types" of groups that may be asked to serve: • • • Statewide nonprofit organizations representing the arts, education, human services, foundations and nonprofits. Local nonprofit organizations representing the health and human services, the atis, the environment and the foundation community. Professionals working with nonprofits including accountants, lawyers and professional fundraisers. Timeline MNA proposes that committee members be recruited over the summer, and that the launching of the committee be announced in the fall in conjunction with the first meeting. Cuts in spending have already been approved and future cuts are anticipated. These reductions are extremely disturbing considering that state spending on arts, k-12 education, higher education, environment and natural resources, and health and human services are already at a bare minimum. Additional funding cuts to these programs and services will devastate the quality of life here in Michigan. These programs are often ones that the government can not or does not have the ability to provide alone. In addition to suppott for individuals and municipalities, the state makes grants to and contracts with nonprofit organizations to provide needed services for Michigan families. Not only will additional cuts harm the individuals and municipalities that rely on direct state funding, but it will also hinder if not prevent the nonprofit community from carrying out its charitable mission. Worsening the situation are decreasing levels of foundation and individual giving, which leave organizations with few or no resources to replace funding from the state or to support the services that government may choose to no longer provide. In addition to a weak economy, decreases in state revenue have made it increasingly difficult to support the current quality of life that Michigan residents expect. Unfortunately recent solutions to the state budget crisis have only been temporary, and most expetts agree that more permanent solutions must be found. A permanent solution is to address the lack of revenue by urging policymakers to adopt a sufficient tax base to support Michigan residents. The following is a proposed statement on this issue, which was drafted by the MNA Public Policy Committee and a group of select MNA members representing the subsectors mentioned below: The Michigan Nonprofit Association urges achievement of sufficient state and federal revenue bases to mitigate harmful budget reductions in the areas of arts; k-12 education; higher education; environment and natural resources; and health and human services, and support reasonable growth over time. �If the MNA Executive Committee suppmts this statement, it is proposed that the next step include the full board's review of the following possible solutions to the budget stmctural problems. Although additional solutions will be proposed by lawmakers, support of the following will shape and guide the work of the Association as it works with coalitions on this matter. Before the board takes specific positions on budget solutions, staff proposes that an expert on these topics such as Tom Clay with Citizens Research Council of Michigan be invited to the next board meeting to review the pros and cons of these suggestions: 1. Decouple from the federal estate tax- this proposal would include joining 17 other states by passing legislation to allow the state to continue collecting estate tax despite action on the federal level. It is estimated that between fiscal years 2003 and 2007, Michigan would retain $565 million by decoupling. 2. Retain the Single Business Tax or replace it with a tax of similar capacity- the Single Business Tax currently provides '14 of the General Fund revenues, and prior to its phase-out constituted a larger share. 3. Adjust alcohol taxes for inflation- the beer tax has not been adjusted for inflation since 1966 and the wine tax has not been adjusted since 1981. It is estimated that if both the beer and wine taxes were doubled, to reflect inflation and recoup from inflationary loss, $51 million would be generated. 4. Postpone the scheduled reduction in the income tax rate- if the rate reduction from 4 percent to 3.9 percent did not occur in January 2004, the state would retain $118 million. 5. Modernize the Michigan sales tax stmcture to reflect changes in technology and the change from a manufacturing to a service economy- as the technological and service sector continues to grow the state looses revenue because its sales tax stmcture does not reflect the changing environment. The loss of revenue from consumer remote sales is estimated to be $349 million by fiscal year 2005, and the estimated loss of revenue from exemption of services was 4.6 billion in fiscal year 2001. The above suggestions will not completely solve the state's crisis, however, for MNA to advocate for a sufficient tax base the Association must have suggestions to begin doing so. MNA also recognizes that this policy issue is an uphill battle, and to be successful it must include suppoti from leadership of business and government. Blews at 9:00 a.m. He welcomed and thanked everyone for attending the meeting. He introduced three new MNA Trustees: M. Boulus, President Council State Universities of Michigan; S. Herman; Executive Director, Michigan Jewish Conference; and N. Shugars, Executive Director, Volunteer Center of Battle Creek. He also recognized and thanked D. Silk, Michigan Jewish Conference, for her years of service with the MNA Board of Trustees and presented her with a small token of the MNA Board of Trustees' and staffs' appreciation. E. Blews asked everyone to introduce themselves and to share a brief description of what their greatest satisfaction or joy is in what they do. E. Blews asked that everyone pause for a moment of silence to reflect on the current world situation. 1 �2. Approval of Minutes of December 17,2002 E. Blews asked for a motion to accept the meeting minutes of the December 17, 2002 Board ofTtustees Meeting. A motion was made by D.Algra and seconded by J. King. E. Blews asked if there were any additions or amendments to the minutes. A. Marston requested to be added to the list of Trustees present. E. Blews requested that on page 5 of the minutes a change in the wordh1g be made to state: (E. Blew, C. Bloodworth, A. Rosewarne and J. Lore recused themselves from voting, to avoid even the appearance of a conflict of interest due to their involvement as representatives of MNA on the Board of ConnectMichigan Alliance). Motion carried. 3. Chair's Report E. Blews thanked and acknowledgeS. Singh as President and CEO ofMNA and commended him for his leadership. He also recognized the staff for their professionalism and dedication. He formally welcomed D. Swenson, the new Vice-President of Michigan Nonprofit Association. The MNA Board of Trustees welcomed him with a warm round of applause. E. Blews commented on the growing and impressive presence of MNA in the Public Policy arena, which is watching out for the nonprofit sector. E. Blews asked the Board of Trustees to reserve the dates of May 19 and 20 for the Grantmakers Grantseekers 2003 Conference. He urged everyone to register and participate in the conference. He also noted that the next MNA Board of Trustees meeting is June 24, 2003 at the University Club. E. Blews reported that he is very impressed by the way MNA Committees play a key role in the success and effectiveness ofMNA in exercising the ownership of the membership ofMNA. 4. President's Report S. Singh discussed the work of the MNA Nonprofit Leadership Institute. Last year, MNA made a complete shift in the way the training and technical assistance is viewed. After a year of planning, the program is being finalized and ready to take to funders for consideration. The long term program will make more of an impact on the people who have attended the training. 2 �S. Singh reported on beginning conversations with NPower Michigan, a nonprofit created to look a technology needs for the nonprofit sector and bringing their presence to the Lansing area. 5. MNA Strategic Plan 2001-2004 D. Swenson reviewed the changes to the Strategic Plan 2001-2004 shown in bold print. He noted that none of the goals had changed, but there were changes to the action steps, time frames, staff responsibility and MNA Committee responsibilities. D. Swenson noted that progress is being made in all areas. S. Singh remarked that staff is focused on the Strategic Plan and regular meetings are held to review the progress. 6. Fund Advancement Committee Report C. Bloodworth reviewed the MNA Fund Advancement Report. She reported that $330,775 of the budgeted amount has been raised leaving a remaining balance of $153,500. C. Bloodworth said that MNA is looking for sponsors for the GrantrnakersGrantseekers 2003 conference, and she thanked R. Collier for all of his help in the fundraising efforts. It was noted that that the MNA Strategic Fund information will be mailed in April. 7. Finance Committee Report S. Singh reported that M. Flanagan was unable to attend today and he will provide the report. He noted that MNA has strong financial programs in place, but with recent financial developments in the nonprofit arena, all programs were reviewed and some minor changes have been made within MNA. He also noted that MNA offered a Financial Controls Risk Management Workshop for Nonprofits which quickly sold out. S. Singh reviewed the Statement of Revenue and Expense and reported that Grants and Contracts- Strategic is behind budgeted projections. He noted that MNA anticipates several grant awards and has decreased its expenses with the largest cut being in salaries and benefits. A motion was made to accept the Financial Statements for the month ending January 31, 2003 by D. Price and seconded by D. Algra. Motion carried. 3 �S. Singh reported that MNA is in the process of establishing a Flexible Benefits Plan for its employees and would like to establish a separate checking account for this benefit. A motion was made by J. King to adopt a cafeteria plan with the context of Section 125 of the Internal Revenue Code for the benefit of the employer's eligible employees. This resolution adopts the Flexible Benefits Plan with a date of March 1, 2003 to January 31, 2004 and sequential plan dates of February 1 through January 31. The motion was seconded by D. Price. Motion carried. A motion to approve the Corporate Resolution to open a checking account as MNA-Section 125 solely for the Flexible Benefits Plans reimbursement of all qualified transactions was made by E. Rogers and seconded by A. Marston. Motion carried. S. Singh stated that MNA would like to open a Business Partnership Plus Money Market Account with Standard Federal Bank, which would assist in an increase in interest revenue and decrease in checking account fees. A motion was made by J. Moore and seconded by R. Collier to approve opening a Business Partnership Plus Money Mat·ket Account with Standard Federal Bank. Motion carried. 8. Nominating Committee Report Sr. Monica was unable to attend today and E. Blews reported for the Nominating Committee. He reviewed the Nominating Committee Report and the recommendation ofthe At-Large and Association Trustees for approval by the Board. He also noted that the seat on the Michigan Ecumenical Forum has not been filled due to the inactivity of the organization. He further noted that the Nominating Committee recommends to the MNA Board of Trustees that the remaining seat be filled by a nonprofit representing the environment. Discussion has begun with the Michigan Environmental Council. E. Blews noted that there is the ability for an appointment by the Chair subject to ratification by the Board. E. Blews said that the Nominating Committee recommends that the MNA Board of Trustees approve the nomination of one new At-Large Trustee, B. Kratchman, ArtServe Michigan, along with five tetuming At-Large Trustees: D. Algra, Community Volunteer; B. OtT Hill, Michigan Women's Foundation; J. Moore, 4 �Kalamazoo Regional Chamber of Commerce; I. Strumwasser, Blue Cross Blue Shield of Michigan Foundation; and S. Webster, Michigan State University. A motion was made to approve the above At-Large Candidates by R. Collier and seconded by D. Mikula. Motion carried. E. Blews reported that the Nominating Committee recommends that the MNA Board of Trustees approve the designation of the following Association Trustees to the MNA board of Trustees Class of2006: J. King, Michigan Association of School Boards; J. Marshall, Food Bank Council of Michigan; C. Nelson, Michigan Association of United Ways; D. Seaman, Michigan Health Hospital Association and M. Boulus, Presidents Council, State Universities of Michigan. A motion was made by A. Marston and seconded by D. Price to approve the above Association Trustees. Motion carried. E. Blews next asked for a motion to recommend that the MNA Board of Trustees approve the appointment of S. Berman, Michigan Jewish Conference to the Class of 2004 (replacing D. Silk who is retiring). A .motion was made to accept the above appointment by T. Mathieu and seconded by D. Van Iwaarden. Motion carried. (M. Flanagan joined the meeting) 9. Public Policy Committee Report R. Collier reviewed the motions approved and referred to the MNA Board of Trustees. He discussed the wording of the recommendation of the position statement regarding revenue restoration. The recommendation reads, "The Michigan Nonprofit Association supports state and federal revenue restoration that would prevent spending reductions in the areas of arts, K-12 education, higher education, environment and natural resources and health and human services." A lengthy discussion followed as to the change in the wording. It was agreed that the position statement would be supported in spirit and delegated to a committee of Board members (to be selected by staff). S. Singh will communicate the revised language to the Board. · 5 �E. Skene updated the Board on the latest Spotlight series- Zero Tolerance Policies and Their Impact on Michigan Students. She also noted that MNA is cosponsoring Partnership in the Era of Term Limits, which will be held on May 9 at Grand Valley State University. 10. Membership Committee Report D. Mikula repotted that in these economic times the Membership Committee has a concern about the dues structure regarding increasing new members and sustaining current members. J. Harper rep01ted that MNA has purchased a new software package, Mission Maestro, to track new members and assist MNA in achieving membership goals. 11. Leadership and Training Committee Report J. Moore reviewed upcoming scheduled trainings including GrantrnakerGrantseeker 2003, to be held May 19 and 20 at the Lansing Center. She also noted that Emerging Leaders will be beginning a new session on March 20. The Local Learning Series held a one-day workshop on Fiscal Controls. The class may be offered in other cities in partnership with local MSO's. MNA has begun a series of workshops for MCRH using satellite downlinks to hospitals and clinics in northern Michigan and the UP. The first session on volunteer recruitment and retention was very well received. Also on April 10 a Risk Management seminar will be held at the MNA's offices. The Indiana University Fund Raising School will hold a session on Grant Writing, June 4 and 5. 12. Grantrnakers-Grantseekers 2003 D. Algra reviewed the Grantmakers-Grantseekers 2003 Evaluating ImpactDelivering Results brochure. She reviewed the keynote speakers, Mike Farrell, best known as an actor and human rights and refuge aid activist; Governor Jennifer Granholm, invited to speak; and Michael Quinn Patton, a nationally recognized utilization-focused evaluation consultant. The conference will be on May 19 and 20. A question was asked if there was to be an awards dinner. D. Algra said that an awards luncheon will be held on Tuesday, May 20. Four awards will be presented at the luncheon, including The Russell G. Mawby Award for Philanthropy, The Governor George Romney Lifetime Achievement Award for Vohinteerism, Michigan Association for Evaluation Service Award and Friend of Evaluation Award. 6 �13. ConnectMichigan Alliance Report E. Blews noted as Chair of the ConnectMichigan Alliance Board of Trustees he wanted to express their deepest thanks to the MNA Board for the gift of $1.3 million to CMA which brought CMA in striking distance of completing the $20 million campaign. He noted that the caveats that were identified will be fully honored by CMA and its Board. J. Lore reviewed the progress on the ConnectMichigan Alliance Gift Snapshot Report dated 3/14/03 and noted that there is $628,000 left to raise by June 2003. E. Blews stated that CMA would appreciate any additional support MNA's Board members would like to make to the CMA Campaign either individually or by their organizations. 14. 15. Other E. Due to accounting errors within the Corporation for National and Community Service, states across the country were notified last week that the existing 900 AmeriCorps programs would be drastically cut (50% to 90% depending on the state). Last week Congress took its first steps to solve this situation by passing S.l276. This legislation sets forth how the CNCS will account for the members it enrolls (patt of the reason the Corporation needs to cut funding is because of miscalculations of members). However, even with the accountability measures, it is still necessary that a $200 supplemental appropriation be made to the Education Award Trust to make the Trust solvent with a balance to support 75,000 members (next year's recruitment goal) and to reinstitute AmeriCorps funding to 2002 levels. As nonprofits face difficult times, the loss of these volunteers and programs will decrease services provided across the country. The following is more information on S. 1276: What it does: S.l276 sets the standard accounting fmmula for the Educational Award Trust. The Bond-Mikulski bill, called the 'Strengthen AmeriCorps Program Act of2003,' will allow CNCS to enroll up to 50,000 AmeriCorps members in 2003. The major provisions of the legislation include: • Allows CNCS to fund AmeriCorps education awards based on Office of Management and Budget (OMB) formulas by counting awards eamed and used by AmeriCorps volunteers. • Establishes a central reserve fund to protect the CNCS against over-enrollment of AmeriCorps members. • Requires the Chief Executive Officer to certifY that the National Service Trust fund contains adequate funds to meet education award liabilities. • Requires an independent audit of the Corporation's funding formula. �• • • • • • o Encouraging grantees to recruit friends of their cause to carry their message (alumni, AmeriCorps members, local elected officials, media, board members, etc.) Asking grantees and MNA members to urge their Representatives to sign a letter being circulated in Congress asking the President to support a supplemental appropriation. Assisting grantees with arranging site visits by their Representatives. Contacting the Michigan delegation regarding the Association's position. Offering advocacy technical assistance to organizations when requested. Working within the national network of state associations (National Council of Nonprofit Associations) to encourage MNA's sister state associations to take action. Providing on-going information to the sector regarding the issue. VOLUNTEER INVESTMENT GRANT PROGRAM Background The VIG program, which assists communities in solving pressing social problems by supporting the needed volunteer infrastructure is essential to meeting the needs of Michigan communities. However, the funding for this program has been cut by 22% over the past few years. This is particularly disturbing in light of these difficult economic times and decreased giving and volunteering by Michigan residents. According to a recent study, Michigan residents decreased their levels of volunteering by 16% from 2001, which means only about 30% ofMichiganians volunteered last year. In addition, giving was down last year, from 89.1% in 2001 to 80.1% in 2002. Not only does the VIG program strengthen nonprofit organizations and their ability to serve those in need, but it also contributes to the local economy. Specifically: • To date, communities have leveraged $5.8 million locally to match the $4.8 million of state funds. • Volunteer Investment Grants have supp01ied 34 volunteer resource centers throughout Michigan. These 34 centers serve 38 of Michigan's 83 countiesreaching 53% of Michigan's population. All told, 97 Volunteer Investment Grants have been awarded to local volunteer resource centers. • In 2003, a total of $780,095 was awarded to 17 volunteer resource centers. These grants range in size from $24,200 to $100,000. Local communities will leverage at least $780,095 in local funds for VIG in 2003. The annual fund is a granting program of the Michigan Community Service Commission, with grants ranging from $25,000 to $100,000. Each grant has to be matched by the local community, with the local match being placed into an endowment for community-based volunteer initiatives. The State VIG grant can be used by the organization to enhance their capacity through program development, technology enhancements or technical. �federal and state revenues that are used to provide community services, such as quality schools, staffed and equipped hospitals and police and fire deparhnents, good roads, clean air and water, parks, and libraries. Although the nonprofit sector remains a strong partner with government, it can not fulfill these needs without federal and state support. Since Michigan has only a "pickup" estate tax, that is, it has an estate tax that is set equal to the amount of the federal credit, it has been estimated that Michigan could loose up to $565 million in revenue between Fiscal Years 2003 and 2007 if the federal estate tax is eliminated. What MNA is doingMNA previously sent letters to Congress urging that they consider the consequences of permanent repeal of the estate tax on charities. MNA will send Senators Levin and Stabenow letters reminding them of the impact of permanent repeal. CHARITABLE GIVING ACT 2003 Background On April 9, the Senate passed the CARE Act of2003 by a vote of95-5. All eyes are now on the House of Representatives to see whether it can pass a charitable giving bill and if so, what it will contain. Representatives Roy Blunt (R-MO) and Harold Ford Jr. (D-TN) recently introduced the latest charitable giving bill in the House of Representatives--the Charitable Giving Act of 2003, H.R.7. The charitable giving provisions of the bills are similar. However, there is one major difference-the House bill prohibits private foundations from counting administrative expenses as distributions. Thus, private foundations would no longer be able to include administrative expenses in detetmining their payout. We will audit the statement of financial position of Michigan Nonprofit Association as of June 30, 2003, and the related statements of · activities, functional expenses, and cash flows for the year then ended. The objective of our audit is the expression of an opinion about whether your financial statements are fairly presented, In all material respects, in conformity with U.S. generally accepted accounting principles. Our audit will be conducted In accordance with U.S. generally accepted auditing standards and will include tests of your accounting records and other procedures we consider necessary to enable us to express such an opinion. If our opinion Is other than unqualified, we will discuss the reasons with you in advance. If, for any reason, we are unable to complete the audit or are unable to form or have not formed an opinion, we may decline to express an opinion or to issue a report as a result of this engagement. Our procedures will include tests of documentary evidence supporting the transactions recorded in the accounts, and direct confirmation of receivables and certain other assets and liabilities by correspondence with selected funding sources, creditors, and financial institutions. We may also request written representations from your attorneys as part of the engagement. At the conclusion of our audit, we will require certain written representations from you about the financial statements and related matters. An audit includes examining, on a test basis, evidence supporting the amounts and disclosures in the financial statements; therefore, our audit will involve judgment about the number of transactions to be examined and the areas to be tested. Also, we will plan and perform the audit to obtain reasonable assurance about whether the financial statements are free of material misstatement, whether from errors, fraudulent financial reporting, misappropriation of assets, or violations of laws or governmental regulations that are attributable to the Organization or to acts by management or employees acting on behalf of the Organization. Because an audit Is designed to provide reasonable, but not absolute, assurance and because we will not perform a detailed examination of all transactions, there is a risk that material misstatements may exist and not be detected by us. You are responsible for adjusting the financial statements to correct material misstatements and for confirming to us in the management representation letter that the effects of any uncorrected misstatements aggregated by us during the .current engagement and pertaining to the latest period presented are immaterial, both Individually and in the aggregate, to the financial statements taken as a whole. You are responsible for the design and implementation of programs and controls to prevent and detect fraud, and for informing us about all known or suspected fraud affecting the organization Involving (1) management, (2) employees who have significant roles in internal control, and {3) others where the fraud could have a material effect on the financial statements. You are also responsible for informing us of your knowledge of any allegations of fraud or suspected fraud affecting the Organization received in communications from employees, former employees, grantors, regulators, or others. We understand that your employees will prepare all cash, grant receivable, and other confirmations we request and will locate any documents selected by us for testing. As part of our engagement, we will also prepare the federal form 990 "Return of Organization Exempt from Income Tax" for the year ended June 30, 2003. We estimate that our fees for these services will not exceed $5,500 for the audit and $500 for the information return. The fee estimate is based on anticipated cooperation from your personnel and the assumption that unexpected circumstances will not be encountered during the audit. If significant additional time is necessary, we will discuss it with you and arrive at a new fee estimate before we Incur the additional costs. Our invoices for these fees will be rendered each month as work progresses and are payable on presentation. The Michigan Nonprofit Strategic Fund (MNSF), Volunteerism SuperConference, Michigan Public Policy Institute and Michigan Nonprofit Day are the vehicles through which grants, sponsorships and donations will be received. The Michigan Nonprofit Strategic Fund is an annual campaign fund that enables MNA to meet its goal of supporting Michigan nonprofit organizations and their professional and volunteer leadership in attaining mission focused goals. Prospects for the support of the MNSF include foundations, businesses, organizations and individuals. �DRAFT Volunteerism SuperConference 2004 is an opportunity for nonprofit leaders and volunteers to network and learn of ways in become more efficient and effective at their everyday tasks. Prospects for the support of the SuperConference include foundations, businesses and organizations. Michigan NonProfit Day is a one-day conference that provides a venue for nonprofit leaders to learn about the public policy topics impacting all nonprofits and how the nonprofit sector can work together to address these concerns. The committee is chaired by Chris Nelson, President of the Michigan Association of United Ways and MNA Tmstee. The committee represents a broad cross-section of organizations focused on volunteerism in Michigan and expects to plan an outstanding experience May 24 and 25 in Grand Rapids. Please mark your calendars now for this impmiant MNA service. Michigan Nonprofit Leadership Institute The initial proposal for one foundation to fund the Michigan Nonprofit Leadership Institute was not accepted. New strategies are being developed to secure funding for components of the institute. The second class of Emerging Leaders will participate in Nonprofit Day. They will graduate September 23 at the Holiday Inn South in Lansing. You are encouraged to join the Emerging Leaders and their mentors for the noon to 2:00 celebration luncheon and certificate presentation, which will be followed by a one and one-half hour discussion of the future of the nonprofit sector. Please let Mike Corbin know if you are able to participate. The third class of Emerging Leaders has been selected and will begin meeting October 23. Local Learning Series The workshop Working Effectively with the Media had a registration of21 individuals from a wide variety of organizations. Spending Your Technology Dollars Effectively (presented by NPower Michigan); and Successful Grant Writing: Where Do I Go, What Do I Say When I Get There? are fmihcoming. MNA will also offer a fall workshop on Personal Financial Planning for Nonprofit Executives, in cooperation with Mutual of America, on September 17. Materials for the winter series will be mailed shmily. Over please �Michigan Center for Rural Health The series of workshops for MCRH using satellite down links to hospitals and clinics in northem Michigan and the UP has been competed with MCRH expressing complete satisfaction. They have contracted with MNA to provide similar workshop series in 2004 and 2005. MCRH has been approached to use their system for a series of MNA trainings reaching out-state constituents with capacity building workshops slatting in spring 2004. Indiana University Fund Raising School The class on involving volunteers and staff in major gift solicitation was canceled due to low registration. The price of classes is a barrier to many potential attendees and strategies to lower costs are being explored. Other scheduled classes in Livonia through March 2004 address basic training in development and donor communications. Michigan MSO Network The Michigan MSO Network met September 8. The Michigan Nonprofit Compensation and Benefit Survey has secured seven sponsors, including MNA and is moving forward well in partnership with the Johnson Center for Philanthropy and Nonprofit Leadership. ( The MSO network heard a presentation on how MSO's could become involved with the Michigan Broadband Authority to help local nonprofits secure computer hardware. MNA and NPower Michigan will work together to create a vehicle to facilitate this support. They reviewed the Hallmarks for Mission Achievement tool for organizational assessment and leamed about a partnership between MNA and Nonprofit Enterprise at Work to place prospective board members through an internet-based data bank and to provide training to strengthen nonprofit boards. Southeast Michigan Nonprofit Continuum The Continuum pattners are wrapping up service to the pilot group of agencies and beginning work with a second phase of organizations. Assessment of phase one is nearly complete. City Connect Detroit is supporting the search for funding for on-going operations. We hope to have the brochure ready for a membership recmitment campaign by the end of October. Although our membership has increased slightly this past quatier, we are not reaching the goal that we had set in the Strategic Plan in 200 l. Possibly the renewed effoti and a sharp brochure will help to better market MNA. !Publications The bookstore on the Web site is being updated. Several new publications have atrived and a few out-of-print titles have been removed. We are currently investigating an online credit card processing system which will probably increase sales and reduce the time required for invoicing and follow-up. I Benefits & Services Two new membership services are being investigated: I. Online Postage- This system will allow MNA and our member organizations to save money on postage by purchasing and printing postage via the internet. Much of the savings comes from elimination of rental fees for postage meters. 2. Conference Calling- Details are being finalized on a conference call plan that will reduce costs for members. Details will be finalized before the winter Board meeting. I MNA Publications Due to an increased amount of news in the nonprofit sector, the past few issues of MNA Links have been larger than the usual 16 pages. The increased size has made adhering to deadlines more difficult; however we make every attempt to get the newsletter to you by the fifth of the month. Plans are underway for the 2004 MNA Directory. A decision has been made to change the directory to have greater focus on consultants and other resources for nonprofit organizations. The amount of member information, which changes the most rapidly will not be included in the directory but will be kept up-to-date on the Web site. �IMNA Web Site As previously mentioned, the online bookstore is being updated and online credit card processing will soon appear. Remember to check the Web site often as new information is added on a regular basis. I Classified Advertising The pattnership with Opportunity Knocks, a national job posting service that was announced last quarter has been postponed due to financial issues that could not be resolved.
