Marvin welcomed committee members and staff and recognized new committee members. Members present introduced themselves. J. Rapanos and D. Marvin expressed their appreciation to everyone for their interest and participation. l. Review Rota of CMF ud MNA u Cosooa10n S. Kan reviewed the historical development of the Grantmakers/Grant.seekers Seminar. She expressed that the partnership between CMF and MNA continues to be sua:essfu.l in bringing together grantmakers and grantscekcrs. 3. Overview of ComJDittee Member Resoonsibilitig A Osborne highlighted the committee member responsibilities listed in the Guide for Planning Committee Members. 4. lleyiew GGVIU Evaluatioa• A brid overview of the OOVIU evaluation results were presented by A. Osborne. She noted that the evaluations serve as an excellent guide for future planning. The evaluation forms showed that the keynote speaker and content of breakout sessions are important for a sucx:essfu1 conference and good attendance. This is espcc:ially important since attendanoe was down last year. S. Discuu Selection ~ Jeeyaote Speaker --- J. Rapanos led the discussion about keynote speaker selection. The list of past keynote speakers was summarized by S. Kan. It was noted that Betty Beene, president of United Way of America, and Stephen Covey, author, were currently being pursued as keynote speakers. Committee discussion included the importaoce of having two keynote speakers representing a national and state focus. It was also noted that foundations and corporate sponsors could be helpful in absorbing speaker fees. The committee expressed the ideas that the keynote speaker should have name recognition, be motivational and have a message that is applicable for attendees. S. Rapanos reviewed the list of sample breakout topics suggested by past conference panicipants and st.a1f. The committee agreed that the breakouts should incorporate the Creating A Shared Vision theme by ~ving a grantmaker and grantseeker present at each session. They also decided that it was imponant to decrease the number of breakout sessions from 16 to 12. Another committee suggestion included adding a section to the brochure identifying breakout sessions as being beginning, intermediate or advanced levels. Other recommendations included having a keynote speaker during lunch, increasing the time allotted for exhibitors, having a gathering place for panicipants to share information and structuring the networking reception differently. It was decided that specific format and logisti~ decisions would be made at the November 20th meeting. This will strengthen bonds with member organizations beyond the executive director level and provide technical assistance. MNA is currently in the process of establishing an 800-number. MNA should review its member benefits and services to determine specifically what benefits members find valuable. MNA sent surveys to all members in October requesting more detailed information on what MNA services they use. The results from this survey, and the telephone survey completed by FERA, will be utilized to find what benefits members deem valuable. MNA needs to have more contact with the staff of the member organization. Michigan's New Partnerships VISTA project is administered by the Michigan Nonprofit Association in partnership with the Council of Michigan Foundations and the Michigan Community Service Commission. PROGRAM FOCUS : In six areas of the state, VISTAs will support the New Partnerships concept for community problem solving, through communication, citizen action and collaboration among private, nonprofit, and government sectors. VISTA efforts will strengthen inter-sector partnerships and support citizendriven community solutions particularly related to school success and to youth development during non-school hours. LOCATIONS: Three AmeriCorps*VISTA volunteers will work in each ofthe six areas (centered, but not limited to that town): Jackson, Muskegon, Detroit, Roscommon, Saginaw, and Marquette. VCM/AmeriCorps is administered by the staff of the Volunteer Centers of Michigan and is funded by the Corporation for National Service and the Michigan Community Service Commission. PROGRAM FOCUS: VCM/AmeriCorps is designed to meet the needs of Michigan's young people, systems that effect them, and the communities in which they live. The primary focus ofVCM/AmeriCorps will be the development and support of initiatives designed to increase young people's participation in strengthening their community. VCM/AmeriCorps will "get things done" by engaging youth during the after school hours in the achievement of structured goals which are tailored to meet the individual needs of each community. The program consists of 15 full-time and 30 part-time AmeriCorps volunteers which will be placed in any selected Volunteer Center throughout the state of Michigan. I'CII/ I ppl �ConnectMichigan™ Overview This October, the Points of Light Foundation in Washington, DC will be launching a national effort to improve communities throughout our nation by encouraging millions of Americans to participate in volunteer service. The program title, ConnectAmerica™, was taken from remarks by former Michigan governor, George Romney. Romney often talked about "reconnecting our communities through service" and connecting individuals of diverse backgrounds to work together to solve community problems. Under the leadership ofthe Michigan Nonprofit Association and the Michigan Community Service Commission, Michigan has started the planning process to initiate a similar concept of connecting citizens in the great state of Michigan. Using the New Partners initiative as a starting point, ConnectMichigan™ will attempt to bring together the leadership of the three major sectors of society, the public, private, and nonprofit sectors, at the state level and in communities. ConnectMichigan' s™ mission statement is: "To increase connection among individuals, organizations, and communities in Michigan through community service that works to solve critical social problems." In order to accomplish this connection at the local level, we propose creating a state steering committee of 12-15 leaders throughout Michigan. The attached diagram illustrates the subsector focus that we propose for ConnectMichigan' s™ leadership. In each of the sub sector listings we have suggested an organization that would represent the interests of that group in the steering committee. Once the leadership ofConnectMichigan™ is in place, we propose hosting two to three steering committee meetings in the next 12 months. The first meeting will be conducted in late 1996 and will focus on developing the 1997 plan for ConnectMichigan™. It is our hope that in this meeting we can agree upon the ConnectMichigan™ mission statement, gamer the public support of each of the steering committee members for the ConnectMichigan™ effort, and identify in each subsector of the ConnectMichigan™ structure two to three communities or programs that will serve as potential models of connecting citizens in communities throughout the state. The Officers of the MNA shall be identical to the Officers of the Board of Trustees. The Officers shall SERVE TERMS OF TWO YEARS AND WILL be elected annually BI-ANNUALLY by a two-thirds affirmative vote of the Trustees present at a duly called and constituted meeting. An Executive Committee has been established; a Program Advisory Committee and Fund Development Committee are in the process of being formed . These committees are designed to enhance the work of MCC and to involve the member institutions in MCC activities. A rough draft of MCC bylaws has been developed and is being circulated to the MCC Executive Committee with the intention of having the bylaws approved at the next Council of Presidents meeting on May 14. The Council of Presidents meeting on May 14 is being hosted by The Kresge Foundation and being held at the Detroit Renaissance Club. Venture Grants The MCC Venture Grant Cycle 14 opened on February 17, 1997, and closes on April7, 1997. Approximately $11 ,000 is available for Venture Grants this cycle. Financial awards will range up to $2,500. Faculty, staff, and students from MCC member institutions are eligible to apply. The selection committee will meet during the week of April 21-25 to make decisions on recommendations for funding . Final approval will be made by the Council of Presidents at their semi-annual meeting on May 14. Annual Student Recognition Ceremony The 1997 Student Recognition Ceremony will be held on Saturday, April12 at 6:00p.m. at the Kellogg Center in East Lansing. Nomination forms were sent to all MCC community service coordinators, presidents, faculty representatives, and SCAN members. Applications and a cover letter were sent to nominated individuals. A selection committee comprised of staff and students reviewed the applications and award recipients were named. Five "Outstanding Community Impact Award" recipients and seventeen "Commitment to Service Award" recipients will be honored at the awards ceremony. Applicants that did not receive either of these awards were sent the "Heart and Soul Award" certificate and letter in the mail. Presidents' Leadership CoUoquium The Presidents' Leadership Colloquium (PLC), sponsored by the national Campus Compact was held on February 22-23, 1997 at the Grand Hyatt Hotel in Washington, DC immediately preceding the ACE (American Council on Education) Annual Meeting. This year' s theme was "Colleges and Universities As Citizens: Connecting Higher Education and Communities." The PLC assembled Campus Compact presidents from around the country to share strategies for enhancing their institutions' commitment to civic engagement and citizenship via a renewed commitment to community service. The speakers were Jeremy Rifkin, John Kretzman, and Ed Zlotkowski. The Thomas Ehrlich Award recipient was Richard Kraft from Colorado State University. The panel of past Howard Swearer recipients included Monisha Kumar (one of three �on the panel), a University ofMI graduate, and one oflast year' s MCC Outstanding Community Impact Award recipients. Poster Contest MCC and the Michigan Community Service Commission co-sponsored a poster contest to promote community service and service learning in higher education in Michigan. Each MCC community service coordinator received information about the contest and were asked to publicize the contest on their campuses. The judging for the poster contest occurred on February 27. The quality of submissions was incredible. The winning poster entry will be unveiled at the Governor' s Community Service Awards program on May 8, 1997. Service Leadership Camp 1997 Service Leadership Conference, "Each One, Reach One," will be held Friday, September 12 through Sunday, September 14, 1997 at the YMCA Storer Camp in Jackson, MI. The Leadership Camp is designed to provide an opportunity for campuses to develop their community service plans for the upcoming school year and develop their leadership teams. COOL Conference The Campus Outreach Opportunity League (COOL) held their national conference on Friday, March 13 - Sunday, March 16, 1997 at Cleveland State University in Cleveland, OH. Students from across the state attended this conference. Each community service coordinator received conference registration information from COOL. MCC did not sponsor a bus this year due to the fact that Cleveland is such a short drive for everyone. SCAN did a great job presenting a session at the conference on creating state-wide student networks. MCC Summer Break Dave Waterhouse (U of M) proposed a new Summer Break initiative that will be sponsored by MCC. This program will address the need that some students/staff have to get together and network during the summer. Since the MCC Service Leadership Camp will be held in September this year, the Summer Break concept will allow anyone interested to do a state-wide service project sometime during the summer months. Faculty Institute on Service Learning The Faculty Institute on Service Learning will occur in the fall of 1997 and will be hosted by the University of Michigan. The tentative focus of the conference will be on research and assessment. The purpose of the Institute is to bring faculty and staff together to learn about service learning that occurs in an academic setting. The Faculty/Staff Service Learning Award recipients will also be recognized in conjunction with the conference. Community Service Coordinator Meeting The last two meeting ofthe year will be from 10:00 a.m. to 2:00p.m. on Monday, April7, 1997 at the Kellogg Center in East Lansing and Friday, June 13, 1997 at Andrews University. �Curriculum Development Committee A working group of the Curriculum Development Committee will meet on Friday, April 11 , 1997 for a one day retreat to work on creating a service learning curriculum that will be shared with other faculty in the state to be used as a training and development tool. On January 22nd, Consumers Energy Company sponsored an MNA regional member meeting in Jackson Dennis Marvin, Executive Director of Consumers Energy Foundation and Carolyn Bloodworth, Secretary/Treasurer of Consumers Energy Foundation, served as hosts of the event. The meeting kicked off with a board development seminar which focused on how the board's role as the organization's most effective advocates can be nurtured and organized. A reception followed the seminar which provided members and potential MNA members an opportunity to network with each other. The seminar attracted over 60 participants and generated 2 new memberships. Additional regional meetings will be planned throughout Michigan as a method of outreach to current members and a recruitment tool for potential members. Welcome and Call to Order: The meeting was called to order by Chairperson R. Cole at 1:15 p.m. 2. Review of Minutes [Tab 1] : The minutes of the May 16, 1996 meeting were approved as printed and distributed . 3. Chair' s Report: R. Cole announced David Egner' s resignation as president and CEO of MNA. He thanked Dave for his years of service and leadership on behalf of MNA and congratulated him on his new position as president of the Hudson-Webber Foundation . A motion to appoint Mary Grill as interim president during the search for MNA' s next president and CEO with an appropriate compensation adjustment passed unanimously. R. Cole suggested the board consider establishing a process to build a statue of George W. Romney on the capital lawn to memorialize his lifelong career of service , especially the years following his term as governor. E. Blews suggested contacting the Friends of the Capitol to pursue the idea and other alternatives. R. Cole concluded his report by informing the board of his new position as Executive Vice President/COO with PPOM . He assured the board he still serves as an executive with Blue Cross Blue Shield of Michigan , a not-for-profit corporation. �4. President 's Report [Tab 2}: D. Egner reviewed MNA's current projects . He highlighted MNA's efforts to expand nonprofit technical assistance in the sector. Proposals for this initiative have been submitted to the Aspen Institute and Ameritech . He commented on the MNA retirement program. Final documents with MetLife should be signed by the end of November, 1996; the program will be up and running by January 1, 1997. D. Egner announced that Michigan State University granted MNA $15 ,000 for a joint University and MNA technology demonstration project. This project will study the delivery of information to nonprofits. Volunteer Centers will be used as models to test four different methods of delivery. R. Cole invited trustees to express their gratitude to D. Egner for his service to MNA at this point in the meeting. 5. Audit Committee Report: Gerard Keidel reviewed the MNA audit report and management letter prepared by David Ambrose , CPA. A motion to accept the audit report passed unanimously . 6. Finance Committee Report [Tab 3] : R. Ivory reported on MNA' s financial status. A motion to approve MNA's 1996-97 amended budget, due to the addition of the AmeriCorps and VISTA programs, passed unanimously. R. Ivory reported that the finance committee was working to develop spending policies for the MNA endowment funds. The board reviewed MNA's first quarter finances for fiscal year 1996-97. A motion to approve the finance report passed unanimously . 7. Search Committee Report: R. Ivory reported on the activities of the search committee in selecting MNA' s next president and CEO. The committee plans to conduct a national search and name a president by mid-January, 1997 . D. Seaman , search committee chair, has arranged for a management recruiter from Michigan Health and Hospital Association to screen resumes and present the top 10-12 candidates to the search committee for interviews. The committee plans to meet and review resumes on January 8, 1997 and conduct interviews on January 13, 1997. A motion to accept the report passed unanimously. 8. Fund Development Report: D. Egner reported that to date MNA has raised 1.13 million dollars for the George W . Romney Fund for Volunteerism. He thanked campaign division chairs for their assistance. D. Egner introduced new staff member Winnie Hendrickson , member services and fund development assistant. She is presently researching venture grant funding opportunities for Michigan Campus Compact. 9. Volunteer Centers of Michigan Report [Tab 5]: S. Singh introduced new staff member Jenni Holsman, manager for the Volunteer Centers of Michigan. S. Singh reported on the New Partnerships for Michigan- VISTA program. The program is in cooperation with Michigan Community Service Commission (MCSC) and the Council of Michigan 2 �Foundations (CMF). Six VISTA sites have been established throughout Michigan: Jackson , Saginaw , Marquette , Muskegon , Detroit, and Roscommon. S. Singh announced that Russell Mawby and Michelle Engler have agreed to serve as ni co-chairs of ConnectMichigan , Michigan 's response to the Points of Light Foundation 's ConnectAmerica plan . Plans for the Volunteerism SuperConference are underway for March 10 and 11 , 1997 at the Amway Grand Plaza Hotel in Grand Rapids. The conference is the first of its kind to bring all groups together throughout the state that utilize volunteers. The conference planning committee is in the process of securing a keynote speaker. C. Harvey thanked M. Grill for her efforts in assisting volunteer centers in raising matching funds for the George W. Romney Fund for Volunteerism . She also reported on a recent grant from the Corporation for National Service and the Michigan Community Service Commission to place AmeriCorps volunteers in Volunteer Centers to actively engage youth in solving community problems. Robin Lynn Schultheiss has been brought on staff to manage this project. C. Harvey updated the board on VCM ' s endeavor with Olivet College to grant responsibility scholarships to high school seniors. Olivet has designed a two-phase scholarship/award program to be administered in cooperation with volunteer centers. Each center has $30 ,000 to utilize in recognizing outstanding community service efforts of high school seniors. These awards can be redeemed for cash towards tuition expenses at Olivet. A motion to accept this report passed unanimously . 10. Michigan Campus Compact Report [Tab 6] : L. McGettigan reported that the MCC executive committee meeting will be November 27 , 1997 at Grand Valley State University with herself, D . Egner and Presidents Lubbers, Stone , and Jacobson in attendance. The meeting is an opportunity for the committee to review MCC structure and operating issues. The next MCC Operating Council Meeting is December 4, 1997. She also reported that MCC issued $10 ,000 in venture grants to member institutions in September, 1997. A motion to accept the report passed unanimously. 11. Membership Committee Report [Tab 7]: M. Kramer revie~ed findings from a recent membership survey conducted by FERA in conjunction with the MNA evaluation. The survey of renewing and non-renewing members revealed that most members are small organizations with budgets under $100 ,000; members join because they were asked by MNA's President and CEO; and members find the MNA network and information beneficial. In an effort to improve membership retention and recruit new members , M. Kramer recommended that MNA research the feasibility of installing an 800#; implement a day-long, board-driven membership phone drive ; and create more staff contact with members. 3 �A. Osborne reported on new member discounts: Hertz Rental Car; Airborne Express; and PennyWise office products. She also announced the continuation and success of the Classified Connections with Crains Nonprofit News . MNA is in the process of developing a membership directory. She thanked R. Cole and PPOM for generously supporting the production of this document. A. Osborne is also in the process of designing a brochure that highlights MNA, VCM and MCC . A motion to accept the report passed unanimously 12. Program and Services Update [Tab 8]: J. Rapanos reported on plans for the ninth annual Grantmakers/Grantseekers Seminar May 9, 1997 at the Lansing Center. Brochures are expected to be sent out in March . The committee is pursuing Stephen Covey as the keynote speaker. 13. Public Policy Report [Tab 9]: D. Johnson reported on the October 15 , 1996 public policy committee meeting. She reported on the committee ' s discussion pertaining to efforts throughout the country to revoke nonprofits ' tax exempt status, particularly property tax . The public policy committee advised MNA to prepare information that can be used in response to this issue. D. Egner reviewed the status of pending legislation MNA has been following . The Grantmakers Grantseekers Seminar is cosponsored with the Council of Michigan Foundations and features two keynote speakers: Paula Bethea. Chair. Board of Governors, United Way of America and Bill Shore, Founder and Executive Director. Share Our Strength Paula Bethea will share her vision on the future of philanthropy and define the methods of collaboration between grantmakers and grantseekers essential to achieve that vision. She will also discuss how United Way agencies and other nonprofit organizations can form partnerships to encourage and preserve community service. Mr. Shore, in partnership with American Express, devised the Charge Against Hunger Campaign in 1993 It has since become one of the largest corporate commitments ever made to fight hunger in America. He stresses that there are opportunities for nonprofit organizations to not only redistribute wealth, but to actually create new wealth - what he calls community wealth Registration brochures will be sent April 2nd and MNA members will receive a discounted registration price. The Fourth Annual Governor's Community Service Awards - May 8, 1997 - at the Lansing Center in Lansing: These awards are sponsored by the Michigan Community- Service Commission (MCSC), Michigan Nonprofit Association (MNA) and the Council of Michigan Foundations (CMF) The awards seek to recognize the countless Michigan citizens involved in community service and to honor those who demonstrate exemplary commitment and service to others. A registration form for this dinner will be in the Grantmakers/Grantseekers registration brochure. At these awards. The Russell G. Mawby Award, sponsored by CMF and MNA, will be presented This award was established in 1995 upon the retirement of Dr. Mawby from the Chairmanship and Chief Executive Officer position of the W K Kellogg Foundation The award honors the work and philosophy of Dr Mawby in encouraging private action for the public good. MNA and CMF members nominated people for the award in February Last year's winner of The Russell G Mawby Award was Elizabeth Upjohn Mason MNA Retirement Program is extremely close to implementation MetLife. the program provider, is completing the endorsement and marketing agreements. We anticipate that the program will be operational by the end of May 1997 and organizations will be able to sign on to the program at that time Unfortunately, the W.K. Kellogg Foundation has made the decision to keep their retirement program inhouse and will not be a part of the MNA retirement program. The Michigan Society' of Association Executives is considering becoming a part of the MNA program. We should learn of their intentions in April. The Technology Project is a joint venture with Michigan State University' and MNA. The goal of this planning project is to: • • • Explore the advancement of MNA's technology. Submitted by: Mary C Grill Michigan Nonprofit Association 29 Kellogg Center East Lansing, MI 48824 517/353-5038 �Need Devolution, shift in public attitude toward nonprofit organizations, and the changing relationship between public, private, and nonprofit sectors are altering the availability and quality of services in communities throughout Michigan We know little about the effects of these changes on nonprofit organizations and their ability to provide needed services that increase the vitality of communities Furthermore, at a time when these three sectors should be working in partnership in solve pressing social issues, there are few if any, efforts to educate Michigan's legislature and nonprofit organizations on their changing activities and responsibilities. At the end of six years, there will be a complete turnover of Michigan's senators and representatives due to the implementation of term limits. The majority of the new legislators will have limited knowledge regarding nonprofit organizations and the policy issues that affect them. Coupled with this tenet is the growing trend for nonprofit organizations to assume greater responsibility for community regeneration. There is a need for a proactive approach to educating new legislators on the changing issues facing today's nonprofits. Furthermore, potential legislators from municipal and county governments will fill the everchanging seats in Michigan's House of Representatives and Senate. It is critically important to develop a means for early education of prospective legislators and those traditionally uninvolved in nonprofit issues. At universities throughout the state, research is being conducted on issues that should affect the behavior of nonprofit organizations, the legislature, and citizens in general as they strive to improve Michigan's communities. Unfortunately, a great deal of this research is not in a format that can be easily understood and much of this research is shelved rather than disseminated The result is a lack of informed decision-making on the part of program providers, legislators, and citizens as contributors, volunteers, and voters. There is a vital need for an "institute" to serve as a translator for existing research being conducted at Michigan universities and to share information with government, citizens, private sector, and nonprofit organizations. By working with leaders from the three major sectors and a Research Council, the institute would also attempt to stimulate additional research by academic institutions in Michigan. Ultimately, the institute will: • • • improve the decision-making ability of Michigan legislators; strengthen programs and services provided by nonprofit organizations, and enhance the voting decisions made by citizens by providing unbiased research and translation of issues important to the vitality of Michigan communities. Furthermore, by convening leadership from the three major sectors, university researchers and faculty, and citizens in general, the institute would serve as a catalyst for needed partnerships and activities that will improve Michigan communities. �Structure of the Institute Fortunately, the extensive research activities currently conducted at Michigan universities, will enable the institute to operate with limited staff and resources For this reason, and in an effort to bring together the diverse stakeholders of Michigan communities to better understand the issues facing Michigan communities, the institute's long-term structure would be a virtual corporation. During the development of the institute, the following management and advisory councils will be established: • • • Virtual CEO - The Virtual CEO is a leadership pool of key stakeholders from the public, private, and nonprofit sectors. Research Council - The Research Council is a group of university academic officers and researchers. Review Committee - The Review Committee is a coalition of citizens, legislators, practitioners, and media representatives. The Virtual CEO would be composed of a number of organizations that provide leadership to Michigan's nonprofit sector, state government, and the private sector. This group would generate research and translation concepts to the institute's director. When research projects are conducted, the appropriate representatives from the Virtual CEO leadership pool will provide leadership to the direction and intent of the research. Specifically, the leaders acting as a Virtual CEO on individual projects will identify the target audiences that the research should be disseminated to, provide crucial outcome directions to research, and assist in securing any resources needed to assure that the research is completed in an unbiased manner The Research Council will work in conjunction with the Virtual CEO on individual projects. The Council will review the requests for research and translation that is presented by the Virtual CEO. This council will coordinate with the universities in Michigan to develop a strategy that can best complete the identified research. Additionally, the Research Council will work with the virtual CEO to secure needed resources, sample groups, and dissemination methods for the completed research The Review Committee will be composed of citizens, legislators, practitioners, and media representatives. The Review Committee's purpose is to assure that research results are easily understood by the target audiences for each research project. The committee will also consult with the Virtual CEO and Research Council on appropriate dissemination methods for individual research activities. �Developing The Institute Collaborative relationships must be formed and nurtured with the higher education community, government agencies, nonprofit organizations, and other key stakeholders in order to assess the project feasibility and begin developing procedures that will support an ongoing institute We are proposing that the institute be established in two phases. Developmental Phase The Developmental Phase, the basis for this proposal, will begin June 1, 1997, and end December 31, 1998. The following goals and objectives have been established for the Development Phase: • • • • • • Build relationships with key stakeholders in higher education, government agencies, and nonprofit organizations and explore the feasibility of an institute. Conduct an environmental scan to assess existing Michigan research and the dissemination mechanisms in existence. Develop a strategy to "fill in the holes" that are identified in the environmental scan. Create a five-year business plan outlining the implementation of an ongoing institute. Work with nonprofit leaders, state agencies, and citizen groups to establish a Virtual CEO leadership pool, Research Council, and Review Committee. Establish criteria and begin the search for the institute's first director. A consultant will manage the institute's development during its first 18 months. Please see Attachment A for the requirements of a qualified candidate. Implementation Phase The Implementation Phase will: • • • • • • • • Convene the Virtual CEO leadership pool, Research Council, and Review Committee. Name the institute's first director. Coordinate research efforts that complement national research currently being conducted. Work with existing legislative education program. Educate freshman legislators on nonprofit issues. Monitor statewide and national nonprofit policy issues and report findings to key stakeholders. Educate organizations who are not traditional partners of the nonprofit sector (i.e. Michigan Association of Counties, Michigan Municipal League, and Chambers of Commerce). Publish information gathered and monitored by the Research Council. �Long Term Issues Additonal issues to be addressed by the Virtual CEO leadership pool will include, but are not limited to: • • Ongoing relationship of the institute to the host organization. Sustainability of the institute beyond the initial five year business plan. Project Evaluation MNA is currently using Formative Evaluation Research Associates (FERA) to evaluate a number of projects that have been funded by the W.K. Kellogg Foundation. Since FERA is familiar with MNA's operation and staff, we propose that they provide assistance in the development of an evaluation plan for the the institute's grant. FERA would assist in developing a formative evaluation strategy that would include input from all collaborating bodies. Furthermore, it is intended that FERA will act as a partner in the Institute's review committee activities. MNA will assume the cost of travel and meetings for MNA staff members. A recent study conducted by DeMarche Associates for the Council on Foundations illustrated the impact of different spending policies over time on the assets of a foundation. The study compared the performance of three hypothetical foundations with different pay-out percentages (5%, 6%, 7%) covering the period from 1950-1994. Each foundation starts with a million dollars and has the identical portfolio that is typical of foundations . The findings showed that by the end of 1994, the charitable pay-out of the 5o/o foundation will be 27.4% more that the 6% foundation and 67 .2% more than the 7o/o foundation. The name of the Corporation shall be Michigan Nonprofit Association (hereinafter referred to as "MNA"). The MNA shall exist for charitable and educational purposes, specifically: To promote the awareness and effectiveness of Michigan's nonprofit sector, and to advance the cause of volunteerism and philanthropy in the state. Within these general purposes, the Corporation has been organized to have and exercise all rights and powers conferred on nonprofit corporations under the laws of the State of Michigan , provided , however , that this corporation shall not engage in actions or exercise powers not in furtherance of these purposes. (2) Membership. The Membership or Members shall consist of ORGANIZATIONAL MEMBERS and AFFILIATE MEMBERS. ORGANIZATIONAL MEMBERS shall be any IRS designated nonprofit organization that (a) has a principal or branch office in Michigan ; (b) makes application and receives approval of that application by the Board of Trustees; and (c) makes an annual contribution to the corporation, the amount of which is in accordance with the criteria established by the Board of Trustees. Organizational Members which have a representative present at a meeting of the members or who is represented by proxy shall be entitled to one vote at the meeting. Organizational members shall elect the At-Large Trustee positions of the Board of Trustees. AFFILIATE MEMBERS shall be organizations and individuals that (a) make application and receive approval of that application by the Board of Trustees; and (b) make an annual contribution to the corporation, the amount of which is in accordance with the criteria established by the Board of Trustees. Affiliate Members shall have no vote and shall have only privileges as may be determined by the Board of Trustees. (3) Annual Meeting of the Corporation. There shall be a meeting of the Corporation annually. Notice of the annual meeting of the Corporation shall be sent to all duly qualified Organizational Members on or before thirty (30) days prior to the meeting. Twenty (20) members , present in person or by proxy , shall constitute a quorum. The Trustee approved minutes and financial statements from the current fiscal year shall be available for review at the meeting. 1 �(4) Founding Members and Founding Trustees. The Organizational Members represented by the signers of the Articles of Incorporation shall also be known as FOUNDING MEMBERS of the MNA. Founding Members shall be Members as of the date of adoption of the Articles of Incorporation . The Founding Members are : Association of Independent Colleges and Universities of Michigan (AI CUM) Council of Michigan Foundations (CMF) Michigan Association of School Administrators (MASA) Michigan Association of School Boards (MASB) Michigan Community College Association (MCCA) Michigan Council for the Arts (MCA) Michigan Health Council (MHC) Michigan League for Human Services (MLHS) President 's Council , State Universities of Michigan United Way of Michigan (UWM) The individual signers of the Articles of Incorporation shall also be known as FOUNDING TRUSTEES. A Member may be removed from the Corporation if the Member: (a) Fails to remain an eligible Member , according to standards determined by the Board; or (b) Engages in egregious conduct contradictory to the purposes of the MNA. A Member may only be removed by an affirmative vote of two-thirds of the Trustees present at a duly called and constituted meeting. (6) Membership Liability. A Member of the MNA shall not be personally liable for the debts , liabilities or obligations of the MNA. 2 �(7) Other Members. Other categories of membership may be created by the Board of Trustees, at its discretion , which shall determine the terms , obligations and privileges of such membership. ARTICLE II: Dedication of Assets (1) Dedication of Assets. The properties and assets of the MNA are irrevocably dedicated to charitable and educational purposes. No part of the net earnings, properties, or assets of the MNA shall inure to the benefit of any private person or individual, or any Member , Trustee or Officer of the MNA. ARTICLE III : Board of Trustees (1) Designation of Trustees. The Board of Trustees shall develop policy for and oversee the management of the business and property of the Forum. The Board of Trustees shall consist of 18 permanent ASSOCIATION TRUSTEE positions, no less than 10 nor no more than twenty AT-LARGE TRUSTEE positions, three representatives from the Volunteer Centers of Michigan Operating Council , and three representatives from the Michigan Campus Compact Operating Copuncil. The Board of Trustees shall decide the number of At-Large Trustees positions there shall be on the Board, for the purpose of the subsequent election to be conducted pursuant to this Section. All Trustees shall carry one vote and have equal rights and privileges. ASSOCIATION TRUSTEES shall be (a) Michigan-based associations which represent statewide segments of the nonprofit sector, or (b) other broadbased Michigan organizations. Organizations chosen to be Association Trustees must each have as a central concern or must have a substantial impact on the advancement of philanthropy , volunteerism and the nonprofit sector, and must support the purposes of this MNA. The Association Trustees are: Association of Independent Colleges and Universities of Michigan Council of Michigan Foundations Council of Michigan Urban Leagues Food Bank Council of Michigan Michigan Association of Rehabilitation Organizations Michigan Association of School Administrators Michigan Association of School Boards Michigan Catholic Conference Michigan Community Action Agency Association Michigan Community College Association Michigan Council for the Arts and Cultural Affairs Michigan Ecumenical Forum Michigan Health Council 3 �Michigan Jewish Conference Michigan Health & Hospital Association Michigan League for Human Services President's Council , State Universities of Michigan United Way of Michigan Association Trustees may be added or removed from the Board of Trustee by an affirmative vote of two-thirds of the Trustees present at a duly called meeting. Association Trustees shall designate one voting representatives who shall be known as a TRUSTEE. Each Association Trustee shall determine and designate its own representatives/Trustees, which shall consist of either (a) the Chief Professional Officer, or (b) a Board Representative. Guidelines for selection of the Board Representatives may be determined by the Trustees. AT-LARGE Trustees shall be (a) individuals of widely recognized statewide prominence who contribute significantly to the advancement of Michigan's nonprofit sector, or (b) individuals representing Organizational Members of the Corporation. At-Large Trustees shall be elected by the Organizational Members of the Corporation. The Nominating Committee shall invite recommended nominees from the Membership, for consideration by the Nominating Committee, on or before forty-five (45) days prior to the annual meeting. Thereafter, the Nominating Committee shall nominate for the election to the Board of Trustees one nominee for each At-Large Trustee position of the Board with its term expiring at the next annual meeting. On or before thirty (30) days prior to the annual meeting, a written mail ballot containing the Committee's nominations, with space for a write-in vote for each At-Large Trustee position , and stating the deadline for casting ballots shall be mailed to each Organizational Member. Those persons receiving the highest number of votes for each At-Large Trustee position on validly marked ballots delivered to the MNA's office by the deadline shall be elected to the Board of Trustees. (2) Terms and Vacancies. Trustees serving in Association , Volunteer Centers of Michigan Operating Council , and Michigan Campus Compact Operating Council Trustee positions shall serve terms of three years and may succeed themselves. At-Large Trustees shall serve terms of three years and may succeed themselves only once. All vacancies in the Board may be filled by the Chair until the next regular annual meeting of the corporation. Service provided for an unexpired or incomplete term shall not be counted as an elected term. 4 �(3) Meetings and Notices. Meetings of the Board of Trustees may be called by the Chair or at the request of no less than one-fourth of the Trustees. Written announcements of each meeting of the Board of Trustees shall be made by, or at the direction of, the Chair not less than ten and no more than sixty days before the date set for the meeting and shall include the date, time, place and purpose of the meeting. Preliminary or reminder notices may be made at any time. (4) Regular Meetings. The Trustees shall hold at least two regular meetings annually on September 1 and on March 1, or as provided by the Michigan Nonprofit Corporation Act within 90 days following those dates. The March 1 meeting shall be the Annual Meeting. The two regular meetings shall be the record dates for determining the Members of Record and their designated representatives , entitled to notice of and to vote at Membership meetings. The Board of Trustees may fix the day , time and place for each regular meeting of the Trustees. (5) Special Meetings. Special meetings of the Trustees may be called by the Chair or at the written request of not less than one-fourth of the Trustees. (6) Quorum. A quorum at any duly called meeting of the Trustees shall consist of not less than a simple majority of the Trustees. Any proper action of those present at a duly called and constituted meeting shall be the action of the Board and the Membership. (7) Adoption. Adoption of new program initiatives shall require an affirmative vote of a majority of the Trustees present at any duly called and constituted meeting. Public policy positions may be adopted regarding matters of common concern of the Membership and shall require an affirmative vote of three-fourths of the Trustees present at any duly called and constituted meeting. Other actions shall require a majority affirmative vote of the quorum present, except as provided in these Bylaws. (8) Action by Unanimous Written Consent. Any action required or permitted to be taken by the Board may be taken without a meeting and without prior notice, if all Trustees consent in writing to the action. The written consents shall be filed with the minutes of the proceedings of the Board. The action by written consent shall have the same force and effect as the unanimous vote of the Board. (9) No Compensation. Trustees shall not receive compensation for holding such office. (10) Liability. Consistent with the Michigan Nonprofit Corporation Act, a Trustee shall not be personally liable for monetary damages for a breach fiduciary duty, and the MNA shall assume all proper liability , except in the case of: (a) A breach of the Trustee's legal duty of loyalty to the corporation or its members; 5 �(b) Acts or omissions by the Trustee not in good faith or that involve intentional misconduct or a knowing violation of law; (c) An affirmative vote or other lawful concurrence by the Trustee in an unlawful corporate act, including those prohibited by these bylaws and by the Michigan Nonprofit Corporation Act; (d) A transaction from which the Trustee derived an improper personal benefit; or (e) An act or omission by the Trustee that is grossly negligent. (11) Indemnification . Consistent with the Michigan Nonprofit Corporation Act , the MNA shall indemnify any person who serves as its Trustee , Officer, employee or agent who is a party or threatened to be made a party to any threatened , pending, or completed action , suit or proceeding, against expenses -- including attorneys' fees , judgments, penalties, fines , and amounts paid in settlement -- actually and reasonably incurred by the person in connection with an action , suit or proceeding incurred by reason of the fact that the person is or was a Trustee , Officer, employee or agent of the corporation, if the person acted in good faith and in a manner the person reasonably believed to be in or not opposed to the best interest of the corporation or its members, and -- with respect to any criminal action or proceeding -- if the person had no reasonable cause to believe that the conduct was unlawful. However , as prescribed by the Act , indemnification shall not be made for a claim , issue , or matter in which the person has been found liable to the corporation unless and only to the extent that the court in which the action or suit was brought has determined upon application that, despite the adjudication of liability but in view of all circumstances of the case, the person is fairly and reasonably entitled to indemnification for expenses which the court considers proper . Article IV: Officers and President (1) MNA and Board Officers. The Officers of the MNA shall be identical to the Officers of the Board of Trustees. The Officers shall serve terms of two years and will be elected bi-annually by a two-thirds affirmative vote of the Trustees present at a duly called and constituted meeting. (2) Designation of Officers. The Officers of the Board shall be a Chair, a Chair-Elect, a Secretary , and a Treasurer, all nominated and duly elected by the Board. (3) Duties of the Chair The Chair or, when absent, the Chair-Elect shall preside at the regular and special meetings of the Board of Trustees. The Chair shall preside at meetings of the Executive Committee. The Chair shall appoint Committee Members and Committee Chairs, with Board ratification , consistent with designations in these Articles. The Chair shall perform such other duties as are incident to the office or are properly delegated by the Board of Trustees. 6 �(4) Duties of the Chair-Elect. The Chair-Elect shall preside at regular and special meetings of the Board of Trustees when the Chair is absent. The Chair-Elect shall become Interim Chair, pending Board action, should the Chair resign or become unable to perform the duties of office. Upon completion of their term , the ChairElect shall succeed the chair. (5) Duties of the Secretary. The Secretary shall perform or direct and oversee the performance of the following duties: (a) issue notice of all meetings; (b) keep all minutes which shall be signed by the Secretary upon approval by the Board ; (c) maintain the corporate records; and (d) make such reports and perform such other duties as are incident to the office or properly delegated by the Board of Trustees. (6) Duties of the Treasurer. The Treasurer shall have , under the direction of the Board of Trustees, the custody of all monies , securities and other property of the MNA. The Treasurer shall perform all duties incident to the office or properly delegated by the Board of Trustees. The Treasurer shall perform or direct and oversee the performance of appropriate fiscal record keeping for the MNA. (7) No Compensation. Officers of the Board shall not receive compensation for holding such office. (8) Requirements for Officer Participation. Requirements for Officer participation shall be determined by the Board. When such requirements are not satisfied and proper remediation procedures have been followed (according to procedures determined by the Board) , the Board may elect to remove an Officer from office by a two-thirds affirmative vote of the Trustees present at a duly called and constituted meeting. (9) President. The President shall serve as the Chief Executive Officer of the MNA. The President shall be appointed by the Board of Trustees, through procedures designated or delegated by the Board , and shall serve at the pleasure of the Board. The President shall not be a Trustee. ARTICLE V: Committees of the Board of Trustees (1) The Board of Trustees shall create the following Standing Committees, whose members shall be appointed by the Chair and ratified by the Board and shall serve at the pleasure of the Board . The Standing Committee Chairs shall report directly and regularly to the Board of Trustees. All Standing Committees shall include the President as a nonvoting ex officio member .. (a) Executive Committee. The Executive Committee shall consist of the Officers, the Chairs of Standing Committees, the immediate past Board Chair , two representatives from the Volunteer Centers of Michigan designated by the Volunteer Centers of Michigan Operating Council , and one representative from the Michigan Campus Compact Operating Council. The Board Chair shall chair 7 �the Executive Committee. The Executive Committee shall be empowered to act on behalf of the Board of Trustees (1) in recommending to the Board appropriate matters for its consideration at scheduled Board meetings; (2) in implementing and developing details of policy positions previously adopted by the Board; (3) in addressing and enacting policy matters delegated by the Board; (4) in emergencies and between Board meetings when prompt policy attention is required (subject to subsequent reporting and, where appropriate, ratification by the Board); and (5) in personnel matters and oversight relating to the President. (b) Budget and Finance Committee. Members of the Budget and Finance Committee must all be Trustees, and the Committee shall be chaired by the Treasurer. The Budget and Finance Committee shall oversee and develop policy for the financial health of the MNA, and shall make recommendations for Board approval concerning the MNA's annual and long-range budget. The Committee shall develop fund raising policies for Board approval and shall propose initiatives to the Board concerning the MNA's resource development operations. The Committee shall perform such other duties as are incident to this charge or are properly delegated by the Board of Trustees. (c) Audit Committee. The Audit Committee shall be chaired by a Trustee other than the Treasurer, who shall not serve on the Audit Committee. The Audit Committee shall oversee the annual audit of the MNA. Members of the Audit Committee may include such nonTrustees as necessary to insure a responsible , comprehensive and enlightening audit. (d) Nominating Committee. Members of the Nominating Committee must all be Trustees. The Nominating Committee shall recommend candidates for AT-LARGE MEMBERS to the Board of Trustees. The Nominating Committee shall recommend candidates to the Board for the Offices of the Board. The Committee shall perform such other duties as are incident to this charge or are properly delegated by the Board of Trustees. (e) Public Policy Committee. The Public Policy Committee Chair must be a Trustee. Members of the Public Policy Committee may include such non-Trustees as will promote the effective accomplishment of this part of the MNA's mission. The Public Policy Committee shall develop policies for Board approval and shall propose initiatives to the Board concerning the MNA's work in the area of public policy related to philanthropy, volunteerism and the nonprofit sector. The Committee shall perform such other duties as are incident to this charge or are properly delegated by the Board of Trustees. 8 �(f) Membership Committee . The Membership Committee will recommend and recruit ORGANIZATIONAL and AFFILIATE Members to the Corporation. The Committee shall perform such other duties as are incident to this charge or are properly delegated by the Board of Trustees. (g) Volunteer Centers of Michigan Operating Council. The Volunteer Centers of Michigan Operating Council will be comprised of the current and future Volunteer Centers of Michigan membership as noted in the Volunteer Centers of Michigan Bylaws, article III , membership qualifications , dues and voting. The Committee will make policy recommendations to the MNA Board on issues related to volunteerism programming, and will be responsible for leadership and programmatic support to the Volunteer Centers of Michigan. Notwithstanding any other provisions of these Bylaws to the contrary, the Operating Council shall operate in accordance with the Bylaws of Volunteer Centers of Michigan. (h) Michigan Campus Compact Operating Council. The Michigan Campus Compact Operating Council will be comprised of the presidents of colleges and universities that are dues paying members of the Michigan Campus Compact. The Committee will make policy recommendations to the MNA board on issues related to volunteerism and service-learning programming, and will be responsible for leadership and programmatic support of the Michigan Campus Compact. (2) Ad-Hoc Committees. The Board may establish, at its discretion , such other ad hoc committees and advisory groups as it deems necessary or desirable for the continuing purpose and effective operation of the MNA and the conduct of its affairs. Ad-hoc Committees must be Chaired or Co-Chaired by a member of the Board of Trustees. Members of ad-hoc Committees may also include such nontrustees as will promote the effective accomplishment of the assigned responsibility. The annual GRANTMAKERS/GRANTSEEKERS SEMINAR Planning Committee will be appointed annually by the Chair as an ad-hoc Committee . (3) Action by Unanimous Written Consent. Any action required or permitted to be taken by a Committee may be taken without a meeting and without prior notice , if all Committee Members consent in writing to the action. The written consents shall be filed with the minutes of the proceedings of the Committee. The action by written consent shall have the same force and effect as the unanimous vote of the Committee. (4) Action by Written Ballot Without a Meeting. Any action that may be taken at any Committee meeting may be taken without a meeting and without prior notice by complying with the following provisions concerning written ballots. 9 �The Committee Chair shall direct the maiEng or delivery of one written ballot to each Committee Member entitled to vote on the matter. Information shall be included that: (a) Sets forth the proposed action; (b) Provides Committee Members with an opportunity to specify approval, disapproval or abstention for each proposal ; (c) Indicates the number of responses needed to meet the quorum requirements ; (d) States the percentage of approvals necessary to pass the measure or measures; and (e) Provides and specifies a reasonable time by which the ballot must be received in order to be counted. All written ballots shall be maintained in the Committee records. ARTICLE VI : Standard of Care (1) Duties and Liability. The Trustees shall adhere to the Standard of Care required by the Michigan Nonprofit Corporation Act: that is a Trustee or Officer of the MNA shall discharge the duties of that position in good faith and with that degree of diligence , care, and skill which an ordinarily prudent person would exercise under similar circumstances in a like position. In discharging those duties, a Trustee or Officer, when acting in good faith, may rely upon the opinion of the MNA's counsel; upon the report of an independent appraiser selected with reasonable care by the Board ; or upon financial statements of the MNA represented to the Trustee or Officer as correct by the Officer of the Corporation having charge of its books or account, or as stated in a written report by an independent public or certified public accountant or firm of accountants fairly to reflect the financial condition of the MNA. (2) Self-Dealing Transactions. Except as approved in Section 3 below, the Board shall not approve a self-dealing transaction. A self-dealing transaction is one to which the MNA is a party and in which one or more of the Trustees has a material financial interest, or a transaction between the MNA and one or more of the Trustees, or between the MNA and any person in which one or more of its Trustees has a material financial interest. (3) Approval. The Board of Trustees may approve a self-dealing transaction if the Board determines and documents that the transaction is in the best interest of, and is fair and reasonable to , the MNA and, after reasonable investigation under the circumstances, determines that this corporation could not have obtained a more 10 �advantageous arrangement with reasonable effort under the circumstances. Such determinations must be made by the Board, in good faith , with knowledge of the material facts concerning the transaction and the Trustee's interest in the transaction , and by a vote of two-thirds of the Trustees present, without counting the vote of the interested Trustee(s) . (4) Loans. The MNA shall not make any loan of money or property to , or guarantee the obligation of, any Trustee , Officer, employee or agent; provided , however , that the MNA may advance money to a Trustee, Officer, employee or agent of the MNA for expenses reasonably anticipated to be incurred in performance of assigned duties , so long as such individual would be entitled to reimbursement for such expense absent that advance. (5) Disclosure. Trustees shall disclose the material facts as to any relationship or interest relating to contracts, programs, policies or other transactions that may be considered by the Board . A transaction may nonetheless be approved , as provided above in Section 3 of this Article. ARTICLE VII: Administrative Matters (1) Fiscal Year. The fiscal year of the MNA shall be July 1 through June 30. (2) Investment Policy. The Trustees shall adopt and oversee an Investment Policy that shall provide for careful and prudent investment of the MNA' s resources . (3) Permanent Records of the MNA. The MNA shall keep at its principal office the original or copy of its Articles of Incorporation and Bylaws as amended to date , which shall be open to inspection by the Members and Trustees at all reasonable times during office hours. The MNA shall keep appropriate books and records of accounts; written minutes of the proceedings of its Members, Board and Committees; and a record of each Member 's and Trustee's name and address. All such records shall be kept at the principle office of the MNA. Upon leaving office , each Officer, employee or other Agent of the MNA shall turn over to the successor or the Board Chair, in good order, originals of such corporate monies , books, records , minutes , lists , documents , contracts or other property of the MNA as have been in the person's custody during the term of office . On written demand of the MNA, any Trustee may inspect, copy, and make extracts of the accounting books and records , record the names and addresses of the Members entitled to vote, and the minutes of proceedings of the Members , the Board , and Committees at any reasonable time for a purpose reasonably related to the Trustee 's interest as a Trustee. Any such inspection and copying may be made in person or by the Trustee's agent or attorney. 11 �ARTICLE VIII: Dissolution (1) Upon proper dissolution of the MNA, consistent with the Michigan Nonprofit Corporation Act, all assets of the corporation shall be properly distributed for charitable and educational purposes, in accordance with the Act. ARTICLE IX: Amendments to these bylaws (1) The Trustees may adopt , amend, or repeal bylaws by the affirmative vote of two-thirds of the Trustees present. Board Member Updates: a. The Michigan Campus Compact selected new officers at their meeting in May. Representing MCC on the MNA Board will be Alan Stone, chair of MCC; Leonard Plachta, vice -chair; and Michael Bassis, MCC association trustee. We congratulate them and look forward to hearing from Alan and Lisa on MCC's activities later in the meeting. b. Dennis Marvin has resigned from the MNA Board due to changes at the Consumers Energy Foundation. Dennis was quite helpful in MNA's regional trainings and volunteer center development. He remains committed to supporting MNA. Our thanks and best wishes to him. c. Carolyn Harvey is retiring from Battle Creek Volunteer and Information Services. On behalf of the board , thank you Carolyn for your commitment to MNA over the years. Your leadership with VCM, has moved volunteerism and VCM to new levels in Michigan. We wish you all the best. d. Now that we have some mid-year board vacancies, I would request that the nominating committee meet to discuss the important task of recruiting potential board candidates. Sr. Monica, Sam will follow-up with you on this item. 2. Staff and Organizational Changes a. Since our last meeting, there have been a few changes at the MNA office. As you can tell by her name tag, Amanda Osborne is now Amanda Hegarty. Amanda got married August 9. She and her �Q:\WINWORD\COMMITTE\MNA Board\7916CHR.RPT husband Neal spent two weeks in France for their honeymoon. Congratulations, Amanda. b. During his report, Sam is going to present some staff and organizational changes that have occurred at MNA this summer. c. You may recall at our last board meeting, we discussed a technology upgrade for MNA. Both a voice mail system and a computer upgrade will be completed by mid-October. MNA will now be in the 20th century. 3. I don't want to steal Justin King and Mary Grill's thunder, but MNA's finances look good. Since our last board meeting, MNA has secured over $600,000 in new grants. Congratulations to Justin and the MNA staff. We will hear more information about these grants in Justin's report. 4. Future Board Meetings. Please make certain the following dates are on your calendar. a. Tuesday, December 2, 1997 - from 9 a.m.- 1 p.m. - University Club In the spirit of the holiday season, we thought it would be nice to have a board and staff luncheon in conjunction with this meeting. b.
