ARTICLE I NAME Section 1. Name. The name of the corporation shall be [the Alliance]. ARTICLE H CREATION Section 1. Joint Venture. The corporation is an independent organization, formed through a public - private venture of the Michigan Campus Compact, Michigan Community Service Commission, Michigan Nonprofit Association, and the Volunteer Centers of Michigan (the "Founding Organizations"). Section 2. Mission. The corporation was created by the Founding Organizations for charitable and educational purposes, and specifically to support the following mission: To promote and strengthen a life-long ethic of and commitment to service, volunteerism and civic engagement. Section 3. Independence. The corporation shall at all times remain an independent organization not subject to control by any one of the Founding Organizations. Through their respective members of the corporation's Board of Trustees, the Founding Organizations' ideals may be conveyed to the corporation. ARTICLE m OFFICES Section 1. Principal Office. The principal office of the corporation shall be located in a place determined by the Board of Trustees. The principal office may be in Michigan, but need not be. Section 2. Registered Office. The registered office of the corporation may be the same as the principal office of the corporation, but in any event must be located in the State of Michigan and be the business office of the resident agent as required by the Michigan Nonprofit Corporation Act. Section 3. Other Business Offices. The corporation may have business offices at such other places, either within or outside of the State of Michigan, as the Board of Directors may designate or as the business of the corporation may require from time to time. May 23, 2000 �ARTICLE IV MEMBERS Section 1. Members. In its discretion, the Board of Trustees may determine categories of and eligibility for membership. The Board shall determine the terms, obligations, and privileges of each category of membership. Section 2. Advisory. Should the Board of Trustees determine that membership is appropriate for the corporation, such members shall have no voting rights relative to the control of the corporation. Rather, members shall serve in advisory capacities. ARTICLE V BOARD OF TRUSTEES Section 1. General Powers. The business, property and affairs of the corporation shall be managed by its Board of Trustees. Section 2. Appointment to the Board of Trustees. To constitute the Board of Trustees, each Founding Organization shall appoint three (3) individuals to serve as members of the Board of Trustees. The Founding Organizations may utilize whatever appointment process it deems appropriate, but the appointments shall be evidenced by a written Notice of Appointment signed by an Officer of the appointing organization. Section 3. Number. The number of Trustees of the corporation shall be not less than 3 nor more than 15. The number of Trustees may be increased or decreased from time to time by an amendment to these Bylaws or as provided in Section 16 of this Article. Section 4. Tenure. Each Trustee shall hold office for 3 year terms or until the Trustee's death, resignation, or removal. Trustees may succeed themselves only once, enabling Trustees to serve up to 2 full terms. Service provided for an unexpired or incomplete term shall not be counted as a full term. Section 5. Removal. Any Trustee may be removed with cause by an affirmative vote of 2/3rds of the Trustees then serving. Section 6. Resignation. Any Trustee of the corporation may resign at any time by providing written notice to the corporation. Notice of resignation will be effective upon receipt or at a subsequent time designated in the notice. A successor may be appointed as provided in Section 16 of this Article. Section 7. Qualifications. Trustees need not be residents of the State of Michigan. Section 8. Regular Meetings. Two regular meetings of the Board of Trustees shall be held without other notice than this Bylaw on the first Monday in March and the first Monday in September of each year or, as provided in the Michigan Nonprofit Corporation Act, within 90 days following those dates. The March meeting shall be the annual meeting. The Board of Trustees may fix the time and place for each regular meeting of the Board. Section 9. Special Meetings. Special meetings of the Board of Trustees may be called by the Chair or at the request of not less than 1/4 of the Trustees serving. The person or persons authorized to call special meetings of the Board of Trustees may fix the time and place for holding 2 May 23, 2000 �any special meeting of the Board of Trustees called by them, and if no other place is fixed the place of meeting shall be the principal business office of the corporation in the State of Michigan. Section 10. Notice; Waiver. Notice of any special meeting shall be given at least 10 days prior to the special meeting by written notice, stating the time and place of the meeting delivered personally or mailed or sent by facsimile to each Trustee at the Trustee's address as registered with the corporation. If mailed, such notice shall be deemed to be delivered when deposited in the United States mail so addressed, with prepaid postage. If notice be given by facsimile, such notice shall be deemed to be delivered when the facsimile is acknowledged by the recipient. Any Trustee may waive notice of any meeting by written statement sent by the Trustee, signed before or after the holding of the meeting. The attendance of a Trustee at a meeting constitutes a waiver of notice of such meeting, except where a Trustee attends a meeting for the express purpose of objecting to the transaction of any business because the meeting is not lawfully called or convened. Section 11. Meeting by Telephone or Similar Equipment. A Trustee may participate in a meeting by conference telephone or any similar communications equipment through which all persons participating in the meeting can hear each other. Participation in a meeting pursuant to this section constitutes presence in person at the meeting. Section 12. Quorum. A simple majority of the Trustees of the Board constitutes a quorum for the transaction of business at any duly called meeting of the Board of Trustees, but if less than a majority is present at a meeting, a majority of the Trustees present may adjourn the meeting from time to time without further notice. Section 13. Manner of Acting. Except as otherwise provided in these Bylaws for votes on particular actions, the act of the majority of the Trustees present at a meeting at which a quorum is present shall be the act of the Board of Trustees. Section 14. Action by Unanimous Written Consent. Any action required or permitted to be taken by the Board of Trustees may be taken without a meeting and without prior notice, if all Trustees consent in writing to the action. The written consent shall be filed with the minutes of the proceedings of the Board. The action by written consent shall have the same force and effect as the unanimous vote of the Board. Section 15. Board Vacancies and Enlargement. Should a vacancy occur on the Board, such vacancy shall be filled by the Founding Organization that appointed the former Board member. Section 16. Compensation. Trustees shall not be compensated for serving on the Board. By resolution of the Board of Trustees, the Trustees may be paid their expenses, if any, of attendance at each meeting of the Board of Trustees. Nothing in this Article precludes any Trustee from serving the corporation in any other capacity and receiving compensation for such service. Section 17. Presumption of Assent. A Trustee of the corporation who is present at a meeting of the Board of Trustees at which action on any corporate matter is taken shall be presumed to have assented to the action taken unless that Trustee's dissent shall be entered in the minutes of the meeting or unless that Trustee shall file a written dissent to such action with the person acting as the Secretary of the meeting before the adjournment of the meeting or shall forward such dissent by registered mail to the Secretary of the corporation immediately after the adjournment of the meeting. This right to dissent shall not apply to a Trustee who voted in favor of such action. May 23, 2000 �ARTICLE VI COMMITTEES Section 1. General Statement Regarding Committees. The Board of Trustees shall establish certain standing committees, as set forth in this Article. The Board also has the discretion to establish ad-hoc committees as desired. A committee designated by the Board may exercise any powers of the Board in managing this corporation's business and affairs, to the extent provided by resolution of the Board. However, no committee shall have the power to: (a) amend the Articles of Incorporation; (b) adopt an agreement of merger or consolidation; (c) amend the Bylaws of the corporation; and (d) fix compensation of the Trustees for serving on the Board or on a committee. Section 2. Standing Committees. The Board of Trustees shall create the following Standing Committees, whose members shall be appointed by the Chair and ratified by the Board; committee members shall serve at the pleasure of the Board. The Standing Committee Chairs shall report directly and regularly to the Board of Trustees. All Standing Committees shall include the President as a nonvoting ex officio member. a. Executive Committee. The Executive Committee shall consist of the Officers, the Chairs of Standing Committees, and the immediate past Board Chair. The Board Chair shall chair the Executive Committee. The Executive Committee shall be empowered to act on behalf of the Board of Trustees: (1) in recommending to the Board appropriate matters for its consideration at scheduled Board meetings; (2) in implementing and developing details of policy positions previously adopted by the Board; (3) in addressing and enacting policy matters delegated by the Board; (4) in emergencies and between Board meetings when prompt policy attention is required (subject to subsequent reporting and, where appropriate, ratification by the Board); and (5) in personnel matters and oversight relating to the President. b. Budget and Finance Committee. Members of the Budget and Finance Committee must all be Trustees, and the Committee shall be chaired by the Secretary-Treasurer. The Budget and Finance Committee shall oversee and develop policy for the financial health of the corporation, and shall make recommendations for Board approval concerning the corporation's annual and long-range budget. The Committee shall develop fund raising policies for Board approval and shall propose initiatives to the Board concerning the corporation's resource development operations. The Committee shall perform such other duties as are incident to this charge or are properly delegated by the Board of Trustees. May 23, 2000 �c. Audit & Investment Committee. The Audit & Investment Committee shall be chaired by a Trustee other than the Secretary-Treasurer, who shall not serve on the Audit & Investment Committee. The Audit & Investment Committee shall oversee the annual audit of the corporation, the review of the corporation annual spending plan and investment plans and performance review of any and all endowments assigned to the support and development of the corporation. Members of the Audit & Investment Committee may include such non-Trustees as necessary to insure responsible, comprehensive and enlightening audits and investment strategies. Section 3. Ad-Hoc Committees. The Board may establish, at its discretion, such other ad hoc committees and advisory groups as it deems necessary or desirable for the continuing purpose and effective operation of the corporation and conduct of its affairs. Ad-hoc Committees must be Chaired or Co-Chaired by a member of the Board of Trustees. Members of ad-hoc Committees may also include such non-trustees as will promote the effective accomplishment of the assigned responsibility. Section 4. Meetings. Committees shall meet as directed by the Board, and their meetings shall be governed by the rules provided in Article V for meetings of the Board. Minutes shall be recorded at each committee meeting and shall be presented to the Board. Section 5. Action by Written Ballot Without a Meeting. Any action that may be taken at any Committee meeting may be taken without a meeting and without prior notice by complying with the following provisions concerning written ballots. The Committee Chair shall direct the mailing or delivery of one written ballot to each Committee Member entitled to vote on the matter. Information shall be included that: Sets forth the proposed action; Provides Committee Members with an opportunity to specify approval, disapproval or abstention for each proposal; Indicates the number of responses needed to meet the quorum requirements; States the percentage of approvals necessary to pass the measure or measures; and Provides and specifies a reasonable time by which the ballot must be received in order to be counted. All written ballots shall be maintained in Committee records. ARTICLE VH OFFICERS Section 1. Number. The officers of the corporation shall be a President, Chair, Vice-Chair, and a Secretary-Treasurer, each of whom shall be selected by the Board of Trustees. The Board of Trustees may select one or more Assistants to the Secretary-Treasurer, and may also appoint such other officers and agents as they may deem necessary for the transaction of the business of the corporation. 5 May 23, 2000 �Section 2. President. The President shall serve as the Chief Executive Officer of the corporation. The President shall be appointed by the Board of Trustees, through procedures designated or delegated by the Board, and shall serve at the pleasure of the Board. The President shall be an ex-officio member of the Board of Trustees, with voice and without vote, and shall attend all meetings of the Board of Trustees. The President may be compensated for service as provided by the Board. Sections. Election and Term of Office. Except for the President, the officers of the corporation shall be elected to 1 year terms by a 2/3rds affirmative vote of the Board of Trustees at the annual meeting of the Board of Trustees. If the election of officers is not held at that meeting, the election shall be held as soon thereafter as may be convenient. Each officer shall hold office while qualified or until the officer resigns or is removed in the manner provided in Section 3 of this Article. Section 4. Vacancies. A vacancy in any office because of death, resignation, removal, disqualification or otherwise, may be filled by appointment by the Board of Trustees for the unexpired portion of the term. Section 5. Chair. The Chair of the Board of Trustees shall be a Trustee of the corporation. At all meetings of the Board, the Chair shall preside. If there is not a Chair, or if the Chair is absent, then the Vice-Chair shall preside. If the Vice-Chair is absent, then a Temporary Chair, chosen by the Board members, shall preside. The Chair shall preside at meetings of the Executive Committee. The Chair shall appoint Committee Members and Committee Chairs, with Board ratification, consistent with designations in these Articles. The Chair shall perform such other duties as are incident to the office or are properly delegated by the Board of Trustees. Section 6. Vice-Chair. In the absence of the Chair or in the event of the Chair's death, inability or refusal to act, the Vice-Chair shall perform the duties of Chair, and when so acting, shall have all the powers of and be subject to all the restrictions upon the Chair. The Vice-Chair shall perform such other duties as from time to time may be assigned to the Vice-Chair by the Chair or by the Board of Trustees. Section 7. Secretary-Treasurer. The Secretary-Treasurer shall perform or direct and oversee the performance of the following duties: (a) issue notice of all meetings; (b) keep all minutes which shall be signed by the Secretary-Treasurer upon approval by the Board; (c) maintain the corporate records; and (d) make such reports and perform such other duties as are incident to the office or properly delegated by the Board of Trustees. The Secretary-Treasurer shall have, under the direction of the Board of Trustees, the oversight of all monies, securities and other property of the corporation. The Secretary-Treasurer shall perform all duties incident to the office or properly delegated by the Board of Trustees. The Secretary-Treasurer shall perform or direct and oversee the performance of appropriate fiscal record keeping for the corporation. Section 8. Assistants and Acting Officers. The Assistants to the Secretary-Treasurer, if any, selected by the Board of Trustees, shall perform such duties and have such authority as shall from time to time be delegated or assigned to them by the Secretary or Treasurer or by the President or the Board of Trustees. The Board of Trustees shall have the power to appoint any person to perform the duties of an officer whenever for any reason it is impracticable for such officer to act personally. Such acting officer so appointed shall have the powers of and be subject to all the restrictions upon the officer to whose office the acting officer is so appointed except as the Board of Trustees may by resolution otherwise determine. Section 9. Compensation. Officers shall receive no compensation for holding such office. May 23, 2000 �Section 10. Filling More Than One Office. Any two offices of the corporation except those of Chair and Vice-Chair may be held by the same person, but no officer shall execute, acknowledge or verify any instrument in more than one capacity. Section 11. Requirements for Officer Participation. Requirements for Officer participation shall be determined by the Board. When such requirements are not satisfied, and proper remediation procedures have been followed (according to procedures determined by the Board), the Board may elect to remove an Officer from office by a two-thirds affirmative vote of the Trustees present at a duly called and constituted meeting. ARTICLE VIII CONTRACTS, LOANS, CHECKS AND DEPOSITS; SPECIAL CORPORATE ACTS Section 1. Contracts. The Board of Trustees may authorize any officer or agent, to enter into any contract, to execute and deliver any instrument, or to acknowledge any instrument required by law to be acknowledged in the name of and on behalf of the corporation. Such authority may be general or confined to specific instances but the appointment of any person other than an officer to acknowledge an instrument required by law to be acknowledged should be made by instrument in writing. When the Board of Trustees authorizes the execution of a contract or of any other instrument in the name of and on behalf of the corporation, without specifying the executing officers, the President or Vice-President, and the Secretary or Treasurer may execute the same and may affix the corporate seal thereto. Section 2. Loans. No loans shall be contracted on behalf of the corporation and no evidences of indebtedness shall be issued in its name unless authorized by a resolution of the Board of Trustees. Such authority may be general or confined to specific instances. No loan or advance to or overdraft of withdrawal by an officer, Trustee or member of the corporation otherwise than in the ordinary and usual course of the business of the corporation, and on the ordinary and usual course of the business or security, shall be made or permitted unless each such transaction shall be approved by a vote of two-thirds (2/3) of the members of the Board of Trustees excluding any Trustee involved in such transactions and a full and detailed statement of all such transactions and any payments shall be submitted at the next annual meeting of members and the aggregate amount of such transactions less any repayments shall be stated in the next annual report to members. Section 3. Checks. Drafts, etc. All checks, drafts or other orders for the payment of money, notes or other evidences of indebtedness issued in the name of the corporation, shall be signed by such officer or officers, agent or agents, of the corporation and in such manner as shall from time to time be determined by resolution of the Board of Trustees. Section 4. Deposits. All funds of the corporation not otherwise employed shall be deposited from time to time to the credit of the corporation in such banks, trust companies or other depositories as the Board of Trustees may select. Section 5. Voting of Securities Owned by this Corporation. Subject always to the specific directions of the Board of Trustees, any shares or other securities issued by any other corporation and owned or controlled by this corporation may be voted at any meeting of security holders of such other corporation by the President of this corporation or by proxy appointed by the President, or in the absence of the President and the President's proxy, by the Secretary or Treasurer of this corporation or by proxy appointed by the Secretary or Treasurer. Such proxy or consent in respect to any shares or other securities issued by any other corporation and owned by this corporation 7 May 23, 2000 �shall be executed in the name of this corporation by the President, the Secretary or the Treasurer of this corporation without necessity of any authorization by the Board of Trustees, affixation of corporate seal or countersignature or attestation by another officer. Any person or persons designated in the manner above stated as the proxy or proxies of this corporation shall have full right, power and authority to vote the shares or other securities issued by such other corporation and owned by this corporation the same as such shares or other securities might be voted by this corporation. Section 6. Contracts Between this Corporation and Related Persons. Any contract or other transaction between this corporation and one or more of its Trustees, or between this corporation and any firm of which one or more of this corporation's Trustees are members or employees, or in which one or more of this corporation's Trustees are interested, shall be valid for all purposes, notwithstanding the presence of such Trustee or Trustees at the meeting of the Board of Trustees of the corporation which acts upon, or in reference to, such contract or transaction, and notwithstanding the Trustee or Trustees participation in such action, if the fact of such interest shall be disclosed or known to the Board of Trustees and the Board of Trustees, shall, nevertheless, authorize, approve and ratify such contract or transaction by a vote of a majority of the Trustees present, such interested Trustee or Trustees to be counted in determining whether a quorum is present, but not to be counted as voting upon the matter or in calculating the majority of such quorum necessary to carry such vote. This Section shall not be construed to invalidate any contract or other transaction which would otherwise be valid under the common and statutory law applicable thereto. ARTICLE IX INDEMNIFICATION Section 1. Non-Derivative Actions. Subject to all of the other provisions of this Article, the corporation shall indemnify any person who was or is a party or is threatened to be made a party to any threatened, pending or completed action, suit or proceeding, whether civil, criminal, administrative or investigative and whether formal or informal (other than an action by or in the right of the corporation) by reason of the fact that the person is or was a trustee or officer of the corporation, or is or was serving at the request of the corporation as a trustee, director, officer, partner, trustee or employee, or agent of another foreign or domestic corporation, partnership, joint venture, trust or other enterprise, whether for profit or not for profit, against expenses (including attorneys' fees), judgments, penalties, fines and amounts paid in settlement actually and reasonably incurred by him or her in connection with such action, suit or proceeding if the person acted in good faith and in a manner the person reasonably believed to be in or not opposed to the best interests of the corporation, and with respect to any criminal action or proceeding, if the person had no reasonable cause to believe his or her conduct was unlawful. The termination of any action, suit or proceeding by judgment, order, settlement, conviction, or upon a plea of nolo contendere or its equivalent, shall not, of itself, create a presumption that the person did not act in good faith and in a manner which the person reasonably believed to be in or not opposed to the best interests of the corporation, and, with respect to any criminal action or proceeding, had reasonable cause to believe that his or her conduct was unlawful. Section 2. Derivative Actions. Subject to all of the provisions of this article, the corporation shall indemnify any person who was or is a party to or is threatened to be made a party to any threatened, pending or completed action or suit by or in the right of the corporation to procure a judgment in its favor by reason of the fact that the person is or was trustee or officer of the corporation, or is or was serving at the request of the corporation as a trustee, director, officer, partner, employee, or agent of another foreign or domestic corporation, partnership, joint venture, trust or other enterprise, whether for profit or not, against expenses (including actual and 8 May 23, 2000 �reasonable attorneys' fees) and amounts paid in settlement incurred by the person in connection with such action or suit if the person acted in good faith and in a manner the person reasonably believed to be in or not opposed to the best interests of the corporation. However, indemnification shall not be made for any claim, issue or matter in which such person has been found liable to the corporation unless and only to the extent that the court in which such action or suit was brought has determined upon application that, despite the adjudication of liability but in view of all circumstances of the case, such person is fairly and reasonably entitled to indemnification for the expenses which the court considers proper. Section 3. Expenses of Successful Defense. To the extent that a person has been successful on the merits or otherwise in defense of any action, suit or proceeding referred to in Section 1 or 2 of this article, or in defense of any claim, issue or matter in the action, suit or proceeding, the person shall be indemnified against expenses (including actual and reasonable attorneys' fees) incurred by such person in connection with the action, suit or proceeding and in any action, suit or proceeding brought to enforce the mandatory indemnification provided by this article. Section 4. Definition. For the purposes of Sections 1 and 2, "other enterprises" shall include employee benefit plans; "fines" shall include any excise taxes assessed on a person with respect to an employee benefit plan; and "serving at the request of the Corporation" shall include any service as a trustee, director, officer, employee, or agent of the corporation which imposes duties on, or involves services by, the trustee or officer with respect to an employee benefit plan, its participants or beneficiaries; and a person who acted in good faith and in a manner the person reasonably believed to be in the interest of the participants and beneficiaries of an employee benefit plan shall be considered to have acted in a manner "not opposed to the best interests of the corporation" as referred to in Sections 1 and 2. Section 5. Contract Right; Limitation on Indemnity. The right to indemnification conferred in this Article shall be a contract right, and shall apply to services of a trustee or officer as an employee or agent of the corporation as well as in such person's capacity as a trustee or officer. Except as provided in Section 3 of this Article, the corporation shall have no obligations under this Article to indemnify any person in connection with any proceeding, or part thereof, initiated by such person without authorization by the Board of Trustees. Section 6. Determination That Indemnification Is Proper. Any indemnification under Section 1 or 2 of this Article (unless ordered by a court) shall be made by the corporation only as authorized in the specific case upon a determination that indemnification of the person is proper in the circumstances because the person has met the applicable standard of conduct set forth in Section 1 or 2, whichever is applicable. Such determination shall be made in any of the following ways: (a) By a majority vote of a quorum of the Board consisting of directors who were not parties to such action, suit or proceeding; (b) If the quorum described in clause (i) above is not obtainable, then by a committee of directors who are not parties to the action. The committee shall consist of not less than two disinterested directors; or (c) By independent legal counsel in a written opinion. Section 7. Proportionate Indemnity. If a person is entitled to indemnification under Section 1 or 2 of this Article for a portion of expenses, including attorneys' fees, judgments, penalties, fines, and amounts paid in settlement, but not for the total amount thereof, the May 23, 2000 �corporation shall indemnify the person for the portion of the expenses, judgments, penalties, fines, or amounts paid in settlement for which the person is entitled to be indemnified. Section 8. Expense Advance. Expenses incurred in defending a civil or criminal action, suit or proceeding described in Section 1 or 2 of this Article may be paid by the corporation in advance of the final disposition of such action, suit or proceeding upon receipt of an undertaking by or on behalf of the person involved to repay the expenses if it is ultimately determined that the person is not entitled to be indemnified by the corporation. The undertaking shall be an unlimited general obligation of the person on whose behalf advances are made but need not be secured. Section 9. Non-Exclusivity of Rights. The indemnification or advancement of expenses provided under this article is not exclusive of other rights to which a person seeking indemnification or advancement of expenses may be entitled under a contractual arrangement with the corporation. However, the total amount of expenses advanced or indemnified from all sources combined shall not exceed the amount of actual expenses incurred by the person seeking indemnification or advancement of expenses. Section 10. Indemnification of Employees and Agents of the Corporation. The Corporation may, to the extent authorized from time to time by the Board of Trustees, grant rights to indemnification and to the advancement of expenses to any employee or agent of the Corporation to the fullest extent of the provisions of this article with respect to the indemnification and advancement of expenses of directors and officers of the Corporation. Section 11. Former Trustees and Officers. The indemnification provided in this article continues as to a person who has ceased to be a director or officer and shall inure to the benefit of the heirs, executors and administrators of such person. Section 12. Insurance. The corporation may purchase and maintain insurance on behalf of any person who is or was a trustee, officer, employee or agent of the corporation, or is or was serving at the request of the corporation as a director, trustee, officer, employee or agent of another corporation, partnership, joint venture, trust or other enterprise against any liability asserted against him or her and incurred by him or her in any such capacity or arising out of his or her status as such, whether or not the corporation would have power to indemnify him or her against such liability under this Article or the laws of the State of Michigan. Section 13. Changes in Michigan Law. In the event of any change of the Michigan statutory provisions applicable to the corporation relating to indemnification, then the indemnification to which any person shall be entitled shall be determined by such changed provisions, but only to the extent that any such change permits the corporation to provide broader indemnification rights than permitted prior to any change. ARTICLE X DISSOLUTION AND WITHDRAWAL Section 1. Assets. Upon proper dissolution of the corporation, consistent with the Michigan Nonprofit Corporation Act, all assets of the corporation shall be properly distributed for charitable and educational purposes, in accordance with Section 2 and any other stipulations of the Act. Section 2. Withdrawal of Founding Organizations. Any of the Founding Organizations may choose to withdraw from the corporation with all assets assigned to that organization prior to the first meeting of the Board of Trustees of the corporation. Such withdrawing Founding 10 May 23, 2000 �Organization shall agree to relinquish their seats on the board. After the corporation is operational, any and all corporate assets shall remain the property of the corporation and shall be reapportioned in accordance with the policies established for the allocation of the endowment and its proceeds. If a Founding Organization withdraws, the Board members appointed by that Founding Organization shall be removed from the Board. This removal shall be self-executing. ARTICLE XI STANDARD OF CARE Section 1. Duties and Liability. The Trustees shall adhere to the Standard of Care required by the Michigan Nonprofit Corporation Act. That is, a Trustee or Officer of the corporation shall discharge the duties of that position in good faith and with that degree of diligence, care, and skill which an ordinarily prudent person would exercise under similar circumstances in a like position. In discharging those duties, a Trustee or Officer, when acting in good faith, may rely upon the opinion of the corporation's counsel; upon the report of an independent appraiser selected with reasonable care by the Board; or upon financial statements of the corporation represented to the Trustee or Officer as correct by the Officer of the corporation having charge of its books or account, or as stated in a written report by an independent public or certified public accountant or firm of accountants fairly to reflect the financial condition of the corporation. Section 2. Self-Dealing Transactions. Except as approved in Section 3, the Board shall not approve a self-dealing transaction. A self-dealing transaction is one to which the corporation is a party and in which one or more of the Trustees has a material financial interest, or a transaction between the corporation and one or more of the Trustees, or between the corporation and any person in which one or more of its Trustees has a material financial interest. Section 3. Approval. The Board of Trustees may approve a self-dealing transaction if the Board determines and documents that the transaction is in the best interest of, and is fair and reasonable to, the corporation, after reasonable investigation under the circumstances, determines that this corporation could not have obtained a more advantageous arrangement with reasonable effort under the circumstances. Such determinations must be made by the Board, in good faith, with knowledge of the material facts concerning the transaction and the Trustee's interest in the transaction, and by a vote of two-thirds of the Trustees present, without counting the vote of the interested Trustee(s). Section 4. Loans. The corporation shall not make any loan of money or property to, or guarantee the obligation of, any Trustee, Officer, employee or agent; provided, however, that the corporation may advance money to a Trustee, Officer, employee or agent of the corporation for expenses reasonably anticipated to be incurred in performance of assigned duties, so long as such individual would be entitled to reimbursement for such expense absent that advance. Section 5. Disclosure. Trustees shall disclose the material facts as to any relationship or interest relating to contracts, programs, policies or other transactions that may be considered by the Board. A transaction may nonetheless be approved, as provided in Section 3 of this Article. 11 May 23, 2000 �ARTICLE XII DEDICATION OF ASSETS Section 1 . Dedication of Assets. The properties and assets of the corporation are irrevocably dedicated to the charitable and educational purposes as articulated in the mission of the corporation. No part of the net earnings, properties, or assets of the corporation shall inure to the benefit of any private person or individual, or any Trustee or Officer of the corporation. Section 2. Allocation of Endowments) Proceeds. The interest proceeds of any and all endowed funds assigned to the support and future development of the corporation shall be allocated based on an annual spending plan developed by the Budget and Finance Committee, reviewed by the Audit & Investment Committee and approved by a 2/3rds majority of the Board of Trustees of the corporation. Section 3. Unforeseen Circumstances. The annual spending plan must also set forth conditions under which principal may be expended. Any time principal is to be expended, the following must occur: a) the Board must determine that extreme and immediate extenuating circumstances exist and b) a unanimous vote of the full membership of the Board of Trustees approves the expenditure. ARTICLE ADMINISTRATIVE MATTERS Section 1. Fiscal Year. The fiscal year of the corporation shall begin on the 1st day of July in each year. Section 2. Investment Policy. The Trustees shall adopt and oversee an Investment Policy that shall provide for careful and prudent investment of the corporation's resources. Section 3. Permanent Records of the Corporation. The corporation shall keep at its principal office the original or copy of its Articles of Incorporation and Bylaws as amended to date, which shall be open to inspection by the public and Trustees at all reasonable times during office hours. Upon leaving office, each Officer, employee or other Agent of the corporation shall turn over to the successor or the Board Chair, in good order, originals of such corporate monies, books, records, minutes, lists, documents, contracts or other property of the corporation as have been in the person's custody during the term of office. On written demand of the corporation, any Trustee may inspect, copy, and make extracts of the accounting books and records, record the names and addresses of the Members entitled to vote, and the minutes of proceedings of the Members, the Board, and Committees at any reasonable time for a purpose reasonably related to the Trustee's interest as a Trustee. Any such inspection and copying may be made in person or by the Trustee's agent or attorney. ARTICLE XIV AMENDMENTS Section 1 . Modifications. As part of an unique public/private joint venture, "The Alliance" will administer programming and technical assistance currently administered by the Michigan Nonprofit Association and its affiliates (Volunteer Centers of Michigan, Michigan Campus Compact) and the Michigan Community Service Commission. "The Alliance" will continue to partner with additional organizations as deemed appropriate. A private endowment, funded through public and private sources, will be created to support "The Alliance" which will ensure its long-term stability. As the state's premiere volunteer and community service 501(c)3 nonprofit organization, "The Alliance" will consolidate the programmatic and administrative functions of the four partnering organizations thereby reducing or eliminating duplication of efforts, consolidating and maximizing financial and human resources, and uniting the state's volunteer and community service leadership (see working committee list attached). Funding: A total of $20 million in endowment funds would be established with the corpus comprised of two funding streams: • State: The State of Michigan made a one-time investment of $10 million toward an endowment to continue its commitment to volunteerism as a community problem solving mechanism in the state. This endowment would be managed by a private or community foundation (new or existing) and would generate approximately $250,000 to $500,000 annually that would be allocated directly to "The Alliance" for administrative and program funding. • Private: An additional $10 million would be leveraged in match funds to the State contribution which would be placed into the same private or community foundation endowment fund. This additional $250,000 to $500,000 in interest income would enhance "The Alliance" budget in Year two of its existence, bringing the annual budget of $ 1 million for support of the state's premiere volunteer organizations and initiatives. 1 �Background: In the past decade, Michigan has seen the development of a number of statewide volunteer support organizations that have been focusing on the promotion, support and advancement of volunteerism and community service. The Michigan Campus Compact (MCC) was developed in 1989 to recognize the service contribution institutions of higher education were making to their communities. A few months later, a small group of community based volunteer centers began the Volunteer Centers of Michigan (VCM). A year later, the Michigan Nonprofit Association (MNA) (known then as the Michigan Nonprofit Forum) was developed to enhance the understanding of the nonprofit sector including the advancement of philanthropy and volunteerism. Finally in 1991, newly elected Governor John Engler created the Michigan Community Service Commission (MCSC) and in 1994, the Michigan Legislature codified the MCSC in state law (PA219). Over the years, all four organizations have worked collaboratively with one another. In the mid1990's, both VCM and MCC entered into partnerships with the MNA. These partnerships have strengthened all three organizations and have resulted in immense administrative savings. In addition to the administrative savings, the programs and activities of all three organizations have been enhanced by this unique partnership. Recently, the MNA (and its affiliates) and the MCSC have made a concerted effort for a more intentional and effective partnership. As the field of service continues to change and be challenged by "outside influences," serious conversations between MNA and MCSC have occurred regarding the need for a sustainable support system for existing and developing volunteer initiatives. Three primary motivating factors - the need to provide well-rounded support services to the volunteerism field; the desire not to duplicate services and programs; and the potential changes in federal programs that support volunteerism - lead to a reasonable conclusion that we can be much more effective as a unified front than as two separate entities. However, it is also acknowledged that some activities/functions MUST remain separate - again, for the greater good of the field. What seems to make the most sense is the development of a third entity that would absorb common functions of MNA and MCSC, while maintaining its neutrality and program-focus. Late yesterday, the Michigan Legislature officially approved the $10 million in state funds for the Volunteer Alliance. Now the bill (part of a large supplemental budget bill - SB #0968) moves to the Governor's Office for his signature. The funds could be available by September 2000. The Alliance Work Group has completed a tremendous amount of work including developing articles of incorporation and bylaws for the Alliance. At the next meeting, the group will adopt the articles and bylaws that will begin the codification processes. The group will also begin to develop the fund raising strategy for the portion of the endowment represented by private sector contributions. This is a tremendous accomplishment and one of which we can all be tmly proud. Still there is much more that we need to do to establish the Alliance, including successfully completing a campaign for the second half of the $20 million endowment. Special thanks to the members of the Alliance Work Group and staff of the Michigan Nonprofit Association, Michigan Campus Compact, Volunteer Centers of Michigan and Michigan Community Service Commission for their tireless efforts in this process. Late yesterday, the Michigan Legislature officially approved the $10 million in state funds for the Volunteer Alliance. Now the bill (part of a large supplemental budget bill - SB #0968) moves to the Governor's Office for his signature. The funds could be available by September 2000. The Alliance Work Group has completed a tremendous amount of work including developing articles of incorporation and bylaws for the Alliance. At the next meeting, the group will adopt the articles and bylaws that will begin the codification processes. The group will also begin to develop the fund raising strategy for the portion of the endowment represented by private sector contributions. This is a tremendous accomplishment and one of which we can all be truly proud. Still there is much more that we need to do to establish the Alliance, including successfully completing a campaign for the second half of the $20 million endowment. The ongoing discussions regarding the strategic alliance between the Michigan Community Service Commission (MCSC), the Michigan Campus Compact (MCC), the Michigan Nonprofit Association (MNA), and the Volunteer Centers of Michigan (VCM) have revolved around the central theme of creating an organization that supports a lifelong ethic towards service and volunteerism. The new entity is also charged with maintaining the separate and distinct missions of VCM and MCC. A committee of representatives from MCC, VCM, MNA, and MCSC has been meeting over the past few months to discuss the mission, goals, and objectives of an organization that has been loosely called the "ALLIANCE". The committee; with support from the staff of the four organizations, has created the following mission statement and goals statements for the "ALLIANCE". "The mission of the "ALLIANCE" Is to promote and strengthen a life-long ethic ofand commitment to service, volunteerlsm, and civic engagement. To achieve this mission, the "ALLIANCE" will set goals In each of the following areas: • • • The "ALLIANCE" will engage In and promote community-based problem solving models that effoctively assess local needs and address them. Michigan Campus Compact The mission ofMichigan Campus Compact (MCC) Is to promote a commitment to community service and to foster a life-long service ethic In students. Specifically, MCC seeks to create or expand community service and service-learning opportunities for students while promoting academic and co-curricular programs and to advocate for public policies that encourage and support student community service. Volunteer Centers ofMichigan The mission ofVolunteer Centers ofMichigan (VCM) Is to strengthen existing volunteer centers, to provide leadership In developing new centers, and to promote and strengthen volunteerlsm statewide. " It is the intent of the committee to create an umbrella organization that will adequately house VCM, MCC, and the programs of MCSC. The model for insuring an independent MCC mission and identity is similar to the one developed by the MCC Council of Presidents in 1995 with their affiliation with MNA. 2. GOVERNING AUTHORITY OF MCC How will the "ALLIANCE" preserve the governing authority of the MCC Council of Presidents and its determination of budgetary matters, programmatic decisions, and fimdraising? What/eve/ ofrepresentation will MCC have on the governing board of the "ALLIANCE"? It is proposed that MCC will continue the same governing structure that has been developed and nurtured under the affiliation agreement between MCC and MNA in 1995. The organization, the "ALLIANCE", will have a twelve-member board of trustees. Each of the four founding organizations (MNA, MCC, VCM, and MCSC) will designate three delegates from their own membership to serve on the "ALLIANCE" Board of Trustees. This provides for equal participation from each of the founding organizations. Under this scenario, the voice ofMCC is much stronger than under the current affiliated relationship with MNA, which provides MCC three permanent seats on a board of directors of 40 individuals. As is the case under the affiliated arrangement with MNA, MCC's Council of Presidents is instrumental in setting the policy, program goals and objectives, to utilize to continue the excellent fundraising efforts that we have seen over the past five years. MCC is not an incorporated entity, nor does it have a 50l(c)(3) status, nor a license to solicit from the Attorney General. From its inception, MCC has been hosted by another entity such as Michigan State University or MNA. Because it does not have an official legal entity, it has always utilized the charitable status and legal status of either host institution. Because of that fact, MNA has assumed the responsibilities as fiduciary agent on behalf ofMCC. It is proposed that the "ALLIANCE" will serve in the same capacity as is currently being provided by MNA. 3. FUNDRAISING How wil/fondraislngfor the member organizations of the "ALLIANCE" be determined and conducted? Under the current arrangement, MNA, MCC, and VCM annually develop a budget and corresponding fund development plan for the following fiscal year. Based on the budget and the fund development plans, MNA has utilized the Fund Development Director and other staff to secure funds for all three organizations. The fundraising has been a joint initiative of the MCC Director, MCC Presidents, and MNA staff. As opportunities arise that are not part of the annual fund development plan, they are examined on a case by· case basis and the appropriate staff is delegated to securing the funds. For example, MCC President, Alan Stone, has been quite successful in securing numerous grant opportunities for MCC that were not part of the fund development plan. MCC and MNA staff has appropriately followed up on these requests to capture these opportunities. It is proposed tliat the "ALLIANCE" will serve in the same capacity as is currently being provided by MNA. �4. FUNDS ALLOCATION AND MANAGEMENT How will the fonds of the "ALLIANCE", i.e., those generated from the "ALLIANCE" Endowment and/or Building Revenue, be allocated? Moreover, how will both the endowment fonds and MCC membership dues be managed -jointly or separately? To what degree will the MCC Council ofPresidents and the MCC Executive Director be involved in the management ofMCC fonds? It is proposed that each of the directors of the "ALLIANCE" will present their annual budget to the President and CEO of the "ALLIANCE", who will utilize that infonnation to fonnally submit a budget to the "ALLIANCE" Board of Directors. In the proposed bylaws of the "ALLIANCE", each annual year budget needs to be approved by twothirds of the Board of Directors. The committee and staff have stated opposition to fonnula funding not wanting to bind future Board of Trustees. Grants and membership dues that are specifically eannarked for MCC will be part of the MCC department budget and will be used specifically for those tasks that resources have been eannarked for. We propose that all the funds of the organization be held in one bank account. Having one account will provide the organization with appropriate resources to deal with cash flow issues. Because of the sophistication of accounting software, the "ALLIANCE" will be able to provide a thorough accounting of the dollars that have been allocated towards MCC and their corresponding expenses. The MCC Executive Director will be held accountable for the funds that are allocated to their department. But the overall accountability of the financial situation ofMCC and the "ALLIANCE" shall fall on shoulders of the "ALLIANCE" President and CEO. It is anticipated that the "ALLIANCE" Board of Trustees will hold the management of all funds of the organi?.ation. · 5. SUPERVISION OF STAFF Who will have supervisory authority of the MCC Executive Director and other staff? Moreover, what formula will be used to determine the time base ofthe "ALLIANCE" shared staff, Including the fond developer, special event coordinator, and clerical support? What measures will be taken to insure that adequate support and expenditure oftime on MCC activities Is regularly maintained? · Under the model of staff arrangement under the "ALLIANCE", MCC, through the endowment funds, will be able to fund an Executive Director, the MCC Manager, a graduate assistant, and one support staff. The MCC Director will be the sole supervisor of the three staff members in their department. As is under the affiliated relationship with MNA, the MCC Director reports to the President and CEO, as well as to the MCC Council of Presidents. That same type of relationship will be proposed under this structure. Because MCC does not have legal standing, it is imperative that the "ALLIANCE" President and CEO supervise the day-today operations of the MCC Executive Director. As the history between MNA and MCC has shown, the supervision of the MCC Director and hiring of the MCC Director is essentially a joint project between the MCC Executive Committee and the President and CEO. For example, in the past transition ofMCC Director, the MCC Executive Committee and the MNA Board President interviewed candidates and jointly came to a selection of Dr. Peggy Hashemipour. �All shared staff will report directly to the President and CEO of the "ALLIANCE". An annual work plan will be developed for the shared staff in consultation with the MCC and VCM directors. 6. RIGHT TO WITHDRAW What guarantees will be instituted to insure that Michigan Campus Compact may choose to change its relationship or withdraw from the "ALliANCE"? It is proposed in the bylaws of the "ALLIANCE" that any of the founding organizations may elect to remove themselves from the "ALLIANCE". Proposed Bylaw Language "Any of the Founding Trustee organizations (MCC, MNA, MCSC, and VCM) may choose to withdraw at anytime from the "ALLIANCE" upon a majority affirmative vote of their governing board. All assets assigned to the withdrawing organization prior to the initial forming of the Corporation will be transferred from the Corporation to the withdrawing entity in a timely fashion. Any and all endowment principal and interest assigned to the "ALLIANCE" shall remain the property of the "ALLIANCE"." Included in this could be number of volunteers referred, folks recruited for large scale events, companies involved in corporate volunteer programs, placements through court-referrals, etc. (Monaghan has referred to them as "outcomes" -I think we refer to them as "outputs".) They said the numbers are what corporate/private funders will want to see. If you have additional anecdotal information, that will be helpful-l'd like to put a "face" with the numbers. I don't have any set format for you to follow- if you have annual reports, grant reports you've submitted, etc. Any info that will give them data they can use to sell the campaign will be helpful. Kyle �The Michigan Volunteer Alliance "The Alliance" An Overview Prepared by the Michigan Campus Compact, Michigan Community Service Commission, the Michigan Nonprofit Association, and the Volunteer Centers of Michigan Draft -- June 21, 2000 Purpose: The purpose of "The Alliance" is to centralize and stabilize state-level, volunteer and community service programming efforts in a manner that ensures: • long-term sustainability of volunteer efforts in Michigan, • cost efficiencies through shared resources; and • improved support services to Michigan communities through expanded programs and funding initiatives. As part of an unique public/private joint venture, "The Alliance" will administer programming and technical assistance currently administered by the Michigan Nonprofit Association and its affiliates (Volunteer Centers of Michigan, Michigan Campus Compact) and the Michigan Community Service Commission. "The Alliance" will continue to partner with additional organizations as deemed appropriate. A private endowment, funded through public and private sources, will be created to support "The Alliance" which will ensure its long-term stability. As the state's premiere volunteer and community service 501(c)3 nonprofit organization, "The Alliance" will consolidate the programmatic and administrative functions of the four partnering organizations thereby reducing or eliminating duplication of efforts, consolidating and maximizing financial and human resources, and uniting the state's volunteer and community service leadership (see working committee list attached). Funding: A total of $20 million in endowment funds would be established with the corpus comprised of two funding streams: • State: The State of Michigan made a one-time investment of $10 million toward an endowment to continue its commitment to volunteerism as a community problem solving mechanism in the state. This endowment would be managed by a private or community foundation (new or existing) and would generate approximately $250,000 to $500,000 annually that would be allocated directly to "The Alliance" for administrative and program funding. • Private: An additional $10 million would be leveraged in match funds to the State contribution which would be placed into the same private or community foundation endowment fund. This additional $250,000 to $500,000 in interest income would enhance "The Alliance" budget in Year two of its existence, bringing the annual budget of $ 1 million for support of the state's premiere volunteer organizations and initiatives. 1 �Background: In the past decade, Michigan has seen the development of a number of statewide volunteer support organizations that have been focusing on the promotion, support and advancement of volunteerism and community service. The Michigan Campus Compact (MCC) was developed in 1989 to recognize the service contribution institutions of higher education were making to their communities. A few months later, a small group of community based volunteer centers began the Volunteer Centers of Michigan (VCM). A year later, the Michigan Nonprofit Association (MNA) (known then as the Michigan Nonprofit Forum) was developed to enhance the understanding of the nonprofit sector including the advancement of philanthropy and volunteerism. Finally in 1991, newly elected Governor John Engler created the Michigan Community Service Commission (MCSC) and in 1994, the Michigan Legislature codified the MCSC in state law (PA219). Over the years, all four organizations have worked collaboratively with one another. In the mid1990's, both VCM and MCC entered into partnerships with the MNA. These partnerships have strengthened all three organizations and have resulted in immense administrative savings. In addition to the administrative savings, the programs and activities of all three organizations have been enhanced by this unique partnership. Recently, the MNA (and its affiliates) and the MCSC have made a concerted effort for a more intentional and effective partnership. As the field of service continues to change and be challenged by "outside influences," serious conversations between MNA and MCSC have occurred regarding the need for a sustainable support system for existing and developing volunteer initiatives. Three primary motivating factors - the need to provide well-rounded support services to the volunteerism field; the desire not to duplicate services and programs; and the potential changes in federal programs that support volunteerism - lead to a reasonable conclusion that we can be much more effective as a unified front than as two separate entities. However, it is also acknowledged that some activities/functions MUST remain separate - again, for the greater good of the field. What seems to make the most sense is the development of a third entity that would absorb common functions of MNA and MCSC, while maintaining its neutrality and program-focus. The Alliance will initially consist of the Michigan Community Service Commission (MCSC), Michigan Nonprofit Association (MNA), Volunteer Centers of Michigan (VCM), Michigan Campus Compact (MCC) and the ConnectMichigan Campaign Partners. VCM and MCC will be permanently housed with in the Alliance along with a number of programs and fundings sources' cutTently housed in the MCSC and MNA. MCSC, VCM, MCC and MNA are permanent member of the Alliance. The graphic in Appendix 1 illustrates the changes (see Appendix 1). Essentially, the MCSC and MNA will modify their cutTen! respective functions to ensure that they are not competing and are executing support functions for the field that are effective and efficient. The Alliance will be established as a separate 501(c)(3) nonprofit membership organization comprised a board of directors consisting of not more than six members nominated and approved by the Alliance partner organizations. An executive director will be appointed by the board of directors and will serve at the will of the board. The executive director will be charged to handle all day to day operations of the Alliance under the supervision of the board of directors. Need There is a need to avoid competition. There is a need to build effeciencies. There is a need to build autonomy for the programmatic, promotional and advocacy elements of the field of volunteerism. · Solution Spin off those elements that do not target, operationalize and capitalize on the core missions of MCSC and MNA. MCSC is a grant maker that incubates innovative and sustainable volunteer programs. The process offorming the Alliance, and investigation of options for its overall design, its mission, culture, and governance structure is very rushed and somewhat scattered. The process has not always engaged the staff in discussions. Many MCC constituents have experience in and knowledge of organizational and legal issues of the formation of such alliances. Yet the rushed timeline does not allow for adequate input This runs contrary to the MCC and National Campus Compact support of the democratic process including thorough investigation and critical discourse. The lack of clarity and Ute rushed nature has generated hesitancy on the part of many MCC constituents. To address this issue, MCC recommends that open communication about the Alliance, its purpose, stn/Cture, funding take precedent. In addition, MCC recommends that a new timeline for discussions be published which allows for adequate input )rom MCC, VCM, MCSC, and MNA staffing and constituencies. 2. MCC constituents are concerned that they have not been given an accurate outline of the MCC situation in its service environment. That is, while the Alliance Presentation at the December 13, 2000 Council of Presidents meeting explained a partial basis of potential financial gains, it did not explain that financially MCC does not present a great need for the Alliance, at least to the same extent as VCM-that wants to secure financial stability-or MCSC-some of whose programs have an unstable future with the prospective change of government. MCC is stable in that it generates substantive annual membership fees, has a national support system, and has no competition for its services. Moreover, the services it provides have been noted both by its constituents and nationally to be outstanding. Identity 3. The identity of MCC must be very visible as it own separate entity and as a member of National Campus Compact. This is important first because MCC frequently receives requests and orders from its national organization that it must meet. The structure of the Alliance must be such that MCC may quickly respond to its national requirements and not be slowed down, or meet interference from the Alliance management. Second, the MCC identity must be clear for media and public purposes so that member and nonmember colleges and universities are clear about opportunities available from MCC, and how and why it is part of the Alliance. Media and outreach support is critical. The Alliance infrastructure must thus be both supportive to MCC outreach needs and clear to the public. MCC staff recommends that the contractual agreement of the Alliance include an identity and corresponding release clause. If at any time the identity and/or mission of MCC is being compromised and resolution is not made, MCC maintains the rightto leave the Alliance with all of its respective programs, services, and assets with guarantee ofnon-duplication by the Alliance. Staffing and Organizational Structure 4. MCC staff and oilier constituents have substantive concern about the level of staffing and organizational structure proposed for tlte Alliance. For the MCC staff and constituents, these issues must be addressed prior to fund raising. 1 Michigan Campus Compact refers to the proposed structure as "The Alliance". Its constituents do not agree with tlte use of Volunteer, since volunteerism is only a small part of what MCC promotes. 2 The concerns presented have been collected by MCC staff in conversations with some MCC constituents (presidents, commurtity service directors, service-learning directors, faculty, and students). A'dditional concerns and benefits will presented after tlte March 16, 2000 meeting of the MCC Program and Planning Committee that is slated to review the Alliance proposal. �Currently MCC coordinates many programs, events, resources, and grants with a limited staff. At the direction of the MCC Chair, MCC staff will not assume additional tasks. Thus there is concern about the staffing of the MCSC programs that will come into the Alliance. The proposed level of staffing for the Alliance is inadequate. },fCC recommends that the time base of the "Shared" Staff must be evaluated and clearly delimited MCC must also have the option of hiring additional support staff, e.g. an administrative assistant, to meet its needs. If it does so at its own cost, its contribution to Alliance administration must be balanced according to reflect the additional staffing costs it has incurred 5. MCC is also concerned about the reporting lines of the proposed Alliance; the relationship of the MCC Council of Presidents (to whom the director directly and primarily repo\'(s) to the Alliance Board; and the number ofMCC and VCM constituents on the Alliance Board and tl10se from MCSC and MNA. Fund Development 6. Many MCC constituents have questions about tl1e Fund Raising efforts needed for the Alliance. Many MCC presidents have extensive experience in fund development and do not believe that it is possible to raise $10 million in private monies for operational costs. They also question the effect of raising operational money upon future efforts needed to raise money for Alliance programs. MCC staff recommends that the Alliance Formation subcommittees proceed to conduct a feasibility study prior to the MCC resolution to join the Alliance. Another option is for the MCC Resolution to be contingent on the acceptable results of the feasibility study. Fund Management and Politicization 7. MCC constituents appreciate the concern stated by VCM that the Alliance fund not be placed in a State Trust Fund in order to avoid future political or legislative control and manipulation. MCC recommends that legal advice on fund management be sought. BENEFITS Opportunity to participate in the creation of an innovative state level organization to promote and increase partnerships in service and civic responsibility in Michigan. Steps must be taken however, to create a new organizational structure based on the successes and challenges of the MNA umbrella organization. If successful, the new structure should support and provide a model of collaboration, consensus-based decision-making, and non-hierarchical structure for local community partnerships across .the state of Michigan. Possibility of additional staff. However, MCC staff notes that guidelines for the use of shared staff be established to insure that administrative staffing is balanced. MCC has great need for additional staff, but it may be able to achieve this goal with its own membership monies and external grants. If MCC hires an additional staff from its membership funds, it proposes that the level of Alliance administrative funding be correspondingly reduced. VCM Identity: as the network of Volunteer Centers grows, it is imperative that VCM maintain its neutrality, and its role as a state and national leader in supporting the Centers: • VCM will adapt its affiliation agreement (currently held with MNA), and will include a release clause. If at any time the identity/mission is being compromised and resolution is not made, VCM maintains the right to leave the Alliance with all of its respective programs and services with guarantee of non-duplication by the Alliance. • VCM will actively pursue the appointment of a VCM representative to the Michigan Community Service Commission. 2. Politicization: to avoid politicization of the organization and the field ofvolunteerism within the state: • Endowment funds must be held in a private (community) foundation rather than a State Trust fund • Although State funds are supporting this initiative, the Endowment fund must not be named after any current political office holder, but after a mutually agreed upon historical champion of volunteerism and community service (i.e. Romney, Mawby). 3. Volunteerism SuperConference: it is agreed that the management and coordination of the Volunteerism SuperConference should remain with MNA under the realm of training and technical assistance, provided: • The Alliance and Volunteer Centers of Michigan maintain significant representation on the Planning Committee; • The Alliance and Volunteer Centers of Michigan be acknowledged as conference partners. 4. Staffing: In order to ensure the growth and enhancement of programs, demonstrating a significant "value added" to the State as a result of this entity, VCM recommends the following: • A minimum of two project managers and one full-time support staff be added to the proposed organizational chart • The opportunity to involve college interns for the development of marketing materials and special programs be considered and included in the budget. BENEFITS (to VCM Network): l. Increased staff= increased support: the availability oftwo full-time program staff focused solely on support to existing and developing centers would significantly increase our local service and impact, allowing for a stronger, larger, more effective network. 2. Improved communication: centralizing state progranuning related to volunteerism (Make A Difference Day, ConnectMichigan, National Volunteer Week, etc) will create a much cleaner flow of information and simplify participation and reporting processes for all parties. 1 �3. Perpetuity: sustainable funding will ensure the life of the organization, allowing a greater degree of strategic planning and visioning for volunteer center growth and support services. BENEFITS (to field): I. Non-duplication of service: significant savings of staff time and financial resources will be· achieved by streamlining programs at the state level. 2. Sustained funding for volunteer initiatives: significant growth (qualitative and quantitative) will be achieved with staff focus being directed toward programming rather than survival of the organization. 3. Opportunity for additional collaborative partnerships: the proposed mission and purpose of the Alliance allows the addition of other collaborative partnerships (formal and informal, internal and external) in the continued development of the state service infrastructure. 4. The Michigan Campus Compact was developed in 1989 to recognize the service contribution that institutions of higher education were making to their communities. A few months later, a small group of community based volunteer centers began the Volunteer Centers of Michigan. A year later, the Michigan Nonprofit Association (known then as the Michigan Nonprofit Forum) was developed to enhance the understanding of the nonprofit sector including the advancement of philanthropy and voluntcerism. Finally in 1991, newly elected Governor John Engler created by Executive Order the Michigan Community Service Commission. Over the years, all four organizations have worked collaboratively with one another. In the mid1990's, both VCM and MCC entered into partnerships with the Michigan Nonprofit Association. These partnerships have strengthened all three organizations and have resulted in immense administrative savings. In addition to the administrative savings, the programs and activities of all three organizations have been enhanced by this unique partnership. Under new leadership, the Michigan Nonprofit Association (and its affiliates) and the Michigan Community Service Commission have made a concerted effort for a more intentional and effective partnership. As the field of service continues to change and be challenged by "outside influences," serious conversations between MNA and MCSC have occurred regarding the need for a sustainable support system for existing and developing volunteer initiatives. Three primary motivators -the need to provide well-rounded support services to the volunteerism field; the desire not to duplicate services and programs; and potential changes in federal programs that support volunteerism - lead to a reasonable conclusion that we can be much more effective as a unified front than as two separate entities. However, it is also acknowledged that some activities/functions MUST remain separate - again, for the greater good of the field. What seems to make the most sense is the development of a third entity that would absorb common functions of MNA and MCSC, while maintaining its neutrality and program-focus. This conceptual organization, unofficially dubbed "The Alliance" for purposes of conversation, has received a great deal of support from sector leaders and partner organizations, and the official stages of planning have begun. Purpose: The purpose of 'The Alliance" is to centralize state-level, volunteer programming efforts in a manner that ensures long-term sustainability. Initially, "The Alliance" would administer volunteer programming currently administered by MNA, VCM, MCC, and MCSC. "The Alliance" would continue to partner with additional organizations as deemed appropriate. An endowment fund would be created to support 'The Alliance" which would secure its existence into perpetuity. �Funding: The current vision is to develop a pcmmncnt endowment at a local community foundation. The earnings of the. endowment would be utilized to run the administrative functions of the '·Alliance." The initial funding of the endowment would be a combination of private and public dollars. • State: It is being proposed that the State of Michigan fund $10 million of the '·Alliance" endowment. The $10 million would be a one-time allocation from FY 2000-2001 budget. Based on initial discussions by the MCSC and the Governor's staff, it will be our intent to have this line item contained in the executive budget. The allocation would be placed into a permanent endowment at a local community foundation with a challenge to the private sector to match dollar for dollar given by the state. The fund's placement into a community foundation would ensure appropriate investment strategy and remove the fear of future political administrations from eliminating the fund. • Private: An additional $10 million would be sought in matching funds to the State's allocation, which would create a total private endowment of $20 million. The private campaign will be geared towards foundations, corporate giving programs and individuals. A full endowment campaign with a visible fundraising committee will be developed once the state's allocation is secured. The fund will ensure the continuation of the programs of MCSC, VCM and MCC in perpetuity. The fund will generate an mmual basis of $850,000 dollars that will be dedicated to the administrative functions of running the Allim1ce, VCM and MCC. The Alliance will generate additional funding for programming through grants and fees for services. Governance and Administration: A 5-7 person Board of Trustees would govern "The Alliance" with representation from MCSC, MCC, VCM and MNA. The initial board will be appointed by the two incorporating entities (MCSC and MNA). Both incorporating entities will develop a written contract outlining their responsibilities with the new structure and with each other. It is anticipated that in the first few years MNA would serve as the fiduciary agent. 'The Alliance" would have an executive director reporting directly to "The Alliance" Board. The executive director will be an at-will employee hired by the Board. Additional program staff of 'The Alliance" is outlined on the attached organizational chart. The affiliation agreements between VCMIMNA and MCCIMNA will continue to be in effect and would serve as a safety net for either entity to remove themselves from "The Alliance" structure. The leadership ofVCM and MCC will conduct an annual review of the relationship with "The Alliance." The findings of that review will be presented to the MNA Board of Trustees. Time line: Phase I -Research and Analysis • June 1999- "Serious" conversations between MNA and MCSC leadership begin. • July/August 1999- seek general concept support from the Governor, Ms. Engler, MNA Chairperson, VCM Chairperson and MCSC Executive Committee. • September 1999- Proposal is brought to MCSC, MNA Board, VCM Advisory Committee, and MCC Council of Presidents for feedback. �• • • • • October/November 1999 - Meet with local constituents that might be impacted by the '·Alliance .. , October/November 1999- Engage a committee of board leadership from MNA, MCSC, MCC and VCM to provide guidance and oversight to staff October/November 1999- Further develop administrative structure and funding prospects. November 1999.- Engage experienced consultants to review our process, administrative stmcture and operating documents. December 1999- Present formal plan to MCSC, MNA, VCM and MCC. Phase 2- Fund Development Campaign (Only if Phase One is found acceptable) Phase 3- Organizational Implementation (Only if Phase One is found acceptable) Motivation for Joining Meets Mission The Michigan Nonprofit Association's (MNA) mission is to promote the awareness and effectiveness of Michigan's nonprofit sector, and to advance the cause ofvolunteerism and philanthropy in the state. The proposal meets MNA ·s mission by creating an entity that advances the cause of volunteerism in perpetuity. Both the MCC and VCM can fully focus on mission and organizational development of local organizations. The "Alliance" will be a one-stop shop for communities, business and individuals for community problem solving, volunteer placement and management support. Streamlines Bureaucracy (Privatizes duplicated efforts) It eliminates duplication of services between the Michigan Nonprofit Association and the Michigan Community Service Commission. Activities currently being conducted by govermnent that are duplicative in the nonprofit sector are privatized to the new entity. The venture will be one of the first public/private venture revolving around nonprofit and volunteerism in the country. Coordinates Statewide Activities The development of the "Alliance" will allow for a more coordinated effort between statewide partners resulting in a continuum of service between volunteer centers, United Ways, community Foundations, school districts and the workplace on the local level. It will provide the local citizen with opportunities to give back their community from "the cradle to the grave." Continues Successful Programs The development of the "Alliance" ensures that successful progran1s such as Make A difference day, ConnectMichigan, America's Promise, recognition programs will continue regardless of changes in federal funding, state leadership, and economic times.
