The Committee has met four times since that date, conducted telephone interviews with Members, surveyed the membership and looked at other regional associations and organizations. At the March 1, 1994 meeting the project consultant, Alice C. Buhl, will be present to lead a discussion with the Board on our progress, and the results of the member survey (summary attached). A copy ofthe actual survey is included for your reference. A major section of the report will be a discussion ofCMF ' s mission statement and purposes. The Future Planning Committee will be presenting its report to the Board at the Board' s June 9/ 10, 1994 meeting. Following the Board' s approval, regional meetings ofCMF Members will be held to report on the plan and to gain ownership and excitement. pab/bdftr1 �56 INTRODUCTION I. Background In October, 1993, the Council of Michigan Foundations (CMF) prepared and sent 1062 questionnaires to members -- donors, trustees, and staff of member organizations -- attempting to solicit responses about the services provided by CMF, members' views of current services, and their hopes for future services. The Greystone Group, Inc. was asked to receive the questionnaires, computerize responses, and analyze the data. This report is the result of that effort. Of the 1062 questionnaires sent out, Greystone received 325 responses. The following data and analysis is based on the 325 questionnaires which were returned, filled in completely or in part. In answer to many questions, the total number of respondents does not add up to 325. That is because many respondents skipped some questions or some parts of the survey. A complete survey questionnaire is shown in Appendix A. IT. Respondents The respondents were asked to identify their organization by type, current asset level or grant dollars budgeted, scope of grantmaking, and the capacity of the person completing the questionnaire. Part ~ - CMF Purposes In this part of the survey five purposes of the CMF are listed and respondents are asked to say whether each of the five is "critically important," "moderately important," "not very important," or the respondent has "no opinion." Overwhelming majorities of respondents find each of the five purposes to be either critically or moderately important. Network Purpose A -- To provide the means for regular exchange of ideas, experiences, infonnation and expertise among Michigan grantmakers -- is considered critically important by 77% of respondents. Another 20% find it moderately important. Legislate Purpose B -- To represent Michigan grantmakers' interests and concerns with the officials of local, state and national government - is considered critically important by 62%, moderately important by 32%. Increase Purpose C -- To increase private and community foundation and corporaJe grantmaking resources in the State of Michigan -- shows more equal division among respondents. 44% find it critically important, 45% moderately important. Educate Purpose D -- To increase the efficiency and effectiveness of Michigan's philanthropic network -- shows fewer respondents who fmd it critically important and more who find it moderately important. 42% choose critically important; 45% choose moderately important; 23 respondents find it "not very important." Promote Purpose E -- To infonn the public of the important and irreplaceable contributions of Michigan grantmaking institutions to the state and to the larger society-- shows still fewer who think it critically important. 40% find it critically important; 45% find it moderately so. This purpose has the greatest number of respondents who think it "not very important" -- 39 or 12%. The charts below show the frequency of responses and the percentages for each of the five purposes. Again, the "no opinion" option is offered as well. For each purpose, close to half or more than half of the respondents believe CMF should "keep this purpose at about the same level." For Network, 179 respondents choose this option. For Legislate, 205; for Increase, 171; for Educate, 186; for Promote, 160. (Half of all respondents is 167.) Those who think any one of these purposes should be expanded range from 73 respondents (22 %) who think Legislate should be expanded to 109 respondents (34%) who think Network should be expanded. The charts below show both frequency of response and percentages of respondents for all categories. Use of Services To better understand the responses in this section, it is helpful to divide them into those for which more than half of all respondents say they use the service often or occasionally and those for which fewer than half of all respondents report using the ·service often or occasionally. In addition we will note four services for which high numbers rep()rt never using the service. Of 325 respondents, 163 constitutes more than half. It has the highest frequency count for the combination of "often" and "occasional" usage and it has far and away the highest number of respondents reporting that they use it "often" -- 192. (The next highest frequency for "often" is 109 for Michigan Memo.) A complete chart of response frequencies for all categories is shown in Appendix B, Chart 1. B. Experience with Services Respondents are asked to indicate what their experience has been with each of the 12 listed services. Their choices are "outstanding," "good," "satisfactory," or "poor." Very few respondents (no more than 8) indicate that their experience with any service is "poor." The highest number of respondents reporting "outstanding" or "good" experiences is 266 (82%) for the Annual Conference. If one reduces the base by those who say they "never" use the Annual Conference (28 respondents), the percentage of "outstanding" or "good" responses moves to an impressive 90%. If one reduces the base of respondents by the number who say they "never" use a given service, almost all services show that two-thirds or more of those who use the service indicate that their experience is "outstanding," or "good." C. Level of Activity Respondents are asked to rate each of the 12 CMF services listed as to whether the organization should "expand" that activity, "keep it at about the same level," or "cut back" this activity. Overwhelmingly, respondents want to "keep this at about the same level," for 10 of the 12 program services. In two services, the respondents who have "no opinion" outnumber those who wish to keep the existing level of activity: Spring school and Special issue workshops. In no case did the number calling for expansion or cut backs exceed (or even come close to) the number choosing "keep at about the same level." A complete chart of response frequencies for levels of activity is shown in Appendix D, Chart 1. D. Five Organizational Issues In Part Two of the survey, a list of statements about CMF.is given and respondents are asked to respond by choosing a degree to which they agree or disagree with that statement. Their response choices are "strongly agree," "agree," "disagree," and "no opinion." CMF provides appropriate levels of service to all its member groups. I believe that my organization gets fair value for its CMF dues, either directly or indirectly through leadership in the _philanthropic field. In the summer of 1993 CMF did telephone interviews to identify ideas for CMF's future. Eleven of those ideas are listed in the survey and respondents are asked to agree or disagree with the idea and to say whether "In the future, CMF should expand this area, keep this area about the same, or cut back in this area." The "no opinion" option is also offered. If these 11 ideas are listed in order, according to the number of respondents who choose "strongly agree" or "agree," we get the following listing: A. C. B. Many people did not flll in this section of the questionnaire, and some responses are too general to be categorized.) Johnson Re: President's Report At the last Board meeting, the issue of how CMF is responding to diversity in terms of board membership, staff and programming was raised by two trustees. Since then the CMF Membership Survey has been completed, and it is apparent that the membership has questions. In an opinion section, they responded as follows to the following statement: Strongly Agree 41 CMF leadership in committees and on the Board reflects the diversity of its membership. Agree 163 Disagree 41 CMF Board Member, Emmett Carson, has asked that the issue of diversity be addressed by the Board at the March 1, 1994 meeting. Talking with Emmett last Friday, I suggested that the discussion begin at this winter meeting, but perhaps be expanded at the June 10/ 11 , 1994 meeting when more time will be available for a thorough discussion. The following data is presented by way of background. It is not complete, nor is it meant to say any one action justifies current practice. Diversity can be viewed from many perspectives -- race, gender, age, political orientation, religious preference, sexual preference, etc. For the sake of this report, I am reporting on race, gender and age where possible. Part of the board discussion will need to be a defmition of what characteristics are to be included as we consider the issues of diversity and CMF. Diversitv of Membership FACTS Race -Two CMF Member foundations/corporations have been created by minorities. -Several CMF Members have minority board and staff members. -CMF is working to assist the Native American Foundation which will become a Member when it reaches its minimum grantmaking requirement. �69 -At least two Afro-American funds are within community foundations. Gender - Approximately two-thirds of Member organizations are headed (Chairman or CEO) by males Age- Few Chairman/CEO's under 35 Increasing membership on boards under 40 Majority of members over 50 SUGGESTIONS FOR CHANGE -Encourage minorites and women to create foundations/corporate giving programs/community foundation funds. -Encourage members to use COF material on creating minority funds in community foundations . -Solicit support of Gordy Foundation and Barden Cablevision principals to work with their peers to encourage philanthropy. -Work with minorities currently affiliated with CMF as board members and staff to encourage them and their peers to contribute. Diversity of CMF Staff FACTS Race - Current professional staff of 10 caucasians Part-time financial director was a male minority but quit to pursue a full-time position elsewhere. Support staff of 4 caucasians. Temporary help currently includes two female minorities. Gender - 13 females, one male Age- 20's-3 30's- 3 40's- 4 50's- 4 SUGGESTIONS FOR CHANGE -A reality is that there is very little tum-over in CMF staff. When there is, CMF does extensive advertising throughout the state. The pool of candidates for the job/relocation/compensation has been very small. Management continues to be alert to the issue and when possible, uses minority consultants for special assignments. -Possibility ofutilizing internships to extend CMF staff resources and to introduce various minority groups to the broad field of philanthropy. Diversity of Programming FACTS -Selection of Annual Conference Committee has always included minority members, gender balance and age representation where possible. -Every Annual Conference has dealt with minority issues. -No Honorary Chair/s has ever been a minority. -First Annual Conference minority Chairman in 1994. �71 -CMF adopted and continues to promote COF Principals & Practices which includes diversity issues. -Every conference speakers panel attempts to balance age, gender and race. -Community foundation youth committees reflect the racial diversity of the state of Michigan almost exactly. Still a predominance of young women. -Youth Conference in Midland was headed by an Afro-American female and diverse resource staff. -Several community foundations have youth on their Boards, and CMF/MCFYP has two youth board members. -Ford Foundation minority project initiated at Community Foundation for Southeastern Michigan. -Examples of specialized programming are the Black Church Seminar to be held February 23, 1994 co-sponsored with COF, and the Michigan Women & Philanthropy Committee staffed by CMF. SUGGESTIONS FOR CHANGE -CMF programs have been diverse. How do we bring this diversity awareness to our Members ie. merits of minority Board members and staff, gender balance. -Issue needs thoughtful discussion. Do restricted funds build or splinter community? Should minority donors be recognized as general donors, or should they be classified separately based on age, gender or race? This is a working document...food for thought and discussion. I look forward to pursuing this dialogue at the March and June meetings. The meeting was called to order at 10:15 a.m . by Leonard W. Smith, Chair. Trustees and officers present in addition to Mr. Smith were Leo J. Brennan, Jr.; Emmett D. Carson; RobertS. Collier; Herbert H. Dow, Mary Caroline (Twink) Frey; Judith S. Hooker; John E. Hopkins; Gilbert Hudson; Dorothy A. Johnson; Patricia B. Johnson; Donald A. Lindow; John E. Marshall, ill; Russell G. Mawby; Mariam C. Noland; Donald R. Parfet; James M. Richmond; Margaret A. (Ranny) Riecker; Maureen H. Smyth; Peter P. Thurber; and Stephen E. Upton. Also in attendance was trustee-nominee Laura A. Tarnacki, Partner, Clark, Klein & Beaumont. Board of Trustees Minutes The following comments were offered as clarification to the June 11, 1993 minutes: Leo J. Brennan, Jr. and John E. Marshall, ill were present at the meeting. Mr. Peter P. Thurber asked that the word "equity" be removed from the description of investments for the Allen Endowment Funds. Upon motion duly made, supported and unanimously carried, it was RESOLVED that the June 11, 1993 Minutes be approved as amended. Treasurer's Report Mrs. Patricia B. Johnson, Treasurer, presented the financial statement for the sixmonth period ended September 30, 1993, a copy of which is appended to the official copy of these Minutes. She reported that 80% of CMF's income has been received with income up �approximately $400,000 over last year. She indicated that 43% of budgeted expenses have been expended. The fmancial position of CMF remains strong. Upon motion duly made, supported and unanimously carried, it was RESOLVED that the September 30, 1993 fmancial statement be approved as presented. Investment Committee Report Mr. Peter P. Thurber, Chair, presented the Investment Committee report, a copy of which is appended to the official copy of these Minutes. He reported that the Allen Endowment Fund has been transferred from Woodward Money Market Funds to NBD Woodward Group of Funds, and he shared the beginning balance, deposits, earnings, disbursements and an ending balance for all funds. The six invested funds total $2,375,158.55. Upon motion duly made, supported and unanimously carried, it was RESOLVED that the September 30, 1993 Investment Committee Report be approved as presented. Executive Committee Report Committee Recommendations Mr. Leonard W. Smith, Chair, presented the Executive Committee Report. He referred the Board of Trustees to the Executive Committee Minutes dated September 27, 1993, a copy of which is appended to the official copy of these Minutes. Mr. Smith explained that the Executive Committee approved the following recommendations: •a core budget increase of $73,000 for the new Computer Project •a new Policy Manual, including the addition or revision of five policies, i.e. nondiscrimination and harassment; activity sponsorship; conflict of interest; expense reimbursement; and employment procedures and practices •project criteria for new grantmaking proposals •Articles of Incorporation and Bylaws for the Community Foundation and Michigan AIDS Fund supporting organizations •support of the Michigan Nonprofit Forum's paper, "The Case for Expanding Michigan's Tax Incentives for Charitable Giving" •support of a grant request to the W.K. Kellogg Foundation for the Community Foundation Computer and Technical Assistance Project •a process to evaluate CMF's chief executive officer. Suggestions made by the Board included: •changing the first sentence in the Non-discrimination and Harassment policy to read "... employees and qualified applicants ..." •investigation of the addition of pregnancy leave and paid disability benefits •changing wording of the Employment Policies and Procedures, Section I. F to read "CMF will hold an annual performance review ..." 2 �•changing the last sentence of the Policy of Activity Sponsorship to read "CMF's President is authorized to approve activities ... " Mr. Smith asked that staff work with legal counsel regarding the proposed changes, and a report be presented at the next Executive Committee meeting. Upon motion duly made, supported and unanimously carried, it was RESOLVED that the Executive Committee recommendations be approved with the proposed changes to the Policy Manual being taken under advisement. Supporting Organization Grant Project Criteria. Committee Establishment and Board Election Mr. Smith explained that prior to the Executive Committee's approval of the supporting organization grant criteria, it was reviewed by the Michigan AIDS Fund Committee and the Community Foundation Committee. A copy of the criteria is appended to the official copy of these Minutes. He shared background information on the rationale for creating the supporting organizations; and explained that the Articles and Bylaws for each organization have been approved by the Executive Committee. The Executive Committee recommends that a Supporting Organization Committee be established to conduct the annual members meetings, receive and review annual reports of the organizations, make an annual report to the CMF Board on the status of the supporting organizations, and to recommend Board members for the supporting organizations. Mr. Smith presented a roster of individuals to form the Board of Trustees for the Community Foundation Youth Project and Michigan AIDS Funds supporting organizations, a copy of which is appended to the official copy of these Minutes. He explained that three CMF Trustees will be Board members of each supporting organization. Kellogg Foundation for support of the Community Foundation Computer and Technical Assistance Project, and • made a resolution to amend the CMF Articles of Incorporation, adding Article IX which insulates volunteers from personal liability. Upon a motion duly made, supported and unanimously carried, it was RESOLVED that CMF recommend to its full membership that the Articles of Incorporation be amended to protect its volunteers. Community Foundation Grants Mr. John E. Marshall, ill, presented the Youth Project Advisory Committee Report, a copy of which is appended to the official copy of these Minutes. Mr. Marshall distributed a Summary of Fall 1993 Youth grants recommended by the Youth Program Advisory Committee for funding in Round Five, totalling $2,605,000. He presented an historical overview of past challenge grant Rounds, noting recipients and amounts funded. He shared information on the rapid growth of the Allegan Foundation, noting that the foundation received two gifts of $1 million from local businessmen. She reported that CMF has worked in cooperation with the Council on Foundations and other Regional Associations to successfully fulfill four priorities on CMF's Legislative Statement: removing gifts of appreciated property from the alternative minimum tax, establishing a generic affidavit for non-US grantees; limiting the liability of volunteers; and revising the state inheritance tax. Ms. Riecker explained that the Committee recommends: • support of composite Bill H.R. 2418 which changes the due date for flrst quarter estimated tax payments by private foundations; • support of Independent Sector's position on interim sanctions for public charities; • support of House Bills 4661, 4660, and 4662 which exempt all Section 501(c)(3) organizations from sales tax on purchases. Ms. Riecker shared that the Committee is considering a Washington Visitation Day, February 1/2, 1994. Upon motion du1y made, supported and unanimously carried, it was RESOLVED that CMF support composite Bill H.R. 2418. Upon motion duly made, supported and unanimously carried, it was RESOLVED that CMF support Independent Sector's position on intermediate sanctions for public charities. Upon motion du1y made, supported and unanimously carried, it was RESOLVED that CMF support the bills H.B. 4661,4660 and 4662 to exempt Section 501(c)(3) organizations from sales tax on purchases. Membership Committee 5 �Mr. James M. Richmond, Chair, presented the Membership Committee Report, a copy of which is appended to the official copy of these Minutes. He explained the full Committee met in Lansing on September 17 to plan the fiscal year Membership Campaign, with a followup meeting being held in Grand Rapids on September 21. He shared that the Frey Foundation and W.K. Kellogg Foundation have contributed funds to implement an Annual Conference Scholarship Fund for family foundation participants attending for the first time. She extended thanks to Peter Christ, Chair of the Community Foundation Computer Project. Mr. Jack Hopkins noted that the Kalamazoo Foundation should be added to the list of community foundations leading the computer project effort Corporate Giving Committee Mr. Donald A. He noted the project is in its fourth year and asked that the Board offer any help they can to continue the project's success. 6 �Family Foundation Committee Ms. Judith S. Hooker, Chair, presented the Family Foundation Committee Report, a copy of which is appended to the official copy of these Minutes. She noted the committee has been operating one year. She thanked Jim Richmond and Heidi Gilmore Callen of the Frey Foundation for authoring the CMF publication, Preparing the Next Generations. She explained the Committee will be meeting directly following the Board meeting. Improving Philanthropy Committee Dr. Russell G. Mawby, Chair, presented the Improving Philanthropy Committee Report, a copy of which is appended to the official copy of these Minutes. Dr. Mawby noted the Committee met on August 26 with eleven guests present who gave reports on academic, volunteer, youth and research programs. He reports that a survey of higher educational institutions is underway for an update on what is needed in Michigan. Dr. Mawby reported that the Committee is exploring the feasibility of establishing a Michigan Research Fund to encourage faculty attention to issues though research activities. Information System Committee Ms. Dorothy A. Johnson, representing W. Calvin Patterson, III, presented the Information System Committee Report, a copy of which is appended to the official copy of these Minutes. She explained the PBS program on foundations will be broadcast November 12, 1993 throughout Michigan. Three publications were highlighted: Establishing and Administering a Scholarship Program, Retirement and Compensation Programs for Employees of Private Foundations and Community Foundations, and Preparing the Next Generations. She explained the Committee has met twice and that a survey of membership is currently underway with 1,000 individual being requested to submit their comments. A major report from the Committee will be presented March, 1994 to the Board of Trustees. Consultant Alice Buhl will be present. New Business Presidents Report Ms. Dorothy Johnson noted that Board Members will be recognized during the Annual Members Meeting, which is to follow Jack Kemp's speech. She presented background information on The Regional Association of Grantmakers Initiative, noting that the marketing materials developed by the Initiative have been of benefit to CMF. Next year's Conference will be held at the Hyatt Regency-Dearborn with Valora Washington, W.K. Kellogg Foundation, agreeing to Chair the Program Committee. Leo Brennan, Jr. will be a Co-Chair of the Host Committee. Max Fisher has been invited to be Honorary Chair of the Conference. Mr. James Richmond and Mr. Emmett Carson suggested that CMF continue its efforts to diversify its membership activities. Noland Re: Community Foundation Committee Report The Community Foundation Committee has not had a reason to meet since the last Board of Trustees meeting. There are, however, many projects underway. These are listed briefly for your infonnation. If you have questions or would like a further reporting, please feel free to call. Michi~an Community Foundations' Youth PrQject (MCFYP) The new supporting foundation met in May and approved 15 challenge grants, 6 venture computer grants, $112,063+ loans, and 13 affiliation grants. The remainder of the $35 million challenge has now been forwarded to MCFYP and is invested. There are currently 7 community foundations which have completed the full $1 million challenge. 30 community foundations are actively raising challenge funds. The project remains on target. Computer Project Five of the seven original venture foundations are operational on the new community foundation software. The last two will be installed by July. Thirteen other community foundation members were approved for grants in May and will be installed over the summer and into early fall. Members report satisfaction with the software. Tax Credit The tri-annual renewal of the Michigan Tax Credit for community foundations is underway. The bills amending the Michigan Single Business Tax and Michigan Personal Income Tax have been approved by the Senate (34-0) and passed out of the House Taxation Committee (unanimously). The bills now go to the House floor. It is unclear if they can be acted upon before the summer recess. They may come back to the floor of the House in September. js/CMF/ltrs 1994/Noland �Great Lakes Protection Fund Discussions continue regarding a multi-state and Canadian, community foundation effort to work on the water quality of the Great Lakes through a joint venture program of the 69 community foundations serving the basin. A draft strategy will be coming to the Community Foundation Committee in late July or early August. Trainin~ Training opportunities continue with a successful, first ever community foundation TriState Conference sponsored by the Ohio, Indiana and Michigan Regional Associations. Over 200 trustees and staff attended. A five session Leadership Academy is underway for new staff and trustees. Camp for our youth philanthropists is scheduled for August 21-24 at camp Miniwanca at Stoney Lake, Michigan. We expect 200-300 young people to participate. Summer oneday regional discussion sessions are scheduled for late summer. Fall regional trainings on development are scheduled along with fall regional youth conferences. Sessions or CMF's annual meeting are under development. There are new Executive Director's in Midland, Bay Area, Gratiot, Buchanan and Fremont. The Fremont Area Foundation is undergoing wonderful major change with the cash sale of the Gerber Company to a Swiss pharmaceutical company. The Foundation will grow from $60 million to over $110 million in assets after the sale is completed in the next few months. Upper Peninsula A meeting is scheduled for June 20th of representatives from each of the upper peninsula counties. Brennan, Jr. Re: 22nd Annual CMF Conference UPDATE The theme ofCMF's 22nd Annual Conference is "Magic of Community." Mr. Max Fisher, President, Max and Marjorie Fisher Foundation has been invited to serve as honorary chair of the Conference. This year's Program Committee Chair is Valora Washington, Vice President, W.K. Kellogg Foundation and the Host Committee Co-Chairs are Loe J. Brennan, Jr., Executive Director, Ford Motor Company Fund; and Barbara VanDusen, Trustee, Community Foundation for Southeastern Michigan. Many excellent speakers have been confirmed with some yet to be finalized: • • • • November 2nd opening session on "Magic of Community" will be a panel consisting of Dennis Archer*, Mayor, City of Detroit; Sara Melendez*, President, Independent Sector; Neal Shine, Editor, Detroit Free Press; and a corporate representative. Speakers will address the importance of"community building" as seen from their perspective Mitch Alborn, Humorist, Detroit Free Press will entertain participants at a lively session following dinner on Wednesday evening, Nov. 2nd Johnetta Cole, President, Spellman College will address the Thursday, November 3rd luncheon Dave Thomas, President, Wendy's International will address the Donors Platform at the Friday, November 4th closing luncheon. This year's conference program committee wanted a slightly different format. Changes included: • Two plenary breakfast speakers on Thursday, November 3rd. Session One: Neal Pierce, Columnist, Washington Post will address the Emerging Issues of Community Development; Session two:Theodore R. Sizer*, Director, Annenberg National Institute for School Reform will share his views on Educational Reform • Four program areas will be explored throughout the conference: Children & Families, Civil Citizenship, Rural Neighborhood Communities and Collaboration • Specific sessions will focus on issues relevant to Family Foundations, Corporate Giving, Independent Foundations, Community Foundations and Investments • Special interest sessions include program officers roundtable, legal issues facing foundations, grants classification, experts-in-residence session and scholarship roundtable. The Detroit Host Committee has done a great job of putting together four tours that compliment the theme of the conference. They continue to work on the Thursday evening event scheduled for the Henry Ford Museum. Special highlights include guest appearances by people from our past, spot performances by magicians, and a fmale by a well-known illusionist. Lindow Re: Corporate Services The CMF Corporate Services Committee continues to serve our 80 corporate members with specialized services. Highlights of activities include: • Michi~an Forward, the magazine of the Michigan Chamber of Commerce, featured corporate giving on the cover and in seven articles of its May, 1994 issue. Contributing authors included Dottie Johnson, Bob Reid, Kathy Agard, R.Sue Dodea, Dave Egner and Joe Antonini. • Michigan Corporate Grantmakers Fall Workshop on "The Super Highway" is tentatively scheduled for mid-September. Mary Mullally, Ameritech Company and Steve Horn, IBM are co-chairing the workshop. • Planning of several corporate technical sessions at the CMF 22nd Annual Conference to be held November 2-4, 1994 at the Hyatt Regency in Dearborn. Sessions under development are "Addressing Corporate Ethical Dilema's" and "Corporate Alternatives to United Way Funding" with Kay W. Hunt, Detroit Edison, Kate Pew Wolters, Steelcase Foundation and Susan Kelly, Hudson's serving on the Program Committee. • Summer corporate breakfast meeting with members in the Auburn Hills/Rochester area. • Meeting of the Corporate Services Committee to plan future corporate activities is scheduled for June 22nd .. • The Corporate Services Newsletter has a new editor, and will soon be having a face lift. A survey of corporate interests is intended for early fall. • Crains Detroit Business features C:MF corporate member activity, in the Detroit area, the third week of every month. • CMF opened a Detroit office with Miguel A. Satut as Executive-In-Residence. Since then the CMF Membership Survey has been complete, and it is apparent that the membership has questions. In an opinion section, they responded as follows to the following statement: Strongly Agree CMF leadership in communities and on the Board reflects the diversity of its membership. 41 Disagree 163 41 CMF Board Members, Twink Frey, Emmett Carson, Leonard Smith, Jim Richmond and I met in early May to discuss how CMF deals with diversity issues intemally and externally. The following data is presented by way ofbackground on how CMF is responding to diversity issues. It .is not complete, nor is it meant to say any one action justifies current practice. Diversity can be viewed from many perspectives - race, gender, age, political orientation, religious preference, sexual preference, etc. For the sake of this report, I am reporting on race, gender and age where possible. Part of the board discussion will need to be a definition of what characteristics are to be included as we consider the issues of diversity and CMF. This information is shared as background for the discussion at the June 9/10, 1994 board meeting. Diversity of Membership FACTS Race Two CMF Member foundations/corporations have been created by minorities. Several CMF Members have minority board and staff members. CMF is working to assist the Native American Foundation which will become a Member when it reaches its minimum grantmaking requirement. At least two Afro-American funds are within community foundations. .I : II :I �Gender Approximately two~thirds of Member organi2ations are headed (Chairman or CEO) by males. Age Few Chairman/CEO's under 35. Increasing membership on boards under 40. Majority of members over 50. SUGGESTIONS FOR CHANGE • Encourage minorities and women to create foundations/corporate giving programslcoJDJDimity foundation funds. • Encourage members to use COF material on creating minority funds in community foundations. • Solicit support of Gordy Foundation and Barden Cablevision principals to work with their peers to encourage philanthropy. • Work with minorities currently afiiliated with CMF as board members and staff to encourage them and their peers to contn"bute. The pool of candidates for the job/relocation/compensation has been very small. Management continues to be alert to the issue and when possible, uses minority consultants for special assignments. • Possibility of utilizing internships to extend CMF staff resources and to introduce various minority groups to the broad field of philanthropy. Diversity of Programming FACTS Selection of Annual Conference Committee has always included minority members, gender balance and age representation where posst"ble. Every Annual Conference has dealt \Vith minority issues. Johnetta Cole, President, Spellman College, will address the 22nd Annual CMF Conference No Honorary Chair/s has ever been a minority. First Annual Conference minority Chairman in 1994. CMF provided leadership for creation ofMichigan AIDS Fund. CMF counsels minority donors. Recently African-American football player established fund in comnnmity foundation. ill~ Ill �CMF adopted and continues to promote COF Principals & Practices which includes diversity issues. Every conference speakers panel attempts to balance age, gender and race. Community foundation youth committees reflect the racial diversity of the state of Michigan almost exactly. Still a predominance of young women. Youth Conference in Midland was headed by an Afro-American female and diverse resource staff Several community foundations have youth on their boards, and CMF/MCFYP has two youth board members. Ford Foundation minority project initiated at Community Foundation for Southeastern Michigan. Examples of specialized programming are the Black Church Seminar held February 23, 1994 co-sponsored with COF and the Michigan Women & Philanthropy Committee staffed by CMF. SUGGESTIONS FOR CHANGE • CMF programs have been diverse. How do we bring this diversity awareness to our Members ie. merits of minority Board members and staff: gender balance. The Charles Stewart Mott Foundation has offered to assist with any training costs. • Issues need thoughtful discussion. Do restricted funds build or splinter community? Should minority donors be recognized as general donors, or should they be classified separately based on age, gender or race? This is a working document ... food for thought and discussion. Hooker Re: Family Foundation Committee Report The Family Foundation Committee met on Tuesday, May 10, 1994 to review program accomplishments, plan future program priorities and give input to the annual conference family foundation sessions. There was general consensus that the current direction of the publication of two informational manuals and two topical newsletters per year, offering technical assistance through individualized consultations and informational mailings, coordination of specialized annual conference sessions for family foundation members, continuation of membership recruitment activities, and participation in legislative educational activities on relevant issues, should be continued. New areas of interest for the program which emerged included the publication of a brochure on CMF family foundaiton services, offering regional meetings of family foundation members to discuss topics of interest and identify needs, and the development of a consultant resource bank. Topics of future publication will include a manual of sample documents used by family foundations, and a document raising the awareness of the characteristics of family foundations. Future newsletter topics and/or skills training sessions may include the means of strengthening grant recipients through sharing and learning from positive and negative experiences (evaluation), and administrative applications of computer technologies. Family foundation sessions to be offered at the 22nd annual conference will cover finance, administrative, and programmatic issues. "The Prudent Man Thoery of Investing" will discuss the revised legal interpretations of fiduciary duty and their implications regarding portfolio asset allocation. "Tending To Business" will offer six administrative skills stations facilitated by experienced moderators for participants to visit for hands-on training experiences. And "The Difference Family Foundations Can Make" will discuss what model programs with limited dollars need to look like to succeed in the areas of two of the conference's mini-plenary topics (Economic Development and Children & Families). Breakfast Roundtable discussion topics will cover "Perks As Grantmakers", "Failure Lessons", "Initial Public Offerings", "Messaging Proposals", and "Building Social Independence". OF MICHIGAN FOUNDATIONS MANAGEMENT REPORT This management report has been prepared in the customary format. We recognize the Board's desire for a revised format including period budget comparisons. We will be presenting a revised reporting format which will coincide with the implementation of new membership and financial reporting software. We are working concurrently with three other RAGs in the membership software development and implementation process. Revenues General operating revenue exceeded budget primarily due to the success of the annual conference in November of 1993. Attendance increased over the previous year by 15%. Community foundation revenue fell slightly short ofbudget due to lower than expected investment return. This resulted from market conditions as well as the timing of receipt of supporting grant revenues within the fiscal year. Most noteworthy is the revenue which was made available to the Michigan Community Foundations' Youth Project (MCFYP) by the W.K Kellogg Foundation. MCFYP is a new supporting organization formed to receive the remaining challenge grant funds for Michigan community foundations from Kellogg and carry out the administration of this project on behalf of Kellogg. In addition, the W.K Kellogg Foundation awarded MCFYP a grant to assist the community foundations in a statewide computer project. These funds were received close to year-end. As of June 2, 1994, all grant funds relating to these two projects have been received by MCFYP. The Michigan AIDS Fund was very successful in its fund raising for the year. Levels of funding and the base offunders continues to expand as this unique statewide collaborative continues to develop. Expenses General operating expendit11res were maintained under closely monitored budgetary contro1. Specific line item variances occurred primarily in categories which were impacted by the larger than expected annual conference attendance such as additional mailing costs, temporary help required and publications and printing costs, hotel and speaker expenses. These overages were covered by the additional registration revenue which resulted in net revenues over expenses of$22,668 for the annual conference. �( Community Foundation expenditures fell in line with budget overall. There were several line item variances from budget expectations due to a successful annual youth conference which exceeded budget by $13,000 as well as active mini-grant and scholarship programs which exceeded expectations by $12,000. These areas are funded with the support ofthe W.K. Kellogg Foundation and the C.S.Mott Foundation. In addition: • Professional services varied from budget due to the timing of a large payment for evaluation services for the youth project which was expected to be paid by year-end and was actually paid subsequent to year-end. • Both the volume of publications produced (cost) and sold (revenue) were lower than expected. • Finally, challenge grant awards under the Kellogg program exceeded budget by $49,000 due to the timing of community foundations qualifYing for the matching grant funds. The Michigan Community Foundations' Youth Project (MCFYP) was funded at the end of the fiscal year. Expenditures relating to the community foundation computer project of$171,000 had been made in anticipation ofthe receipt ofthis grant and are properly reflected against the revenue received. The Michigan AIDS Fund controlled operating expenses well falling $14,000 under budget. Grant awards were $540,000 compared to $895,000 which was anticipated. SB 1113 passed the Senate 34- 0 after an April27, 1994 Senate Finance Committee Hearing. The House Taxation Committee passed the bill unanimously after a hearing May 25, 1994. Testifying at one or both of the hearings were Dick St. John, Kalamazoo Foundation; David Campbell, Community Foundation_for Southeastern Michigan; Rolly Dennison, Trustee, Mt. Pleasant Community Foundation; Peter Christ, Battle CreeR Community Foundation and Kathy Agard and Dottie Johnson from CMF. Public Affairs Associates, David Haynes, is assisting with this third effort. It is supported by contn"butions from community foundations and the CMF community foundation consultation budget. The House version of the bill removed the cap (proposed at $9 million in the Senate) and continued the sunset at three years. Ideally the bill will go to the full House before they adjourn for the summer or early in the fall. Judy Hooker, Russ Mawby and I have also assisted in the effort. NATIONAL LEGISLATION HR2418 Currently 33 Representatives have cosponsored this legislation, including ten Michigan Congressmen (Barcia, Camp, Collins, Conyers, Ehlers, Hoekstra, Kildee, Knollenberg, Smith and Upton). The bill would prevent the expiration of the ability of living donors to give publicly traded stock to private foundations and deduct the full value. s 1898 This counterpart bill to HR. 2418 was introduced by Michigan Senator, Donald W. Riegle, Jr. Senator Carl Levin has also cosponsored the legislation. CMF is working with COF to encourage additional cosponsors from other states. Samelson Re: Information Systems Committee Report Tab 12 The Michiian Foundation Directory Sales of the 8th edition of the Michigan Foundation Directory stand at 2,202 with revenue of $60,872 to date. The 8th edition "Update" was issued in January 1994. The 9th edition will be released in October of 1994 with research well underway. New information will be included that features "types of support" if a foundation has a special focus, and expanded "Survey" data. A subcommittee of the Information Systems Committee met last November to discuss expanding the categorization of grants from six to twenty-six categories, utilizing the Grants Classification System which is employed by the Foundation Center. The subcommittee endorsed this new method of classifying grants, in order to have Michigan data compatible and comparable with national data. Initially foundations have been asked to categorize their grants in either the 26 major field of interest categories or a collapsed field of 10 basic divisions. Staff has met with the Michigan League for Human Services, who presently handle the sales and distribution of the Directory, with the intention of bringing all Directory services in house. The dialogue continues with the expectation that the Michiian Foundation Directory, beginning with the 9th edition, will entirely be a Council of Michigan Foundations' project. �The Michigan Scene More than 5,000 foundations, corporations, nonprofits, and state and government officials receive quarterly issues of the Michigan Scene. Special reports are issued twice a year on various topics such as the Michigan Foundation Directo~ data and the annual Michigan Fundraising Campaign Report. There has been a noticable increase in the number of foundations and corporations sharing news with staff for inclusion in the Michigan Scene. Video Donor History Project Five donor video histories have been completed: the Binda, Gerstacker, Lowe, Miller and Towsley Foundations. Robert E. Heney, Executive-in-Residence to CMF for Communications, will be developing a plan to promote, market and disseminate the donor histories to PBS stations, educational institutions, etc. Clipping Service The "Clipping Service" continues to be well-received with over 4,000 clippings sent to 222 Members this past year. Scholarship Manual Sales of the second edition of Establishing and Administering a Scholarship Program are excellent \\lith 69 books sold to-date. Purchasers range from coast to coast - California to Vermont. Book-Buying Service To date, 5 Members have used the book-buying service to purchase books at a 10% discount from the Foundation Center, Jossey-Bass and AAFRC for Giving USA. The service is promoted through "Memo to Members," and books are purchased when orders are received from Members. The McGregor Fund graciously made space available on a temporary basis for CMF. We are now working to find other contn"buted space on a permanent basis from a Member, similar to the current arrangement at the CMF office in Grand Haven. CMF has been working on two services, the ideas for which came from a group of interested Members. Jeri Fischer, CMF Staff Associate, has provided the leadership for the following two services which are in development: Common Application Form: Last year, the Board directed staff to investigate developing a common application form for Members as a possible means of streamlining and simplifYing the paperwork involved in a grant request. Currently this is being done by a number of RAGS across the country. Those using the form and the number of grantmakers participating are: Delaware Valley Grantmakers New York Regional Association of Grantmakers Rochester Grantmakers Forum Washington DC Regional Association ofGrantmakers Pacific Northwest Grantmakers Forum 28 46 30 34 20 Generally these forms offer: -an introduction with instructions on the development, length and format of the proposal; -a one-page summary sheet and budget form; - a description of materials needed to support the proposal; -a list of fimders who are participating in the use of a common grant application form A committee of ll CMF volunteers will be meeting in June to work on developing such a form for CMF Members to use ifthey so desire. Contact Jeri Fischer of the CMF Staff with questions or comments. �Internship Program: The Internship Program is a new seiVice available to CMF Members beginning this September. It will provide graduate students with exposure to the role of philanthropy in the nonprofit sector through paid internships with Michigan foundations. Participating foundations receive an opportunity to have the full-time assistance of an eager and talented student for the six-month duration of the Internship Program They can take on special projects that staff do not have time to accomplish; they can expand the service capacity by conducting research, responding to inquiries, attending meetings, writing reports, conducting needs assessments; and they can provide a fresh perspective to work issues. The program is based on several model internship and fellowship programs operating successfully at other foundations. Members who have "signed on" are the Kellogg and Kresge Foundations and the Community Fowidation for Southeastern Michigan. Leadership has been provided by Elizabeth Sullivan of The Kresge Foundation. Other RAGs C.MF continues to work with The Regional Initiative and developing countries. Recently Kathy Agard and I advised five South Africans on how to establish a regional association and how to develop community foundations. Four CMF staff members, (Judy Car~ Jeri Fischer, Sandra Katt, and Anne Stoll), are able to take advantage of The Regional Initiative training July 9-11, 1994 in Washington, DC. C.MF received two scholarships and was able to take advantage oflow air fares to allow two other staff members to attend. I will represent C.MF at the summer COF RAG Workshop on leadership July 30- August 4, 1994. Committee Chairs A list of current committee chairs is attached. The meeting was called to order at 10:10 a.m. by Leonard W. Smith, Chair. Trustees and officers present in addition to Mr. Smith were Leo Brennan, Jr.; Laura A. Davis; Mary Caroline (Twink) Frey; John E. Hopkins; Gilbert Hudson; James R. Jenkins; Dorothy A. Johnson; Patricia B. Johnson; Donald A. Lindow; John E. Marshall, ID; Mariam C. Noland; Donald R. Parfet; John W. Porter; James M. Richmond; Maureen H. Smyth, Peter P. Thurber, and Kate Pew Wolters. Trustees and officers absent were: Emmett D. Carson; Robert S. Collier; Herbert H. Dow; Judith S. Agard, Program Director-Community Foundations; Jeri Fischer, Staff Associate; Linda Patterson, Administrative Director; and Anne Stoll, Financial Director; and Judy M. Carl, Staff Associate, who recorded and transcribed. Also present was Alice Buhl, Consultant. Board ofTrustees Minutes Upon motion duly made, supported and unanimously carried, it was RESOLVED that the November 3, 1993 Minutes be approved as presented. Treasurer's Report Ms. Patricia B. Johnson, Treasurer, presented the financial statement for the ninth-month period ended December 31, 1993, a copy of which is appended to the official copy of these Minutes. Ms. Johnson reports that 95% of the budget revenue has been received, and 61% of total budgeted expenditures have occurred. Mrs. Johnson explained that the Executive Committee reviewed and accepted the financial statement during their meeting. Upon motion duly made, supported and unanimously carried, it was RESOLVED that the December 31, 1993 financial statement be approved as presented. 1 �Investment Committee Report Mr. Peter P. Thurber, Chair, presented the Investment Committee report, a copy of which is appended to the official copy of these Minutes. He noted the investment report is for the ten-month period ended January 31, 1994. Total inventory was reported at $2,001,388.09. He shared beginning balances, deposits, earnings, disbursements, and an ending balance for all funds, and noted the rate of return as being 2.82%. Upon motion duly made, supported and unanimously carried, it was RESOLVED that the Investment Committee Report be approved as presented. Audit Committee Report Mr. Leonard W. Smith, representing Ms. Mary Caroline (Twink) Frey, Audit Committee Chair, presented the Audit Committee Report, a copy of which is appended to the official copy of these Minutes. Mr. Smith shared the Audit Committee's recommendation to approve of Ernst & Young as the Council of Michigan Foundation's auditors at a fee of$8,000 Upon motion duly made, supported and unanimously carried, it was RESOLVED that the Ernst & Young be retained as auditor for the Council of Michigan Foundations for the fiscal year ending March 31, 1994 at a fee of$8,000. Executive Committee Recommendations Plan Q,{Work Results Mrs. Dorothy A. Johnson, President, presented a summary report of major accomplishments from the year, a copy of which is appended to the official copy of these Minutes. CMF staff members shared infonnation of their fiscal year activities, as well as plans for the future, via a slide presentation. Mr. James Richmond shared the importance of setting quantifiable goals for the year to measure services and impact, and Mr. Leonard Smith recommended that this be included on the Family Foundation, Community and Corporate Program committee meeting agendas. Mrs. Twink Frey suggested that the Plan of Work also contain infonnation on how these goals are to be met and how the services and impact will be measured. Dr. John Porter noted the budget and Plan of Work are excellent documents, however, he suggested that the eleven major programs areas tie more closely to the budget infonnation. 2 ill Jj!.l �Mr. John Marshall noted that the Plan of Work should include information that CMF was the first Regional Association to endorse consideration of the Principles and Practices for its Members. He shared that the Plan of Work also should include how CMF will follow-through with the recommendation, as well as how CMF will provide Members with a vehicle to implement the Principles and Practices. Several board members shared comments regarding membership acceptance and encouragement of donors to form foundations or programs of giving. The Board congratulated staff on their work. Proposed Budgetfor 1994-95 Mrs. Patricia B. Johnson, Treasurer, presented the proposed budget, a copy of which is appended to the official copy of these Minutes. She noted that the budget for fiscal year 1995 is presented in a revised format including all core services. Mrs. Stoll shared budget information for total operating, MCFYP (Michigan Community Foundation Youth Project), and the Michigan AIDS Fund (MAF). She noted that both MCFYP and MAF are supporting organizations to CMF. She explained that operating budgeted expenses are reflected as decreasing by $100,000 from last year due to the composition of the Fund for the 90's; budgeted income is shown as decreasing $1 million because grants money are now reported in the two supporting organization budgets. $160,000 w-as reported as being transferred from MCFYP to the general operations of CMF. The general operations budget reports income over expenses at $1,125; the community foundation budget reports expenses over revenue due to diminished funding in anticipation that the program will be winding down. Ms. Stoll shared that a new telephone system and printer were approved by the Executive Committee. Five-Year Financial Plan Ms. Stoll, Financial Director, presented the Five-Year Financial Plan, a copy of which is appended to the official copy of these Minutes. Responding to a question posed by Dr. John Porter, Mrs. Johnson explained that the Five-Year Plan shows the need for a contribution increase or reduction in services offered. Space Consideration Mr. Smith explained plans to increase the office space ofCMF; currently 14 employees occupy an office of 3,000 square feet. He distributed a memo sharing information on how office space, immediately below the current office of CMF, could be purchased. A copy of the memo is appended to the official copy of these Minutes. He explained the financing of the purchase being made possible by use of Kellogg MCFYP grant interest. He reported that the Executive Committee and MCFYP Chair has approved the recommendation to purchase the Parker condominium office space at One South Harbor, Grand Haven for the price of $325,000 plus reasonable associated costs of up to $15,000 dependent upon the successful completion of all facts and circumstances as noted in the memo, including: 3 11111:1 �~All legal considerations met as approved by CMF legal counsel and Executive Committee; Kellogg Foundation's $13.6 million in timely manner; ~Successful negotiation with law finn or approval from MCFYP for additional funds. ~Receipt ofMCFYP ofW.K. Davis, representing Mrs. Margaret (Ranny) Riecker, Chair, presented the Government Relations Committee Report, a copy of which is appended to the official copy of these Minutes. She commended Mrs. Johnson and Mrs. Riecker for their work in coordinating the recent trip to Washington, where eleven Members called on the Michigan Congressional delegation. 21st Annual Conference Mr. Peter P. Thurber, representing Mr. RobertS. Collier, presented the 21st Annual Conference Report, a copy of which is appended to the official copy of these Minutes. He noted the three~y 21st annual conference was attended by more than 900 participants. 4 Ill 1!111 �22nd Annual Conference Mr. Leo J. Brennan, Jr., presented the 22nd Annual Conference report, a copy of which is appended to the official copy of these Minutes. Mrs. Dorothy Johnson presented information on the new position of "dean" of the conference being fulfilled by Ms. Elizabeth Sullivan, Program Officer, The Kresge Foundation. Mr. Brennan explained the Program Committee has met and the Host Committee will meet March 15 to begin plans for the social events. Future Planning Committee Mr. Gilbert Hudson, representing Mrs. Margaret (Ranny) Riecker, presented the Future Planning Committee Progress report, a copy of which is appended to the official copy of these Minutes. Mr. Hudson introduced and thanked Alice Buhl for her work on the project Mrs. Alice Buhl, Consultant, shared background information on the Future Planning Process, which began June, 1993. Mr. Hudson shared that the Membership Survey was conducted during Fall, 1993, and it received a 31% response rate with 325 respondents, considered to be a strong return. A copy of the Member Survey is appended to the official copy of these Minutes. Mr. Hudson shared highlights from the survey results: - strong affirmation for the existing five Purposes of C:MF - networking and legislative activity were ranked most important -one-third of Members surveyed suggested expansion of the Purposes - 82% of respondents consider the Annual Conference to be "outstanding" or "good" - technical services and informational resources highly valued by Members - CMF services should be kept the same or expanded rather than decreased, and - Members believe they receive excellent value for their dues and expressed strong willingness to recruit new members. The statement of diversity and Members' understanding of CMF activities were noted as areas for improvement Three areas for future programming were highlighted: increased opportunities for cooperation among grantmakers; increasing philanthropy and assets available for philanthropic purposes; and providing special services for groups of Members. Mrs. Buhl noted that the results of the survey showed a very high, positive rating for CMF staff and board. Mrs. Buhl distributed a memo sharing a draft Mission/Purpose Statement, and asked the Board to break into small groups for a period of 15 minutes to discuss the Future Planning Committee information and to offer suggestions on revising CMF' s existing Mission Statement Mrs. Buhl shared that the suggestions will be forwarded to the Future Planning Committee. Buhl, Planning Consultant, to continue discussion of CMF s future direction and organizational interests. The Board reaffirmed C:MF s mission, clarified the meaning of CMF s purposes, and reviewed activities to support each purpose. The meeting of the Board ofTrustees of the Council of Michigan Foundations was held at the ~hman Court Motel. Midland, MI on Friday, June 10, 1994 pursuant to written notice duly given. Board of Trustees Minutes Upon motion duly made, supported and unanimously carried, it was RESOLVED that the March 1, 1994 Minutes be approved as presented. Treasurer's Reoort Ms. Patricia B. Johnson, Treasurer, presented the financial statement for the twelve-month period ended March 31, 1994, a copy of which is appended to the official copy of these Minutes. Ms. Johnson reported general operating revenue exceeded expenses for the period, due primarily to a 15% increase in attendance at the annual conference. 1 --- ---------------~ �Upon motion duly made, supported and unanimously carried, it was RESOLVED that the March 31, 1994 financial statement be approved as presented. Investment Committee Report Mr. Peter P. Thurber, Chair, presented the Investment Committee report, a copy of which is appended to the official copy of these Minutes. He noted the report is for the twelve-month period ended March 31, 1994. Mr. Thurber reported that C:MF's two supporting organizations-the Michigan AIDS Fund and Michigan Community Foundation's Youth Project (MCFYP) -have established investment committees to oversee the investment practices of the funds. He noted rate of return for the period as being 3.12%. Upon motion duly made, supported and unanimously carried, it was RESOLVED that the Investment Committee Report be approved as presented. Audit Committee Report Ms. Mary Caroline (Twink) Frey, Audit Committee Chair, presented the Audit Committee Report, a copy of which is appended to the official copy of these Minutes. She reported that management met via conference call with Paul Brazda and Martin Jennings of Ernst & Young on May 20, 1994 to review the Audited Financial Statements and Letter of Recommendations for the year ended March 31, 1994. Copies are appended to the official copy of these Minutes. The audit was a "c.lean" audit, with no material weaknesses noted. Upon motion duly made, supported and unanimously carried, it was RESOLVED that the Audit Committee's recommendation to accept the Audited Fmancial Statements and Letters of Recommendations be approved as presented. Old Busi~Executive ~on CMF staff was excused from the meeting in order that the Chairman report on the performance review of the President. Mrs. Johnson joined the board meeting to report on staff reorganization. Committee Reoorts Membership Committee Reoort Mr. James M. Richmond, Chair, presented the Membership Committee Report, a copy of which is appended to the official copy of these Minutes. Brennen, Co-Chair, presented the 22nd Annual Conference Repon, a copy of which is appended to the official copy of these Minutes. He reports that many excellent speakers have been confirmed with some yet to be finalized, and that the conference format will differ slightly from previous years. Four tours which complement the theme of the conference-"Magic of Community"-are planned. Community Foundation Committee Reoort Ms. Mariam C. Noland, Chair, presented the Community Foundation Committee Report, a copy of which is appended to the official copy of these Minutes. She reports the Michigan Community Foundations' Youth Project Committee met in May and approved 15 challenge grants, 6 venture computer grants, more than $112,000 in loans, and 13 affiliation grants. The computer project is well undeiWay with five of the seven original venture foundations now utilizing the new community foundation software. The remaining two foundations will be installed by July. Corporate Services Committee Mr. Donakl A Lindow, Chair, presented the Corporate Services Committee Report, a copy of which is appended to the official copy of these Minutes. He reports the committee continues to be challenged by economic times. He shared highlights of current activities, including features of corporate giving in the Chamber of Commerce's' Michigan Forward magazine; technical sessions planned for the Arumal Conference; and the Corporate Grantmakers Fall Workshop, 'The Super Highway," scheduled for mid-September. Family Foundation Committee Ms. Judith S. Hooker, Chair, presented the Family Foundation Committee Repon, a copy of which is appended to the official copy of these Minutes. The Committee met in May to discuss services for Michigan family foundations. It was detennined that two informational manuals and two topical newsletters per year will be published, technical assistance will be offered through individualized consultations and informational mailings, and special Annual Conference sessions will focus on family 3 �foundation issues. Sessions on finance, administrative, and programmatic issues are scheduJed for this year's Conference. Regional meetings for family foundation members are also being planned. Government Relations Committee Reoort Mrs. Margaret (Ranny) Riecker, Chair, presented the Government Relations Committee Report, a copy of which is appended to the official copy of these Minutes. She reports the House unanimously passed the Community Foundation Tax Credit Bill without caps. She extended her thanks to everyone who worked to infonn Senate and House members of the Bill and in gaining their support Mrs. Johnson shared information on how the caps were removed, and explained that further letters to the Governor may be necessary to secure full support of the Bill. Mrs. Riecker explained that ten Michigan Congressmen are co-sponsoring HR 2418, legislation which prevents the expiration of the ability of living donors to give publicly-traded stock to private foundations and deduct the full value. S 1898, the counterpart bill to HR 2418, was introduced by Senator Donakl W. Riegle, and it is supported by Senator Carl Levin. Infonnation Systems Committee Mr. Calvin W. Patterson, ill, Chair, presented the Information Systems Committee Report, a copy of which is appended to these Minutes. He reported that CMF staff is working with the Michigan League for Human Services to bring all Michigan Foundation Directory production and marketing services in-house. He shared that the number of foundations and corporations contributing news for The Michigan Scene has notably increased; five donor video histories are now complete with a plan to promote, market and disseminate under development; the "clipping service" continues to be wellreceived with over 4,000 clippings sent to 222 Members during the past year; and to date, five Members have used the book-buying service. Committee Reoort Approval Upon motion duly made, supported and unanimously carried, it was RESOLVED that the Committee Reports be approved as presented. President's Reoort Mrs. Dorothy Johnson, President, referred the Board to the ''President's Report" memo, a copy of which is attached to the official copy of these Minutes. She explained that closing has occurred on the additional office space purchased by CMF, and that structural renovations will begin soon. She shared information on the upcoming Brandeis Seminar on ''Risk Taking" sponsored by The Frey Foundation, W.K. Kellogg Foundation, and CMF, and she noted that invitations to CEOs and program officers will be rriai1ed next week. She reported that more than 800 individuals attended the Grantmaker/Grantseeker Seminar, co-chaired by Leonard W. Smith. Next year, Ms. Laura Davis, W.K. Kellogg Foundation, will represent CMF. Ms. Johnson noted that Miguel Satut, Executive-InResidence is doing an excel1ent job, and that a permanent CMF Detroit office is being sought. Mr. Smith reported that he visited the CMF office recently and had an opportunity to talk to staff and view the present working environment. Mrs. Johnson again extended thanks to Mr. and Mrs. John Riecker for the hospitality extended to the Midland area foundations and the Board ofTrustees at the previous evening's dinner. Johnson Re: Treasurer's Report TAB 3 The Treasurer's Report contains several items for your approval: Requested Budget Adjustments Revised Budget Combined Balance Sheet Combined Statements of Activity Management Report Financial reports are presented for the three entities which comprise the Council of Michigan Foundations: General Operations of CMF Michigan Community Foundations Youth Project Michigan AIDS Fund New to the Treasurer's Report is a Combined Balance Sheet and Combined Statements of Activity which reflect the financial position of these three entities as well as the status of the endowment funds at September 30, 1994. After discussion with the President and the Financial Director, we would like to propose that a Finance Committee be formed, chaired by the Treasurer. The Treasurer would appoint three to five members to the Committee which would meet at least twice annually to review the financial activities of the Council of Michigan Foundations. We feel that the growth of the Council and the greater sophistication of financial matters warrants Committee attention. This would provide the Board of Trustees of the Council of Michigan Foundations with a Committee which would have a greater opportunity to perform a detailed review of financial information which would then be presented to the Board of Trustees in a condensed format by the Committee. �COUNCD... OF MICHIGAN FOUNDATIONS REQUESTED BUDGET ADJUSTMENTS The fiscal1994-95 budget was approved at the March 1, 1994 meeting of the Board ofTrustees. Mter six months of experience, the following revisions to the budget are proposed. Michigan CARES Project The Council of Michigan Foundations has agreed to undertake the Michigan CARES project, an embellishment to the community foundations project, and has received a grant from the Michigan Community Service Commission to fund the project A budget amendment is requested for the Michigan CARES project which will increase additional contributions by $252,000 as well as provide for an expenditure line for the same amount Management Services Revenue Management services revenue was estimated to be $210,000 at the time the budget was presented for approval to the Board. Management services are defmed under contract between the Council of Michigan Foundations and the Michigan Community Foundations' Youth Project Supporting Organization and include salaries and benefits; occupancy costs; telephone, supplies and publication costs; contracted professional services; meetings and travel, etc. Subsequent to the approval of the budget by the CMF Board of Trustees, the MCFYP Board developed and approved a detailed budget reflecting the costs associated with the activities of the supporting organization, clarifying the services and expenditures which were to be supported by MCFYP grant revenues. As a result, a budget amendment increasing management services revenue for general operations and management services purchased for MCFYP to $574,413 is requested to reflect this more refmed estimate of the amount of costs carried by CMF which will be incurred as a result of administering the MCFYP activities. Salaries and Benefits - (Increase $20,000) The Council of Michigan Foundations initiated an internship program internally and hired a student from the Grand Valley State Minority Business Education Center who is completing studies in accounting and public administration. A budget amendment of $7,000 is requested for this activity. In addition, the Council has experienced staff overtime which was not originally contemplated in the budget projection for fiScal1995 due to higher than anticipated member services. A budget amendment of $13,000 is requested to cover the additional costs associated with staff services to members. Occupancy Costs- Gncrease $10,000) Provision for expenses resulting from the acquisition of additional office space was not included in the proposed budget at the time the budget was presented and approved due to the tentative nature of the contemplated transaction at that time. Additional costs for occupancy such as building maintenance, property taxes, etc. were not provided for in the budget, consequently a budget amendment of $10,000 is requested. This reporting format is consistent with external reporting requirements. The budget amendments requested previously have been reflected in the financial report The following comments are based upon an analysis of detailed fmancial results. Balance Sheet This is a new financial report which is presented to inform you of the fmancial position of the Council of Michigan Foundations, Supporting Organizations and Endowment Funds as of September 30, 1994. Cash equivalents refer to the Woodward Money Market Funds that we maintain until cash is required to issue checks. Note that the Michigan Community Foundations' Youth Project has invested in U.S. Treasury securities designed to provide maximum investment security while yielding higher rates of return than money market funds. The securities are designed to mature at intervals in which grant payouts will be required. The William W. Allen Endowment Fund supports legislative efforts. The Russell G. Maw by Endowment Fund was established very recently to honor Dr. Mawby's contributions to philanthropy. The fund has grown substantially since September 30, 1994. Statements of Activitv and Changes in Fund Balances Revenues In general, revenues are in line with management's expectations. Timing differences in cash receipts between years provide the primary reason for variances. October was an especially strong month with receipts totaling $182,800 for the first three weeks of the month of which $77,000 represented annual conference registrations. Membership pledges of approximately $100,000 are currently outstanding. �---------- Revenue received by MCFYP includes the grant revenue for the MCFYP projects expected in fiscal 1995. Invesnnent income is strong and should provide higher yield in the last six months of the year due to the recent invesnnent of funds in U.S. Treasury securities. Fund raising for the Michigan AIDS Fund is strong and the trustees fully expect to meet this budget goal as the base of funders continues to expand. Expenditures General operating expenditures are being closely monitored. The following comments pertain to significant expenditure areas. The purchase of additional office space was made through the use of general operating fund balance. It should be noted that the invesnnent income generated by the challenge grant funds advanced to MCFYP is being used to replenish the fund balance, as was W.K. Kellogg Foundation's intent when it advanced the funds to MCFYP. As of September 30, 1994, the fund balance has been repaid $223,000. Remodeling and furnishing costs are estimated to total $70,000 which will be funded by various sources: specific provisions of the grants received by the Michigan Community Foundations' Youth Project Supporting Organization ($40,000), by fund balance for the telephone system which was approved as part of the capital expenditures budget in March, 1994 ($10,000), and by a membership contribution which has been approved ($20,000). The MCFYP and MAF expenditures and grants are generally in line with expectations and have been reviewed by the Supporting Organization Committee of the CMF Board of Trustees.
