Patterson Ranny Riecker Leonard W. Smith William s. White Improving Philanthropy Project - - Progress Report The committee met on Wednesday, March 23, 1988 at the W.K . Kellogg Foundation, at which time it reviewed the focus projects and initiated the following future steps: 1. Technical Assistance Directory The Michigan Nonprofit Resource Directory, published jointly by the Accounting Aid Soc iety of Detroit and the Council of Michigan Foundations, was received this month from the printe r and more than 300 copies have been sold to date. Although the edltion was two months behind schedule, we are pleased with the fin a l product and its sales record. Plans call for the management resource to be updated every three years. The Committee will continue to mo nitor the directory sales, but otherwise, considers this focus of the proj ect completed. 2. The Governor's Award After researching existing v olunteer recognition programs and writi ng a model proposal, the Committee evaluated the current and potential awards in light of the Council's priorities regarding quality control, allocation of resources, and conflict of interest. The Committee weighed what it felt to be contributions of distinction fo r CMF against what it perceived as the long- range impact of an additional v olunteer honor, and f e lt that it was NOT in the best interest of the Council to proceed with the development of a new Governor 's Award for Voluntary Contribution at this time. The Committee is, h oweve r, offe ring the Council's assistance to t he Greater Michigan Fo undati o n , should it wish to extend the part ic i pation or visibility of its existing Mich igan Week Volunteer Awards to a concept comparable to the President's Volunte er Awards. We are hopeful that GMF 's future vision will accommodate this concept. 3. The Academic Cente r The Committee s tud i ed the summary of the survey o f Michigan's higher educational institutions and concluded that although some activiti e s are being offered in the areas of philanthropy and vo lunteer i s m, no �Board Project Progress Report June 1, 1988 Page - 2 ful l y-developed cou rse or comprehensive program exists at any present location. The following areas o f interest to the Committee were identified: 1. 2. 3. 4. 5. Undergraduate Curriculum a. Volunteer service - - "for-credit" and "no n-credit" community and campus activities. b. General citizenship and leadership classes -- interdisciplinary study with a focus on nonprofit organizational activities. Graduate level study -- coursework and d egree programs for students and professionals interested in nonprofit administration. In- service Training -- continuing education programs for professional and citizen participants. Research Programs - - faculty and student projects. Technical Assistance -- services to apply academic resources to nonprofit activity problem- solving. The Committee directed its next efforts toward assessing the interest of nonprofit service and grant making organizations regarding educational opportunities in the areas of philanthropy and volunteerism. Surveys have been designed and are in the process of being evaluated and tested before being distributed to statewide organizations. It is anticipated that the results of these instruments will be helpful in assisting the Committee in its advocacy efforts with the educational institutions to encourage fu t ure developments in this area. 4. The Campus Compact Program A new focus area which the Committee is considering is a national program of the Educati on Commis sion of the States (ECS) which promotes a public service ethic among students. Susan Schwartz, ECS's Assistant Director of Campus Compact, visited Michigan in December and again May 26, 1988, to discuss strategies about launching a Michigan program with the Presidents of Albion and Michigan State . CMF was represented at the latter meeting by Dottie Johnson. As a result of these meetings, Presiden~ John DiBiaggio of Michigan State has agreed to have the office for a statewide Campus Compact on the MSU campus. Tentative plans call for building a coalition of at least five private and five public colleges and , universities to form the nucleus of a statewi de compact. The Kresge Foundation is willing to l oan one of its staff members, Debra Wallace, on a part-time basis to facilitate this effort should the Michigan Compact need her expertise. The Committee will be evaluating whether or not there is an appropriate role for CMF in supporting this program as an advocate between the University and the community it is trying to serv e . 5. Next Steps It is anticipated that the Committee will meet again in September to study the results of the nonprofit service and grant making organizations' surveys, and to direct future actions. Chief among them will be encouraging the State's institutions of higher education to offer training opportunities for nonprofits, and working with funders to be supportive of such opportunities, should they arise. Marshall III, ex-officio Information Systems Committee Report The committee met April 20, 1988 and took the following action: 1. The Michigan Foundation Directory, Edition VI is in progress. Foundations and corporations have been mailed the print-out sheet for updating and the survey of grantmaking form to complete. A typesetter has been chosen. For the first time, public charities have been asked to respond and will have a separate listing in the directory. Directory to be p~~lished in September 1988. Cost: pre-publication, Member $17, Non-member, $21; publication, Member, $19, Non-member, $23. 2. Logo/Letterhead The committee reviewed a new letterhead format using the CMF Logo. decision to be made August, 1988. 3. Final Videotapes from 14th and 15th Annual Conferences The "Grantmaking for Results" videotape is complete with an introduction and conclusion by Ranny Riecker. Mrs . Riecker is also providing the same for the second videotape, "A View from the Other Side." Judy Samelson volunteered to design a brochure for marketing both videotapes whic~ will be made available to CMF Members and the nonprofit community. 4. Foundation Center Regional Collections CMF continues its liasion with the nine librarians at Foundation Center Regional Collections. They receive the Memo to Members, "The Michigan Scene", Annual Conference mailings, and other timely information about the Council, foundations and corporations, and philanthropy in the state. Stevie Hertz continues as our volunteer contact from CMF. �5. Legislative Seminars Seminars with state of Michigan government/executive and legislative staff will be held in the future to educate government representatives about the contributions of foundations and corporations to the field of philanthropy. Using the Michigan Foundation Directory, it was felt that a further arena for presentation would be at state caucuses; i.e. talk about human service needs in the state and how foundations can help . 6. The Michigan Scene The tabloid is distributed to nearly 4,000 organizations in the s t ate and nation. John Allen, editor, continues to provide excellent coverage of CMF events and news stories on philanthropy in Michigan. Summer issue to be mailed July 5, 1988. 7. Michigan Corporate Matching Gift Programs A flyer that announced the book was distributed to nonprofits in the state as well as CMF Members. The book contains 60 corporations and foundations Two hundred fifty with matching gift programs, descriptions and sample forms. (250) copies of the book were printed with 5 copies remaining. 8. Other News The two reprints from the Michigan Foundation Di rectory, edition V; "Information for Seeking Foundation and Corporate Grants" - 7,500 distributed and "Survey of Michigan Philanthropy " - 3,000 distributed, continue their appeal with both the grantmaking and grantseeking community. Both are given free of charge to attendees at grantseeking seminars and at nonprofit organization meetings. 9. Proposal Book A book of proposals from Michigan foundations and corporations was assembled and distributed to the nine regional col l ections. There have been inquiries from other regional collections in the United States interested in purchasing the book . The committee is in the process of ascertaining whether the book may h~e a wider audience and whether CMF should publish t he book. The meeting was called to order at 10:00 a.m. by John E. Marshall III , Chairman. Trustees present in addition to Mr. Marshall were Leo J. Brennan, Jr.; Nicholas Gabriel; Judith S. Hooker; Gilbert Hudson ; Howard D. Kalleward; Mariam C. Noland; W. Calvin Patterson III; Leonard W. Smith; and Robert D. Sparks. Also present were Richard K. Rappleye, Treasurer; Jerry F. Coomes, Public Affairs Associates; Dorothy A. Johnson; Sandra G. Hussey; and Judy M. Carl, who recorded. Trustees absent were Herbert H. Dow, Edward J. Frey, Willard J. Hertz, Patricia B. Johnson, Ted L. Johnson, Donald A. Lindow, Carl F. Reitz, Ranny Riecker, William V. Weatherston and Peter M. Wege . Minutes Upon motion duly made, supported and unanimously carried, it was RESOLVED that the minutes of the November 4, 1987 meeting be approved. Treasurer's Report The financial statement of the nine-month period ending December 31, 1987 , a copy which is appended to these minutes, was presented by Richard K. Rappleye, Treasurer. Mr. Rappleye noted that the nine-month statement reports an opening cash balance on April 1, 1987 of $199,104 . 66 and closing cash b alance of $216,283. 6 5. The closing cash balance date on page 1 was c orrected from "09/30" to "12/31" to reflect the nine-month closing date. Mr . Rappleye explained the Schedule of Budgeted Ca sh Receipts and noted that General Budgeted Income was over budget primarily due to Major Conference Revenues. He referred to the notes on page 2 which deta ils the summary of Rev olving Funds Income, and explained that the Improving Philanthropy Fund, as a two-year project, will be transferred from a Special Project Fund to a Revolving Fund for FY 88-89. Mr. Rappleye noted that Budgeted Cash Disbursements are within budget, with rev enue exceeding expenses. He stated that CMF is well within budget with no anticipated problems . oi Mr. Rappleye next discussed the CMF/State of Michigan Energy Initiative Fund· financial report. He noted that grant expenditures totalled $300,166 through December 31, 1987, and explained all grants are to be expended by September, 1990 . Inv estment interest earned totalled $105,440.53. �-2- Upon motion duly made, supported and unanimously carried, it was RESOLVED that the Treas urer's report be accepted as presented. Nominating Committee John E. Marshall III, representing Donald A. Lindow, presented the Nominating Committee report. The Committee recommended Mariam C. Noland, · Executive Director, Community Foundation for. Southeastern Michigan, as Vice Chairman-Communi ty Foundations. Upon motion duly made, supported and unanimously carried, it was RESOLVED that the Vice Chairman nomination be accepted as presented. Mrs. Dorothy A. Johnson explained that William W. Allen's un-expired term would end on November 4, 1988, and because only one Board meeting would be held before that date, the Committee delayed the decision to fill the un-expired term. Mr. Marshall noted that CMF has received a $1,200 grant from the Allen Foundation in recognition of Mr . Allen's service with CMF . Mr. W. Calvin Patterson III and Robert D. Sparks shared their concern that the grant monies be used as a tribute to Mr. Allen. A discussion ensued and Mrs. Johnson noted that various ideas will be presented at the June, 1988 Board meeting. Mr. Gilbert Hudson suggested that a resolution to accept the gift and extend thanks to the Allen family be passed. Upon motion duly made, supported and unanimously carried, it was RESOLVED that the Allen Foundation grant in honor of William W. Allen be recognized at the June 9, 1988 Board of Trustees/CMF Northern Michigan Members dinner. Whitney Foundation John and Elizabeth Whitely Foundation �-3- Mr. Hudson noted that after the Membership Committee Report was prepared, the following foundation joined CMF bringing total membership to 228 foundations, banks, and corporate giving programs: John E. and Elizabeth Whitely Foundation Mr. Hudson noted the Committee will be reviewing the progress of the Membership Campaign and will make further recommendations in solicting new foundation and corporate giving programs. Upon motion duly made, supported and unanimously carried, it was RESOLVED that the foundations and corporate giving program be accepted as Members. Government Relations Committee Mrs. Judith S. Hooker, Chairman , reported on the activity of the Committee. She presented background information on the state income tax credit for contributions to community foundations, noting the legislation passed the Senate in November, 1987. She thanked Board members for their help and letters of support. Mrs. Hooker introduced Jerry Coomes, Chairman, Public Affairs Associates, who highlighted the strategy being taken to pass the community foundation tax credit bill in the House. Mr. Coomes shared information from his meetings. Following Board discussion, Mrs. Hooker thanked Mr . Coomes for his presentation and assistance on the tax credit legislation. Mrs. Hooker reported that SB-19, Limited Liabil i ty of Volunteer Directors Insurance, became effective January 1, 1988. CMF issued a packet of information on how to implement the bill to Members and nonprofit organizations with the assistance of Duane L. Tarnacki, Clark, Klein and Beaumont. She noted that a question has arisen on how the IRS might interpret the bylaw provision as it related to acts of self-dealing for private foundations. ~s. Hooker indicated that CMF, as a pub~ic charity, cannot seek a p rivate letter ruling on behalf of a private foundation . However, she explained that Mr. Rappleye had been helpful in working with Bodman Langley-Detroit to submit a request on behalf of a client. CMF wi ll keep Members informed of the status of the private letter ruling. Mrs. Hooker explained the Government Relations Committee will be reviewing CMF's Legislative Goal Statement for necessary changes as a result of recent Tax Acts, and a revised s tatemen t will be presented at the June Board of Trustees meeting. Membership Services Committee Mr. Howard D. Kalleward, Chairman, presented the Membership Services Committee report, a copy of which is appended to these minutes. He highlighted the dates and locations of the three Spring Schools, and expressed �-4- his pleasure that the John E. Fetzer Foundation agreed to host a Visition on March 16, 1988. Mr. Kalleward asked Mr. Leonard Smith to share information on the Council on Foundations' Children and Youth Affinity Group. Mr. Smith explained that CMF and the Skillman Foundation will be hosting the third annual meeting of the Affinity group, October 3-5, 1988 at the Omni Hotel, Detroit, with attendance expected at 60-70 participants. CMF will provide assistance. Mr. Kalleward announced that Jeri Fischer, Staff Associate, is coordinating a survey of CMF Members interested in increasing their benefits packet , with approximately 70 members expressing interest to date. He a lso reported 200 copies of the Michigan Corporate Matching Gift Programs manual have been sold, with an update scheduled to be released in late summer. As the Council on Foundations' Management Survey is now being updated, Mr. Kalleward asked that CMF membership be encouraged to complete the benefit and compensation information questionnaire. If enough respondents, CMF will receive a break-out for Michigan. Upon motion duly made , supported and unanimously carried, it was RESOLVED that the Membership Services Committee report be accepted as presented. 15th Annual Conference Ms. Sandra G. Hussey, Member Services Director , presented the 15th Annual Conference report, a copy of which is appended to these minutes. She discussed the Conference financial statement, noting revenue totalled $ 110 ,626.11 and disbursements $105,123.97, with $5,000 being alloc ated to the General Fund . Ms. Hussey noted Conference participation has increased 35~ over a five - year period, 15~ over last year. Evaluation forms were completed by 83 participants, with the overall concensus being the Conference was " excellent" in regards to theme, hotel and events; program sessions "excellent" to }' satisfactory." Mrs. Dorothy A. Johnson suggested that the Board pass a Resolution in recognition of Ms. Sandra G. Husse y for her outstanding work in making the 15 th Annual Conference a success. Upon a motion duly made, supported and unanimously carried, it was RESOLVED that Sandra G. Hussey, CMF Member Services Director, be recognized for her outstanding coordination of the 15th Annual Conference. 16th Annual Conference Dorothy A. Johnson, reported for Donald A. Lindow, Program Chairman. The 16th Annual Conference will be held November 2-4, 1988 at the Westin Hotel, Detroit . . Ses sion topics which were discussed during the first meeting of the 16th Annual Conference Program Committee held February 11 , 1988 were shared, and s he noted the Host Committee met Tuesday, February 9 , 1988 with 20 - 25 members in attendance. The Confe rence theme is "Tomorrow's Needs -Today 's Opportunities." A listing of Host and Program committee members is appended to these minutes. �-5- Improving Philanthropy Committee Mr. W. Calvin Patterson III, reporting for Russell G. Mawby, Chairman, presented the Improving Philanthropy Committee report, a copy of which is appended to these minutes. Mr. Patterson noted three focus areas targeted by the Committee, specifically: Technical Assistance Directory, Governor's Award, and Academic Center. He reported that the first edition of the Technical Assistance Directory will be published this spring with future editions publi shed every three years. The Governor's Award subcommittee met with representatives from the Greater Michigan Foundation and is researching several private organizations; volunteer awa rd programs in order .to avoid duplicating existing recognition efforts. He noted a survey is underway with state colleges and universities to evaluate the extent of courses and educational opportunities being offered in the field of volunteerism. Mrs. Linda Patterson, Program Associate, has conducted personal interviews with all Improv ing Philanthropy committee members to assess their philosophies in the focus areas, and will be presenting survey results to the Committee prior to their March 23 , 1988 meeting. Community Foundation Strategy Team Ms. Mariam C. Noland, Vice Chairman-Communi ty Foundations, representing Ted L. Johnson, Chairman, presented the Community Foundation Strategy Team report, a copy of which is appended to these minutes. Ms. Noland gave background information on the formation of the Strategy Team, and noted two proposals have been developed to encourage educational opportunities and community foundation development . Ms. Noland stressed existing CMF services to Michigan community foundations would continue under the core budget; the CMF President would continue to be responsible in the early stages for working with communities considering the formation of a community foundation; and neither grant proposal is ref lected in the 1988-89 CMF operating budget. She presented a summary of both proposals and requested Board approval for the concept of the proposals. Mr. Marshall explained that because of the W.K . Kellogg Foundation's application deadline, the Youth Initiative proposal was reviewed by a quorum on January 19, ;1988 and submitted. A copy of the Kellogg proposal was presented for Board perusal, and Mrs. Johnson responded to questions concerning the match, budget, personnel qualifications and job duties. Upon motion duly made, supported and unanimously carried, it was RESOLVED the Executive Committee action to submit the W.K. Kellogg proposal be endorsed. Executive Committee Report Mrs. Dorothy A. Johnson, President, presented the 1987 - 88 Plan of Work Results and 1988-89 Plan of Work, copies of which are appended to these minutes . She noted the Executive Committee reviewed the work results at their �L -6- January 19, 1988 meeting, and she shared highlights of the year, specifically noting that CMF: 1) gained 23 new members; 2) began serving as fiscal agent for State of Michigan/Community Foundation Energy Initiative; 3) had record attendances at Spring Schools and Annual Conference; 4) assisted in the creation of 3 community foundations; 5) facilitated the Detroit Free Press Editorial Board meeting; 6) implemented the Strategic Plan, which was well-received; 7) held five charitable giving seminars; and 8) launched the improving philanthropy project. Mrs. Johnson gave an overview of the 1988-89 Plan of Work, noting new initiatives and current projects extending into the 1988-89 fiscal year. Responding to a question by W. Calvin Patterson III, Mr. Marshall shared several Executive Committee recommendations, including increased member services, health benefits, pension plans , and the W.K. Kellogg proposal. Mr. Patterson expressed his concern regarding need of increased services to corporate members. A discussion of private, corporate and community foundation services ensued. The Executive Committee will report to the Board of Trustees progress to date on the four-year strategic plan and Mrs. Johnson will lead a discussion on future plans, including increased servi ces to corporations. Rappleye, Treasurer, discussed the proposed 1988 - 89 Operating Budget , a copy of which is appended to these minutes, and noted the Executive Committee r e v iewed an.d approved the bud get during their January meeting . Total Revenue proposed is $332,400, an increase of $48,240 over last year's budg et due to an expected increase of Member Contributions. Total Disbursements proposed is $332,400 . He explained the increase in Salaries and Benefits as reflecting t he addition of major medical, hospitalization and long-term disability benefits. Mr. Rappleye requested the Board approval of the Revolving Funds for 1988-89 . He explained a portion of the budge t is to facilitate the community foundation tax credit, and he further expl ained that, as it i s not poss i b l e at this time to determine if and when the project will be comple ted, the passage of this budget item should be delayed . Rappleye, has been established to determine future staffing needs and budgetary requirements for CMF. Recommendations will be presented following the Board of Trustees discussion in June of future programming needs and goals. Old Business Mr. Marshall noted the June, 1988 Board of Trustees meeting agenda will include a report on the State of Michigan/Community Foundation Energy Initiative. New Business Ms . Sandra G. Hussey, Member Services Director, presented a recommendation that the 1990 annual conference site in Kalamazoo be changed to the Lansing Radisson Hotel. She explained the Kalamazoo Hilton is filing bankruptcy and the needed rennovation may not be completed in time for the conference. Mr. Marshall shared information on the Regional Association of Grantmakers meeting, which he and Mrs. Johnson attended February 3 - 5, 1988. Mrs. Johnson, representing Mr. Herbert H. A committee was appointed, under the chairmanship of Gilbert Hudson, President of the Hudson-Webber Foundation. They identified eleven goals and outlined strategies for pursuing them. In the years since, much progress has been made. At the same time as these new initiatives have begun to bear fruit, the level and quality of existing CMF services and programs have been maintained and enhanced . The present Progress Report addresses each of the eleven goals originally identified and details what has been accomplished to date in reaching them. Many of these accomplishments are well known to the CMF Board and to others, but perhaps i t is not always clear how they grow from and fulfill the vision of the Strategic Planning Committee. This Report is a review of progress made , and also an attempt to draw together the many components of the Plan first envisioned and articulated in 1984 . Each of the eleven goals is restated, with information following on what has so far been accomplished to fulfill these goals . For purposes of this report, the Executive Committee has graded each goal as follows: (1) - Fine progress; (2) - On-going; (3) - Needs work . GOAL 1: To increase private and community foundation and corporate grantmaking resources in the state of Michigan. Private Foundations - (1) In 1986 the "Increasing Philanthropy" committee was formed. In an effort to increase priv ate and community foundation and corporate grantmaking resources in Michigan, Mr. Duane L. Tarnacki, attorney, Clark, Klein & Beaumont, prepared and published Establishing A Charitable Foundation in Michigan . The committee sponsored five charitable giving seminars across the state. Over 300 attorneys, tax accountants, estate planners and investment counselors attended the seminar series. Two updates of Establishing a Charitable Foundation in Michigan have been published and distributed, with two updates to follow next year. Over 400 copies of the book hav e been sold . �-2- In the past few years, articles have appeared in the Probate & Estate Planning Section of the Michigan Bar Association and mailing lists have been secured from the Taxation Section of the State Bar Association. Since the inception of the program, the number of private foundations has increased 10% to over 900 Michigan private foundations, and gifts to communityfoundations have increased 20%. While many factors outside the control of CMF contribute to increased philanthropy -- economy, tax ledgislation, need -- CMF can take some pride in the increase. There is no way to accurately measure the number of new corporate giving programs, however, if increased number of inquiries is any guide, some progress has been made. Community Foundations - (1) Technical assistance has been given to Brighton, Cadillac, Downriver Community Conference, Farmington, Houghton/Hancock, Lansing, Ludington, Manistee and Marquette. As a result of this effort, Lansing , Ludington and Manistee have since established community foundations. The State of Michigan Energy Initiative grant of $3 million has enabled 14 community foundations to increase their resources by challenge grants. CMF has established a fund for donors who wish to contribute to the energy match . Consumers Power Company made the first gift. The CMF Community Foundation Strategy Team worked to strengthen Michigan community foundations in cooperation with two private foundations . CMF has received a $150,000 grant from the Charles Stewart Mott Foundation to provide technical assistance to Michigan community foundations beginning July 1 , 1988 - June 30 , 1991. CMF has received a $2,060,000 grant from the W,K, Kellogg Foundation to encourage youth development in local communities throughout the state while strengthening community foundation leadership and grantmaking capacity. The 1988-1991 program will provide $2 million in challenge grant funds for Michigan community foundations. Corporate Grantmaking - (3) The Michigan Foundation Directory has a section documenting corporate grantmaking activity . In continuing to meet the needs of Corporate Grantmakers, meetings have been held with the Michigan State Chamber of Commerce and local Chambers of Commerc e . For the past three years, the Michigan State Chamber of Comme r ce and the Gr eater Detroit Chamber of Commerce, in cooperation with CMF, have cosponsored seminars for corporate grantmakers. Over 250 c orporate officers, CEO's and staff have participated. �l -3- GOAL 2: Launch an aggressive membership campaign. - (1) Since the inception of the Strategic Plan in 1985, CMF membership has increased by 19%. Fifteen corporations were contacted by the Membership Committee members in 1987. CMF has regularly contacted by phone and mail all community foundations in the state not currently members . GOAL 3: Expand services to corporate grantmakers. - (3) The fourth annual corporate grantmaker's workshop was held May 5, 1988 at the St . Regis Hotel, Detroit. This workshop and the previous workshops have been cosponsored by the Michigan State Chamber of Commerce and the Greater Detroit Chamber of Commerce, in cooperation with the Council of Michigan Foundations. Attendance ranges from 65-90 corporate officers, CEO's, and staff. Topics have focused on "The Value of Giving," "The Business of Grantmaking," "Trends and Issues/Management and Process," and "Linking Your Corporate Grantmaking Strategices to State and Community Plans." A Michigan Corporate Matching Gift Programs manual has been published. More than 200 copies have been sold to date. The Michigan State Chamber of Commerce refers corporations interested in forming a charitable program to CMF . GOAL 4: Expand services to community foundations. - (1) Thirty-one community foundations have received technical assistance from CMF in the last three years. Bi - monthly community foundation memos to members continue to be circulated, reporting on the activities of all Member community foundations. Over seventy-five community foundation representatives met with the CMF Board of Trustees on June 5, 1986, in Grand Haven to discuss community foundation development . �- 4June 25/26, 1987 a community foundation workshop was held on administrative and grantmaking concerns shared by CMF community foundation members. Seventeen Member foundations were represented. Two sessions are held each year at the annual conference, focusing on issues relevant to the community foundation audience. The Community Foundation Scholarship Program was initiated to encourage foundations with assets under $10 million to take part in educational opportunities offered by CMF and COF at a reduced fee schedule. Over 120 trustees took advantage of the program at the 14th and 15th CMF annual conference, which represents 25~ more participation from community foundation trustees than in previous years. A community foundation manual has been published by the Council on Foundations with excerpts from CMF and other community foundations around the U.S . Updates have been supplied from CMF upon request. The State of Michigan Energy Initiative grant of $3 million helped 14 community foundations to increase their assets by challenge grants. Grant proposals have been approved by the W.K. Kellogg Foundation and the Charles Stewart Mott Foundation for a community foundation youth initiative program and a technical assistance program respectively . Community foundations have shared visitation programs with private and corporate foundations in Midland, Kalamazoo, Grand Rapids and Battle Creek . GOAL 5: Expand services to Trustees within current programming. - (2) Each year the annual CMF conference has specific sessions for Trustees. CMF sponsors a series of Spring Schools each year on topics of interest to officers, trustees, and staff of private foundations, community foundations, banks , and corporations and corporate giving foundations. Over 50 CMF members attend each of our Spring School sessions. CMF facilitates the De troit Area Grantmakers' monthly meetings. Topics each month focus on issues concerning the Detroit area. Approximately 10 trustees join the group of 30-40 each month. GOAL 6: Services to unstaffed foundations should be emphasized. - (2) Consultations with this group from the CMF office have increased averaging twenty calls per week. Unstaffed foundations rely heavily on Memo to Members, Conference and workshops, and telephone and in- person consultations. �l_ -5GOAL 7: GRANTEE ISSUES - Continue cooperation with grantees as long as i t is in CMF Member's best interest and does not commit much CMF time and resources. - ( 2 ) CMF represents Members with grantee organizations as it is useful for all partieis. CMF continues to cosponsor seminars with such organizations as the Michigan League for Human Services , the Accounting Aid Society of Detroit , the Midwest Museums Conference, the Michigan Community Action Agency, and the Michigan Hispanic Conference as time , circumstances and resources dictate. Information packets, including a directory brochure and a copy of "Survey and Information for Seeking Foundation and Corporate Grants," are distributed to participants at each of these seminars. More than 60 Members have addressed grantsmanship topics at CMF cosponsored workshops. Video tapes are offered on a rental or purchase basis for many of these seminars. The Sixth Edition of the Michigan Foundati on Directory will be published and ready for release in early fall, 1988. Sales of previous Editions I-V have encouraged expansion in each of the following editions. While CMF cannot claim "credit," there is general agreement among grantmakers that the quality and timeliness of proposals has increased . GOAL 8: Current program services are to be continued and promotion for all services should be increased. - (1) CMF program services continue, as stated in Plan of Work, while each year new and expanded ideas are added. As services are expanded to Members and other nonprofit organizations , the need for more professional promotional materials has also increased. Mr. Robert E. Hencey, Director of Communication s & Dissemination , W.K. Kellogg Foundation has designed our conference materials in the past and will continue to do so in the future. We have also used his expertise on the design of our directory, survey and other promotional materials. His help has substantially improved the professionalis m of CMF's image. CMF publishes an annual report yearly . The 1984-85 report featured a new format which included expanded information, photographs and dialogue. Each subsequent report has reinforced this concept. GOAL 9: Establish "Advisory Cabinet" of retired CMF Board. - (1) The function of the Advisory Cabinet is to recognize the members' service and to learn from their experiences how CMF c a n continue to best serve the field. Since the formation of the Advisory Cabinet in 1984, over 12 members have met each year at the Annual Conference to give guidance and make suggestions concerning the future of CMF. GOAL 10: Consider suggested "standards of practice". - (1) At the June, 1986 Board of Trustees meeting, the Board of Trustees accepted the Membership Committee's recommendatio n not to adopt a formal "standa rds of practice" but instead circu late materials on good foundation practice. �-6- Goal 1 1: Change name of Council of Michigan Foundations as Board of Trustees considers timely. - (1) At the June 14 , 1985 Board of Trustees meeting , the Boar d voted to continue with the current name for the present but to use with "Council of Michigan Foundations" the further explanation, "an association of foundations and corporations making grants for charitable purposes . Johnson Council of Michigan Foundations Program Fund - Proposed Policy Background The Council of Michigan Foundations (CMF) was granted $2 million for a community foundation youth program by the W.K. Kellogg Foundation. The funds are to be used to provide challenge grants for Michigan community foundations under guidelines approved by the CMF Board of Trustees and described elsewhere in the November 2, 1988 board materials, between 1988 - 1991. In addition, CMF received $60,000 towards administrative expenses for the three-year period. The W.K. Kellogg Foundation has made the total payment of $2,060,000 on June 10, 1988 and September 6, 1988 with the condition that the interest earned be allocated as follows: 1. Payment for expenses associated with administration of community foundation program. A three-year administrative budget was submitted along with the grant request. The W.K. Kellogg Foundation is interested in having CMF use the interest earned to take advantage of special opportunities associated with the grant (additional training, scholarships, additional publications, etc.). 2. Program Fund. A fund will be established with the additional interest earned to enhance CMF programs, particularly for, but not limited to, annual conference plenary speakers. Program Fund It is proposed that CMF operate the fund under the following guidelines: -Funds will be invested in government securities, commercial paper and certificates of deposit. Funds will not be invested in equity market. -CMF Board of Trustees will approve Community Foundation Youth Initiative budget annually, as part of regular budget process. -Interest earned will be transferred annually from Community Foundation Youth Program to Program Fund. �-Program Fund will be invested in a separate account. -All expenditures from Program Fund will be approved by the Board of Trustees or Executive Committee. -Both interest earned and principal may be used as deemed desirable. -Funds may be used to: 1. Supplement or pay for expenses associated with plenary speakers for annual conference. Traditionally CMF has not paid honorariums but relied on speaker interest in addressing grantmakers and/or the voluntary contributions of CMF Members to pay honoraniums and expenses. With the increased level of expectation of conferees, it is important for the many purposes served by CMF that a critical mass of grantmakers meet, at least annually, to discuss mutual interests and concerns. Grantmaking is enhanced and hopefully the quality of life is improved for Michigan citizens. Recognized plenary speakers addressing timely subjects increase participation. Confirmation of these speakers at an early date is also important. CMF will continue to rely on Members who generously assume speaker expenses. 2. jlf/725B Enhance other CMF one-time programming efforts as deemed desirable by Board of Trustees or Executive Committee. A project, which many qualify in this arena is the redesigning of CMF printed materials including letterhead, publication covers and annual report. A coordinated "corporate" look using simple and inexpensive materials is desirable. The meeting was called to order at 2: 00 p.m. by Carl F. Reitz, Chairman. Committee members present in addition to Mr. Reitz were Ted L. Johnson, Richard K. Rappleye and Dorothy A. Johnson, serving in an ex-officio capacity. Members absent were Thomas G. Herbert, Nicholas M. Gabriel, and John E. Marshall I II , ex-officio member. Also present was Susan E. Dibble, Manager, Ernst & Whinney. 1987 - 88 Audited Financial Statements The audited financial statements for the twelve-month period ending March 31, 1988, a copy of which is appended to these minutes, were presented and reviewed by Susan E. Dibble, Manager, Ern st & Whinney. Mr. Reitz noted that this is the first year the Council of Michigan Foundations has engaged an outside auditing firm to p repare the statements. Previously, the statements were audited by volunteer CMF Treasurer, Thomas W. Herbert. Mr. Reitz reminded the Committee that Ernst & Whinney had been selected as CMF auditors after a competitive bid process . Their fee for 19 87 - 88 amounted to $3,000 for the general audit and $1,000 for the State of Michigan Community Foundation Energy Initiative audit. Ms. Dibble noted that the year-end statements were prepared on the accrual basis, whereas the quarterly statements as of June 30, Septembe r 30 and December 31 were prepared on a cash basis . The books will continue to be prepared and reported on a cash basis, with year-end s tatements reported on an accrual basis per standard accounting practices for nonprofit organizations. Mr. Rappleye noted the IRS 990 is reported on a cash basis. Ms. Dibble noted that the opinion letter was clean "except for the change, with which we concur, in the method of recognizing revenue of restricted funds as described in Note A." She noted that to accurately reflect the occupancy cost, the in- kind contribution of $20,000 from the Loutit Foundation and the Grand Haven Area Community Foundation, Inc. should be accounted for as a contribution and as an occupancy expense. The Committee discussed the accounting of the State of Michigan Community Foundation Energy Initiative $3 million grant as described in Note C. Sub-totals are given to reflect the operating and program cost of the organization separate from the energy grant for interested individuals. �Upon motion duly made, supported and unanimously carried, it was RESOLVED that the 1987-88 fin a nci a l statement be recommended for approval to the Board of Trustee. Functional Accounting Ms . Dibble addressed with the Committee the merits of using functional accounting. She indicated that accounting s tandards strongly suggest the use of funct i onal accounting for nonpro fi t organizations . The Committee discussed the l ong- standing policy o f the Board of Trustees not to al l ocate core costs -- compensation, occupancy, and associated e xpenses . It was also noted that the Annual Conference registrat ion fee did not take into account staff time, as it was Board pol i cy to encourage the greatest attendance, and keep cost at a minimum. The Board assumes the contribution schedule will take care of conference staff compensation and related expenses . Mr . Rappleye noted that the May , 1988 i ssue of The Journal of Accountancy included an article on functional accounting noting that the , issue is to balance the benefits with the complexity and admi nistrative burden. The Audit Committee agreed to address thi s issue agai n f ollowing receipt of the Management Letter whi ch would note this issue. Investments The Committee discussed investment procedures as determined by t he investment pol i cy established by the Board. Currently all investments must �pe in interest bearing accounts. Abbit Management President, Robert Risselade, who also serves on the CMF Advi.sory Cabinet, invests the funds in consultation with the CMF President. To date no fees have been charged. The Committee asked that a report on the investments be made part of the regular board report. Other Business The Audit Committee agreed to talk with Ernst & Whinney about the 1988-89 audit, obtaining costs in preparation for a recommendatio n to the November 2, 1988 Board of Trustees meeting . The Committee will review the Management Letter by mail and phone, and will schedule a meeting as appropriate. Mrs. Johnson noted the managment letter wil l address three issues: functional accounting, maintaining accurate fixed asset schedules and signing board minutes. Our review d id not disclose any conditions which we consider t o be material weaknesses. We have, however, developed several recommendati ons , of a less significant nature, which we bel i eve should be instituted to i mp r ove the Council's system of accounting and recordkeeping." I. Accounting Classifications Ernst & Whinney "Currently, the Council is reporting its costs by natural classifications rather than functional classifications. According to the Financial Accounting Standards Board Statement of Position 78-10, "Accounting Principles and Reporting Practi ces for Certain Nonprofit Organiz ations ," organizations receiving signi fi cant support i n the form of contributions from the general public should report the costs of providing the o r ganization's service activiti es and suppo rting servi ces on a functional basis in t h e statement of act i vity. This includes allocating costs that apply to more than one function (e.g. , salaries), to the specific funct i on to whi ch it relates (e.g ., Annual Conference) . We strongly encourage the Council to co.nside r adopting this method of accounting, at least for financial reporting purposes." Management Response The following board approved accounting policies are in ef f ect at this time: - All direct costs (printing, supplies, telephone) are charged to individual projects, (Conference, I mproving Philanthropy, Community Foundation Energy Initiative, etc.) - All salary cost attributable to special projects; for example, (Improving Philanthropy, Community Foundation Energy,) a re charged to individual projects. Other salary costs (Core Staff--President, Membership Servi ces Director, Staff Associate , Office Manager), and rent is a ssumed in operations budget. Current board policy di ctates that all costs necessary to maintain core staff and the office are to be · covered by membership contr ibutions and NOT subject t o special purpose funding. �This policy most directly impacts the Annual Conference. If staff and space costs were charged to the Conference, the tegistration fee would need to be substantially increased, discouraging attendance by many corporate and foundation grantmakers. The Annual Conference has historically been the most significant program activity primarily because of geography and the fact that the CMF Conference attracts a large number of trustees . After thorough discussion, management and the Audit Committee recommends continuing the present policy . II . Fixed Asset Lapse Schedules Ernst & Whinney "In auditing fixed assets , we noted that the fixed assets lapse schedules were not updated for additions and disposals. We also noted that the schedules were prepared manually . To ensure that the financial statements accurately reflect the fixed asset balance and related depreciation, we recommend that fixed assets lapse schedules be maintained on a computer spreadsheet and that the lapse schedules, as well as the trial balance, be updated for additions, disposal s and depreciation on a monthly basis. We also suggest that a limit (e.g., $500) be set for capitalizing purchases, so that items under t hat limit are expensed. This would eliminate unnecessary recordkeeping." Strategy team members (Lucy Allen, Jack Hopkins, Dottie Johnson, Pat Johnson, Ted Johnson, Mariam Noland) wrote two proposals, one to the W.K . Kellogg Foundation and one to the C.S. Mott Foundation, to meet the twin goals of building community foundations and increasing t he experiences of youth in volunteerism and philanthropy . The Council of Foundations project occurred at the same time, providing the opportunity to research community foundations. The grants are: W.K. Kellogg Foundation, $2 million to be distributed to community foundations on a 2:1 match (3 years); Mott Technical Assistance, providing $150,000 for support to foundations (3 years) ; and $18,000 from the Council on Foundations for research in Indiana, Michigan, and Ohio (1 year). The projects began July 1, 1988 with the hiring of Kathy Agard as program director. Kathy came to the Council from Hackley Hospi tal where she was Director of Planning and Marketing. In that role she had responsibility for the hospital's planning, marketing, community relations , volunteer and education departments. Prior to working at Hackley she spent ten years in Planned Parenthood, her last position as Executive Director of the Philadelphia affiliate. YOUTH PROJECT The project kicked-off with a meeting on Ju l y 28 and 29, 1988. Nineteen community foundations attended. Each foundati on received two notebooks describing the project, the process of application and examples. After excellent questions and comments by the foundations, an edited and final version was distributed in early August. An Advisory Committee was constituted for the purpose o f awarding the project dollars and offering advice to t he foundations. Members of the committee are: Gordon Berg President Emeritus, Foundation for the Caroli nas Ted Johnson President Emeritus, The Fremont Foundation Immediate Past Chairman, Council of Michigan Foundations Jane Johnson Vice - Pr esi dent, Planned Parenthood Federation of America Marissa Ruggles Senior Honors Student, Grand Valley State University �Three community foundations: the Community Foundation of Greater Flint, the Greater Battle Creek Community Foundation, and the Community Foundation for Southeastern Michigan applied for $100,000 apiece on the October 3, 1988 deadline. The Advisory Committee recommends full funding of all three projects . As of mid-October we have received four f urther letters of interest requesting $100,000 apiece. All letters of intere st are due January 1, 1989. At that time we will know more clearly the depth of interest and timing of the foundations' campaigns. Both the 4-H organization and the local K-12 foundations have expressed active interest in becoming involved with the project. Support materials have been provided each community foundation in two follow-up mailings. These materials covered issues related to youth development, examples of successful youth projects, sample memos fo r Board members and overheads explaining the project, and "boiler plate" brochures that could be edited for local use. Action Required: The following community foundations have submitted formal grant applications for the Michigan Community Foundation Youth Project: Community Foundation of Greater Fl int Community Foundation for Southeastern Michigan Greater Battle Creek Foundation $100,000 $100,000 $100,000 The Advisory Committee met on October 18, 1988 and reviewed each request. The applications conform with all of the project crite ria. Advisory Committee recommends approval of all three projects. The The interest continues to build in the project as the Boards of the community foundations meet this fa ll. TECHNI CAL ASSISTANCE CONSULTATION The Program Director has visited twelve of the community foundations and will visit a nother s ix before the first of the year . Strategic planning retreats and special meetings have been scheduled for five community foundations. Follow-up to the Council on Foundations on-site consulting program is being plannned in two foundations. Two foundations are planning for the use of consultants in the spring to assist their asset development campaigns. Five year charts of asset growth and "grants made" growth have been developed for each foundation. This data provides a baseline for assessing the aggregate growth in the state, and allows for comparision in growth rates. A "case study" has been written on each foundation describing the current status of the organization, their perceived needs, and recommendations for helping them de v elop. �Research for the "Small Communities" study provided excellent information for d e termining common needs, and the current status of the foundations. Needs have been colated into two categories; 1) those related to the organization (for example how to fund-raise), and 2) those related to the community (for example, how to participate in economic renewal). Former spring school topics were researched and the Counci l on Foundations' Competency Manual used to begin the development of training, consultation and materials to meet community foundation needs. A map of the State of Mi chigan has been color coded to indicate the ov er-laps, gaps, and strength of the community foundations. This will be used to analyze p otential conflicts, cooperative arrangements and opportunities for growth. LIBRARY RESOURCES A masters prepared woman is working on a part-time basis to log and cross-index all of the Council's holdings. She is annotating each source and a bibliography should be available by spring, 1989 . A complete bibliography on selected areas will be available by January, 1989. We are inves tigating a joint venture with the Cooperative Extension Serv ice to use their state computer network to go "on-line". We are, also, looking into merging our bibliography with the Council on Foundations, Independent Sector, and the Foundation Center. SCHOLARSHIPS Scholarship guidelines have been drawn up for the review of the Mott Advisory Team (the former Strategy Team that developed the grants). In 19 88 -89 we have $4,000 to use to help the foundations. NEWSLETTER FILLER Each community foundatio n received a packet of material to be of use as background and newsletter filler. The next mailing will be out in January. COMMON NEEDS Fiscal intermediaries were identified in the grant as the first area of activity for common effort. Estate planning attorneys and certified public accountants are the fir st targets . The professiona l journals, continuing education requirements, graduate programs and membership organizations have been identified. The edito r of the Michi gan Estate Planning Attorney's journal will be co-author ing an article with Mariam Noland of the Community Foundation for Southeastern Michigan, for the Michigan Estate Planning Attorney's Journal. The topic will be community foundations. �Other common needs have been identified as part of the consultation process . Needs identified include assistance with planned giving, computerization, targeted asset development and knowing more about how to assist in community economic development. "SMALL COMMUNITIES GREAT COMMUNITY FOUNDATIONS" The Council on Foundations research project on the success factors of community foundations in small communities is scheduled to be completed in December . Foundations in Indiana, Michigan, and Ohio were surveyed with fifteen selected for more indepth study by Senior Researcher Eugene Struckhoff. Return rates have been excellent. (In over of 60%) Information from the surv eys has been categorized and data from the survey, along with demographic data is being analyzed by the Evaluation Center of Western Michigan University. Patterson Ranny Riecker Leonard W. Smith William S. White RE: IMPROVING PHILANTHROPY PROJECT - PROGRESS REPORT The committee met on Monday, September 26, 198 8, at the W. K. Kel logg Foundat ion, at which time it reviewed the project's focus areas and directed the following future steps: 1. Michigan Nonprofit Resource Directory The Council of Mi chigan Foundations granted the Accounting Aid Society of Detroit $10,000 for the production costs of a directory listing the various individuals and associations within the state that provide training and services to nonprofit organizations. Promotional brochures were des igned and distributed, and the Resource Directory was published jointly by the Accounting Aid Society and CMF in June 1988; to date 450 copies have been sold. All CMF Board Members have received a copy. The Improving Philantrhopy Committee is pleased with the quality of the final product and is working with the Accounting Aid Society to devise marketing strategies. 2. Recognition Award After researching existing volunteer recognitio n programs, the committee evaluated the current and potential awards in light of the Council's priorities regarding encouragement of volunteerism , impact, and dup lication of effort. The Committee weighed potential CMF contributions against what it perceived as the long range impact of an additional volunteer hono r and felt that it was not in the best interests of the Council, or o f the state's voluntary sector, to proceed with the development o f a new recognition award for voluntary c ontribution at this time. The Greater Michigan Foundation has for many yea rs administered the Michigan Week Volunteer Awards. The Committee has offered the Greater Michigan Foundation encouragement to extend the vis ibility of these awa rds. Although no assistance has �Board Project Progress Report October 18, 1988 Page -2- been requested to date, Linda Patterson has been ivited to be a member of the judging committee for next year's awards . This may lead to further interaction in the future . 3. Educational Programs In addition to researching the issue of educational support for philanthropy and volunteerism, the Committe has conducted three surveys in an attempt to identify what current educational programs relate t o philanthropy and volunteerism; wha t training and educational needs exist for nonprofit service providers; and what present and potential resources are available to support educational programs in the areas of citizenship responsibility and nonprofit management skills. The executive and statistical summaries of the surveys, showed that: a. Nonprofit service providers indicated a strong need and interest in this area; b. Grantmakers showed an interest in receiving more info rmation about the issue, and some willingness to do more in the area; and c. Educators were relatively u ninformed about both the national issue and the local need. The Committee believed that it was appropriate for CMF to take further positive steps with regard to this issue. A working paper is being developed which addresses the issue and d i gests the results of the surveys. At a meeting on Wednesday, November 2, 1988, the Committee plans to develop a strategy f or communicating this information to users, funders, and p ro v iders wi th potenti a l . Linda Patterson attende~ a meeting on September 13, 1 988 to discuss with representatives from Walsh College the ir plans to offer a nonprofit management certificate program. The Committee shared our background and developmental materials with Walsh College as a test for whether or not the materials might be useful ; they were received with thanks . The Committee has decided that it is important to be encouraging to all colleges and univers i t ies interested in establishing programs in this area, and to avo id being too closely identified with any one program. 4. Campus Compact Project Campus Compact is a national program of the Educat ion Commission of the States (ECS) which promotes a public service ethic among s t udents. AS a result of these meetings, President DiBiaggio �Board Project Progress Report October 18, 1988 Page -3- (co-chair of this project with Dr. Me l vin L. Vulgamore of Albion) agreed t o house the offi ce for Michigan Campus Compact on the MSU campus, and the Kr esge Foundati on loaned one of its staff members, Deborah Wallace, on a part- t ime basis to f acilitate development of the effort . Plans call for building a coalition of at least five private and fi ve public col leges and universities to form a nucleus of a statewide compact. The initial five are: Albion College Hope College Lansing Community College Michigan Sta te University Northern Michigan University CMF is represented on the Campus Compact Planning Committee which met on Septembe r 12, 1988, to consider a draft proposal for the project including a mission and goals statement, staffing and budget proposals , funding strategies, and a •hort-te r m calendar. A Search and Screen Committee , a Fund-Raising and Recruitment Committee, and a Program Development Committee have been appointed to prepare reports for the next Planning Committee meeting on December 13 , 1 988 . The Improving Philanthropy Committee is encour aging the development of this project in l i ne wi th its purpose to generate projects which nur tu re and improve philanthropy. 5. Michigan Nonprofit Forum It became apparent fr om the work of the Improving Philanthropy Committee that Michi gan's nonprofit organizations, with their diversity of purposes and geography, have few opportunities for communication. This fact sometimes leads them to inadvertently operate at cross purposes with each other. As a first step towards providing opportunities for dialogue, Dr. Mawby hosted a meeting of the le ade r s of 10 statewide nonprofit organizations on August 31, 1988 . To insure that both the vo lunteer and the professional viewpoints were represented, both the chairman of the board and the executive director of each organization were invited. The ten organizations and the volunteer and professional leader are identified on the a t tached list. The group i dentified a list of concerns common to a ll Michigan nonprofits, the most i mportant of which are: leg i slat i on and regulation; education; increasing resources; research; public awareness of the nonprofit sector through recognition programs and media cove rage of the sector's economic impact and services; r educ ing competition among nonprofits; and volunteer leadership. The executive directors from each association meet agai n in La nsing at the offices of the Presidents Council of State Universities of Michigan on October 17, 1988, t o further discuss this dev elopmental concept. Peter Ellis and J oel Orosz represented Dr. Mawby and the W. K. Kellogg Foundation, and Dottie Johnson and Linda Patterson represe nted CMF at this meeting. As a �Board:Project Progress Report October 18, 1988 Page -4- result of the October 17 , meeting a concept paper identifying the group as a non-profit networkand named the group as the " Michigan Nonprofit Forum," and outlining the group's purpose and activities. These have been recommended for approval at the next meeting of the Committee of the whole. The next meeting has been set for Tuesday, November 29, 1988, in Lansing. Items on the agenda include the approval of the concept paper and presentations on legislative and regulatory issues by Bob Smucker, Vice President of Government Relations at INDEPENDENT SECTOR, speaking from a national perspective, and a Michigan legislator or key staff person to look at the same issues on a statewide level. Future actions will be considered as well. The Improv ing Philanthropy Committee wishes to facilitate this group's deliberations in any manner that may be helpful. 6. Capital Campaign Report The Committee has developed a proposal to conduct an annual statewide survey, in conjunction with the three National Society of Fund Raising Executives (NSFRE), Michigan Chapters; the Michigan Association of Hospital Development (MAHD); and the Council for Advancement of Support for Education's Michigan Members to i dent i fy capital and endowment fund campaigns that are taking place i n the state. The results of this survey will be available to the memberships of the cosponsoring organizations and any other parties interested in philanthropy to inte rpret and use in 'a ny manner which may be helpful to them. Peter Ellis, CMF's Executive-In-Residence, and Linda Patterson met with John Lore of NSFRE Michigan Chapter, on September 28, 1988, who approved the proposal and is seeking support fr om the presidents of the other professional development officer's associations. A one page surve y instrument and a cover letter have been drafted, and it is anticipated that the survey will be conducted in the beginning of the year. · 7. Southeastern Michiga n Needs Assessment The Accounting Aid Society of Detroit has asked that the Council assist them in drafting a survey to determine the technical assistance needs of nonprofit organizations located in the southeastern area of Mi c higan. Linda Patterson will be representing CMF on the advisory committee for this project . Conclusion The Committee is pleased to present you with this comprehensive report of our first full year's activity. Mawby, Chairman Increasing Philanthropy Committee Progress Report The number of charitable dollars in the state of Michigan continue to increase . However, the committee recognizes there are many reasons for the increase other than their efforts including the economy, the change in tax laws and the increased number of organized charitable institutions and causes. In the last two years, since edition five of the Michigan Foundation Directory was published: -92 private and community foundations have been created -assets o f private foundations have increased 37% -assets of community foundations have increased 19% Strategy CMF staff cont i nues to consult on the establishment of private and community f oundations along with distributing material s such as Establishing a Charitable Foundation in Michigan (450 copie s sold to date). The Committee determined that CMF should have the technical resources available to work with ind ividual donors, attorneys, accountants and trust offi ce rs and financial advisors which are now in place. During 1988-89, the Committee plans to encourage peer donor meetings to inform people of wealth of the benefits of establ ishing private foundations, giving to a community foundation or perhaps establishing a corporate g i v i ng program. An implementation plan will be reviewed by the Committee meeting November 3, 1988. Related Matters - The Council on Foundations has prepared a donor packet (copies will be available at board meeting) which clearly outlines how t o estab lish a foundat i on or make a g ift to a community foundation i n an attracti ve format. - Metro Detroit GIVES, co-chaired by Alfred H. Taylor, Jr. and Louis A. Weil III , continues to receive national attention as a model on how to increase giving and volunteerism. B . Murphy Foundation Charitable Trust has been released and includes valuable insights on what motivates people to give . -Independe nt Sector national survey released October 18 , 1988 reveals that low to moderate income fami lies give more time and moriey to charitable causes and organizations. For example, contributing households with incomes below $ 10 ,000 gave an average of 2 . 8% of their income to charitable organizations or causes while those with incomes between $50,000 and $ 75,000 gave 1.5%; those earning between $75,000 to $100,000 gave 1 .7% . Directory Reprints Plans are underway to reprint two Michigan Foundation Directory, Edition VI sections, "Information for Seeking Grants" and "Survey of Michigan Foundation Philanthropy." Both will be availab l e to Members and the grantseeking community. Three thousand copies of the "Survey" and four thousand five hundred copies of the "Information" reprints are distributed free of charge annually. The W.K. Kellogg Foundation has made a $6,000 grant to support the printing costs. 5. The CMF annual report for 1987-88 was released in August with a new format and cover design. 6. Foundation Center Regional Collections The Foundation Center Regional Collections will be meeting at the Conference on Thursday, November 3 in the afternoon. Pat Pasqual of the Foundation Center - Cleveland field office will be conducting the meeting. 7. The Michigan Scene Two i~sues have been released in this CMF fiscal year wi t h the Conference edition in progress. John L. Contribution $650 �II. Membership Recruitment Efforts The Membership Committee has established a goal of 30 new members by March 31, 1988 . Six members have joined to date and four others have indicated they will join. In a September 23, 1988 letter I asked for the Board to help in this effort. Responses to date are noted on Attachment A. Other trustees have indicated they will let me know who they might contact before November 15, 1988. Thanks to all. It is only with your help that we can reach our goal . Other s making membership calls include committee members, Advisory Cabinet Members, and CMF friends. III. Review Membership Eligibility Policy After a thorough review of the CMF Membership Eligibili ty Policy, the Membership Committee recommends no change at this time. The Committee considered the merit of opening up membership to grantmaking public charities. It was felt that the stretching of the current pol icy was a diversion not worth the effo rt as it detracted from the primary purpose of the organization. The potential difficulties included opening up the organization to grantseekers who may use the contacts for fund-r a i s ing purposes. It was acknowledged that community foundations are public charities and are grantseekers, but also general purpose grantmakers and were specifically included in the organization fr om the inception. It is recommended that CMF embark on program opportunities for grantmaking public charities in an effort to learn their interest in the grantmaking function separate from the fund-raising effort. Committee members discussed Will ard J. Hertz ' s idea of including staff members from the Michigan Council for the Arts, responsible for the grantmaking function, in the Annual Conference. An invitation has been accepted by MCA with the idea that they would assess the merit of futu re CMF Seminars on the grantmaking process for public g rantmaking charities. Board of Trustees of the Council of Michigan Midland Center for the Arts, Midland, on Thursday pursuant to written notice du l y given. The Thursday at 4:00 p.m. by John E. Marshall III, Trustees present in addition to Mr. Marshall were Herbert H. Dow, Willard J. Hertz, Judith S. Hooker, Gilbert Hudson, Patricia B. Johnson, Ted L. Johnson, Donald A. Lindow, Mariam C. Noland, W. Calvin Patterson I II, Carl F . Reitz, Ranny Riecker, Leonard W. Smith, Robert D. Sparks, Wil l iam V. Weatherston and Peter M. Wege. Also present were Richard K. Rappleye, Dorothy A. J ·ohnson, Sandra G. Hussey, Jane E. Morgan, Peter R. El l is, and Judy M. Carl, who recorded. Trustees absent were Leo J. Brennan, Jr .; Edward J. Frey; Nicholas Gabriel; and Howard D. Kalleward. Mr. Herbert H. Dow, welcomed Board members to Midland and indicated that one hundred CMF Members would be present for the evening reception and dinner at the Midland Center for the Arts. Minutes Upon motion duly made, supported and unanimously c arried, it was RESOLVED that the minutes of the February 16, 1988 meeti ng be approved a s circulated. Treasurer's Report Mr. Richard K. Rapp leye, Treasurer, presented the publicly audited financial statement for the Council of Michigan Foundations prepared by Ernst & Whinney, Grand Rap i ds, for the twel ve-month period ended Ma rch 31, 198 8 . AS stated in Ernst & Whinney's op inion letter dated April 29, 198 8, Mr . Rappleye noted the auditors feel the financial statements present fairly the f inanc ial position of t he Council, wi th no exceptions or problems. Mr. Rappleye d i scussed the Statement of Support , Revenues and Expenses a n d Changes in Fund Balances, which he noted contains two unrestricted funds ( General Operating, and Survey and Directory), five restricted, and the Energy Initiative Fund. Support and revenue exceed expenses in a ll funds, and all figures are within budget. Mr . Rappleye explained the Statement of Cash Flow, calling atte ntio n to Notes A & C; Note A explains the change t o the accrual basis of accounting for reporting purposes, and Note C e xplains the t erms of the Energy Initiative Program . �-2- Mr. Rappleye commended CMF staff on the excellent outcome of the first public audit. Upon motion duly made, presented and unanimous l y carried, it was RESOLVED that the March 31, 1988 financial statement be approved. Audit Committee Mr. Carl F. Rei t z, Chairman presented the Audit Committee Report. He reported that the Committee met with Susan Dibble of Ernst & Whinney, who explained the financial statements in detail. He noted the switch to the accrual basis of accounting was to be in compliance with standards set by the American Institute of Certified Public Accountants, and that a management letter would be forthcoming. Upon motion du l y made, supported and unanimously carried, it was RESOLVED that the Audit Report be accepted as presented. Upon motion duly made, supported and unanimously carried, it was RESOLVED that the Audit Committee discuss with Ernst & Whinney the fee to audit the 19 88-89 financial records. Community Foundation Energy Initiative Ms. Jane F. Morgan, CMF Program Associate, State of Michigan/Community Foundation Energy Initiative, presented the Energy Initiative report, a copy of which is appended to these minutes. CMF serves as program and fiscal agent of the $3 million program for the 14 participating community foundations. She gave background information on the initiative, noting that the match monies raised to date total $1,359,740. She shared information on several programs in Michigan communities which have received funding through the Energy Initiative program, and circulated a news clipping on recent projects in the Grand Rapids area. By June 30, 1989 the match must· be raised, while the deadline for completing the program is September 30, 1990. Ms . Morgan noted that approximately 1600 Request for Proposal brochures were mailed in November 1987, and that a follow-up Energy Initiative brochure was developed by the 5-member Advisory Commitee in conjunction with Detroit Edison to increase proposal submission for the $350,000 of funds available to areas not served by community foundations. Membership Committee Mr . Gilbert Hudson, Chairman, presented the Membership Committee report, a copy of which is appended to these minutes . He noted during 1987-88, 28 new members j oined CMF and 5 members did not renew their membership, bringing the year-end count on March 31, 1 988 to 228 members. Proposed new members as listed on the repor t are Borman's Inc. Consumers Power Company �·' -3- Upon motion duly made, supported and unanimously carried, it was RESOLVED that the co rporate giving programs be accep ted as Members. Mrs. Johnson shared information that the Council of Michigan Foundations is presently the second largest Regional Association in the United States, led by the Southeastern Council on Foundations who has 240 member s and covers 12 states. Information System Committee Mrs. Ranny Riecker, Chair, presented the Information Systems Committee Report, a copy of which is appended to these minutes. Mrs . Riecker noted preparation of the 6th edition of the Michigan Foundation Directory is in progress, with a supplement to the 5th edition in circulation; she noted discussion continues on approach to CMF printed materials; the videotaping process on the 15th annual conference has been completed; liason with the Foundation Center Regional Collections continues to progress satisfactorily; and planning is underway for seminars with state of Michigan government/executive and legislative staff. She reported that in addition to the Directory, other CMF publications include: The Michigan Scene, summer issue to be mailed July 5, 1988; Corporate Matching Gift Programs, 250 copies sold; and a book of proposals from Michigan foundations and corporations, assembled and distributed to Michigan Foundation Center libraries. 16th Annual Conference Mr . Donald A. Lindow, Chairman, reported that two meetings of the 16th Annual Conference Program Committee were held, with agreement on the theme, "Tomorrow Needs -- Today's Opportunities . " He presented an overview of the program, noting the dail y topical tracks and speakers who have confirmed participation . He repo rted a high level of energy and enthusiasm among Committee members for the Conference activities being planned. Mrs. Johnson thanked the Board for their letters to Mr. Lee I acocca, but shared he is unable to speak during the Conference. Mrs. Johnson explained the difficulty in obtaining low cost, high quality speake rs for the Conference, and the possibility of starting an endowment pool for speaker fees was discussed. Mr. William v. Weatherston, Co-Chairman, Host Committee reported that a mee ting is scheduled for June 13, 1988, and noted that recommendations f or 4 tours of the Detroit area, Host Event and receptions would be presented. Mr. Donald Lindow requested that the Board approve the 16th Annual Conference budget, including the suggested increase in registration fees ; as follows: $250 $275 $375 ' -- - - - - -- - - -- - ---- Member Early Registration (be fore Oct . 14 ) Member Full Registration Non- Member Full Registration --· �- 4- Mr. Lindow noted the proposed $25 increase for full registration is the first increase in Member conference registration since 1985. The fee inc l udes the program, six meals and three receptions . Upon motion duly made, supported and unanimously carried, it was RESOLVED the 16th Annual Conference budget be approved as presented. Mr. Marshall introduced Dr. Peter R. Ellis, CMF's Executive-InResidence. Dr. Ellis explained that he will spend sixty percent of hi s time on Council of Michigan Foundations' projects for eight mo nths beginning September 1, 1988. Projects will include facilitating program development between CMF and Michigan institutions of higher educat i on; working with the . media to better understand the issues, values and programs of the nonprofit community; developing training materials for professional associa- tions; and working on efforts to increase foundation and corporate giving. Mr. Marshall expressed appreciation to Dr. Ellis for his efforts on behalf of philanthropy and agreed with him that ideal ly the Executive -I n-Residence could become a model for other grantmakers. The meeting was adjourned at 5:35 p.m. for the CMF meeting of Northern Michigan Members hosted by the Herbert H. & Grace A. Dow Foundation. Speaker for the evening is Dr. Russell G. Mawby, Chairman and CEO, W.K. Kellogg Foundation, addressing "What's Happening in the State of Michigan and How Does Philanthropy Fit In." John E. Marshall III reconvened the meeting on Friday, June 10, 1 988 at 8:30 a.m. Improving Philanthropy Dr. Russell G. Mawby, Chairman, presented the Improving Philanthropy Report, a copy of which is appended to these minutes. Dr. Mawby noted t hree focus areas targeted by the committee: Technical Assistance Directory, Governor 's Award, and Educational Center. He reported that the Michigan Nonprofit Resource Directory has been published and a promotional brochure is presently being circulated. The Committee has decided not to pursue the development of a new Governor's Award for Contribution, but will maintain a working relationship with the Greater Michigan Foundation. Regarding the educational focus, Dr, Mawby reported the Committee studied the survey of Michigan educational institutions and identified several areas of interest, including: - Undergraduate Curriculum: Volunteer service and General citizenship and leadership classes , Graduate level study: coursework and degree programs for students and professionals interested in nonprofit administration, In-service Training, Research Programs, and Technical Assistance. Dr. Mawby reported a survey to assess the interest of nonprofit service and grantmaking organizations regarding educational opportunities in philanthropy and volunteerism will be underway shortly. He reported t hat the Committee is also participating in efforts to organize a Michigan Campus Compact. �-' - 5- A discussion ensued on motivat i ng youth to seek an interest in volunteerism, and Dr. Mawby answered several questions pertaining to W.K. Kellogg Foundation projects currently in progress regarding youth deve l opment . Government Relati ons Committee Mrs. Jud ith S. Hooker , Cha irman, r eported on the activity of the committe e, a copy of which is appended to these minutes. She presented backgound information on the c ommunity foundati o n tax credit , r e mi n ding the Board tha t S.B. 475 and S.B. 476 had passed t he Senate. Mrs. Johnson noted that in House the bill was referred to the Subcommittee on Tax Credits of the House Taxation Committee, with testimony being given by Dr. Russell G. Mawby and Ms. Mariam C. Noland at a hearing on May 11, 1988. The bill was not referred out of the Subcommittee (3 -2; 4 favorable votes were needed). Ms. Noland and Dr. Mawby shared their thoughts on the hearing, and Mrs. Johnson presented future strategy on pass ing the bill through the House. Mrs. Ranny Riecker requested a motion for the Board to authorize the Council of Michigan Foundations' staff to seek $10,000 in funds to continu e to pursue passage of the community foundation tax credit. Upon motion duly made supported and unanimously carried, it was RESOLVED that $10,000 in funds be sought for the I ncreasing Philanthropy Project. Mrs. Hooke r explained that as the Legislative Agenda had not been reviewed since 1985, Committee members met recently in Lansing to update and prioritize CMF's goals to take into account recent Ta x Acts and the Council on Foundations and other Regional Assoc iation of Grantmakers legislative portfol ios. Proposed changes to the Legislative Agenda were reviewed, a copy of which is appended to these minutes. A discussion of "Priorities for 1988-89 , # 5 " was initiated by Mr. Willard J . Hertz. Upon motion duly made , s upported and unanimously carried, it was RESOLVED t hat the Legis l ative Agenda be approved as presented. Mr. W. Calvin Patterson III complimented the Committee on the ease of understanding and readability of the Legislative Agenda . Executive Committee Mrs. Dorothy A. Johnson , P res ide nt, presented the Strategic Plan 1985-89 Progress Report, a copy which is appended to these minutes. She identified Committee members and gave background information on the purpose and forma ti on of t h e Strategic Plan, noting that 11 goals were identified in 1984. Mr s. Johnson, util izing a n ove rhead projector in her presentat ion, charted the use of funds generated from inc reased contributions, rate of membership increase , conference revenue and disbursements, and ope rational �·' - 6- revenue a n d d i sbursements . She explained that the Executi ve Commi ttee rated each of the 11 goals as t o the i r comple t eness, and cate gor i zed each goal under the prope r ranking of " fine progress, " " on-going, " " needs work." Copies of the overhead transparencies were circulated. Mrs . J ohnson asked the Board for their suggestions and gui dance in the weak areas, and several comments were made, including: -Appoint an affinity group to develop ideas -More educational opportunities, especially for new trus t ees - More spring sch ools l ed by progressive corporate leaders - Trial period of offering CMF events to non-members - Approach branch offices of corporations to become invo l ved - Services should be directed to staff responsible for day to day routine, rather than CEOs - Consider sharing seminars with other grantmaki ng nonprofit organizations and groups, such as the Michigan Council for the Arts. Hertz initiatied a discussion on broadeni ng CMF's base of membership to include other nonprofit organizations and he cited the Minnesota Council on Foundations' membership po l icy as a possible model. Mr. Marshall requested the Membership Committee to review the present membership policy and submit a report to the Board at the November meeting. Public Issues Mr. Leonard W. Smith, representing Leo J. Brennan, Jr., Chairman, presented the Public Issues Committee Report, a copy of which is appended to these minutes. Mr . Smith noted the Committee met Apri l 19, 1988 at the request o f the Government Relations Committee to consider the Nonprofits' Limited Liabilty Pool, and he explained that Mr. Brennan met with representatives of the Coalition before the Committee meeting to explain the issue. Mr. Smith explained that the Committee recommends CMF support the concept of the Nonprofits' Limited Liability Pool and encourage CMF Member foundations and corporations to individually consider appropriate aid to and cooperation with the project if within their purpose. In addition, the Committee recommends that if the motion is passed, CMF will report the action to Members by way of The Michigan Scene and Memo to Members. Mr. Hertz and Mr. Rappleye noted that they had recently l earned of a national program sponsored by First Non Profit Risk Pooling Trust . A lengthy discussion ensued on whether to support the state or national pool. Upon a motion duly made, supported and unanimously carried, it was RESOLVED that the concept of Nonprofits' Limited Liabilty Pool be endorsed, and the issue referred to the Executive Committee for final decision . �-7- Old Business Mr. Ted L. Johnson, Chairman, Community Foundation Strategy Team, presented a report on the activity of the Team. He reported that two grant proposals previously approved by the Board have received funding, specifically: the Community Foundation Youth Initiative funded by the W.K. Kellogg Foundation - $2 million/three years, and the Michigan Technical Assistance Grant funded by the Charles Stewart Mott Foundation - $150,000/three years. He noted that Kathy Agard has accepted the position of Program Director and a f our member advisory committee will be appointed. Mr. Johnson extended his thanks to the Strategy Team members responsible for preparing the proposals. Mrs. Johnson explained the need for leasehold improvements and shared possible ways to obtain the needed funding. Upon request of the Board, Mrs . Johnson presented i deas in which Mr. William W. Allen be honored for his dedication and service to the Council of Michigan Foundations from 1973 until his death in November, 1987. Mr. Patterson suggested that an endowment for programming of CMF's government relations be established in Mr. Allen's honor. Upon motion duly made, supported and unanimously carried, it was RESOLVED that a William W. Allen Endowment Fund be established if a minimum goal of $25,000 can be raised. The meeting was called to order at 9:45 a.m. by Richard K. Rappleye, CMF Treasurer in the absence of Carl F. Reitz, Chairman. Committee members present in addition to Richard K. Rappleye were Nicholas M. Gabriel, Thomas W. Herbert and Dorothy A. Johnson, serving in an ex-officio capacity. Members absent were Carl F. Reitz, Ted L. Johnson and John E. Marshall III. Also present was Jeri L. Fischer, who recorded. Minutes Pursuant to the approval of the June 9, 1988 Audit Committee Minutes, a discussion ensued regarding the financial statements as they appeared in the Council of Michigan Foundations' 1987-88 Annual Report. It was suggested by Nicholas M. Gabriel that comparatives be added. Mr. Rappleye explained that it was planned that they be included in the 1988-89 Annual Report now that we will have audited comparatives. Mr. Herbert suggested reducing the number of notes in the financial statement, including those explanations in either the President's Message or in the Ernst & Whinney Audit Report. There being no further discussion, upon motion duly made, supported and unanimously carried, it was RESOLVED that the minutes of the June 9, 1988 meeting be approved. Management Letter and Response Mrs. Johnson presented the response to the Ernst & Whinney Management Letter, copy attached. She reported that the suggestion by Ernst & Whinney that the minutes of Board of Trustees meetings be signed by both herself as Secretary and a member of the Board has been done. Regarding fixed asset lapse schedules, Mr. Rappleye noted that indeed we need these and that the $500 limit suggested by Ernst & Whinney was an acceptable limit. However, he noted that the Council of Michigan Foundations presently does not have the computer or software that can handle spread sheets. Mr. Gabriel indicated that the Ford Foundation would be willing to donate an IBM PC to CMF. Mr. Rappleye indicated that when the PC was in place, a modem to link the Mott Foundation and CMF might be a possibility. �The final discussion addressed functional accounting. Mrs. Johnson noted that moving to functional accounting was only "suggested" by Ernst & Whinney and that it was existing board policy to report by natural classifications. Mr. Herbert noted that Position 78-10 was devised for nonprofit service welfare organizations in order to identify the true costs of services.. CMF has a history of reporting these costs such as the Annual Conference to overall CMF operations. Mr. Gabriel noted that would mean moving salaries to the Annual Conference line item which would prove misleading and a misstatement of facts, doing more harm than good. It was the consensus of the audit committee that we continue the current accounting policy and not move to functional acc~unting, and that this recommendation be omitted from any future audit statements. There being no further discussion, upon motion duly made, supported and unanimously carried, it was RESOLVED that the Management Letter and Response be accepted as received and that this recommendation be conveyed to the Board of Trustees. Investments Investment details were reviewed by the committee. Mrs. Johnson noted that quarterly statements prepared by Abbit Management Corporation will be provided to the Audit Committee members. Mr. Rappleye noted that the nature of the investments fit board policy. Mr. Gabriel suggested that CMF get in writing the ratings of institutions used for investments from Abbit Management. This list of institutions and their ratings are to be shared with the Audit Committee. Program Fund Mrs. Johnson explained the opportunity for a program fund via interest earned on Kellogg Youth Funds. She distributed a draft proposal, a copy of which is appended to these minutes. It was noted that the Program Fund needs structure as to when interest from Kellogg Funds would be transferred. Nicholas M. Gabriel volunteered to assist in the development of a policy statement. Once finalized, in consultation with Mr. Rappleye and Mrs. Johnson, it will be circulated. Other Business Items to be further addressed by the Audit Committee are: l) a revised investment policy and 2) CMF recordkeeping burden. Weatherston, Chairman Corporate Task Force Corporate Initiative Program Proposed: CMF allocate up to $5,000 from reserves to fund investigation and report for the CMF Corporate Initiative to be presented to the June, 1989 Board of Trustees meeting for review and action. Background At the June , 1988 Board of Trustees meeting, a Corporate Initiative Task Force was formed to plan how CMF would increase the number of corporate giving programs in Michigan; increase corporate giving resources in the state; expand CMF corporate services, and as a result of these activities, expand CMF membership. Members of the Task Force include William V. Weatherston, Chairman; Leo J. Brennan, Jr.; Donald A. Lindow; W. Calvin Patterson III; and Peter M. Wege. In order to properly evaluate the current and future needs of corporate givers in the state, as well as to prepare plans on how CMF might respond, more information is needed. It is proposed that a consultant be retained to: -Interview 8-10 current CMF member companies -Interview 10- 15 non-member companies, including business associations -Prepare recommendations on CMF programming options The attached proposal elaborates the scope of work and work plan. The Committee considers i t important to have an unbiased, informed individual conduct the interviews. The consultant, Maryellen J. Lewis , has worked with a number of corporations throughout the United States, most recently in Chicago for AT&T. She authored a paper for the National Conference of State Legislatures and the Education Commission of the States on Commonsense Investments in a Shared Future: Business SuPPort of Public Schools . She recent l y moved to Albion, Michigan with her husband and comes highly recommended from a number of grantmakers.
