JKR/jmc : 160C �Proposed Community Foundation Legislation Case · statement Kay 23, 1986 Proposed Amend State of .Michigan Section 38 of Public Act 228 of 1975 entitled "Single Business Tax Act," amended by Public Act 318 of 1980, as follows: That a credit be allowed to taxpayers against the tax imposed for a given taxable year, equal to 50 percent of the aggregate amount of charitable contributions made by the taxpayer during that year to a recognized community foundation within the State of .Michigan . The amount allowable shall not exceed 5 percent of the tax liability for that year or $5,000, whichever is less for a corporation. The credit allowed also shall not be in excess of the tax liability of the taxpayer or $100 for a single return, or $200 for a husband and wife filing a joint return. What is the Charitable Tax Credit? The charitable tax credit was first enacted by the Legislature in 1968 {Public Act 315) . The provision specifies that taxpayers may take a tax credit equal to SO percent of the aggregate amount of their charitable contributions to a public broadcast station which is not affiliated with a college or university, to public libraries , to institutions of higher learning located within .Michigan, to the Michigan Colleges Foundation, or contributions to a nonprofit corporation, fund, foundation, trust, or association operated exclusively for the benefit of institutions of higher learning in the State. .Michigan �colleges and universities which receive such contributions are required to make an annual report to the Kichigan House and Senate Appropriations Committees , as well as the House Taxation and Senate Finance Committees, indicating the manner such contributions were used . A community foundation is a public charity with a publicly appointe d board of trustees . It receives and distributes charitable funds focused on soc i al, cultur al and educational needs of a defined geographic area -- thus the "community" in community foundation. A community foundation considers grant appl i cations from local charitabl e organizations. "pool" where funds of all amounts from It is a philanthropic individuals, fam i lies , businesses, and other charitable organizations are rec eive d and managed for the benefit of the entire community . -2- �A community foundation has two major missions : to stimulate the establishment of endowments to serve the local community now and for the future ; and to address community needs by providing leadership and resources. A community foundation also is a key civic organization whose efforts reflect the values and aspirations of the community. It helps all kinds of established institutions, such as hospitals, museums, schools, institutions of higher education, social agencies and others to meet their goals and to try new approaches to persistent problems at the local level. What is the Impact of Community Foundations on Michigan? Thirty-two community foundations, whose assets together total $141,271 , 000 and whose annual grantmaking equals about $9 million, now exist in Michigan . Nearly every major metropolitan area of the state, with the exception of Lansing and the Upper Peninsula,* is served by a community foundation. map and list of community foundations--Attachment A. ) (See It is estimated that 15,000 donors annually contribute more than $20 million through the local community foundation to programs designed to meet community-based needs . Some donors may give only $1 and others donate millions. Why Should Community Foundations Be Included Under the Charitable Tax Credit ? Community foundations, by their very definition, have received their impetus from wise and visionary people within communities who recognized that, as times change, the needs of a community also change and grow. Thus, community foundations were developed to help communities to responsibly identify and respond to local issues and concerns. * The Council of Michigan Foundations is working with individuals in Lansing and the Upper Peninsula to develop community foundations. -3- �The role of community foundations has heightened during the 19805 as the Reagan administration has called for reductions in federal support available for communities and has stressed the return of local control to cities and states. Legislation, such as the Gramm-Rudman- Hollings Bill and proposed budgetary policy shifts, have threatened to further reduce federal and state support for human, social, cultural and economic needs. Social responsibility, consequently, has shifted to the community level and , . to a large extend, to community foundations . Historically, community foundations have been the best and virtually only avenue within a community to provide for long-range civic needs. The rea·s ons for this are five-fold. (1) By its definition and nature, a community foundation is principally an endowment for the future. (2) a community foundation can respond to a broad cross-section of community needs. (3) A community foundation is more responsive to long-term community needs than most individual organizations; many organizations operate from year to year on annual fund . requests or develop endowments primarily for administrative overhead or specific program support . (4) A community foundation is not handicapped by self-interest. It is not in the "business" of building programs or creating its own facilities, rather, a community foundation's "business" is to effectively channel charitable support to meet the local community's needs . -4- �(5) A community foundation is created to live in perpetuity to meet changing needs of the community, while other organizations generally are established to address today's problems and may be rendered useless and unnecessary as a community's circumstances change . Will the Proposed Change in the Charitable Tax Credit Hurt Other Nonprofit Organizations? No. Nearly all organizations covered by the existing legislation are education-oriented. The existing legislation gives charitable tax credits only to institutions of higher education (public and private), the Michigan Colleges Foundation, public libraries and public broadcast stations. Donors have historically maintained strong financial support to these types of organizations since their function is specific and narrowly defined. Such support i s likely to continue even with the addition of community foundations to the tax credit provision. It should be noted that community foundations, themselves , are one of the strongest supporters of organizations and institutions active in educational and cultural programming. In the past year community foundations have granted $ (number to be supplied from CMF research) to Michigan's colleges and universities , public libraries and public broadcast stations. It is anticipated such contributions would likely increase if new donors could be attracted to comunity foundations through the proposed community foundation - 5- �tax credit . Legislation to include community foundations would allow full and complete benefit of the tax credit provision by· all donors interested in supporting currently designated charities within the legislatation regardless of the way the gift is channeled . Changes in the tax legislation to include community foundations also will generate much needed support for communities through their community foundations . The availability of such support will assure the future of organizations which are equipped to effectively identify and respond to the broad spectrum of community needs, generally outside the realm of educational institutions, libraries and public broadcasting . Would the Tax Change Encourage Charitable Giving in Michigan? Yes . It will provide an incentive for corporations and business organizations , which have not yet reached the tax credit limit, to provide additional support in communities where their employees live and work. For example , the Kalamazoo Chamber of Commerce has initiated a 2 Percent Club which recognizes and honors corporate organizations that provide 2 percent of their pre-tax dollars to charity. The Chamber recogni z es the community foundation as a potential avenue through which corporations may wi sh to establish Corporate Advised Funds and may want to provide other support to restr i cted projec ts while receiving the Michigan tax credit for their charitable donation . Will the Proposed Tax Change Lead to Future Requests for Such Revisions? The "Single Business Tax Act" currently limits the tax credi t to donations -6- �made to four types of organizations active in educational and cultural enhancement. It has been speculated that other charities within the state might wish to be included in the Act if community foundations were included. However, it should be noted, once again, that community foundations are unique . They provide support to a broad spectrum of organizations within a community including all potential charities. For example, in almost sixty years the Kalamazoo Foundation has contributed nearly $54 million to a wide variety of charities to conduct projects benefitting the people of the Kalamazoo County area. A sampling of these projects includes: Downtown Tomorrow, Inc . $500,000 Association for Retarded Citizens 30,000 Kalamazoo Symphony Society 20,000 Pretty Lake Adventure Camp 50,000 (see Attachment B for full list) In fact, all other charities which might wish to be listed in the Act, essentially would be eligible to receive funds from community foundations. The net effect of including specific language within the Act to make provisions for community foundations on Michigan communities overall is clear and decisive: the legislature would be providing support to Michigan communities at large without making additional state appropriations to local governmental entities. Essentially, the legislature would shift funds to communities, via community foundations, through tax credits or relief. Johnson Increasing Philanthropy Fund - Progress Report At the February, 1986 Board of Trustees meeting, a $25,000 budget item was approved to fulfill CHF's fifth purpose, "to increase private and community foundation and corporate grantmaking resources in the State of Michigan." Activity to fulfill this purpose is taking place on several fronts. Chairman Recruited Russell G. Mawby, Chairman, W.K . Kellogg Foundation, has recently agreed to serve as Chairman of the Increasing Philanthropy Committee . Committee members from eight Michigan communities are being recruited from the donor community -private foundation, community foundation, and corporate- -for the first year of our effort (Ann Arbor, Battle Creek, Detroit Metro Area, Flint, Grand Rapids, Kalamazoo, Midland, and Traverse City). The Committee will plan several strategies to achieve the purpose, the f i rst being informal peer groups who will reinforce the merit , joy and rewards of giving. CHF will provide the back-up "how-to" materials described below. It i s envisioned that the Committee's work will operate in each community at the timing desired by the principal coordinator . Materials "How-to" materials are in varying degrees of completion . Cost of these materials will be the principal expenditure of the $2 5 ,000 budget outlined on the following page . The first brochure to be developed will cover nearly all the options of how t o give your money away -- private foundation; community f oundation - - unrestric ted, restricted funds , etc -- ; direct; etc. It may be titled, "So You Want to Give Money Away," and hit the highlights of how th i s is done. I t will be f ree of charge and circulated widely to CHF Members and their trustees, office s of attorneys, accountants, financi al planners, bar associ a tion members, bankers, corporations, etc . Commun i ty foundation and corporate materials already exist and are used frequently wi th inquiring parties . There is room for improvement and as t he project progresses, editorial and packaging changes will be made. The firs t major publication eff ort will focus on the creation of priva te foundation materials utilizing the fine publication prepared by Clark, Kle i n & • �Beaumont, Duane L. Tar nacki , for the 13th Annual Council of Michigan Foundations' Conference ,. and the session planned by Leonard W. Smith. Since the November presentati on, t he firm has sought and received editorial comments. They are now prepared to review the book for an August 1, 1986 deadline and publication for the November, 1986 Conference . To date , all expense for the preparation of the Establishing a Charitable Foundation in Michigan book has been assumed by the firm . One-half of the cost of revising the book will also be assumed by the firm and the other half by the project . Marketing plans and brochure are in the planning stage. Four thousand copies published. The Committee expresses appreciatio n to Editor Jeri L. Fischer, CMF Staff Associate, and to Robert E. Hencey, Director of Communica tions and Disseminat ion, W.K. Kellogg Foundation , who prepared printing specificati ons and cover design, as a result of CMF assuming responsib ility for printing. Cost for the one-third larger book of higher quality stock was 10~ less for Edition V than Edition IV, three years later, thanks to Mr . Hencey's assistance . 2. News Releases News announceme nts have been prepared for the Midland media from the Directory data. Depending on the response, others will be prepared for Michigan dailies and weeklies in pursuit of CKF's goal to inform the public about foundation and corporate grantmakin g for charitable purposes. 3. Michigan Bell - Stretching and Raising Dollars III Two successful programs were held -- Tuesday, May 6, Grand Rapids, and Tuesday, May 13, Detroit -- at which time more than a dozen CMF Members and staff met with grantees to explain their work and process . Private Sector Institute facilitated the workshop and plans to continue the series with the sponsorship of several dozen Michigan non -profit organizatio ns and association s . CMF will continue as a sponsor and provide speakers and materials on request . �4. Michigan Non-Profit Management Manual Workshops CMF will cooperate with the Accounting Aid Society and Michigan League for Human Services to sponsor Non-Profit Management workshops using the Manual published this winter. The Accounting Aid Society prepared the Manual, acknowledging CMF as a cooperating sponsor. CMF ' s r ole in the seminar will be to request a foundation as the corporate member to give the noon address. Workshops currently scheduled are as follows : Friday, Sept. 19 Thursday, Oct . 16 Thursday , Nov. 13 Friday, Dec . 5 5. The meeting was called to order at 10 : 00 a.m . by James M. Richmond, Vice Chairman , in the absence of Ted L. Johnson, Chairman. Trustees present were Sue Blandford , Leo J. Brennan, Jr., Nancy Feller, Willard J. Hertz, Judith S. Hooker, Donald A. Lindow, John E. Marshall, III , W. Calvin Patterson, III, Carl F. Reitz, James M. Richmond, Ranny Riecker , and Leonard W. Smith . Also present were Thomas W. Herbert, Treasurer, Dorothy A. Johnson and Sandra G. Hussey, who recorded. Trustees absent were William W. Allen , Herbert H. Dow, Allan J . Fletcher, Edward J . Frey, Gilbert Hudson , Keith Jensen, Ted L. Johnson, Howard D. Kalleward and Peter M. Wege . Kr . Richmond welcomed our new board members Sue Blandford and John E. Marshall, III. He explained that while Thomas W. Herbert would continue as CMF Treasurer , Kr . Herbert would no longer serve as a Trustee . Mr. Richmond read the following resolution : WHEREAS Thomas W. Herbert, Vice President and Treasurer , The Kresge Foundation, has been generous with his time , creative with his vision and sensitive to the issues of philanthropy during more than nine years of service to the Council of Michigan Foundations as a Trustee . . . .. . WHEREAS he has been an ardent supporter of CMF , guiding the organization in admi nistrative and financial matters as a Trustee, Officer and Executive Committee Kember .. ... . WHEREAS his genuine concern and activity in the philanthropic sector i n Michigan has contributed to progress in other grantmaking associations in the country ..... . BE IT RESOLVED that the Board of Trustees of the Council of Mi ch i gan Foundations expresses its great appreciation for Mr . Ranny Riecker presented the Trustees' gift to Mr. Herbert : �-2- Minutes Upon motion duly made, supported and unanimousl y carried, it was RESOLVED that the minutes of the November Trustees Keeting be accepted as circulated . 6, 1985 Board of Treasurer' s Report The financial statement of the period beginning April 1, 1985 and ending December 31, 1985, a copy of which is appended to these minutes was presented by Thomas W. Herbert, Treasurer. Kr. Herbert reported an opening cash balance on April 1, 1985 of $27 , 117 . 52 and a closing cash balance on December 31, 1985 of $119,713.7 6. The majority of the cash balance reported is invested in a reserve fund managed by Abbit Management Corporatio n. This statement represents 75't of the budget year. Mr . Herbert reported revenues to date for the General Budgeted Income had reached 106't of the projected budget. Kr. Herbert reported that to date major conference revenue is $66,273 . 02. Krs . Johnson explained that she anticipate d the conference to break even, but not be able to contribute the $5,000 to the operating budget as planned. She indicated four reasons . First, on the revenue side, the conference partial registratio n was below projection by $800. Second, on the expense side , the speakers' expenses exceeded the budget by $2,000 because of last minute substitutio ns and committee members' commitment s to speakers . Third , the audio visual equipment exceeded the budge t by $1000 because of speakers' last minute requests; and fourth , the unbudgeted transporta tion expense of $1200 for buses between the hotel and Detroit Institute of Art. Krs . Johnson outlined three provisions to meet the budget for the 1986 conference . First, to insist that all speaker expenses be cleared with the Conference Chairman and CMF President; second, to increase the conference registratio n fee to a realistic level to cover six meals and hotel expenses; and third, to underscore with the Host Committee their financial interest in any events planned by the Committee. Willard J. Hertz recommended that the Board of Trustees receive a Conference Host Committee budget separate from the conference registratio n fees. He noted that Host Committee activity varies each year . Upon motion duly made, supported and unanimousl y carried, it was RESOLVED that a line item showing Host Committee activity be included on future Board financial statements . It was agreed that CKF would respond to local groups of donors as they so choose, offering a range of options througho ut t he state. No one indicate d any change in their relation ship to CKF. Johnson presented the 1986-87 Plan of Work, a copy of which is appended to these minutes . Krs . Johnson outlined the new services to be offered during the coming year. Ranny Riecker outlined the new services that the Informati on Systems Committee will accomplis h during 1986-87. Kr. Herbert reported that the CKF financial records will be on computer during 1986-87. Donald Lindow reported on the Membersh ip Committe e's strategy for 1986-87 which is to solicit new members from private and community foundatio ns and corporate giving programs and to increase CKF membersh ip by at least 10't in 1986-87, all of which is part of the new fifth purpose. Krs. Johnson explained the Executive Committee recommen dation to establish an "Increasi ng Philanthr opy Fund". The fund will be used to pay publishin g costs of document s that will enhance increasin g the number of community and private foundatio ns and corporate g1v1ng programs. The revolving fund will cover publicati on costs only. No CKF overhead costs will be absorbed. Upon motion duly made, supported and unanimou sly carried, it was RESOLVED that the 1986-87 Plan of Work be approved as presented . Kr. Herbert presented the 1986-87 Operating Budget, a copy of which is appended to these minutes. He explained the increase in the budget is due to "Increasi ng Philanthr opy Fund" and publicati on sales. The budget is in line with the strategic plan guideline s and the five year proposed budget . Kr . Richmond suggested that CHF staff be encourage d to attend workshops and seminars which will further enhance the organizat ion . Krs . Johnson explained the volunteer program to help CHF with specializ ed research or service projects. An agreemen t with CKF and the volunteer will be presented at the June Board meeting along with any insurance obligatio ns. Upon motion duly made, supported and unanimou sly carried, it was RESOLVED presented . that the 1986-87 Operating Budget be approved as 14th Annual Conferenc e Program Committee Kr . Leonard W. Smith, Chairman , reported that the Program Committee recommended the theme for the 14th Annual Conferenc e be "GRANTMAKING FOR RESULTS /Identifyin g Ideas that Hake the Differenc e" . This year , sessions will range from pre- grant evaluatio n through post grant evaluatio n, religious philanthr opy, arts, education , internati onal grantmaki ng and specalize d sessions for trustees, community foundatio ns, corporate grantmak ing programs and more. 1986 Conferenc e Sites Kr. The Board of Trustees adjourned for l unch , fol l owing which Mary Jo Bales, Executive Director , Michigan Sesquicenten nial Commission , and Mr. Muir, Chairman, gave an information presentation of Michigan's lSOth Anniversary Celebration. 13th Annual Conference Mr. John Marshall, Chairman, 13th Annual Conference Program Committee , reported on the financial statement, a copy of which is appended to these minutes. Mr . Marshall reported that attendance was at 510 which is slightly down from the previous year, however he fe l t it was a very successful conference . He elaborated on the conference evaluation , a copy of which is appended to these minutes . It was noted that 109 foundations were represented at the conference out of our 208 membership . Mr . Richmond emphasized that we should look at the membership to see about increasing conference participation . Mrs. Johnson e xplained many communi t y foundations don ' t have the resources to send trustees or staff to the conference. CMF would like to implement a community foundation scholarship program, whereby community foundations with as sets under $10 million would register their first trustee at the full conference registration and those thereafter a t a reduced rate . Sue Blandford emphasized the need for community foundation programmi ng throughout the Conference . Upon motion duly made, supported and unanimously carried, it was RESOLVED that we accept Committee report as presented. the 13th Annual Conference Program Membership Committee Mr. Donald A. Lindow, Cha i rman, presented the Membership Report, a copy of which is appended to these minutes. Mr. Lindow r e ported CMF membership is currently at 206, including the following proposed new members: Erickson Foundation, Grand Haven Irving S. Richmond, Chairman, Government Relations, reported on the results of the Committee' s meeting which was held February 13, 1986 . Several matters have come before the Committee one being the tax reform measure passed by U. S. House of Representa tives which includes gifts of appreciate d property in the proposed alternative minimum tax, a copy of which is appended to these minutes . Kr. Richmond reported that Independen t Sector supports currrent tax law which permits the full deductibil ity of gifts of appreciated property. IS opposes including gifts of appreciate d property as a preference item in the alternativ e minimum tax . Kr . Richmond reported another area of concern is the "Unrelated Business Income Tax" or "Dividends Pay Deduction" which will do away with the double taxation dividends for corporate and individual stockholde rs. This provis i on would allow G-t-oc·khttlde ?>to deduct an amount equal to 101. of the dividends they pay and phased in over 11. per year. Upon motion duly made, supported and unanimousl y carried, it was RESOLVED that CKF oppose those provisions of HR 3838, Section 311 that would increase the tax burden on non-profit charitable organizatio ns. Willard Hertz reported on the Committee on Religious Philanthrop y, a copy of which is appended to these minutes . Kr . Hertz explained that the Committee recommended that CKF seek to develop within its members an understand ing of the growing role of grantmakin g organizatio ns, sponsored by or affiliated with, religious groups . It was the Committee ' s suggestion that this first ste p be accompl ished by holding a session at the 14th Annual Conference on "The Growing Role of Religious Grantmaker s". New Business Kr. Johnson State of Michigan/Community Foundation Energy Initiative - Update At the June 6 , 1986 Board of Trustees meeting it was reported that CMF was working with fourteen community foundation members to secure $3 million for a State/Community Foundation Energy Initiative . A5 reported this summer, our efforts were successful . The source of the money is Michigan's share of Exxon's $2.1 billion Courtmandated restitution settlement which the Federal Government has passed onto the states. Michigan received $70 million. Each community foundation will have the opportunity to raise one dollar for each dollar received from the state. The local monies will become part of a permanent fund of the community foundation for energy-related programming . Ted L. Johnson is Chairman of the State/Community Foundation Initiative for CMF. Mariam C. Noland, Executive Director, Community Foundation for Southeastern Michigan, brought the program to the attenti on of CMF Members and continues to be a leader in the evaluation of the program. Morgan has been retained on a one-year contract to provide the staff assistance necessary to implement the program. She will be present at the board meeting and the conference to share news of the program. She will be working out of the offices of the Community Foundation for Southeastern Michigan and will be traveling the state meeting with all fourteen community foundations, reporting to the State, preparing a newsletter, and other related activities. A $80,000 budget will support the $3 million program. Grant support has been committed from the Charles Stewart Mott Foundation ($25,000), W.K. Kellogg Foundation ($25,000) and several community foundations who are being asked to co llectively contribute $30,000. George Parker III, Miller, Canfield, Paddock & Stone has been engaged as legal counsel for the project. Following discussions with Tom Herbert and Dick Rappleye, auditors are being interviewed. On September 29, 1986, the first training session for the fourteen community foundations was held in Lansing . Governor James J. Blanchard launched the initiative at a reception and news conference that evening. Russell G. Mawby, Advisory Cabinet Chairman, substituting for Ted L. Johnson, Chairman, who was detained by weather and airplane problems , presented the Governor and several other legislators with commemorative certificates. Discussions continue with the State to receive the necessary approvals and transfer of funds as soon as possible, probably after the first of the year. WHAT IS CURRENT LAW? Under current law, the charitable tax credit allows taxpayers to take a tax credit equal to SO percent of the aggregate amount of their charitable contributions to public broadcast stations not affiliated with a college or university; public libraries; institutions of higher learning located in Michigan; the Michigan Colleges Foundation; and nonprofit corporations, funds, foundations, trusts, or associations operated exclusively for the benefit of Michigan institutions of higher learning. WHAT IS A COMMUNITY FOUNDATION? A community foundation is a public charity that receives and distributes funds to serve the social, cultural, and educational needs of a defined geographic area. Each foundation has two major missions : to establish endowments to serve the local community now and in the future and to address community needs by providing leadership and resources. Community foundations have been instrumental in helping established institutions such as hospitals, muse ums, schools, institutions of higher education, and social agencies meet their goals and try innovative approaches to solve persistent local problems. Today, community foundations a re f uture-oriented, umbrella phila nthropic organizations that a ddress a variety of needs ranging from pav ing parking lots and funding symphonies to supporting economic development projects and establishing endowments for diseases such as Alzheimer's. �Unlike the United Way, which provides annual operating support to specific agencies, community foundation provide both immediate and long-term support to an unlimited number of programs, projects, and agencies. Their governing structure allows them respond quickly to the changing needs of the communities they serve yet provide ongoing support to programs warranting continued public attention . For example, just a few months ago, the Kalamazoo Foundation implemented the Hazelton Cork Substance Abuse Prevention Project in direct response to the nationwide and local concern about drug abuse. This pilot program educates students in three area high schools about the dangers of substance abuse. In addition, the Kalamazoo Foundation has been funding , since 1976, the Domestic/Sexual Assault Program housed at the Young Women's Christian Association (YWCA). This program, with over $295 ,000 in support from the Kalamazoo Foundation, has provided temporary shelter, food, and support services to abused women and children. Ultimately, it is the structure and the earning power of their endowments that make community foundations unique. When donors contribute, they can make unrestricted gifts or earmar k their contributions for one or more programs focusing on a particular i.ssue. Contributions are pooled with like donations and together earning power is increased. This system gives the donor complete control over how his/her donation is used and maximizes the benefit of the donation by increasing its earning power . At present in Michigan, there are thirty-two community foundations, with assets totaling $141,271,000 and annual grantmaking equaling $9 million . Nearly every major metropolitan area of the state except Lansing and the Upper Peninsula is served by a community foundation. (The Council of Michigan Foundations currently is working with individuals in Lansing and the Upper Peninsula to deve lop community foundations. ) WHY SHOULD CONTRIBUTORS TO COMMUNITY FOUNDATIONS BE ELIGIBLE FOR CHARITABLE TAX CREDIT? Community foundations develop and support many valuable programs--programs that otherwise would have to be provided by the State. For example, the Jackson Foundation funds an intensive j ob retraining program to help displaced homemakers enter the job market. The Community Foundation for Southeastern �Michigan provided a grant to the Warren/Connor Development Commission to initiate three neighborhood crime prevention programs . These programs all provide valuable serv ices that benefit the state immensely without any cost to state government. Community _foundations also develop and support innovative programs that will contribute to the state's economic stability in the future. Three examples are: An eleven-part series of seminars funded by the Berrien Community Foundation, Inc. to strengthen and make more effective and efficient nonprofit organizations in southwest Michigan, many of which use state funds Battle Creek Unlimited, funded by t he Greater Battle Creek Foundation, which has been very s u ccessful in persuading J apanese and German industries to build plants in Battle Creek (two from Germany and five from Japan to d a te) Jobs for Michigan Graduates, funded by the Kalamazoo Foundation, which teaches young people in the community the job r eadiness skills they must have to obtain employment Finally, by their very nature and location, community fo undations can better assess the needs of their community and determine which programs will most benefit to the area. For example, Battle Creek and Calhoun County's unemployment rate is well above average. The Greater Battle Creek Foundation, recognizing the special need in their community, established the Economic Development Fund to generate j obs by encouraging development in the downto wn business a r ea and helping community members obtain newly generated jobs . These programs a re excellent examples of how c ommunity foundations help the state withou t spending any state dollars. By including community foundations i n the list of organizations eligible for charitable tax credi ts, the benefi ts gain ed would increase substantially while the State would experience o n ly a slight cost increase. [NOTE : COST FIGURES TO COME.] �Including community foundations in the charitable tax credit would also be timely . The role of the community foundation is expanding in response to reductions in federal support to communities and the trend to returning responsibility and control of local programs toward cities and states. Legislation such as the Gramm-Rudman-Hollings bill and proposed budgetary policy shifts threaten to further reduce federal and state support for local human, social, cultural, and economic needs. Therefore, social responsibility is returning to the community and thus, in part, to community foundat i ons. The need for tax credit also has been increased by the federal tax reform bill, which reduces marginal tax rates and eliminates the charitable contribution deduction for nonitemizers. Lower marginal tax rates for both individuals and corporations will increase the after-tax cost of charitable gifts. A state tax credit for community foundation contributions can partially offset t he reduction in the federal tax incentive . It is now appropriate for state and local governments to step in and assume a responsibility previously the province of the federal government . WILL THE PROPOSED CHANGE IN THE CHARITABLE TAX CREDIT HURT OTHER MICHIGAN NONPROFIT ORGANIZATIONS? No. Nearly all organizations now eli g ible are education oriented. The l egislation gives charitable tax credits only to institutions of higher education (public and private), the Michigan Colleges Foundation, public libraries, and public broadcast stations. Donors historically have strongly supported such organizations since their f u nctions are specific and narrowly defined. Such support is likely to continue even with the addition of community foundations to the tax credit provision. WOULD THE TAX CHANGE ENCOURAGE CHARITABLE GIVING IN MICHIGAN? Yes. Changing the tax code to allow credits for community foundat i on . donations would help foundations generate additional support for much-needed community programs. Members of the community would be more willing to make donations because they could see directly the results of their charitable contributions . Likewise , such changes would provide an incentive f or giving by corporations and busine ss organizations that have not yet reached the tax credit limit; they would have an incentive to provide additional support to �communities in which their employees live and work. More contributions would, in turn, assure the future of organizations that that can identify and respond to the broad spectrum of community needs outside the reach of educational institutions, libraries, and public broadcasting. WILL THE PROPOSED TAX CHANGE LEAD TO FUTURE REQUESTS FOR SUCH REVISIONS? No. The Single Business Tax Act limits the tax credit to donations made to four types of organizations active in educational and cultural enhancement. Some may suggest that other charities in the state would wish to be included in the act if community foundations are included . However, it should be remembered that community foundations are unique. The scope of their activity within a community potentially includes all charities. For example, during its sixty years, the Kalamazoo Foundation has contributed nearly $54 million to a wide variety o f charities conducting projects that benefit the people of Kalamazoo County. In fact , all char ities that may wish to be listed in the act would be eligible to receive funds f rom community foundations. The net effect of the proposed amendments to Public Act 228 would be to provide support to Michigan communities at large without making additional state appropriations to local government entities or individual charities. Essentially, the legislation would shift funds to communities via community foundations through tax credits or relief and would also help put local c ontrol and decision-making back where i t is most effectively and efficiently administered--in the hands of the people. �Tab #4 Date: October 28, 1986 Memo to : From: Re: BOARD OF TRUSTEES William w. I am sure that all of your colleagues on the Board share your interest in this subject , so each will receive a copy of this letter. On or about May 15, 1986, Governor Thornburgh signed into l aw House Bill No . 1625, which states: (A) General rule---except as provided otherwise in this section, no person who serves without comoensation , other than reimbursemenc for actual expenses, as an officer, director or trustee of any nonprofit organization under section 501 (C)(3) of the Internal Revenue Code of 1954 (68A Stat. 3, 26 U.S.C. SOl (C) (3)) shall be liable for any civil damages as a result of any acts or omissions relating solely to the performance of his duties as an officer, director or trustee unless the conduct of the person falls substantially below the standards generally practiced and accepted in like circumstances by similar persons performing the same or similar duties and unless it is shown that the person did an act or omitted the doing of an act which the person w~s under a r ecognized duty to another to do, knowing or havino reason to know that the act or omission created a substantial ri sk of actual harm to the person or property of another . It shall be insufficient to impose liability to establish only that the conduct of the person fell below ordinary standards of care. (B) Exception---not hing in this sect ion shall be construed as affecting or modifying any exi st ing legal bas is for determi ning the liabil ity, or any defense thereto, of any nonprofit assoc i ation." �-2- We have discussed this with James Brennan, the College insurance agent from Brown, Fulford and Munsie. He states that trustees and officers can no longer be held personally liable, but the institution can be held liable. It should now be easier and less expensive to obtain coverage than it has been for the past year or so . Article IX of the College By- l aws pertaining to indemnificatio n of directors, officers and employees was added in 1975. It states: "ARTICLE IX INDEMNIF ICATION OF DIRECTORS , OFFICERS AND EMPLOYEES 1. The corporation shall have the power to indemnify any person who was or is a party or is threatened to be made a party to any threatened, pending or completed action, suit or proceeding, whether civil, crimi nal, administrative or investigative (other than an action by or in t he right of the corporation) by reason of the fact that he is or was a representative of the corporation, or is or was serving at the request of the corporation as a representative of another corporation, partnership, joint venture, trust or other enterprise, against expenses (including attorneys' fees) judgments, fines, and amounts paid in settlement actual ly and rea sonably incurr ed by him in connection with such act i on, su it or proceeding if he acted in good faith and in a manner he reasonably believed in, or not opposed to, the best interests of the corporation, and with respect to any criminal action or pro ceeding had no reasonable cause to believe his conduct was unl awf ul. The termi nation of any action, suit or proceeding by judgment, order, settlement, convi ct i on, or upon a plea of nolo contendere or its equivalent, shall not of itself create a presumption that the person did not act in good faith and in a manner whic h he reasonably believed to be in, or not opposed to, the best interests of the corporation, and with respect to any criminal action or proce_eding, had reasonable cause to believe that his conduct was unlawful . 2. The corporation shall have power to indemnify any person who was or is a party, or is threatened to be made a party to any threate ned , pending or completed action or suit by or in the right of the corporation to procure a judgment in its favor by reason of the fact that he is or was a representative of the corporation, or is or was serving at the request of the corporation as a representative of another corpor ation , partnership, joint venture, trust or other enterprise against expenses (including attorneys' fees) actually and reasonably incurred by him in connection with the defense or sett lement of such action or suit if he acted in good faith and in a manner he reasonably believed to be in, or not opposed to, the best interests of the corporation, and except that no indemnification sha ll be made in respect of any claim , issue or matter as to whi ch such person shall have been adjudged to be liable f or �-3- negligence or misconduct in the performance of his duty to the corporation unless and only to the extent that the Court of Common Pleas of the County in which the registered office of the corporation is located or the Court in which suit action or suit was brought shall .determine up o~ its application that, despite the adjudication of liability but in view of all ·the circumstances of the case, such person is fairly and reasonable entitled to indemnity for such expenses which the Court of Common Pleas or such other Court shall deem proper. 3. To the extent that a representative of the corporation has been successful on the merits or otherwise in defense of any action, suit or proceeding referred to herein, or in defense of any claim, issue or matter herein, he shall be indemnified against expenses (including attorneys' fees) actually and reasonably incurred by him in connection therewi th. 4. Unless ordered by a Court, any indemnification referred to herein shall be made by the corporation only as authorized in the specific case upon the determination that indemnification of the representative is proper in the circumstances because he has met the applicable standard of conduct set for th herein. Such determination shall be made : (1) By the Board of Directors by a majority vote of a quorum consisting of Directors who were not parties to such action, suit or proceeding; (2) If such a quorum is not attainable, or, even if attainable and a majority vote of a quorum of disinterested directors so directs, by independent legal counsel in a written opinion; 5. Expenses incurred in defending a similar criminal action, suit or proceedi ng may be paid by the corporation in advance of the final disposition of such action, suit or proceeding as auth6rized by the Board of Directors or other body in a specific case upon receipt of an undertaking by or on behalf of the representative to pay such amount unl ess it shall ultimately be determined that he is entitled to be indemnified by the corporation as authorized in this article . 6. The indemnification provided by this Article shall not be deemed exclusive of any rights to which a person seeking indemnification may be entitled under any agreement, vote of members or disinterested directors or otherwise, both as to action in his official capacity and as to action in another capacity while holding such office, and shall continue as to a person who has ce ased to be a representative and shall inure to the benefit of the heirs and personal representatives of such a person. This Article shall not affect the liability of a representative with respect to the administration of assets held by the corporation pursuant to those provisions of the Nonprofit Corporation Law of 1972 relating to the authority to take and hold trust property. �-4- 7. The corporation shall have power to purchase and maintain insurance on behalf of any person who is or was a representative of the corporation, or is or was serving at the request of the corporation as a representative of another corporation, partnership, joint venture, trust or other enterprise against any liab i lity asserted against him and incurr~d by him ·in any ~uch capacity, or arising out of his status as such, whether or not the corporation would have the ~ower to indemnify him against such liability under the provisions of this Article . Such insurance is declared to be consistent with the public policy of the Commonwealth." With so much journalism talent within the CMF membership, we will rely on volunteers. One of the following parties will sign all checks. Authorized parties will include staff, officers and trustees in geographic proximity to the CMF office. Staff: President *Member Services Director Trustees: Chairman Vice Chairman - Community Foundations The President will be responsible for okaying all expenditures. *B. CMF wi ll establish checking and savings accounts at Comerica Incorporated - Grand Haven under the following guidelines : 1. All funds over $1,000 to be deposited in Savi ngs Account. 2 . All funds not to be expended within a thirty day period, will be invested by the Treasurer and the President for the maximum prudent investment return. The President will advise the Tr~asur er of such funds . 3. Any investment will be made in Certificates of Deposit, Treasuries, and such other investment vehicles as provide essentially the same security. 4. The President wi l l be responsible for implementing this policy and maintaining all records. C. The CMF Treasurer will: 1 . Oversee preparation of all federal and state reports as necessary by government regulations. 2. Invest funds as outlined in B. 2 and 3. *3. Prepare financial statement quarterly . 4. New Services/Opportunities a. Computer Service CMF has the capability of now offering a mailing service to our members. Benefit Packages Several calls are received each month from foundations looking to increase their existing benefit package or hoping to find a new carr ier . A small co~~ittee has been formed to collect data and present a recommendation to the Membership Services Committee in spring. �c. Scholarship Program CMF is pleased to be able to offer community foundations with assets of less than $10 million as of 12/31/85 a reduced rate to attend the CMF annual conference, spring schools and other educational opportunities. Of the twenty-three CMF eligible member community foundations seventeen community foundations have participated d. National Philanthropy Day November 13, 1986 has been designated as National Philanthropy Day. Several CMF members are participating in these efforts to heighten awareness of the importance of philanthropy in the U.S. and to indirectly stimulate contributions in the future. The meeting was called to order at 8:30 a.m. by Ted L. Johnson, Chairman. Trustees present were William W. Allen, Sue Blandford, Leo J. Brennan, Jr., Nancy Feller, Allan J . Fletcher, Edward J. Frey, Judith S . Hooker, Ted L. Johnson, Howard D. Kalleward, Donald A. Lindow, John E . Marshall, III, W. Calvin Patterson, III, Carl F. Reitz, James M. Richmond, .Ranny Riecker , and Leonard W. Smith . Also present were Thomas W. Herbert , Treasurer, Jack E. Hopkins, Dorothy A. Johnson and Sandra G. Hussey, who recorded. Trustees absent were Herbert H. Dow , Willard J . Johnson welcomed everyone and thanked the CMF staff on behalf of the entire Board and seventy Western Michigan Community foundation trustees and guests for the wonderful and educational time everyone had while in Grand Haven. Mr. Homer C. Wadsworth, long time Director of the Cleveland Foundation, addressed "Community Foundation Giv ing and Grow ing" on Thursday evening , June 5, 19 86. Upo n motion duly maqe, sup ported and unanimously c arried, it was RESOLVED ·that the CMF Boa rd of Truste~s vo te a commendation for Ted L . Johnson, recipient of the Boy Scouts of America Silver Buffalo award, the highest award for volunteer service to youth made by the Scouts . Minutes Upon motion duly made, supported and unanimously carried, it was RESOLVED that the minutes of the February 13, 1986 meeting be approved as corrected. On page six, line fourteen, the word "stockholders" was replaced with "corporations." The changes have been proper ly recorded on the official copy of the minutes. Also on page six under New Business the motion not not ed should ha v e read RESOLVED that the Task Force to Improve Philanthropy in Michig a n Committee report be accepted . �-2- Treasurer's Report The financial statement of the period beginning April l, 1985 and ending March 31, 1986, a copy of which is appended to these minutes, was presented by Thomas W. Herbert, Treasurer. Mr. Herbert reported an opening cash balance on April l, 1985 of $27,117.52 and a closing cash balance on March 31, 1986 of $120,743.64. He further explained that the Michigan League for Human Services discovered an error in their accounting of the sale of the Michigan Foundation Directory, Edition IV and a check in the amount of $3,466.97 will be forthcoming, and will be reflected in the next CMF financial statement. Mr. Herbert explained the March 31, 1986 Balance Sheet; Statement of Revenue and Expenses and Changes in Fund Balance; Schedule of Revenue and Expenses and Specially Funded Projects; and Summary of Significant Accounting Policies, copies of which are appended to these minutes. Mr. Herbert reported on his internal audit ending March 31, 1986, a copy of which is appended to these minutes. Upon motion duly made, supported and unanimously carried, it was RESOLVED that the Treasurer's Report and Audit Statement be accepted as presented. Nominating Committee Mr. Allan J. Fletcher , Chairman, presented the Nominating Committee report, a copy of which is appended to these minutes . The Committee nominated the following officers to serve a one year term ending March 31, 1987. Richmond, Chairman, reported on the activities of the Committee, a copy of which is appended to these minutes. The �-3- Government Relations Committee recommends that the Board of Trustees approve the proposal to amend the State of Michigan, Section 38 of Public Act 228 of 1975 entitled "Single Business Tax Act," amended by Public Act 318 of 1980, to include contributors to a Michigan community foundation among those charitable organizations and institutions eligible to receive a state income tax credit. Mr. Jack E. Hopkins, Assistant Director, Kalamazoo Foundation and creator of the proposal, was present to discuss the proposal and respond to questions. Upon motion duly made, supported and unanimously carried, it was RESOLVED that the proposed community foundation tax credit case . statement include the definition of a community foundation as "a public charity with a publicly appointed board of trustees or a self-perpetuated board, " and be accepted. Mr. Richmond reported on other activites of the Government Relations Committee . Upon Mr . Frey's suggestion, all board members will receive a copy of the Foundation News article on the pr i vate foundation creation research project. Upon motion duly made, supported and unanimously carried, it was RESOLVED that the Government Relations Committee report be accepted. Membership Committee Mr. Donald A. Lindow , in the absence of Gilbert Hudson , Chairman, presented the Membership report, a copy of which is appended to these minutes. CMF membership is currently at 205 foundations, corporations and banks. Application for membership has been received from Michigan Health Care Education and Research Foundation, Inc . Mr. Hudson and Mrs. Johnson recommended that MHCERF be accepted as a corporate member foundation. The MHCERF meets all CMF membership eligibility criteria and has - expressed interest in learning more about the grantmaking educational programs. Upon motion duly made, supported and unanimously carried, it was RESOLVED that the Michigan Health Care Education and Research Foundation, Inc . be approved as a Member and that the Membership Committee report be accepted as presented. 14th Annual Conference Program Committee Mr. Leonard W. Smith, Chairman, presented the Conference Program Committee report, a copy of which is appended to these minutes . Mr . Smith reported on the conference t heme: "Grantmaking for Results : Identifying Ideas that Make the Differe nce" and highlighted the plenary speakers and concurrent sessions. The Program Committee recommended that the 14th Annual Conference budge t and registration fee schedule, a copy of which is appended to these minutes, be approved. Upon motion duly made, supported and unanimously carried, it was �-4- RESOLVED that the 14th Annual Conference budget and registration fee schedule be accepted as presented. Mrs . Johnson explained the CMF Member Community Foundation Conference Scholarship Program, a copy of which is appended to these minutes. CMF community foundations with assets of less than $10 million as of 12/31/85 would be charged a reduced registration fee to attend the 14th Annual Conference and other appropriate training opportunities. A pool of funds ($10,000} would be raised by CMF to support ·this effort. The Chairman of the Membership Services Committee will be responsible for the decision after staff review of each application. Upon motion duly made, supported and unanimously carried, it was RESOLVED that the CMF Member Community Foundation Conference Scholarship Program be accepted. Information Systems Committee Mrs. Ranny Riecker, Chair, presented the Information Systems Committee report, a copy of which is appended to these minutes. Mrs. Riecker reported that the Michigan Foundation Directory, Edition v has been published and complimentary copies sent to all CMF Members, Michigan Foundation Center Regional Collections and reviewers. The Committee expressed appreciation to Editor, Jeri L. Fischer, CMF Staff Associate, for a superb job, and to Robert E. Hencey, Director of Communications and Dissemination, W. K. Kellogg Foundation, for his design assistance. Mrs. Riecker reported that news releases have been received from the Midland media and are hopeful that other Michigan dailies and weeklies will follow using CMF Directory data . Mr. Richmond suggested that complimentary Directories be send to the press where feasible. CMF is continuing to sponsor and provide speakers at the "Stretching and Raising Dollars III" grantsmanship seminars and will also be providing foundation persons to address the Non-Profit Management workshops sponsored by Michigan League for Human Servi c e s and Accounting Aid Society . Upon motion duly made, supported and unanimously carried, it was RESOLVED that the Information System Committee report be accepted. Membership Services Committee Mr. Howard D. Kalleward, Chairman, presented the Membership Services report, a copy of which is appended to these minutes. Mr . Kalleward reported on the results of the 1986 Spring Schools, noting that all sessions were well received. As a result of the Spring Schools CMF has publishe d two Occasional Pape rs: "Corporate Giving" and "When the IRS Audits Your Foundation." These papers will b e released in July and will further enhance CMF's resource files. �-5- Detroit Area Grantmakers have concluded their 1985-86 series and plans for 1986-87 are underway. Mr. Marvin A. Frenkel will succeed Leonard W. Smith as Chairman. Mr . Kalleward reported that CMF is providing assistance to 10 community foundations who are submitting a proposal to the State of Michigan for funds provided to the State as a result of the Exxon Overcharge Case. Upon motion duly made, supported and unanimously carried, it was RESOLVED that the Membership Services Committee report be accepted . Old Business Increasing Philanthropy Committee Mr. Johnson reported that Dr . Russell G. Mawby, Chairman, W.K. Kellogg Foundation, has agreed to serve as Chairman of the Increasing Philanthropy Committee . This committee was formed to fulfill CMF's fifth purpose to increase private and community foundation and corporate grantmaking resources in the State of Michigan. Mrs. Johnson circulated a progress report, a copy of which is attached to these minutes. CMF Volunteers/ Insurance Volunteers working for CMF are covered under CMF's liability insurance therefore no additional coverage is necessary . New Business Committee Appointments Mr. Ted L. The changes included adding $24,000 in revenue and . expenses for printing the Survey of Michigan Foundation Philanthropy and an expanded versio n of the Proposal Process ($4,000); Office Automation equipment and software adjustments ($10,000) and Community Foundation Scholarship Fund ($10,000). Upon motion duly made, supported and unanimously carried, it was RESOLVED that the proposed budget revisions be approved. Indiana, Michigan, Ohio Community Foundation Initiative Mr. John E. Marshall, III, reported on the Initiative, a copy of which is appended to these minutes. Mr. Marshall explained that a group of Indiana, Michigan and Ohio private foundations, community foundations and CMF representatives have been discussing ideas on how to create new community foundations and/or enhance existing community foundations in the three state area. Upon motion duly made, supported and unanimously carried, it was RESOLVED that CMF explore the concept and further details on how and if CMF might participate. A thorough discussion on what would be accomplished and how CMF would be effected was held . Staff Educ ation/Training Mr . Thomas w. Herbert recommended that CMF begin to explore training and educational opportunities for staff that would be advantageous to the purposes served by CMF. Upon motion duly made, supported and unan imously carried, it was RESOLVED that the President be authorized to approve suitabl e training and educational opportunities. Trustee Involvement Mr. Herbert explained that it would be beneficial to CMF if each trustee would submit their biographies. In the event a "conflict of interest" or "liability" proble m would arise, documentation would be available. The arts panel and program was excellent and informative . - Moderators should identify available seating just prior to beginning session. Microphones really do help. -Best ever! -Putting program checklist on back of program is an excellent idea . Please continue to do so. -More question and answer time as well as more "free time." -Battle Creek people did a superb job of making us feel welcome.
