Romney Fund Mini-Grant allocation process. They reviewed 34 proposals, totaling over $75 ,000 in requests, that were competing for $25 ,000 in available funding. After a great deal of thought and discussion, the following eleven organizations were awarded grants: + EightCAP, Inc. (Greenville) + Garfield Park Neighborhood Association (Grand Rapids) + Kent County Literacy Council + Literacy Council of Midland County, Inc. + Literacy Volunteers of America - Sanilac Council + Michigan's Children (Lansing) + Michigan Literacy, Inc. (Okemos) + St. Vincent and Sarah Fisher Center (Farmington Hills) + South East End Neighborhood Association (Grand Rapids) + U.P. Children 's Museum (Marquette) + Volunteer Muskegon! Local volunteer centers are making excellent progress on their Romney Endowment Fund efforts, as well. To date, ten volunteer centers have reached their full $25 ,000 match. Eleven others are in various stages .of their fundraising process. If the caller is not currently served by a local volunteer center, they will be connected to Volunteer Centers ofMichigan (VCM). VCM will send the caller a volunteer guide, with a variety of suggestions for becoming involved in the community. The volunteer guide is being developed in partnership with the Michigan Community Service Commission and will be available June 30, 1998. Although 1-800VOLUNTEER is a national initiative, Michigan is the only state in the country that will have universal coverage, providing a critical point of connection for all Michigan volunteers! Nine representatives are elected for a three year term to represent their constituents on a national level, while three are appointed nationally. These representatives speak for other Points of Light Foundation member Volunteer Centers to nonprofit organization leaders, associations and other councils. The chair ofNCVC is a Board member of The Points of Light Foundation. Kathy Rossow, VCM member and director of the Southwestern Michigan Volunteer Center has just completed her term of service with NCVC, where she served as chair during 1997-98 . Aaron Cantrell, director of the Kalamazoo Volunteer Center, was elected in May 1998 to a three-year position representing our region. The 1998 Volunteerism SuperConference was held May 4-5 at the Lansing Center in Lansing, Michigan. Over 1,400 statewide participants attended the t\vo-day event, featuring keynote speakers General Colin Powell, Marcia Bullard, Dr. John Kretzmann and David Sawyer. The conference went extremely well (as is reflected in the attached evaluation summary), a pinnacle of volunteer and staff coordination among an expansive statewide collaboration. Our special thanks to Dr. Michael Tate, 1998 Volunteerism SuperConference Chair, and Jenni Holsman, Conference Coordinator, for their outstanding efforts. In May 1998, the official integration of MA VA (Michigan Association of Volunteer Administrators) as a program ofMNA was completed. In December 1997, the MNA Board ofTrustees approved the partnership with the statewide association, pending receipt of an acceptable audit ofMAVA's financial records. All paperwork has been submitted to MNA, and their funds have been transferred into the MNA account. We are currently conducting a MAVA membership drive, and will be meeting with the MA VA Advisory Committee in late June to plan strategically for 1998-99. I really liked the days you chose, Monday and Tuesday , it made it much easier for my family, and I liked being able to register on Sunday evening. More detailed list of evening activities with a map of locations would be nice. Possible "Hosts" that could help people organize trips to restaurants, museums, theatres, etc. Allow a moment of silence before lunch. As a youth volunteer and program coordinator I would have geared more topics for students to attend. Either more time or less participants on panels at workshops. Not enough issues/workshops pertaining to seniors. Seniors started this volunteerism not the youth, does the planning board of this conference know that? The excellent workshops were crowded and should have been offered a second time. Sessions were very basic, not for professionals, only for volunteers. I hope to send staff next year but will only if more advanced workshops dealing with training, recruiting, and supporting of volunteers are held. Shorten the lunch period for more or longer sessions and add cities to nametags. A great chance for communities to collaborate efforts. There is no place to comment on the food and facilities. The main hall was very cold and many of the small room were quite warm. The salads were wilted and the hot topics for all four sessions were completely packed and could have used much larger rooms. Time and length of sessions was good. Nothing went too long or too short. Sessions were great, very informative. Geared more towards the administrative/director side of the field. More sessions fore beginners was needed, like successful projects. Wanted to see more youth in the audience. I felt the keynote speakers were fantastic and inspirational for my work and personal life. The presenters were the best I have encountered in all of the many conferences I have attended. GREAT JOB I met people from a variety of backgrounds and found the conference as a positive, uplifting experience. The mix of schools, nonprofits and businesses was excellent. Well organized planned & executed. Mike Tate was excellent. The agenda contained very limited learning opportunities for educators. This was a frequent comment I heard. MI can greatly benefit from more conferences like this. I am leaving with a new outlook at the impact one person can have on a community. The variety was great-I have never been to a conference that allowed so many different need and communities to learn so much and work together so well. Welcome and Call to Order: The meeting was called to order by Chairperson R. Cole at 10:17 a.m. 2. Review of Minutes: The minutes of the December 2, 1997 meeting were approved as printed and distributed. 3. Chair's Report: R. Cole welcomed and thanked trustees for their attendance. He commented on the Volunteerism SuperConference scheduled for May 4 and 5th and thanked M. Engler for securing Colin Powell as the keynote speaker for this event. He acknowledged outgoing trustees J. Barrett, V. Carr, M. Kramer and D. Sieger for their service to MNA. R. Cole announced that the nominating committee was appointed to review and present nominations for board officer positions at the next meeting. R. Cole concluded his report by a gift presentation to MNA staff members M. Grill and A. Hegarty for their service to MNA. Both have accepted new jobs. R. Cole announced the next MNA Board meeting is scheduled for June 16, 1998. 4. President's Report: S. Singh acknowledged and thanked M. Grill and A. Hegarty for their contributions to MNA. He commented on the progress of MNA's evaluation being conducted by Formative Evaluation Research Associates (FERA). A questionnaire regarding MNA's programs and services was distributed to the board to be completed and returned to the FERA office. 5. Finance Committee Report: J. King reviewed MNA's financial statements ending January 31, 1998. J. King stated that MNA is waiting for a response from the Charles Stewart Mott Foundation on a $200,000 grant request for the Michigan Public Policy Initiative. Expenses for this project are being curtailed until further program revenue is received. He �also reported that staff has been reviewing year-end projections and anticipate a balanced budget. A motion to accept the finance report passed unanimously. 6 Nominating Committee Report: Sr. M. Kostielney presented Association Trustee nominations for the class of 2001 to the board: E. Slews, B. Boone, N. C. Anderson, K. Rossow, D. Silk, D. Price, M. Bassis. She also presented the nomination of M. Germano to the class of 2000. The board unanimously approved the nominated Association Trustees. Sr. M. Kostielney presented nominations for At-Large Trustees for the class of 2001: M. Allen, C. Bloodworth, M. Engler, W. Liebold, A. Petersen, J. Taylor and M. Wilson. The board unanimously approved the At-Large Trustees. S. Singh reported on the nominating committee's discussion of a younger person (age 18-25) serving on the MNA board. The MNA board approved a youth representative serving as a voting member of the board. The nominating committee was charged to make recommendation of a youth trustee candidate at a later meeting. 7. Audit Committee Report: D. Seaman presented MNA's June 30, 1997 audit report. The audit was prepared in accordance with general accounting standards. He stated that the yearend unrestricted cash/equivalent was a -37,795 as a result of a time-management matter and borrowing from unrestricted funds. MNA has solid permanent restricted funds. D. Seaman reported that the committee recommended the audit be completed in the fall and included as part of the fall or winter board meeting. A motion to accept the audit report passed unanimously. 8. Volunteer Centers of Michigan Report: R. Schultheiss reviewed VCM's activities for 1997-98. She updated the board on plans for the Volunteerism SuperConference on May 4 and 5 at the Lansing Center and thanked Trustee M. Tate for serving as the conference committee chairperson. R. Schultheiss updated the board on the Romney mini-grant award process and VCM Capacity Building grants. She also reported on the VCMAmeriCorps program. The new AmeriCorps grant started in January of 1998. To date the program has 15 part-time and 23 full-time members throughout the state. K. Rossow reported that the Points of Light Foundation will activate a national "1-800VOLUNTEER" toll free number in April. This service will connect callers to their local volunteer center to learn about volunteer opportunities. VCM will receive all calls for areas in Michigan that do not have a volunteer center. A motion to accept the report passed unanimously. 9. Michigan Campus Compact Report: A. Stone reported on MCC's activities. He noted that MCC's membership had increased to 27 higher education institutions. He commented on the MCC Venture Grant review process and MCC's work with the Fetzer Grant. MCC hosted a successful Faculty Institute in November and is preparing for its annual student recognition ceremony on March 28th. A motion to accept the report passed unanimously. 10. Nonprofit Outreach Report: A. Hegarty thanked the board for the opportunity to serve as a member of the MNA staff for the past five years. She referenced the Russell G. Mawby Award nomination form included in the board packet and encouraged nominations. The �annual award sponsored by MNA and the Council of Michigan Foundations will be presented at the Governor's Service Awards Dinner on May 4th at the Lansing Center in conjunction with the Volunteerism SuperConference. A. Hegarty reported that the Blue Cross Blue Shield partnership with the Michigan League for Human Services is working well and attracting new members. Also, MNA will present a series of regional trainings dealing with accounting and legal issues in late March and April. The MNA website is near completion and will be accessible within the next two weeks. A motion to accept the report passed unanimously. 11. Public Policy Report: S Singh reported on the March 6, 1998 MNA Public Policy Committee meeting. The committee reviewed House Bill 5568, a bill to amend Michigan's Charitable Solicitation Act. The committee recommended that MNA oppose House Bill 5568 due to new fees for nonproflts included in the Bill that do not provide any measures for public information. The MNA Board unanimously supported the spirit of the public policy's position D Seaman presented a paper prepared by Public Sector Consultants that reviews nonprofit conversions. The board discussed this issue and requested that this be an agenda item at their June 16, 1998 meeting. M. Soper commented on the Michigan Public Policy Initiative's progress. The membership application/flyer highlighted MNA's mission, affiliate members, benefits and services and offered a $25 discount off the registration fee for the 1998 Volunteerism SuperConference. As a result of this "limited time" promotion, MNA recruited 24 new members. As of May 30, 1998, MNA has increased its membership by 43 members, for a total of 464 members. MNA Member Update: MNA's monthly publication continues to keep members informed on public policy alerts and updates; mini-grant opportunities; calendar of events; classified ads; featured articles by guest authors, member benefits, discounts, and services; philanthropic news, new and renewed members, and various other topics of interest as they become available. 1998-99 MNA Member Directory: The second edition of the MNA Member Directory will be completed in July, 1998. The publication includes information about each member organization, MNA member privileges, programs, toll free telephone number and website, MNA Board of Trustees and staff, Michigan Campus Compact member institutions, and Volunteer Centers of Michigan members. A complimentary copy of the directory will be distributed to each MNA member as part of the member benefit program. To date, nine sponsors (totalling $5,650) have reserved ad space in the directory in exchange for their financial support of this MNA publication. Nonprofit Management Training Resource Catalog: A consortium composed of the Council of Michigan Foundations (CMF); MNA: and Presidents Council, State Universities of Michigan developed this catalog with grant support from the W.K. Kellogg Foundation. The catalog serves as an excellent resource for nonprofit organizations and available via the World Wide Web. MNA members received a copy with their June Member Update. 1998 Michigan Association & Nonprofit Compensation & Benefits Survey: MNA, in partnership with the Michigan Society of Association Executives (MSAE), has released the 1998 MSAE/MNA Compensation & Benefits Survey, a comprehensive statewide salary study of senior association and nonprofit management staff. The results are categorized by organization, budget, scope, staff position, and years in position, and provides a benchmark for human resource management information on 30 employment positions. MNA members who participated in the study will receive a complimentary copy of the survey along with a "confidential" individual analysis comparing their base salary with similar positions. The information provided for this survey is confidential and used solely to compile survey results (contracted by Management Resource Centers, Inc. an independent consulting firm). Member cost: $75 and Non member cost $ 100. Adrain College: Service for Responsible Lives The goals of the Service for Responsible Lives project are to: 1) Integrate a service learning model into the Adrian College curriculum; 2) Bring Adrian College students, faculty and staff together in a collaborative effort to enhance their community outreach initiatives; and to 3) Place college student volunteers in a variety of non-profit agencies throughout Lenawee County. This will be accomplished through providing faculty workshops, hosting guest presenters and providing developmental mini-grants, as well as distributing a service learning resource manual. Allocation: $2,500 2. Central Michigan University: International Service Learning in the Helping Professions The goal of this grant is to create an interdepartmental course titled International Service Learning for the Helping Professions. This course allows students from various disciplines to participate in an international service-learning experience and receive academic credit. It will also be a prerequisite for any student doing an international service-learning project. Central Michigan University hopes to strengthen and expand cooperative ties overseas where educational programs are already established. Allocation: $2,315 3. Grand Rapids Community College: Learning, Leading, and Serving Program This grant would allow the Office of Student Activities and Service Learning an opportunity to design and implement a new servant leadership development program. This program will require a yearlong commitment from 50 students to participate in a fall semester leadership seminar series that will prepare them for a spring semester community service project. Each participant will also have additional opportunities to be exposed to many other leadership development experiences throughout the year. Allocation: $1,650 4. Eastern Michigan University: America Reads Research Little is known about the impact of university tutors on the children in AmericaReads programs. The tutors reflect a variety of majors, receive various degrees of training, and tutor in school-day programs, after-school programs and community sites. The Eastern Michigan University AmericaReads Evaluation Project explores the literacy tutoring effectiveness of 30 AmericaReads community service tutors. The results will be used to modify training and activities as indicated and disseminated to others administering AmericaReads programs through the AmericaReads ListServ and similar dissemination opportunities. Allocation: $2,500 �5. Olivet College: Club Serve Students Organizing Community Service (SOCS), formed in 1996 has as its mission to bring the campus community together through community service and volunteer activities. In an effort to coordinate community service activities, SOCS is proposing the establishment of Club Serve, an office dedicated to assist students in finding service opportunities. This office would serve to centralize the service projects on Olivet's campus. By creating this office, all students, regardless of their involvement in clubs or organizations, would have access to the many community service projects on campus. In addition, several annual service projects would be coordinated, bringing the campus together on a regular basis to engage in service together. Allocation: $2,500 6. University of Michigan: Classroom Partnership Students Establishing Educational Dreams (SEED) is a University of Michigan student organization dedicated to helping young children realize the importance of education. Through the Classroom Partnership program, student organizations will be matched with classes from Noble and Stellwagen Elementary Schools'in Detroit. Each month the University of Michigan students will work with children on hands-on academic activities. By exposing children to positive role models, SEED hopes to plant in the minds of children the benefits of hard work and dedication in school. David Fry, President of Northwood University and Eric Gilbertson, President of Saginaw Valley State University became members following the May 11 Council of Presidents meeting. GRANTS McGregor Fund Michigan Campus Compact received a grant from the McGregor Fund for $75,000 to be paid over three years. The grant will be used to fund Venture Grants to higher education institutions in the metropolitan Detroit area and is intended to encourage additional institutions in this region to become members of Michigan Campus Compact. Corporation for National Service Learn and Serve America: Higher Education Grant Michigan, Indiana, Ohio and Illinois Campus Compact organizations have reapplied for year two funding for the Midwest Collaboration: Advancing Service-Learning Through University Citizenship grant. The focus of this grant is to provide faculty with professional development and course development support while working with colleges and universities to institutionalize community service and service-learning on their campuses. MCC should receive notice regarding the renewal of the grant in early September. • • Scholarship of Engagement (Round Two) Grants, totaling $8.835. were awarded to six faculty members who will be infusing service-learning into their course curriculum, research, or professional service during round two of funding. There was a total of $25,349 requested by 14 institutions of higher learning in the state. These funds will be utilized from March 1, 1998 - June 30, 1998. MCC Faculty Fellows who received grants to develop a service-learning course, conduct research around the class topic, and do professional service with a community agency have met as a community of scholars. Their discussion focused around challenges, innovative strategies and theory of service-learning. They will be meeting again on June 18-19 to continue their discussions and to share their findings. Fetzer Institute Grant The John Fetzer Institute awarded MCC a $90,165 grant for Exploring the Connections of Spiritual Formation and Service within Collegiate Service-Learning Communities. Michigan Campus Compact selected eight faculty members who are engaging in scholarship around some aspect of spirituality and service-learning. These faculty members met at the Fetzer Institute on Friday, February 20 to discuss their projects, to form a network and to discuss the specifics of the monograph to be published. The grant recipients will meet again in May to share their initial draft chapters of the monograph. To date, MCC has hosted three of the four renewal retreats at the Fetzer Institute. The Student Community Action Network (SCAN) renewal retreat was held on February 20-22; the Faculty renewal retreat was held on February 27-March 1; and the Campus Compact (network directors and national staff) renewal retreat was held on March 20-22. The SCAN retreat was facilitated by George Otero, founder and director of las Palomas de Taos, a nonprofit residential educational center devoted to innovative educational programs that increase people's understanding of the world. Cheryl and Jim Keen hosted the Faculty retreat. �Cheryl also hosted the Campus Compact retreat. Cheryl and Jim are co-authors of Common Fire: Lives of Commitment in a Complex World. They currently share a faculty position at Antioch College, where Cheryl teaches in the Self, Society and Culture department and Jim in the Social and Global Studies department. The retreats were extremely well attended and provided an opportunity for deep, meaningful reflection for the participants. They had time to reflect on why they were involved in service and to strengthen their call to service as well as to begin or build on friendships among colleagues. Venture Grant Cycle 16 The MCC Venture Grant Cycle 16 RFP's were distributed on February 20, and were due April 17, 1998. Seven proposals were submitted with a total request of $17,500. Approximately $15,000 is available for Venture Grant Cycle 16 through the Marriott Corporation and the David Whitney Fund. Financial awards ranged up to $2,500. Final approval was given to six institutions for full or partial funding totaling $13,965. The grant cycle begins on August 1, 1998 and concludes on May 31, 1999. PROGRAMS Midwest Presidents' Leadership Colloquium The 1998 Midwest Presidents' Leadership Colloquium will be held on June 22, 1998 from 9:00 a.m. - 4:00 p.m. President Edward A. Malloy at the University of Notre Dame will host the Colloquium. There will be a series of keynote addresses and discussion sessions around a variety of topics pertinent to college and university presidents. The keynote speakers will be Martha Nussbaum and Lou Nanni. There will also be a panel discussion on "The Future of Campus Compact". All presidents in the state are invited to attend. The Colloquium is co-sponsored by Campus Compact, the University of Notre Dame and the Illinois, Indiana, Michigan, Minnesota, and Ohio Campus Compacts. Midwest Community Service Directors Conference The 1998 Midwest Community Service Director's Conference will be held on Thursday, August 6-7 at Northwestern University in Evanston, IL. The conference is for professionals and graduate students who coordinate community service and service-learning experiences on college campuses in the Midwest. The goal of the conference is to provide participants with a keynote presentation, opportunities to network with colleagues across the Midwest, and to gain and share valuable information on relevant service-related issues. Service Leadership Camp The 1998 Service Leadership Camp will be held on September 18 through September 20, 1998 at YMCA Storer Camp in Jackson, MI. The leadership camp is designed to provide an opportunity for campuses to develop their community service plans for the upcoming school year as well as to develop their teams and to network across the State. Registration information has been sent to all higher education institutions in Michigan. There will be a differentiation in registration fee for members and non-members. 1998 Faculty Institute on Service-Learning ^ Next year's Institute will be held at Olivet College on December 4, and will be keynoted by Dr. ^ Parker Palmer. Dr. Palmer is a writer, teacher, and activist who works independently on issues in education, community, leadership, spirituality, and social change. His recent book titled The Courage to Teach: Exploring the Inner Landscapes of a Teacher's Life was just released. Faculty/Staff Community Service-Learning Award Nominations for the 1998 Faculty/Staff Community Service-Learning Awards were distributed in February' and are due in Mid May. One faculty or staff recipient is named from each of the �member campuses. Recipients will be recognized at the Faculty Institute on Service-Learning, December 4. Annual Student Recognition Ceremony Over 100 people attended the 1998 Annual Student Recognition Ceremony held on Saturday, March 28 at the Kellogg Center in East Lansing. One student from each member institution received the Outstanding Community Service Award and four students received the Commitment to Service Award. President Alan Stone, Chair of MCC, presented the students with their awards. Ann Arbor Community Foundation has contracted with a consultant to assess community need and determine next steps in the possible reopening of a volunteer center. Highlights of initiatives and activities: > Volunteerism SuperConference: March 10-11, 1997; over 600 participants attended our first statewide conference which received very favorable reviews. > George W. Romney Fund Endowments: 18 applications received from current volunteer centers totaling $450,000; $112,500 released in 1997; $300,000 remains in fund for future allocations. > ConnectMicbigan: The ConnectMicbigan campaign for volunteerism was announced at the October 20, 1997 Launch of America's Promise in Michigan. This campaign will be fully operational by spring 1998, including radio and television psa' s, billboards, and promotion of a " 1-800" volunteerism hotline. » VCM AmeriCorps - 15 full time and 22 part-time members served in ten communities to promote youth vo1unteerism in schools, agencies, and community events. Development of youth projects and strengthening volunteerism infrastructure led to increased collaboration and intergenerational projects within communities. » New Partnerships VISTA - 15 members in 5 communities focused on the promotion of community collaboration in economically disadvantaged areas and youth involvement in community change. (Partnership with MCSC and CMF.) �~ Make A Difference Day - October 25, 1997; all member volunteer centers participated in the seventh annual event; through our continued partnership with MCSC and other state organizations a total of over 200 projects were completed statewide. ~ "Sink or Swim: The Tide of Volunteer Management"- over 100 participants statewide attended our four regional workshops held in October and November, focusing on 'The Four R's" of basic volunteer management; family, employee and youth volunteerism; and community collaboration. ~ "Working Together Works! Promoting Community and Volunteer Partnerships": FIA's MPCB/ Volunteer Conference, held on Tuesday, October 21, 1997 at the Lansing Center involved over 300 participants, including representatives from 21 volunteer centers. Focus ofVCM involvement was through the planning committee, with the emphasis of attendance on improved cross-sector partnerships and collaboration. ~ MAVA Partnership: Approval by the MNA board (December, 1997) finalized the partnership with the Michigan Association of Volunteer Administrators (MAVA). MAVA funds will be transferred to MNA upon completion of an acceptable audit and MAVA members will now be recognized as MNA members. Similarity of membership needs and program mission aligns MA VA closely with VCM through member support services and technical assistance. ~ Capacity Building Grants: Final reports were received and approved for the 1996-97 award recipients (totaling $35,000) and the process for 1997-98 allocations ($15,000 remaining in fund) was started. Ref: slwinwordlcommitelvcm/97ovrvw 2 �Volunteer Centers of Michigan Capacity Building Grant Recipients 1997-98 In its efforts to strengthen existing volunteer centers, Volunteer Centers of Michigan (VCM) in partnership with the Michigan Nonprofit Association secured $50,000 from the W.K. Kellogg Foundation to develop a capacity building grant process. $35,000 was disseminated in phase one (1996-97), with the remaining $15,000 being reserved for phase two (1997-98). In keeping with the spirit of the Volunteer Center 2000 vision, a concept that was developed through the Points of Light Foundation in partnership with local volunteer centers, VCM adapted seven capacity building themes which were applied to both of the capacity building grant cycles. Michigan's local centers were strongly encouraged to submit proposals that fell into one or more of the following areas: leadership, collaboration, diversity, fund development, marketing, impact evaluation, and technology. Six volunteer centers were funded through phase two of the capacity building grant process: Volunteer Center of Isabella County (Mt. Ple.a sant): $3 ,000 to assist with technology and hardware upgrades, which will result in more effective local marketing efforts and the refinement of their youth volunteer program. In addition to improved volunteer referral and tracking mechanisms, the center will develop and disseminate a Youth Volunteer Guide to Service. The Resource Center (Flint/Genesee County): $3 ,000 to assist with the purchase and installation of a computer system with a local area network (LAN) capable of housing a comprehensive database and information and referral system. The Resource Center will play the lead in the Greater Flint community in ongoing asset mapping of youth services and volunteer opportunities, and in compiling directories important to initiative building and volunteer placement. Volunteer Center of Otsego County (Gaylord): $3,000 to assist with the purchase of a computer, printer and Volunteer Works Software for this new center, and to provide training for two staff members which will establish a volunteer management information system that will support the programmatic objectives of the center. Volunteer Center of Lapeer County: $3,000 to assist with their volunteer management technology upgrade. An improved volunteer referral and matching system will allow them to be more efficient and effective, making more appropriate placements to a larger number of partner agencies. Improved technology will also assist them in their marketing efforts. Voluntary Action Center of Greater Kalamazoo: $2,000 to assist with technology upgrade (hardware) and an improved volunteer referral and tracking mechanism. Technology upgrades \vill increase staff efficiency and effectiveness, allowing the volunteer center to better serve individuals, groups and agencies throughout their service area. The upgrades will also allow the center to track referrals, determine actual placement, and measure impact. Volunteer Services of United Way (Traverse City): $1,000 to assist with the initial stages oftheir corporate volunteer council development. However, PSC believes that the policy questions that arise can often be asked of other non-health related nonprofit conversions. To help your board develop guiding principles on nonprofit to nonprofit and nonprofit to for-profit conversions, this memo outlines several critical policy questions that must be considered. In our discussion, we will not attempt to answer these policy questions; rather, we will outline the scope of the debate. At the end of the memo, we have included summaries of existing Michigan legislation and a brief discussion of legislation from other states; unfortunately, nearly all of the national legislation applies to hospital or health plan conversion. PSC identified the following policy que tions during our review, which can be a ked of both nonprofit to nonprofit and nonprofit to for-profit conversions: • • • • • • How is conversion defined? What existing power does the Michigan Attorney General have to regulate nonprofit conversions? Should there be public access to conversion documents and/or mandatory public hearings about the conversion? Should there be government review of conversions? Background The increased public attention on nonprofit conversions in the past several years can be traced to the growing number of conversions of nonprofit hospitals and health plans to for-profit tatu . According to the New England Journal of Medicine (8/1/96), for-profit ownership of ho pi tal reached a peak in 1986, when 14 percent of general acute-care facilities were owned by for-profit entities. During the late 1980s, excess capacity, unprofitable joint ventures, and competition for market position among for-profit hospital chains diminished the attraction of investors w forprofit entities. But the same forces that acted against the for-profit hospitals in the late 1980s began to drive for-profit companies' acquisitions of nonprofit hospitals in the 1990s. In 1994 there were 34 conversions of nonprofit ho pitals to investor-owned facilities; in 1995, 48 conversions; and in 1996, the latest year for which data are available, the number ro e to 63. The flurry of nationwide legislation on conversions stemmed from the fact that nonprofit hospitals and health plans in several states were negotiating sales to for-profit corporations with little or no public scrutiny. Often, public and state government regulators were unaware of negotiations until a deal was completed. In other cases, board members and administrator of the converting nonprofits were receiving sizable financial benefit (private inurement) from the forprofit buyer, and in many, the secret transactions were resulting in the nonprofit's charitable as ets being diminished considerably. It is within the context of regulating nonprofit to for-profit ho pita! and health plan conversion that legislators also began discussing broader government oversight of other conversions and mergers involving nonprofit organizations, including conversions to another nonprofit. Policy Questions How does one define conversion? While conversion undoubtedly applies to the transfer of assets from a nonprofit to a for-profit organization, some also use the term more broadly to include any merger, joint venture, or consolidation of assets, regardless of whether the parties are nonprofit or for-profit. Under this broad definition, the merger of two non profits are considered conversions. As policymakers grapple with the question of regulating conversions, they must decide whether to adopt the narrow or broad definition of the term. The narrow definition, some argue, is the only appropriate definition because it is limited to the loss of the nonprofit assets (i.e., dissolution of the charitable trust that holds the assets). Because the community is "losing" assets and associated services which the community previously enjoyed. supporters of the narrow Page 2 �definition argue that it is appropriate for the AG' s office to ensure that any conversion protect the community's investment. Narrow definition supporters also point out that mergers between two nonprofits sti ll result in community assets being held by a nonprofit corporation. Since the charitable trust status of the assets remains es entially unchanged, the community' a et are protected and there is little need for the government to be involved. But supporters of the broader definition of conversion point out that a nonprofit to nonprofit conversion may effectively transfer control of those community assets outside of the original community. A nonprofit hospital in a small town that merges its assets with those of a large nonprofit health system in the same county may later be closed to eliminate duplicate ervice offered by the larger hospital. In this case, upporters of the broad definition argue, the community has effectively lost both its assets and the services those assets provided over the years; the community therefore has a right to oversight of nonprofit to nonprofit conversions, too. Regardless of whether regulators or legislators apply the narrow or broad definition of conversions, many of the same policy issues outlined below apply. Both nonprofit to nonprofit and nonprofit to for-profit conversions may, for example, conduct negotiations in secret without notifying the affected community, undervalue the nonprofit's assets, or have difficulty defining the community benefits that will remain as a result of the merger or conversion. W1zat existing power does the Michigan Attorney General have to regulate nonprofit conversions ? The Michigan Attorney General (AG) draws power in this policy area from three general laws: • • • The Supervision of Trustees for Charitable Purposes Act (the Charitable Trust act) applies to trustees• of most charitable activities 2• The act, however, specifically excludes hospitals from several key reporting requirements, and therefore this act alone appears to grant the AG less authority over hospital activities than other charitable activities. The Dissolution of Charitable Purpose Corporations Act (the Dissolution act) specifically covers conversions of nonprofit assets to for-profit assets and grants the AG power to review all deals where the charitable trust holding the nonprofit assets disappears. The Consumer Protection Act, one of the strongest in the nation, grants the AG broad power to intervene in actjons on behalf of Michigan consumers. The law defines a trustee as "any individual, group of individuals, association, foundation. trustee corporation, corporation, or other legal entity holding property for any charitable purpose." 2 Among other exemptions, the law does not apply to federal or state agencies or governmental subdivisions or to charitable corporations "organized and operated primarily as an educational institution, including amateur theater, band and orchestra corporations. a religious organization or hospital." Page 3 �Becau e the charitable tru t holding a nonprofit's assets is dissolved in a nonprofit to for-profit conversion-thereby subjecting the transfer to the Dissolution Act-such conversions are crutinized by the AG's charitable trust divi ion. However. the merger of two IZOilprofits is handled by the mergers and acquisitions division, not the charitable trust division , because the assets are till held by a charitable trust. Regardle s of which divi ion handles the case, the AG sti ll has broad power under the Charitable Trust and Consumer Protection acts to intervene if desired. But the AG faces limited resources with which to protect the interest of Michigan consumers. Determining the fair market value (FMV) of assets, for example, is a task for which the AG's office must rely on external experts m ubstantial cost to the office. Should there be public access to conversion documents and/or mandatory public hearings about the conversion? For the purpose of discussion, public participation in the process can be divided into four tiers: • • • • Public hearings Public disclosure of the terms of the conversion and valuation of assets Opportunities for public scrutiny of the terms and public input Opportunities for substantive public input on the structure, purpose, governance, and accountability of the resulting charitable foundation (if established after the conversion) Those who answer in the affirmative argue that-regardless of the tax status of the purchaser and whether it is a community-based entity-accountability for a community's charitable assets demands that community members be able to discuss with potential purchasers and each other the implications of a conversion, that the transaction be public, and that a commitment to maintaining and enhancing access to and quality of services provided should be required. Tho e who hold this view often support the argument that documents and discussions relating to conversions hould be subject to the Freedom of Information and Open Meetings acts . Those who argue against public participation and disclosure often argue that nonprofit board members, as public representatives, are well-suited to make informed, appropriate decisions concerning the future of the organization. They also may suggest that prematurely subjecting certain documents and discussions to public scrutiny may undermine the conversion-related negotiations process as well as release private or proprietary information. There is ample ground between these two positions. Some of the proposed Michigan laws governing hospital conversion require a public hearing but do not require public release of the conversion contract. The Michigan AG, for example, routinely enters into non-disclosure agreements when reviewing conversion documents; the AG's responsibility to act on behalf of the people, supporters of the practice argue, provides adequate public disclosure. Page4 �Should there be government review of conversions? Those who favor government oversight argue that it is necessary to assure that the value of a nonprofit's assets is not adversely diminished as a result of a conversion to either a for-profit or another nonprofit entity. Supporters argue that among government's primary roles is to protect the people-including their charitable interests. Even in the case of nonprofit to nonprofit conversions, supporters argue, there is no guarantee that the community will be better erved a a result of the transaction. Therefore, government oversight is necessary. When nonprofit organizations converge with other nonprofits, those who oppose government review argue that both organizations already share a mission to meet their community's needs and are subject to existing state and federal statutes that regulate mergers and acquisitions. Other opponents point out that government review is unnecessary because the nonprofit's trustees have fiduciary responsibility to protect the nonprofit's assets and further its mission. Therefore, it is in the board's best self-interest to approve only a conversion that fairly values the nonprofit's assets and protects its mission or the board itself may be found liable. Government oversight duplicates the job that nonprofit trustees already have. Another issue surrounding government oversight is the threshold at which the government becomes involved. Some of the Michigan bills set the threshold at a transfer or sale of assets valued at more than 50 percent of the aggregate value of all assets, while other bills define the threshold as "selling, transferring, leasing, exchanging, optioning, conveying, or otherwise disposing of a material amount of its assets." Others argue that any transfer, especially one from a nonprofit to a for-profit, should involve government oversight (and potentially approval). If government regulation of a conversion is necessary, which government department should be responsible for it? In Michigan, the AG is responsible for regulating nonprofit organizations and protecting consumer interests. In the case of hospital or health plan conversions, Michigan also grants powers to the Department of Community Heal th-which is responsible for ensuring the quality of public health-and the Department of Consumer and Industry Services-which is respon ible for licensure and regulation of health facilities. A major issue with hospital or health plan conversions, therefore, is deciding which of the three bodies should have regulatory jurisdiction. Depending on the nature of the entity that is converting (e.g., its function relates to education, public welfare, etc.), a similar jurisdiction question may arise with other nonprofit conversions. How should fair market value of tile nonprofit's assets be determined? Properly valuing the assets of a nonprofit is an extremely difficult process. Valuing only a nonprofit health plan or insurer's tangible assets often leaves out the value of its client base or its affiliations (such as the powerful Blue Cross/Blue Shield logo). Valuing a nonprofit based on the selling prices of other companies engaged in similar lines of work is often difficult because nonprofits may provide services not found in other markets or offered in the same manner. Using other financial models such as discounted cash flow analysis or total operating revenues expected under the new for-profit corporation can be extremely difficult as all parties argue over Page 5 �the effects of unknown shifts in future lines of business, service offerings, or component prices. Recognizing the difficulty in determining FMV, some foundations are funded through a combination of cash payments and stock in the resulting for-profit entity, with the total value of cash and stock equal to I00 percent of the nonprofit' s FMV. The 1991 sale of Health Net, a nonprofit health maintenance organization (HMO) in California, was one example. The final transaction approved by regulators included a cash payment of $300 million (representing 20 percent of the HMO's value) and an 80 percent equity stake in the new for-profit business. Together, the cash and stock formed the endowment of the newly-created Cali fornia Wellness Foundation-which as of early 1997 had assets between $800 and $900 million. Thi combination of cash and stock helps assure that the appropriate FMV is established. If the parties to the transaction and regulators have underestimated the value of the nonprofit, then the resulting increase in the for-profit entity's share prices will recover at least part of the undervaluation for the community foundation. And if the parties overvalued the transaction, the resulting decrease will similarly reflect the true asset value. Regardless of which method of determining FMV is used, many believe that an independent entity-a third party-should be involved to help the state ensure that the assets were properly valued by the buyer and seller as part of the conversion. Again, policymakers must determine which government agency should be responsible for the valuation; whether the agency may conduct the assessment itself or contract with another entity for that purpose; and whether the purchaser, seller, or agency should pay the cost of the state's independent review. Should organizations that are undergoing a conversion have to report their community benefits? The central concern about nonprofit conversions is that the organization's charitable assets held by the community will be lost either ( I) to large national for-profit corporations which must answer to stockholders rather than the needs of the community in which the nonprofit organization is located, or (2) another nonprofit not based in the same community-or potentially even the same state-where the assets are located. Some advocates for strong conversion oversight call for the buyers to submit to regulators a detailed community-benefits plan, which spells out clearly how the buyer will maintain or enhance existing services necessary to meet the health needs of the community, even if the services in question do not make a profit for the organization. Such services are at the heart of what many believe is the charitable mission of nonprofits, and by requiring them to inventory and report the services they provide, regulators can assure that no services are lost as the result of a converston. Page 6 �Defenders of for-profit practices respond that policymakers must not lose sight of the fact that for-profit entities pay taxes, and when taxes paid are counted as a community benefit, for-profits often in fact offer more community benefit than do nonprofits. They point out that standardized community-benefit calculations will allow the public to properly compare organizations; in this they are joined by many opponents of nonprofit conversions to for-profits, who agree all organizations must be accountable for the community benefits they provide. What constitutes a community benefit? Like the term conversion, policymakers are grappling with how to define community benefit; unless they are able to do this, there is no way to know what exactly is gained or lost when a nonprofit becomes for-profit or joins another nonprofit organization. The narrow definition of community benefit includes only charity care (care that organizations provide with no expectation of reimbursement) and related services to the poor and underserved. The broader definition adds to the narrow definition services to the greater community such as research, education. and other programs. The Michigan Health and Hospital Association, the Voluntary Hospital Association, the Catholic Health Association, and most health care professionals in Michigan and nationwide advocate for the adoption of a broader definition. Specifically, these groups argue that the following services hould be considered community benefits: • • Indigent care The unreimbursed cost of providing free or discounted services. Unpaid public program costs The "shortfall" created when an organization is not • reimbursed for the full cost of the services it provides. This category includes financial losses from such programs as Medicaid and Medicare. Community services The unreimbursed cost of activities carried out for the express purpose of improving a community's health and/or quality of life (e.g., providing free emergency care and providing literacy training). Whether taxes should be included also is an issue in the definition of community benefit. Many people argue that taxes are a community benefit because after they are collected they are used to fund various government programs, many of which help people both inside and outside the forprofit organization's home community. Others argue, however, that taxes are not a community benefit-rather, they are an obligation that must be paid. Community benefits, they claim, are distinct from taxes in that they target specific needs of an identifiable population. Should private citizens benefit from the sale/conversion of a nonprofit organization? In some instances, board members and administrators of converting nonprofit organizations have received sizable financial benefit (private inurement) from a for-profit buyer, and in many, the secret transactions have resulted in the nonprofit's charitable assets being diminished considerably. Page 7 �Many people consider private inurement unethical because they believe that a board member's decision to allow the conversion should be ba ed solely on the po sible benefits to the community and not to him/herself. Further, they argue that inurements are illegal; as required by law, conversion of a nonprofit organization should result in the placement of assets in a community foundation that will use them to continue the entity's original charitable purpo e. How should a community foundation's funds be used? Typically, some portion of the proceeds from the sale of nonprofit organizations is deposited in a foundation which is required to use the money in a "substantially simi lar" way as the nonprofit. However, defining these activities is a marter of great debate. As long as the previous nonprofit and the foundation both share a mission of improving the community's health, for example, orne argue that the foundation has full discretion to choose how it fulfills its mission; the foundation could choose to fund activities regardless of whether the previous nonprofit did the arne. Others believe that the foundation should follow a stricter interpretation of the original nonprofit ' mission by only providing services that are similar to what the nonprofit provided. If the nonprofit health care facility provided free care to the poor, for example, the foundation should reimburse the resulting for-profit health care entity for the same. Still others believe that a strict interpretation hurts a community by artificially limiting the services the foundation could provide. As long as the funds are used to serve the public, these people argue that it should not matter for what purpose they are being used; the foundation could be providing a community benefit that was not identified by the previous nonprofit. Another issue is whether any of the proceeds stemming from a nonprofit conversion to either a for-profit or another nonprofit entity should revert to state government. Supporters argue that all communities will stand to benefit if this practice occurs because the government will have more funds for its public programs. Opponents argue that all assets of a nonprofit organization hould remain in the community in which that entity existed. How should the resulting foundation be funded? Nearly all parties agree that a new nonprofit entity or charitable fou ndation should be establi hed to hold the proceeds from the sale of the nonprofit's assets. However, substantial disagreement exists as to what percentage of the sale proceeds should be deposited into the new nonprofit or foundation . Some argue that all proceeds should be directed to the foundation to compensate the affected community for the lost assets. Others argue that at least a portion of the assets should be directed to the state treasury as partial payment for the tax liabilities waived in previous years. There is little evidence of any common percentage dedicated to such purposes; details have varied both by state and individual transaction. Current Michigan Legislation The conversion bills that have received the most attention to date in Michigan are SBs 743-6. According to the bills' sponsor, SBs 743-6 represent the best common ground on hospital conversions in Michigan, with the notable exception of whether the legislation should cover all hospital conversions or just nonprofit to for-profit conversions. At this time, the bills only cover Page 8 �the latter. ln commitree hearings in October and November of 1997, the issue proved to be very divisive among members of the Senate Committee on Health Policy and Senior Citizens, with some members indicating that another set of bills likely would be introduced to deal only with nonprofit-to-nonprofit conversions. SBs 743-746 require conversion of nonprofit hospitals to for-profit status to obtain prior approval from both the Michigan AG and Michigan Department of Community Health (MDCH). In general. the bills attempt to accomplish the following two major objectives: • • Preserve charitable assets in the community Protect community members' access to quality health care To accomplish this objectives, the bills require • • • • • mandatory public hearings on proposed sales; government review of the transaction·, to ensure, among other matters. that fair market value is being obtained for the sale of the nonprofit hospital; that no private citizen will benefit from the sale; all proceeds from the sale to be deposited into a community foundation that will use them to continue the charitable purpose of the nonprofit hospital; and assurances that under for-profit ownership, the community's health care needs will continue to be met. HB 4566, in contrast, establishes guidelines for the sale or transfer of significant corporate assets of any nonprofit corporation. According to the sponsor's office, the bill was introduced in response to the then-existing concern of hospitals converting from nonprofit to for-profit status. However, the bill amends the Nonprofit Corporations Act, and therefore covers all nonprofit conversions; there is no specific focus on health care entities. ln addition, according to legislative sources, the bill covers conversions regardless of whether the purchaser is a nonprofit or for-profit entity. HB 4566 requires • • • non profits to provide prior public notice of the sale, hold all meetings pursuant to the Open Meetings Act, and make all sale-related documents avai lable under the Freedom of lnformation Act; directors of nonprofit corporations to not accept employment with the purchaser or a purchaser's affiliate within three years of the sale, not personally benefit from the sale, and not become a director of any corporation or foundation established to administer the ale' s proceeds; and nonprofits to pay 20 percent of the net proceeds from the sale into the state's General Fund as a refund of previous tax-exempt status. Page 9 �At this time, none of the introduced ho pital, health facility, or general nonprofit conversion legislation in the Michigan legislature has been reported from committee in either chamber. Legislation in Other States While orne states are considering and/or have considered legislation regulating the conversion or acquisition of (I) nonprofit organizations to for-profits and (2) nonprofit organizations to other nonprofits, mo t of it is specific to health care conversions-particularly ho pita1s and health plans. According to Community Catalyst, a Massachusetts-based consumer advocacy group, 21 states had laws governing hospital or health conversions as of October 1997. Of these tate ' laws, • • • • • • • • 15 apply to nonprofit to for-profit hospital conversions, 14 require a charitable set aside (e.g., placement of assets in a foundation), I0 regulate the conversion of nonprofit to nonprofit hospital conversions, 8 regulate private inurement, 7 apply to nonprofit health maintenance organization conversions, 6 require the submission of a community benefits inventory/plan, 5 require that a public hearing be held in an affected community, and 3 regulate for-profit to for-profit conversions . From January 1997 to February 1998, the National Conference of State Legislators (NCSL) has tracked 109 pieces of nonprofit conversion-related legislation from 39 states and the District of Columbia. Of these bills, only one-South Dakota 's SB 162 (enacted in 1997)-applies to general nonprofit conversions; the rest relate to health entities. The South Dakota bill requires the Secretary of State to receive notjce within 60 days of the sale, transfer, or merger of at least 30 percent of the assets of a nonprofit corporation. However, the law does not include any provisions for a public hearing, public disclosure, or enforcement. The bill does require that the notice include • • • • the name and address of all parties involved with the transaction, the terms and conditions of the transaction, the dollar value of the assets and how asset value was determined. and an explanation of how the transaction furthers the purposes of the nonprofit corporation. Cole at 9:44 a.m. 2. Review of Minutes: The minutes of the September 16, 1997 meeting were approved as printed and distributed. 3. Chair's Report: R Cole welcomed and thanked trustees for their attendance. He commented on MNA's financial position one year ago. He congratulated staff and trustees for their efforts to move the organization forward. R. Cole announced the next MNA Board meeting is scheduled for March 17, 1998. 4. President's Report: S. Singh reported on activities related to ConnectMichigan, a public relations campaign to promote volunteerism statewide. Plans for ConnectMichigan were unveiled at the October 20, 1997 Michigan's Launch for America's Promise. S. Singh informed the Board that representatives from Formative Evaluation Research Associates (FERA) would conduct an evaluation session following the Board's business meeting to assist them in evaluating MNA's programs. 5. Finance Committee Report: J. King reviewed MNA's financial statements ending October 31, 1997. J. King pointed out that although revenue is presently down so are expenses. A budget amendment to transfer $50,000 from the contract services line item to salaries passed unanimously. A motion to accept the finance report passed unanimously. M. Grill introduced a Fund Development Plan approved by the finance committee. The plan included ways to raise $25,000 for the Volunteerism SuperConference; $20,000 for Corporate Training Sponsors; $100,000 for Corporate Volunteerism; and $9,000 for the MNA Membership Directory. �6. Volunteer Centers of Michigan Report: A. Cantrell and R. Schultheiss reported on volunteer happenings across the state. R. Schultheiss informed the Board that "Make A Difference Day" 1997 was a great success. She also reported that placements for the AmeriCorps program are being finalized. R. Schultheiss updated the committee on the MNA/Michigan Association of Volunteer Administrators (MAVA) partnership agreement. The Board agreed that a successful audit should be completed and MNA would be certain not to assume any liabilities. A. Cantrell stated that this partnership presents a wonderful opportunity to affiliate with user agencies that will set standards on volunteer management. A motion to approve the MNA/MAVA partnership passed unanimously. Michigan Campus Compact Report: A. Stone reported that MCC was larger and stronger than ever. MCC welcomed Jackson Community College and University of Michigan-Flint as new members this fall. He announced that the Faculty Institute on Service Learning held November 14, 1997 was a success. L. Chambers reported on the Corporation for National Service grant and the Fetzer Institute grant awarded to MCC She updated the Board on faculty grant recipients respective to each grant. The Board discussed public relations efforts and press coverage devoted to promoting and announcing these grants. M. Kramer stated she would be happy to assist in developing communication strategies. 8. Nonprofit Outreach Report: M. Kramer reported on plans to develop the second annual MNA Membership Directory. Work is in progress to make this year's directory complete with sponsorships and advertisements. A. Hegarty updated the committee on MNA's new toll free phone number and access to health care for MNA members through the Michigan League for Human Services. Grain's Nonprofit News has agreed to distribute an MNA membership application in the December 10, 1997 edition of their publication. A. Hegarty unveiled the MNA exhibit on display for the Board to view. 9. Public Policy Report: D. Johnson reported on the November 21, 1997 MNA Public Policy Committee meeting. She updated the Board on the committee's concerns with federal bills HR 944-945 regarding corporate reporting of charitable contributions. She also discussed the committee's support of HR 2599, a bill that allows non-itemizing taxpayers to deduct their charitable contributions. The committee plans to conduct an indepth discussion surrounding nonprofit conversions at their next meeting. M. Soper updated the Board on the Michigan Public Policy Initiative (MPPI). Members of the MPPI advisory committee represent the nonprofit sector, research universities and the state legislature. Former State Representatives Lynn Jondahl and Paul Hillegonds have agreed to serve on the Committee. Work on the statewide issues book Michigan In Brief is underway. 10. Mawby Award: This a·ward, which ts sponsored by Michigan Nonprofit Assoctation {MNA) and the Counc1l ofMicbJgan Foundations (CMF), was established in 1995 upon the retirement of Dr. Mawby from the chamnansh1p and chief executive officer position of the W .K. Kellogg Foundation. The award honors the work and ph1losophy of Dr Mawby in encouraging private action for the public good. Judith Ann Rapanos is the chair ofthe award cornrruttee that is compnsed of MNA and CMF appointees. Nomination forms for The Russell G. Mawby Award were sent to MNA and CMF members at the end of February and are due on 3/31/98. Only MNA and CMF members are allowed to make nominatiOns. The award will be presented on May 4th at The Fifth Annual Governor 's Servtce Awards Dtnner. MNA encourages all members to participate in the nomination process . • HeaJth Care Now Available As An MNA Member Benefit: Blue Cross Blue Shield health care coverage is available for Michigan Nonprofit Association (MNA) 501(c)(3) organizational members. This co.st-effectlve health care benefit plan 1s offered by MNA in partnership with the Michigan League for Human Services. The health care plan is an 1mportant resource for nonprofit organizations in Michigan who may not have access to adequate health care for their employees. MNA is pleased to be working in collaboration with an existing plan to provide MNA members with comprehensive health care. Members of MNA are eligible to enroll in one of various association health care plans through Blue Cross Blue Shield or Blue Care Network - HMO. A range of diagnostic/preventative and restorative dental services is also offered by Blue Cross Blue Shield. • MSAE/MNA Compensation and Benefit Survey: The Michigan Society of Association Executives (MSAE) and the Micl11gan Nonprofit Association (MNA) are collaborating this year to produce the MSAFJMNA Compensation and Benefit Survey, a comprehensive statewide salary study of senior association and nonprofit management staff The two organizations are partnering on this project to save resources and provide increased value to members. The final results will be categorized by organization, budget, scope, staff position, and years in position. The survey wlll prov1de benchmarkmg human resource management information on 30 positions. ADVISORY COMMITTEE UPDATE I am pleased to report that Dr. John Chamberlin, Interim Dean, School of Public Policy, University of Michigan and Dr David Verway, Department of Finance and Business Economics in the School of Business Administration, Wayne State University. The final vacant seat is that of a media/ communication person. Unfortunately, Joe Stroud declined our invitation due to a number of factors - Based on the direction of the advisory committee, I am pursuing participation from Mike Lloyd, editor of the Grand Rapids Press. 2. MICHIGAN IN BRIEF (Mffi) A recommendation of the November 1997 Advisory Committee was to convene a focus group of legislators to review MIB's table of content and share ideas regarding the use of this document. That meeting was held on December 4Th. Six legislators joined Bill Rustum and Craig Ruff of Public Sector Consultants, Ann Marston and Sam Singh, advisory committee members. Attending were Republican State Representatives Bob Bobier of Hesperia, John Jellma of Grand Haven, and Patricia Godchaux of Birmingham and Clyde LeTarte of Horton; and Democratic State Representatives Mark Schauer of Battle Creek and Lynn Martinez of Lansing. The lively breakfast discussion included a review of the table of contents with suggestions focusing around clearer topics titles and suggested groupings of topics making the document more user friendly. The attached table of contents reflects the incorporation of these changes. A second recommendation from the November meeting was to have MJJ3 reviewed by a reference librarian to get feedback on the format and clarity of MTB as a reference document. Three librarians at Eastern Michigan University reviewed the document. Two of the reviewers were social science specialists and the third does mainly general reference and research and has an international reputation in the field of library science. Their comments indicated that Mffi has been "a very helpful addition to our reference collection over the years and patrons are referred to it a lot, because MTR identifies current state issues... Table of contents, index and cross-references are very good... It is a very helpful work to have here. Not only does if help the students identity issues, it gives them very good topic ideas for their papers. Format looks great in my opinion easy to read. You should be proud of this!" There was a comment about including urls in this new edition. There were comments regarding typical higher education reference works that are full of assertions, opinions and predictions. The response by the MIB editor was "We don't include sources in the text because we want to use the space for information not citations, and in the political arena it frequently is better not to name names— those who are not mentioned get their noses out of joint, and those who are frequently take exception to having their stance synopsize or put in words other then ones they've approved. This material is now being edited and reviewed by a second reader. Updates will take place during the last two weeks of March and final edits will be completed by April 31. The document will go to the printer in early May A dissemination plan is being finalized and reviewed by Michigan Nonprofit Association and Public Sector Consultants and will be discussed with advisory committee members at the March 4 meeting Additionally, PSC is working to develop a web site for MIB. Discussions include how to manage the site There will be a series of options that will be presented to the advisory committee at the March meeting. 3. MPPI Printed Material Michigan Public Policy Initiative background material copy has been approved and will be used in two formats, a fact sheet and a brochure. The Council of Michigan Foundations(CMF) will be developing a layout for the brochure format and CMF's graphic artist developed the MPPI logo which will be used on letterhead and other printed matter. 4. COLLABORATION I have had the opportunity to meet with several organizations who wish to joint venture with MPPI. They include: Citizens Research Council I had an opportunity to meet with Earl Ryan, President, Paul Good, Director of Development; and Tom Clay, Lansing representative. It was a most interesting meeting and they thoroughly briefed me about the organization. They are very interested in collaborating with us and have a number of areas of expertise including finance and governance of Michigan highways, and the Michigan tax system. In February of 1997 they completed a major report, A Guide to the State of Michigan Budget Process. They have developed presentation materials and would like to joint venture some presentations with us Michigan Municipal League Sam and I met with Michigan Municipal League (MML) Executive Director, George Goodman. I had a follow up meeting in January with director of education, Joan Hutchinson. We are exploring how to include MPPI at the League's annual conference in the fall of 1998 as well as participating in MML's elected officials academy. The Michigan Nonprofit Research Program / The Aspen Institute This program of the Aspen Institute is governed by a Michigan-based advisory committee and focuses on issues of important to the Michigan nonprofit sector Specific emphasis has been placed on helping to meet the information needs of Michigan's nonprofit organizations by supporting high quality research. MPPI will co-sponsor three spring workshops with this program that will focus on strategies for enhancing practitioner/researcher collaborations. 4. PROJECT EVALUATION John Seeley, President of FERA, and I met in January to begin discussions regarding the evaluation of MPPI. A packet of background material had been sent to John for his review. John will attend the early summer meeting of the Advisory Committee to discuss MPPI evaluation. �Michigan Public Policy Initiative FACT SHEET A joint venture of the Michigan Nonprofit Association (MNA) and the Council of Michigan Foundations (CMF), Michigan Public Policy Initiative (MPPI) serves as a neutral, objective central resource for information on issues of interest to the nonprofit and philanthropic sectors. The Initiative also develops reference information for legislators and policy makers on various key policy issues of concern to Michigan residents, and will host a series of seminars during 1998 and 1999. This Initiative is an informative and positive response for Michigan leaders who must conduct business differently as a result of term limits and devolution. Background Term Limits were approved by the Michigan voters in November of 1993 placing limits on the number of terms that an individual may serve in elective state office - six years as a member of the House of Representatives, and eight as the governor or a member of the Senate. The enactment of term limits will be effective with the 1998 election. The result will be a massive turnover in the Michigan House of Representatives as 75 members (close to two-thirds of the body) will not return to elected office. In six years there will be a complete turnover of the Michigan Legislature. Members will be challenged to quickly grasp complex and critical issues, and must be prepared to make responsible policy and budget decisions. vides the opportunity for informed citizens to implement change to meet local needs. In general, devolution means that state and local governments are empowered to make decisions regarding services for their constituents - particularly, human service policy issues of welfare and health care reform that are also concerns of the nonprofit and philanthropic sectors. The impacts of devolution and term limits will converge with the 1998 election creating changes in the way government works. This is a time when the public, private and nonprofit sectors should be working in partnership to share the burden of solving pressing social issues. However, according to the Michigan Public Opinion Survey results released in April of 1997, there is a general public misperception of the amount of services provided by nonprofits - causing unrealistic expectations. While most people assume that nonprofit organizations provide at least one-half of services offered, nonprofit organizations actually provide less than ten percent (10%). j i The Plan i I Phase I: The Michigan Public Policy Initiative will address this misperception of the amount of services provided by nonprofit organizations with facts, and assist policy makers to better understand the impact of i 'new federalism' in Michigan.
