For those unable to attend, this memo serves as a follow-up to our meeting where members took the following actions: (all attachments from the meeting are enclosed for those unable to attend). Introductions The meeting was called to order by Chair, David Price at 10:10: a.m. David wished everyone best wishes for a Happy Holiday and said it was a time to reflect on people, our missions and the missions of the members we serve- who this year will need us even more. He thanked everyone for their commitment to the nonprofit sector and to MNA. Chair's Report David Price said he is overwhelmed and excited with the growth ofMNA. He recognized the .tvlNA staff for their diligent work throughout the merger, and into the New Year. A motion was made by N. Charles Anderson and seconded by Denise Hubbard that the Consent Agenda items be approved as noted. Motion carried. Public Policy Affairs Report Rob Collier reported on the Michigan Nonprofit Caucus and noted that the MNA Public Policy Committee recommends that the MNA Board of Directors support the proposed Michigan Nonprofit Caucus in the Michigan Legislature. Erin Skene-Pratt stated that proposed Michigan Nonprofit Caucus will be a bipartisan, bicameral fomm tlu·ough which lawmakers can lead and collaborate on legislative and regulatory issues impacting charities and foundations in Michigan. The purpose of the Nonprofit Caucus is to enhance the ability of Michigan's nonprofit organizations to achieve their mission on behalf of those they serve and the resources they protect. To accomplish this goal, the Caucus would monitor and take a leadership role on legislative issues that impact Michigan's nonprofit sector and serve as a resource for information on the sector for their fellow legislative colleagues. The proposed caucus will be co-chaired by four members of the House and Senate. The primary focus of the caucus is on issues that globally impact the nonprofit sector. Leadership and direction for the caucus will come from within the Legislature; however, MNA will provide staffing support as needed. A motion was made by Rob Collier and seconded by Anne Rosewame that the above recommendation be approved. Motion carried. Next, Rob provided an update on HB 6633, Audit Threshold Increase, sponsored by Representative Steve Tobocman; this amendment to the Chmitable Organization and Solicitation Act is in response to recent increases in audit costs for cl1mities. Specifically, the proposed amendment increases the audit threshold for those with a charitable solicitation license from $250,000 to $500,000 in contributions and increases the financial review threshold from $100,000 to $250,000 in contributions. HB 6633 was reported favorably by the House Commerce Committee on November l3 1h. Next, Erin discussed the Serve America Act, introduced by Senator Ke1medy to expand and improve domestic and international service opportunities, the bill willrecmit Americans of all ages to do service work in health, education, environmental protection and anti-poverty programs. S. 3487 will expand opportunities for people to serve their communities at every stage oflife, fi'om students and working adults to retirees. This bill may also include funding for capacity building efforts by nonprofit state associations. �Erin discussed the Economic Downtum Survey and said that Wes Miller, MNA's Research Graduate Assistant at the Jolmson Center, reviewed the latest MNNJohnson Center survey on the affect of the economic downturn on Michigan nonprofits. MNA and the Johnson Center intend to survey nonprofits quatterly on important trends impacting the sector. Etin will email the information to the Board Directors Audit Committee Report The Audit Committee met with David Ambrose, P .C., an Independent Auditor, on November 24, 2008, to review the MNA audit for the year ended June 30, 2008. The Audit Committee recommends to the MNA Board of Directors to accept the audit for the year ended June 30, 2008. David reported that the audit was completed and provided by general accounting procedures. He audited the accompanying statement of financial position of Michigan Nonprofit Association as of June 30, 2008, and the related statements of activities, functional expenses, and cash flows for the year then ended David noted that effective July 1, 2007; a merger between the Michigan Nonprofit Association and ConnectMichigan Alliance was approved. Since that date, The Association has assumed the operations of the Alliance and that the net assets of Alliance where transferred to the Association during the year ending June 30, 2008, creating a significant increase in cash flow. David noted that there were no matters involving the internal control stmcture and its operations that he would consider material weaknesses. He was happy to report that no Management Letter was needed. D. Ambrose reported that MNA continues to work as a very efficient organization. The Audit Committee thanked D. Ambrose for work and complimented him on the services he provides to MNA. Edward 0. Blews, Jr. noted that a minor change should be made to the financial notes that state that the Alliance received an annual contribution and should be changed to state the Association received an annual contribution A motion was made by Anne Rosewarne and seconded by Rob Collier that the Audit Committee report as corrected for year ending June 30, 2008 be approved. Motion canied. MNA Executive Committee Report David Ptice reported that the Executive Committee recommends the approval of changes to the Section 403(b) Tax-Defened AtmuityPlan(s) based on the new regulations. �MNA hereby establishes or amends its Tax-Deferred Annuity program by adoption of this Plan(s) document to be effective as of January 1, 2009. The Employer is an Eligible Employer as desctibed in Section 403(b) (1) (A) of the Code). This Plan(s) permits only ·Employee Salary Reduction Conttibutions made pursuant to voluntary salary reduction agreements between the Employer and its Eligible Employees that are excludable from gross income under the Code. The Plan(s) does not provide for any other conttibutions by the Employer or Eligible Employees. All contributions under this Plan(s) are invested in one or more Annuity Contracts. This Plan(s) and its Annuity Contracts are intended to comply with Section 403(b) of the Code and (if applicable) the requirements of ERISA. A motion was made by David Price and seconded by William Mayes that the above recommendations be approved by the MNA Board of Directors. Motion carried. Fund Advancement Committee Report David Swenson reported that Chair, Jenee Velasquez was unable to be here today due to the weather but she asked that Dave echo her request for 100% Board support to the MNA Strategic Fund. It is important that when MNA requests funding from supporters that MNA can show that the Board supports the work ofMNA. Dave thanked Jenee, Jackie, Karla and Dale for their participation on the Committee. and said they have openings for additional members on the Committee. Please let Jenee or David know if you would like to join the Fund Advancement Committee Finance Committee Report William Mayes presented the MNA Financial Statements and Memorandum, consisting of the Statement of Financial Position and Statement of Activities, for the month ending September 30, 2008. He noted that in some areas the line items are ahead of budget projections due to multi-year grants. Lisa Keefer reported that the Finance Cmmnittee reviewed long term investments, but will wait until the market is stable to make a change. A question was raised regarding the CMA Endowment. Kyle repmicd that the CMA Endowment Advisory Committee meets, reviews the financial statements and makes recommendations to the MNA Board. A motion was made by William Mayes and seconded by Scott Dzurka to approve the September 30, 2008 Financial Statements. Motion carried. MNA Board Development Committee Report Sheilah said the MNA Board Development Committee met and recommends David Eisler to fill the Vice Chair seat left vacant by the depatiure ofNeeta Delaney. �David Price said the new charge of the MNA Board Development Committee is to review board structure, attendance, terms, etc. A motion was made by Sheilah P. Clay and seconded by Scott Dzurka to appoint David Eisler, President, Ferris State University, as Vice Chair of the MNA Board of Directors, filling the vacant seat. Motion canied. Sheilah also noted that the Board Development Committee will send emails/letters in January to the MNA membership asking them for nominations for the MNA Board. Marketing and Member Membership Services Repm't Barbara Hill noted that the report was distributed today for review and that Committee meetings were re-aligned so that future reports will be included in the p(!Cket. Barbara said that the focus of the Committee has been in the areas of messaging, positioning and follow-up. The Committee recommends that MNA look closer at the delivery method of the message, and feels it is important to generate a dollar figure on the saving nonprofits receive through their membership in MNA. Committee members will receive MNA membership packets for distribution and follow up with staff monthly regarding progress toward strategic plan goals. Barbara thanked the Committee for their participation this past year, and welcomed Cathy Mozham, Kathy Hayes and Jim Crisp as new committee members. Allison Treppa gave an overview of the Marketing and Member Service Department. She reviewed the department goals, alignment, social media area, and member recruitment and retention. David Price thanked Allison for her report. Michigan Nonprofit Center Ad Hoc Feasibility Committee Kyle Caldwell said that as the Board knows, MNA has two offices, one in Lansing and one in Detroit. The Detroit office is over capacity, and said that MNA started having discussions with Capital Regional Community Foundation (CRCF) and Capital Area United Way. The original three organizations agreed to investigate the potential for a nonprofit center. David Seaman and Scott Dzurka represent MNA on the Committee. David Seaman said three committees have been defined: Facility Planning and Acquisition, Economics and Financing and Ownership and Govemance. The Facility Planning and Acquisition Strategy Committee would outline the building priorities, options and features, distinguish the buy versus build versus lease options and other costs associated with obtaining a building. The Economics and Financing Strategy Committee would compare how low the rent must be to benefit it tenants, as well as, how high to compensate the investors? This Committee will also evaluate financing �avenues, such as, conventional loans, fundraising, and other avenues to finance the project. The Ownership and Governance Strategy Committee would examine whether the ownership should be one-tenant owner, joint ownership, coop ownership, etc. They would evaluate the governance stmctures, such as a tenant board, third party management, etc. Scott Dzurka said that this Committee will be moving rapidly, with meetings scheduled in Januaty and Febmary. It is the hope of the Committee to have a recommendation to the Board by its March meeting. President's Report Kyle reported that there are three things that are impacting our work: the economy, the economy and the economy. For the past few months, it is all the media calls that we have been taking. The public affairs team is working with Grand Valley State University to publish a study of the economic challenges facing Michigan's nonprofits. Kyle noted that the MNA Annual Report and the VCM Annual Report were both distributed to the Board today. Kyle said that he is proud ofMNA's dedicated staff, Board and volunteers. The MNA Board thanked the staff for their dedication. A wmm round of applause followed. Other Sheilah P. Clay said that she really appreciated of the work that MNA did with voter registration. She said the T-shirts, buttons, and the other tags really helped her organization get the message out. They had voter registration days every single week. Sheilah thanked MNA and said our effort made a big difference. David Price said that Starfish Family Services started a hope and resiliency fi.md in memory and support of Ouida Cash. Organization Michigan Nonprofit Association (the "Association") is a nonprofit corporation organized to increase the capacity of Michigan's nonprofits to serve, strengthen and transform communities. Programs of the Association are divided into five categories: Educational Services - MNA provides through its Lansing and Metro Detroit offices high-quality, low-cost training to nonprofit boards, staff and volunteers throughout Michigan including statewide conferences and smaller regional seminars; Public Policy - in affiliation with the Council of Michigan Foundations, the Association promotes the involvement of Michigan's nonprofit community in public policy by training its leaders, building the capacity of its organizations and encouraging collaboration with public policymakers; Nonprofit Outreach - the Association serves both its members and the nonprofit sector statewide through a variety of programs and services; and Volunteerism - the Association has a strong commitment to volunteerism through its affiliations with the Michigan Campus Compact and the Volunteer Centers of Michigan, its partnership with the Michigan Community Service Commission and with the support of the ConnectMichigan Alliance Endowment. 2. Sununaty of Significant Accounting Policies The following is a sununaty of the significant generally accepted accounting policies followed in the preparation of the financial statements. (A) Financial Statement Presentation Michigan Nonprofit Association has adopted Statement of Financial Accounting Standards (SFAS) No. 117 "Financial Statements of Not-for-profit Organizations." Under SFAS No. 117, the Association is required to report information regarding its financial position and activities according to three classes of net assets: unrestricted net assets, temporarily restricted net assets, and permanently restricted net assets. In addition, the Association is required to present a statement of cash flows. (B) Contributions The Association has adopted SFAS No. 116 "Accounting for Contributions Received and Contributions Made." In accordance with SFAS No. 116, contributions received are considered to be available for the general programs of the Association. The Association repmts gifts of cash and other assets as restricted suppoti if they are received with donor stipulations that limit the use of the donated assets. When a donor restriction expires, that is, when a stipulated time restriction ends or purpose restriction is accomplished, temporarily restricted net assets are reclassified to unrestricted net assets and repmied in the statement of activities as net assets released from restrictions. Donor restricted contributions, where the restrictions are met in the same reporting period are booked in the unrestricted class of net assets. 6 �MICHIGAN NONPROFIT ASSOCIATION Notes to Financial Statements Year ended June 30, 2008 2. 3. Summary of Significant Accounting Policies, (continued) (C) Donated Services The Association records amounts for donated services when those services create or enhance non-financial assets or require specialized skills provided by individuals possessing those skills and which would be typically pmchased if not provided by donation. (D) Furnitme and Equipment Furniture and equipment is recorded at cost, except for donated assets which are recorded at their estimated fair market value as of the date of receipt. Depreciation is calculated using the straight-line method over the estimated useful lives of the assets. (E) Income Taxes The Association is a publicly suppmted organization exempt from income tax under Section 50l(c)(3) of the U.S. Internal Revenue Code. (F) Functional Expense Allocation Expenses identified as applying to a specific program or supporting service are recorded in the appropriate service area as incmred. Expenses not directly attributable to a program or supporting service are allocated between service areas based upon the cumulative results of time studies of professional staff time. (G) Cash and equivalents For purposes of the statement of cash flows, the Association considers all highly liquid deposits with an initial matmity of three months or less to be cash equivalents. (H) Use of Estimates The preparation of financial statements in accordance with generally accepted accounting principles requires the use of management estimates. Investments The Association has sponsored four endowment funds through Capital Region Community Foundation. The market value of these funds totaled $19,350,125 as of June 30, 2008 .• ,WJti,le Capital Region Community Foundation retains title over these funds, the ~ receives an annual contribution from the earnings associated with these funds. Future Year Pledges Temporarily restricted grants and pledges receivable representing grant commitments to be satisfied during the year ended June 30, 2008 total $1,757,271. 5. The Association contributes, annually, an amount equal to eight percent of the patticipant's annual compensation. Retirement expense totaled $134,718 for the year ended June 30, 2008. 7. Leases The Association leases office space under the terms of operating leases expiring in March, 2009 and July, 201 I. The net assets of Alliance, totaling $1,839,254 were transferred to the Association during the year ending June 30, 2008. 9. Concentrations of Credit Risk The Association's support and revenue is derived primarily from sources within Michigan. Rodriguez Algra, Executive Director Date: September 2, 2008 Re: VCM Activities Update We have had a very busy last qmuter doing outreach, consulting with Volunteer Centers and developing futme training for the centers. Below you will fmd some key highlights of om work since the last tirue that we reported to our membership. Update on the Volunteer Investment Grant (VIG) Start up and Expansion Update: We continue to work to suppmt om five VC Start-Ups with one-on-one consultations, conference calls and sites visits during this first year of operations. Our Strut-Ups are located in the following communities and are housed as follows: • Lenawee County: The Center in Tecumseh is housed within the Lenawee Community Foundation. • Tuscola County: The Thumb Volunteer Alliance is housed and supported by the Human Development Commission in Caro. The agency also supports the local RSVP progrrun. • Marquette County: The UP Volunteer Network is being supported by the Great Lakes Center for Youth Development and is focused on the development of a vhtual center for the entire U.P. This is being suppmted with the help of the 211 network and our two existing centers in Chippewa County and Dickinson, Iron areas of the U.P. • Livingston County: Volunteer Livingston! is being housed in the Livingston County United Way. • St. Clair County: Our newest addition to the network is the United Way of St. Clair County in Port Huron. We have been able to support their interest in stmting a volunteer center with a small $5,000 planning grant. The United Way Director, Rick Garcia, is very committed to having this happen and has convened a group of community leaders to take this to the next level in the coming year. • All three expansions Muskegon, Chippewa and Montcalm counties continue theii· outreach and service expansion as we move toward universal coverage. All VC Strut Up's and Expansion had mid-year reports due this past quatter. We will be reviewing them and getting back to each with feedback and suggestions. As mentioned in our last report, we were notified that the MCSC would no longer be funding the VCM tlu·ough the Volunteer Investment Grant. Taking this into account our strategy for this coming funding yeru· is to provide each start-up and expansion site with a $5000 grant in addition to a VISTA AmeriCorps member. We continue to work with Evan Albert of the State Corporation qffice to finalize 1 �our VISTA Program application. However, he has shared with us that most likely we might only be able to bring on board 5-6 VISTA's for the scheduled November PSO. As we find out more we will keep our members informed. Site Visits: I am happy to report that during the last quarter VCM staff has undettaken site visits to the following centers in our network: • Muskegon- to assist with expansion conversation with key partners. • Manchester- to meet with a small group of the center to discuss sustainability issues. • Livingston Co. - to meet with members of their local VC community partners to discuss progress to date. • Jackson Co. - to meet the new Executive Director of the Jackson Nonprofit Support Center that houses the Volunteer Center. • Petoskey- to meet with their community coalition interested in starting a Volunteer Center that would serve the Char-Em region of the state. Training: This past quarter we coordinated a series of Advocacy trainings related to Children's issues, in collaboration with Michigan's Children and First Focus our to Washington, D.C., in four communities across Michigan. Special thanks goes out to our Volunteer Centers in Holland, Grand Rapids and Flint who helped with us to both host and publicize the events locally. Our final one was held in Ann Arbor and we worked with our United Way to host that one. Michigan Drop Out Prevention Leadership Summit- October 20-Lansing, Michigan: The state of Michigan and the city of Detroit were selected by America's Promise to participate in this national initiative. Michigan's Prmnise/Michigan Nonprofit Association (Michigan Campus Compact and Volunteer Centers ofMichigan) and the United Way ofSoutheastemMichigan are spearheading these effmts with the help of key partners. These summits will strengthen and improve America's schools and result in measurable advances towards effecting policy and program changes. These changes will reduce the number of high school dropouts and prepare more young people for success in college, work and life. We are happy to report that the following organizations have come fmth with financial support for this initiative: State Farm, America's Prmnise and First Focus. Additional outreach for sponsors will take place in the coming months. As we get closer to the event we will see that our network members get information about how to attend the event. We should not loose sight that quite often volunteers can play a critical role in helping our young people feel connect to their communities. That role at the local level is in your hands. Volunteer Centers State Associations: The VCM along with the California Association has taken the lead to convene other state associations that represent our affiliates. We have continued to hold monthly conference calls with our countetpruts. Pat Shields (Florida)- 3m Vice President Most Volunteer Center Associations (VCA) focus on tlu·ee main areas: • • • Advocacy: A collective voice to promote volunteering within a geographic area Professional Development: Peer-to-Peer support, leadership development and sharing effective Volunteer Center practices and resources. Collaboration: Working together, Volunteer Center leaders work together around fundraising, progranuning and extemal partnerships to further their work With this in mind we proposed the following four areas for discussion and consideration of the national POL&HON: I. Create a Sustainable VCA Network Explanation: Assure that the VCA Network is effective, strong, and unified across the USA. Help position VCAs as leaders in volunteering at the local, state, and national levels. 2. Increase Staff Support for VCAs- Regional or Statewide Explanation: Many VCA leaders need staff help to help them move their VCAs to the next level. Right now, only two states have VCA staff- and it has proven to be an effective approach to increase programming and funding. 3. Maximize Communications between All Sectors of the Network Explanation: Increase communication between VCAs, affiliates, POL & HON and State Service Commissions will further the field of volunteering. 4. Build the Capacity ofVCAs Explanation: To support VCAs, the national office should provide the "nuts and bolts" on how to run an effective VCA, including how to start an effective VCA. This network is cm<ently hostingmonthiy Executive Committee call of the elected officer's and monthly calls of the various state associations. These calls are hosted fmancially by the POL & HON. We hope that once the national office put out an RFP for regional infrastmcture we will be in a position to apply for some of these resources. Mid West Network of Volunteer Centers: Since the National meeting in Atlanta, the Mid-West State Associations have also been having monthly calls. Prior to the national conference this group was holding calls on a semi-regular basis and asked me to join their group as they looked for closer collaboration with our centers in Michigan. As I share with many of you during our June Network Conference Call, we are exploring hosting aMid-West Volunteer Center Network meeting February 24- 26, 2009 in Battle Creek. I am currently looking for a few members of our network that would like to join center directors from other states to plan this event. We will be holding tllis event instead of our regular VCM Retreat. • Page 3 �Michigan Volunteer Accord: This quarter saw two importaut gatherings of this initiative in partnership with the Michigau Association of United Ways. We were fortunate to be able to bring Mei Cobb in twice. Once to meet with a representative group ofVolunteer Center Directors aud United Way leaders aud the other to attend a pre conference session with a larger gathering of United Way Executive Directors. As United Way of America continues is momentum into the Volunteerism arena we will need to looking for ways that both internal aud independent Centers cau make their case locally for the importaut role they will play in helping United Ways meet their goals of engaging more individuals to address growing concerns at the local level. Staff Changes: The Volunteer Centers of Michigan are saying goodbye to two staff person this month. Molly Hilligoss, om· Program Specialist left Lansing last Friday for Colorado. We are excited for her aud Terri as they pursue new opportunities but are sadden by our loss. Molly has been an invaluable member of our team here and I am sure she has helped many of our members with issues or concerns throughout the last two years. I am happy to report that she continues to so some consulting work for us related to the VISTA Application aud our work with Evau Albert. If you will all recall the Program Specialist is a shared position with Michigau Campus Compact. Therefore, Amy Smitter aud I are in the mist of reviewing applicants for this opening aud hope to have someone on board no later thau mid to late September 2008. Our second staff member coming to the close of her setvice year is Lindsey Kennedy our VISTA Leader. Lindsey has worked closely with Molly on the VCM Blue Print, helped craft the RFP for the State Farm Mini Drop-Out Smnmit Initiatives aud the Comcast grant dollars this past year. In, addition she has helped Evau Albert with some statewide VISTA trainings aud also supported some effmts with Jenn Fauss at the POLF aud the Strengthening Community Graut. Approval of the March 18, 2008, MNA Board of Directors Meeting Minutes A motion was made by William Mayes and seconded by David Price to approve the March 18, 2008, MNA Board of Directors meeting minutes. Motion carried. Chair's Report Karla said that as you know, this is her last meeting where she has the honor to sever as the MNA Board Chair. One of her final duties was to thank the following Board members for their years of service on the MNA Board of Directors: Suzanne Heath and Elyse Rogers, who were both term limited, and Justin King, who retired from Michigan Association of School Boards. Elyse and Justin were presented with a small token of the Boards appreciation. A warm round of applause followed (Kyle delivered Suzanne's gift). �Karla also welcomed Kathy Agard, The Dorothy Johnson Center for Philanthropy and Nonprofit Leadership and John Schneider, Clark Hill, PLC who will be officially joining the Board, July I, 2008. Nominating Committee Report Kyle noted that Sr. Monica was unable to attend the meeting today, and requested that Kyle report to the Board in her absence. Kyle said that the Nominating Committee recommended that the MNA make the following changes to the MNA By-Laws: • All officers would continue to serve until replaced and/or their duties were fulfilled as recommended by The Board Development Committee. • That there would be a Board Development Committee instead of a Nominating Committee with a board charge, that will be articulated and that the duties would include Board engagement and Board members expectations for attendance and participation should be more deeply identified in the orientation documentation that we give Board members. A motion to approve the changes to the MNA By-Laws as recommended above as made by David Price and seconded by Jackie Taylor. Motion carried. Kyle noted that the MNA Nominating Committee recommend the approval of the nomination of Sharon Parks, Interim President and CEO, Michigan League for Human Services, Class of 2011 to replace Ann Marston, who retired, April 30, 2008. In addition, accepts with regrets, the resignation of Diana Jones, Blue Cross Blue Shield, who retired, June 1, 2008; Cheryl Coleman, Notiheast Guidance Center, who resigned, from the MNA Board of Directors, June 9, 2008, and Barbara Hall, Whirlpool Foundation, who is retiring, June 30, 2008. A motion was made by David Price and seconded by Jenee Velasquez to approve, the nomination of Sharon Parks, Interim President and CEO, Michigan League for Human Services, and approve, with regrets, the resignation of Diana Jones, Cheryl Coleman, and Barbara Hall from the MNA Board of Directors. Motion called. Finance Committee Report Elyse Rogers thanked everyone who served on the Finance Committee while she has been Chair. Kyle thanked Elyse for her commitment to the Board. Kyle repotied that MNA approaches the end of fiscal year 2007 in sound financial shape. A motion was made by David Price to accept the un-audited Financial Statements for month ending March 31, 2008, and seconded by Susan Herman. Motion carried. 2 �The FY 2008-2009 MNA Budget was reviewed by Elyse Rogers. Elyse reported that she was impressed with the budgeting process this year. Kyle Caldwell stated that with the merger, the staff has doubled and that the $7.2 million budget reflects the growth ofMNA. A motion was made by Elyse Rogers and seconded by David Price to accept the MNA Budget for FY 2008-2009. Motion carried. Fund Advancement Committee Report Justin King said that it has been a pleasure to serve as the Fund Advancement Committee Chair. As a final statement to his duties as Chair, he noted that MNA' s goal is to have evety member of the MNA Board and staff to make a contribution to the MNA Strategic Fund. He stated that the Michigan Nonprofit Strategic Fund was developed to provide a method in which patticipants can donate to increase the capacity of the nonprofit sector in Michigan. Information and a pledge card have been mailed to all of the MNA Board of Directors and staff. Dave Swenson reviewed the Fund Advancement Committee Report and Dave will make changes to the finalrepott as noted. A motion to approve the MNA Fund Advancement Committee Report with changes as noted was made by David Price and seconded by Elyse Rogers. Motion carried. CMA Endowment Committee Report Dave Swenson reported that the CMA Endowment Committee has representatives from all of the affiliates and that the Committee was established with the purpose of directing the use of the income from the ConnectMichigan Alliance Endowment Fund. Kyle Caldwell reviewed the hist01y of establishment of the Fund held at the Capital Region Community Foundation in partnership with the State of Michigan. It was noted that virtually all pledged contributions had been received for the $20 million endowment fund. Each spring the committee reviews the financial expectations for the fund and identifies the payout recommendation. Dave reviewed the Budget Estimates for Fiscal Year 2008-2009 and said that the group will pay out $970,000 this year. David Eisler said that he would like to see a statement of earnings from the endowment. Dave stated that this will be provided at the next Board meeting in the year-end report. A motion to approve the CMA Endowment Committee Grant Recommendations was made by David Eisler and seconded by Jackie Taylor. Motion carried. The Ad Hoc Vision Committee Report The Board approved the Ad Hoc Vision Committee recommendation to change the Vision Statement to: Michigan has a sh·onger more effective and sustainable nonprofit sector, which coincides with the Goal Statements (formerly known as Vision Priorities stated in the 2008-2011, MNA Strategic Plan). A motion to approve the Vision Statement as recommended was made by William Mayes and seconded by Suzanne Greenberg. Motion carried. 3 �President's Report Kyle presented Karla Hall with a small token of appreciation from the staff and Board for serving the last two years as Chair ofMNA. Karla thanked the MNA Board of Directors and stated that the honor was all hers. A warm round of applause followed. Next, Kyle reviewed the 2008-2011 Strategic Plan and the Goals and Objectives for FY 20082009. He said the plan is presented in five basic patts: The Overarching Goals (A-F), Objectives for each goal, Champions for the goals and expected date of completion. This plan will begin to reshape the work ofMNA Kyle repmted on the MNA Organization Chart and discussed the re-alignment ofMNA. He reviewed the major changes which include Kelley Kuhn, Director of Management Suppmt and Capacity Building Services. This area includes the Training Events Manager, Capacity Building and Michigan NOW! Erin Skene-Pratt is Senior Director, Public Affairs, which includes the Public Policy Management, Media Relations, Program Specialist and Research Intern. David Swenson, Senior Director of Fund Development. The new COO have the responsibly of directly supervising the Lisa Keefer, Director of Finance and Human Resources' Allison Treppa, Director of Marketing and Member Services, and Amanda Schafer, Director of Evaluation. Kyle noted that other areas of supervision may be added in the future. A question was raised as to why a** was noted beside some. of the staff. Kyle stated that this denotes staff that are overseen by Kyle and then an Advisory Board as well. Staff included are: Amy Smitter, Diana Rodriquez Algra, Kari Pardoe and Andy Wolber. A motion to adopt the approval of the Michigan Nonprofit Association 2008-2011 Strategic Plan was made by David Price and seconded by Judy Moore. Motion carried. Executive Committee Report Kyle repmted that over the past three years, MNA's senior staffs have been working to manage the physical growth of the organization. During this time, MNA has been in discussions with the Capital Region Community Foundation and the Capital Area United Way about seeking a mutually beneficial co-habitation and programming relationship. Now, the senior management of these three organizations has agreed to create a working group of board and staff from each organization to explore how we might work more closely together. Staff would like to ask that two members of the MNA Board of Directors serve on an Ad Hoc Committee to make recommendation on the feasibility ofMNA engaging in the development of a nonprofit center. The committee would meet with the Board and staff of the partnering organizations as needed and be provided staff suppott to conduct its work and make a formal recommendation to the full Board by the annual retreat in 2009. A motion to approve an Ad Hoc Nonprofit Center Feasibility Committee was made by Susan Herman and seconded by William Mayes. Motion carried. 4 �Executive Session Karla said that the Board will take this time to discuss the Performance Appraisal of the MNA President and CEO. A motion was made by David Price and seconded by Wayne Mcleroy that the Board retires to an Executive Session. Motion carried. The regular meeting ofthe MNA Board of Directors was resumed by 11:25 a.m. Marketing and Member Services Allison Treppa said that the new MNA Marketing and Member Services Committee reviewed the 10 primary marketing and member services goals that will be included in the 2008-2011 Strategic Plan. The plan was recognized as very aggressive in this economic climate and should be monitored to see how we are meeting these goals. She said the primary goal of the Committee is to retain members as often as possible. Allison noted that the Committee would welcome members from partner organizations. If you have any recommendations, please forward them to Allison. MNA SuperConference 2008 Neeta Delaney thanked all of the MNA Board of Directors who attended the conference. Kyle thanked Neeta for Chairing the Conference. The theme this year was "Teaming Up for Community Success, " which had over 600 attendees, and record book sales. Public Policy Committee Update Erin Skene-Pratt asked the Board members to review the additional materials at their seat. She reviewed the draft agenda for Nonprofit Day 2008, being held at the Lansing Center, September 24,2008. Erin said that staffunveiledthe new website www.stayinglegalmi.org, which is a one-stop shop for 501 (c)(3) nonprofits to learn about the state and federal laws relevant to their work. The MNA Public Policy Committee agreed to market the website within their networks. Erin thanked Marion Gorton for her work on this project. Erin stated that the Committee reviewed the concept of the Nonprofit Legislative Caucus, and recommended that the term "caucus" not be used, suggesting narrowing the purpose of the group to make it more politically desirable. Staff are developing a white paper for the Public Policy Committee's review. Erin updated the Board on changes to the IRS Form 990 Redesign for Tax Year 2008 (Filed in 2009). 5 �Support and Capacity Building Services Kelley Kuhn reported that the Principles and Practices, as well as, the MNA Nonprofit Management Manual are in the process of being updated. Meetings are taking place with pat1ners to better align training needs to better serve the population. Volunteer Center of Michigan Denise Hubbard repotied on the Michigan Volunteer Accord meeting that was held May 6, 2008. She said at this gathering they were able to share with those present the outcomes of the survey Amanda Schafer had conducted with both members ofVCM and MAUW. Mei Cobb joined us to discuss the new Volunteer initiative with United Way of America. Mei Cobb was invited to come back in July during the annual MAUW Directors Conference. Diana Rodriguez Algra reported that the Michigan Dropout Prevention Leadership Summit will be held on October 20, 2008, at the Lansing Center. Please save the date. Michigan Campus Compact Jackie Taylor reported that this spring, MCC has been working on two areas: strategic planning and securing grants. The next MCC Strategic Plan will take the organization from the 201h through their 25 1h anniversary. This information will be presented to the MCC Board at their October Board meeting. In addition, MCC staff and partners have been working on the MNA Strategic Plan for 2008-2011. Jackie said that the MCC Board and staff have secured the following grants for the upcoming fiscal year: Michigan Service Scholars AmeriCorps Education Award Only Program; MCC AmeriCorps*VISTA Program Operational Grant; Learn and Serve United, Learn and Serve Week Grant. Other funding MCC has applied for is, Investing in College Futures grant and the Social Media Grant. As you will note by the reports attached in the Consent Agenda portion of your packet, the organization's depat1ments and affiliates are driving hard against our strategic goals. Talent Pool With the new strategic plan and organizational restructuring, we have begun the hiring process for new positions in all areas of the organization. These include a new Chief Operating Officer which we hope to fill soon. This position will oversee all internal operations and free up the Senior Executive Team members so that they can focus more on their goals. In all we are searching to fill seven positions in different areas of the organization. Progress on Strategic Plan Every quarter staff will be examining and evaluating our progress on our strategic plan and providing the board with an assessment to date. We will also highlight a few areas every quarter for your information and input. This quat1er you will hear from our Capacity Building Team on the work they are engaging in to develop a Management Service Organization Network as well as our overall Capacity Building strategy. That conversation will be led by Kelley Kuhn, our Director of Management Support and Capacity Building Services. We will also focus attention on our realigned public policy work. You will recall that we planned to expand our public policy work to include media relations to more effectively "tell our sector's story" to the general public �and to decision makers. Erin Skene, our Senior Director for Public Affairs will lay out our plans and progress in this arena. In the coming months we will continue to highlight the work of the organization with vignettes of different departments, programs or strategic priorities for the board to better understand how the new strategic plan is progressing and to solicit your advice and suppmt in furthering our plans. Development and Membership Plans One of the areas of concern I identified early on was the need for MNA to increase its capacity around fund development. MNA is fortunate that our current financial situation is solid with several multi-year commitments in hand from philanthropic institutions; however the continued downturn in the economy has increased the pressure on funders and our member nonprofits. MNA will need to broaden its funding pool beyond its current list and maintain or increase support from our current pmtners. At the same time we need to increase member retention and increase membership overall. We will be restructuring internally to address these needs with Dave Swenson serving as our full-time fund development officer and with our revamping of membership to include a focus in marketing. A new development plan is provided in our packet. Please look it over and let us know if you have additional prospects or key relationships with existing donors that we can leverage. And of course, we appreciate the suppmt of our board members and their organizations in both giving the Strategic Fund and joining MNA. Managing Growth With the expansion of the staffing and work of MNA, space has continued to be an issue in our Lansing office. A Focus on Strategic Planning This spring and summer has been focused on strategic planning. The work on the strategic planning for Michigan Campus Compact will take the organization from our 20th Anniversary to our 25th year. The staff and those involved look f01ward to presenting this at the MCC October Board meeting. MCC staff and partners have been working hard on the Michigan Nonprofit Strategic plan. This plan will cover the next three years in our affiliate partnerships. MCC's work within the strategic plan will primarily be to work on a goal to strengthen service, volunteering and civic engagement where we live, work and learn. To that end, MCC will work within the merged organization and its partners on the following objectives: 1. We will co-convene cross-sector partners who share this priority, specifically in the faithbased and corporate sectors. 2. We will develop and promote trainings for nonprofits that focus on the development of high quality volunteer oppottunities. 3. We will promote the ethic of service to diverse populations across the state. 4. We will promote and model workplace volunteering among for-profits, non-profits and governmental bodies. 5. We will monitor trends in volunteering and share this knowledge with stakeholders. Membership In August, MCC welcomed two new members to our network. We are pleased to bring Monroe County Community College and Lawrence Technological University to our membership. At this milestone, MCC officially has 50% of the colleges and universities as members in Michigan. See the end of this report for a list of all our members. Events Saturday, April 5, 2008 ~ Outstanding Student Service Awards This year MCC member campus staff and faculty, college students, their friends and families gathered to recognize and honor the work of college students across the state for their work in the community. The MCC network has honored more than 700 students in the past eleven years. We are delighted to continue this annual tradition to commend students for devoting their �time and talents to building stronger, safer and connected communities. This year over 600 students were nominated and 159 students, from 20 member institutions, completed applications. Wednesday, June 4, 2008- Twofold Retreat 2008 Based on our successful retreat last year with over 60 faculty and community service/service learning directors attending the event hosted at Eastern Michigan University, MCC is continuing the event. This year MCC constituents had the first national conversation on successful strategies for engaging campuses in the engaged learning movement. MCC looks forward to sharing the results nationally. Wednesday, July 16, 2008- Service Leaming and Civic Engagement: Indicators of Success for Michigan Campuses For several years, Michigan Campus Compact, along with faculty and community service/service learning directors on MCC member campuses have discussed the power of tracking/collecting valuable data and learning outcomes from our projects and students. In July we moved into the next phase of that discussion with campus Institutional Research offices. This gathering of civic engagement professionals and their Institutional Research colleagues jump started the conversations on how these campuses departments can work together to get critical information on the impacts of service-learning and civic engagement for Michigan college students. MCC will be working to continue conversations over the next year. Board Requests • • • • Help us recruit a dynamic and exciting team to work with on planning MCC's 201h Anniversary events. What is Michigan's AmeriCorps? Michigan's AmeriCorps is a National Service program, similar to a domestic Peace Corps, that involves individuals (members) in "getting things done" in their communities. In exchange for a year of service, members receive a living allowance and an education award to help pay for college or repay student loans. Michigan's AmeriCorps engages the energy and idealism of the citizens of Michigan in meeting the most critical educational, public safety, human services, homeland security, and environmental needs in our communities. Michigan's AmeriCorps currently consists of 18 programs with nearly 900 members serving on a full- or patt-time basis. Members range in age from 17 to 76--and older. The 18 programs pattner with more than 200 organizations throughout the state to address the needs of communities. AmeriCorps members in Michigan have devoted themselves to improving the lives of people in their community by tutoring, mentoring young people, assisting senior citizens, providing after-school programs for youth, reducing illiteracy rates, restoring and preserving public lands, protecting the environment, and bridging the digital divide. (See www.michigan.gov/mcsc for more information on Michigan's AmeriCorps.) Who are we? The MCSC is the administrative agent for Michigan's AmeriCorps. The MCSC funds and supp01ts programs that encourage all Michigan residents to volunteer. The MCSC works to fulfill this mission through a number of programs, projects, and activities focused on service and volunteerism. These programs include AmeriCorps, Learn and Serve- Michigan, Mentor Michigan, and Volunteer Investment Grants. Annually, the MCSC distributes nearly $6 million in National Service and volunteerism grants. Established in 1993, the CNCS engages more than a million Americans each year in service to their communities by providing a way to solve community problems. The CNCS is a patt of the USA Freedom Corps, whose goal is to strengthen the nation's culture of service and help find opportunities for every American to volunteer. The CNCS works with governor-appointed state commissions, nonprofits, faith-based groups, schools, and other civic organizations to provide opp01tunities for Americans of all ages to serve their communities. The CNCS's three major service initiatives are AmeriCorps, Learn and Serve America, and the National Senior Service Corps. The MCSC pattners with the CNCS to administer Michigan's AmeriCorps. Why should my organization apply for a Michigan's AmeriCorps program? Michigan's AmeriCorps provides people power. Funds provided through Michigan's AmeriCorps support a team of members who provide direct service to build or improve communities and generate volunteers to support their efforts. If you have a critical education, public safety, human service, environmental, or homeland security need you believe can be addressed by the involvement of people serving together, then this program is for you. �Michigan's AmeriCorps grants are not for the purchase of program supplies or materials, nor can they be used to fund or replace existing staff. The Michigan's AmeriCorps funding is intended for recruiting, placing, and supporting volunteers to get things done in communities. Who is eligible to apply? Educational institutions (local school districts, intermediate school districts, colleges and universities, etc.), local government entities, state agencies, and nonprofit organizations that have their 501(c)3 status and have been in existence for at least 3 years are eligible to apply for a Michigan's AmeriCorps program. What types of grants are available? The MCSC funds operating grants that support fully developed plans to establish a new Michigan's AmeriCorps program or to support, expand, or replicate an existing program. Grant awards will cover a period that includes one year of operation with an initial start-up phase for new programs. Grants may be renewed for two additional years, subject to annual review and the availability of federal appropriations. Program size and grant size? Programs must be large enough to achieve a demonstl'able impact on the communities served. While the actual size of each program may vary depending on the size of the communities in which it operates, the design of the program, and other factors, applicants are required to apply for at least ten (1 0) full-time equivalent AmeriCorps members. Applicants should evaluate their present infrastructure and capacity when considering program size. Grant requests may vary in size depending on the type and scope of a proposed program. Applicants are allowed flexibility in developing their budgets, within federal limitations. No program funded through the MCSC formula allotment shall receive more than 20% of Michigan's total formula funding from the CNCS. For the 2009-10 application year, we anticipate the maximum will be $526,000. In addition, the MCSC has set a target of $12,600 for the average federal cost per full-time equivalent member for each Michigan's AmeriCorps program. Is there a match requirement? Yes. Substantial cash and in-kind matches are required from the applicant. All program costs require at least a 24% cash or in-kind match during each of the first 3 years of funding, with match requirements increasing incrementally after year tin·ee. Programs reach a maximum 50% minimum match level during the 1oth year of funding. Programs may use other federal funds (as long as they are not other CNCS funds) as pa1t of their match, with prior approval. Can I partner with other organizations to apply for a Michigan's AmeriCorps program? Yes. You are encouraged to partner with other organizations in your community or throughout the state to apply for AmeriCorps funding. One organization must serve as the legal applicant. When partnering with other organizations, the MCSC encourages you to seek organizations that share a similar mission or focus on similar issues. What are the responsibilities of operating a Michigan's AmeriCorps program? Responsibilities include: • Recmiting, selecting, placing, training, and supervising members. • Designating a full-time program director to run the program. • Selecting and supporting member service sites. • Submitting quatterly progress repotts, monthly expenditure repmts, and semiannual financial status reports. • Patticipating in monthly training and technical assistance meetings or calls for program directors. • Patticipating in statewide member events and activities. �How can I find out more about AmeriCorps? The MCSC will be offering four new applicant information sessions: Kalamazoo on August 19, Lansing on August 20, Detroit on August 21, and a webinar on August 28. These sessions will provide a general overview of AmeriCorps, the key elements of successful AmeriCorps programs, and how to apply. Currently 113 schools, totaling 560 classrooms in the state of Michigan, including four school districts, consisting of Jackson, Romulus, Shelby and Carson City are pat1icipating in The LEAGUE, Update Everyone Can Serve The LEAGUE Michigan in pattnership with the Volunteer Center of Chippewa County, put on Everyone Can Serve, which was a four day training for teachers. During this training, teachers were exposed to service-learning, dove deep into the LTG curriculum, pat1icipated in two service-learning projects in the community and laid the groundwork for the Wild Card events that they will be doing at the beginning of the school year with assistance from the Youth Advisory Council of the Chippewa County Community Foundation, who helped the teachers plan out their projects and provide mini-grants to execute them. As a result of this training, The LEAGUE Michigan has set up numerous follow-up trainings, two of which have already taken place, both with this original group and with many of the participant's perspective schools, which will assist us in laying the foundation and really penetrating into this area for sustainable use of The LEAGUE. Serve it Up/ The 2008 Service and Leadership Camp in Michigan. This July over 80 LEAGUE students, teachers and Learn and Serve grantees came from across the state of Michigan to hone their skills as captains and leaders. Planned by the Service Learning Planning Committee (SLPC) comprised of 19 students, camp featured teambuilding activities, workshops, and three service projects in suburban Detroit. Workshops included "How to Plan a Project," "Community Resources," and four others related to various areas of need that the sixth through twelfth grade SLPC chose. Camp culminated with "Plan Your Year," a workshop where each school in attendance drafted a "game plan" for the coming school year and the announcement of service-learning mini-grants that The LEAGUE and Learn and Serve made available to all schools in attendance. Opportunities The LEAGUE Michigan has formed a partnership with Grand Valley State University to grow the program in the West Michigan area and throughout the state. The partnership will allow us to have a patttime staff person for 20 hours a week to work with and recruit LEAGUE schools on the west side of the state. In addition, this staff person will be the coordinator of the 2009 Michigan Teachers Summer Institute that will be taking place August 3 - 6 in conjunction with Learn and Serve Michigan. Moving Forward The LEAGUE Michigan is cunently focused on kicking off the 2008-2009 school year with current LEAGUE schools and in the process of recruiting new teachers and schools to patticipate in the progratn. In addition, we have recently placed 3 new AmeriCorps VISTA members in Jackson, Carson City and Curriculum by Detroit to assist in integrating and sustaining the program. Sustaining non profits during the economic downturn--exploring strategies to help small to medium size nonprofits diversify their funding sources 2. Foreclosure intervention-working in partnership with the Asset Building Coalition, United Way and others to develop a coordinated response in Southeast Michigan and to facilitate capacity building of nonprofits to provide foreclosure prevention counseling, advocacy for policy change, and rehabilitation/rental programs for foreclosed properties. 3. Creating career and business opportunities-Convening and facilitating a working group of nonprofit and for-profit music sector professionals that are developing strategies to create economic capacity based upon Detroit's rich music heritage. Also working to identify funding oppottunities for the group. 4. Exploring Retirement Planning for Nonprofit Employees-hosting a luncheon with AARP (9/15/08) and others to begin a dialogue to address comprehensive retirement needs-including health, civic engagement, life long learning, and financial planning-based upon MNA's Compensation and Benefits Study • Transitioning Michigan NOW! Provided support for the submission of a continuation application $499,240 for the second year of a three-year ($1.5M) grant from the Compassion Capital Fund Demonstration Program of the United States Depmtment of Health and Human Services, Administration for Children and Families, Office of Community Services. Michigan NOW! will be administered from the Lansing office beginning October 1 and the Metro Detroit office will serve as a MSO like the other 5 partners in this program. 114 organizations received training and technical assistance and 34 received Opportunity Grants during the first year. • Other Capacity Building in Metro Detroit (See Capacity Building Committee Report for details) �1. Planning for Face to Face Grantsmanship Conference in partnership with Senator Levin and others. October 23-23 at Greater Grace Church. 2. Principles and Practices Revision 3. Nonprofit Management Manual 4. Workshops Member Services/Outreach • Southeast Michigan continues to exceed its member recruitment goals with 66 new members for the period January through July (Goal 75 annually) • Executive receptions for Monroe and Livingston County nonprofit executives, were held in May and July respectively with over 50 attendees, to introduce MNA to "not yet members". Public Policy • The Southeast Michigan Regional Public Policy Council meets bi-monthly, and has formed 4 working groups to develop action plans for implementation of its two priority goals 1. Goal #!-Formally address the state structural budget crisis by encouraging fiscally and socially responsible solutions. 2. Goal #2-Educate elected officials and the public about the role and economic power of the nonprofit sector. (Three groups are working on this goal, which will be informed by MNA's Economic Impact Study prepared by Public Sector Consultants. One group is seeking a relationship with the Chamber of Commerce and a presentation at the Mackinac Conference. A second group is developing talking points, a speakers bureau, and media strategy. A third group is exploring the formation of a Nonprofit Caucus in the state legislature. • Participated in effective advocacy that prevented the Detroit City Council from denying local CDBG grants to organizations that have board members living outside of Detroit. Evaluation Evaluation is occurring in two areas. Amanda Schafer, MNA Director of Research and Evaluation, is building upon the work of Dr. Larry Gant and taking responsibility for evaluation of patticipants that attend the capacity building workshops offered in Southeast Michigan. Dr. Mark Lelle is under contract to evaluate the extent to which the Metro Detroit office is collaborating with partners to accomplish its capacity building and public policy work. The above are two of the three goal areas for the Metro Detroit Pat1nership. The third goal area addresses the extent to which the Metro Detroit Pattnership is a model of �efficiency and effectiveness. In her work at MASS, she has been responsible for designing and managing the professional development programs for board members including conferences, CBA classes, board training and distance learning. Kathy's background is unique at MASB in that she has the multiple perspectives of a classroom teacher, a group therapist, a consultant and was a board member with the Williamston Board of Education for over 15 years. She has been trained extensively in group dynamics and conflict resolution techniques. Kathy's background assists her in designing and developing programs for board members that are relevant and current to the needs of board members. Currently, she has provided over 200 workshops for districts across the state. She has held a number of positions since joining the Blues in 1971, including Manager of Community Affairs; Director of Employee Communications; and Divisional Administrator of Corporate Communications. Mozham has a Bachelor's degree in Management and Organizational Development from Spring Arbor College. She has completed the Advance Certification Program in Corporate Community Relations and Social Responsibility at Boston College. She is also an Aerobic Instructor and has completed the Certification Program at Aerobics and Fitness Association of America (AAFA) in California. Graduate of Leadership Detroit Class XXIV. Most recently, Jim has been Senior Vice President for Programs at the W.K. Kellogg Foundation in Battle Creek, Michigan. Before joining the Foundation in 1993, Jim was a community foundation program associate for the Council of Michigan Foundations (CMF) in Grand Haven. There, he was responsible for helping to implement a $35 million challenge grant to build and strengthen community foundations throughout Michigan. Jim also developed an annual statewide youth leadership conference and represents CMF on youth-related issues. Jim has worked as a development manager and marketing specialist for Hackley Hospital in Muskegon, Michigan, and as a development associate for St. Mary's Health Service in Grand Rapids, Michigan. In addition, Jim founded Camp Catch-A-Rainbow, a summer program for children with cancer, and helped establish a program for children in Russia. He also co-founded Kalamazoo Special Skiing, a program that trains the blind and physically disabled how to downhill ski. Steps include: • Updating Principles and Practices and Michigan Nonprofit Management Manual (key informational pieces). • Developed timeline with Andy Wolber for engaging MSO's in developing the website content from an end user perspective. • Monthly meetings with designated staff from NPower, Membership and Marketing and Capacity Building to design Vittual Information Center as part of the overall new website strategy. This document represents the staff interpretation of the goals and objectives developed at the 2008 MNA Board Retreat. Nonprofit Day- The public policy committee reviewed a draft agenda for Nonprofit Day 2008. Nonprofit Day is scheduled for September 24, 2008. A revised agenda, reflecting the committee's feedback, will be presented to the board at the next board meeting. B. Nonprofit Legislative Caucus- Staff reviewed the concept of this group, which would be comprised of state legislators from both chambers and the purpose would be to champion nonprofit and philanthropic issues in the Michigan Legislature. The committee recommended that the term "caucus" not be used, suggested that the group would need to have action items for each of their meetings, and suggested possibly narrowing the purpose of the group to make it more politically desirable. Staffis developing a white paper for the public policy committee's review and is meeting with specific elected officials to seek their feedback on this concept. C. Staying Legal- Staff unveiled the new website www.stayinglegalmi.org, which is a one-stop shop for 50l(c)(3) nonprofits to learn about the state and federal laws relevant to their work. The public policy committee agreed to market the website within their networks. D. Regional Councils- Linda Wendt with the Battle Creek Community Foundation informed the group that the Calhoun regional council held a legislative breakfast with over 100 attendees, including all their county commissioners. Staff also updated the group on the progress of the Southeast Michigan Regional Public Policy Council which is working on action plans for the priority areas identified by the Southeast Michigan nonprofit community. The priorities include preventing state and federal budget cuts �and educating elected officials and the public on the role and economic power of the nonprofit sector. E. Update on State and Federal Policy Issues -Staff provided an update on several state and federal policy issues of interest to the sector including reauthorization of the Corporation for National and Community Service, release of the IRS Form 990 instructions, passage ofHB 5861- amendments to the Nonprofit Corporation Act, the Farm Bill, FTC reauthorization and the state budget. She noted that the timeframe today is tight, and asked everyone to introduce themselves. Approval of the December 11.2007, MNA Board of Trustee Meeting Minutes A motion was made by Justin King and seconded by Neeta Delaney to approved the December 11, 2007 MNA Board of Trustee meeting minutes. Motion carried. Chair's Report Karla said in order to keep the agenda moving, she would bypass the Chair's Report today. President's Report Kyle Caldwell reported that the Board packet contains an update on the progress of the merged organization. The strategic planning process today will help MNA navigate through the next three years. Kyle said the MNA/CMA Annual Repmt gives an overview ofMNA's mission, quick facts about MNA and gives a summary of services and programs offered to our 1 �membership. Kyle noted that in the annual report, Chair Emeritus, Russ Mawby, wrote an article that tells the story of how in 1990, The Michigan Nonprofit Forum was incorporated initially as a thin-tank dedicated to discussing issues impacting nonprofits. In 1994, the organization was renamed as Michigan Nonprofit Association (MNA) and began providing direct advocacy and services to local nonprofit organization. In the atticle, Russ fmther discussed how ConnectMichigan Alliance was formed and was the nations only statewide endowed public/private pattnership. On June 5, 2007, the CotmectMichigan Alliance announced its merger with Michigan Nonprofit Association, This collaborative partnership of public- and privatesector organizations is nothing shott of historic. Next, Kyle recognized Jan Harper who is retiring April11, and Robin Lynn Grinnell, whose last day with MNA is May 31. He presented them both with a token of the board and staff appreciation for their years of service and dedication to the Michigan Nonprofit Association. A warm round of applause followed. Kyle stated that there are brochures for the Michigan Nonprofit Association SuperConference 2008 being held May 13 and 14 at the Lansing Center, Lansing, MI. Kyle noted that Diana Rodriguez Algra, Executive Director, Volunteer Center of Michigan, has some impotiant information to present to the Board today. Diana asked that everyone save the date for the Michigan Dropout Prevention Leadership Sunnnit, presented by The Promise of Michigan's Children, October 20, 2008 at the Lansing Center, Lansing, MI. Michigan was one of eleven states chosen to provide the summit. Diana stated that Detroit would be holding its own summit in late April. Next, Diane referred to the Volunteer Center of Michigan (VCM) 20062007 Annual Repoti. She said that the Volunteer Center of Michigan cover 60 Michigan counties, provides support to 31 local Volunteer Center and now serves 89% of Michigan's citizens. Kyle asked Amy Smitter, Executive Director, Michigan Campus Compact (MCC) to share some new exciting information with the Board. Amy said MCC launched the first Compact Magazine at the MCC Council of Presidents Meeting on March 10, 2008. For the first addition, MCC highlighted the intersection between Access and Success, and Service and the potential of educating college students not only for giving of their time and talent, but also their treasure through a philanthropic life. MCC plans to use the magazine to educate funders, legislators, business leaders and MCC's membership of the potential and power of our work in educating college students for their civic life. Special thanks to the MNA marketing team for their commitment to this project and the excellent result. Next, Amy referred to the Michigan Campus Compact 2006-2007 Annual Report. She said reviewed several highlight: for every $1.00 in membership dues, members receive $7.55 in programs and member benefits. MCC has 41 member presidents with membership dues of$150,000 and provides $725,289 in trainings/services/ grants. Amy repotied that on April 5, 2008, the Outstanding Student Service Award banquet would be held. Over 600 students were nominated and 159 students, from 20 member institutions completed applications. 2 �Kyle asked Musette Michael, Executive Director, Michigan Community Service Commission (MCSC) to update the Board on MCSC's activities. Musette noted that the 2008 Governor's Service Awards would be held at the Fox Theatre in Detroit on June 19, 2008. Musette said that MCSC has awarded $200,000 to 13 state nonprofit organizations for the 2008 Michigan Volunteer Investment Grants (VIG). Other MCSC events to watch for are: AmeriC01ps WeekMay 11-18, Russ Mawby Signature Service Project- June 11-12, Benton Harbor and Mentoring Statewide Conference on November 17. Kyle shared that the NPower Advisory Committee has developed their own resource and development plan and that has had success in getting the funders to look at their business model. An Addition, Kyle said that the MNA staff would like to give the Board a gift of the book "Forces For Good." Co-author, Leslie Crutchfield, will be the speaker at the breakfast plenmy, May 14, 2008 at the Michigan Nonprofit SuperConference. Kyle thanked the Board for their tireless dedication to the work ofMNA. Nominating Committee Report Suzanne Heath said that the MNA Nominating Committee recommends that the MNA Board of Trustees approve the nominations of the following Association Trustees to the MNA Board of Trustees Class of 20 II: Rob Collier, Council of Michigan Foundations Sr. Monica Kostielney, Michigan Catholic Conference Ann Marston, Michigan League for Human Services Anne Rosewarne, Michigan Health Council Michael Hansen, Michigan Community College Association A motion was made to approve the above Association Trustees by David Eisler and seconded by David Price. Motion carried. The approval of the following At-Large Trustees to the MNA Board of Trustees Class of2011: !braham Ahmed, AmeriHomeCare, Inc. Schneider, Clark Hill, PLC A motion was made to approve the above At-Large Trustees by Barbara Hill and seconded by Justin King. Motion carried. 3 �Suzanne Heath said that the MNA Nominating Committee recommends that the MNA Board of Trustees approve the nominations of the following MNA Slate of Officers to begin serving their offices as of July 1, 2008: (the appropriate trustees abstained from voting) David Price, Chair Neeta Delaney, Vice Chair William Mayes, Treasurer Barbara Hill, Secretary The Nominating Committee further recommends that the three MNA Board ofTtustee seats remain open, with the oppotiunity to fill the seats when appropriate and that the Vice-Chair position remain vacant until July 1, 2008 A discussion followed and the Board recommended that the Nominating Committee lead an ad hoc committee to explore- Ensuring continuity-- Past Chair eligibility (for those members termlimited), etc.; Size and make up-- Association (permanent) v. At-Large (term-limited) seats of the MNA Board. These issues came up as a result of a conversation we had regarding Karla Hall's term limit status and the lack of ability to ensure an immediate past chair and the size and make up of the board including the permanent seats. A motion was made to by Justin King and seconded by Dale Weighill that the above MNA Slate of Officers are approved, that the Vice-Chair seat remains open until July 1, 2008 and that the three seats remain open until a recommendation is made to fill them and that an ad hoc committee be formed to amend the MNA Bylaw to ensure that an immediate past chair has the ability to serve during their term. Motion carried. (The appropriate trustees refrained form voting) Public Policy Committee Report Kyle Caldwell said that the MNA Public Policy Committee recommends that the MNA Board of Trustees adopted the following resolutions: That MNA opposes the so-called Michigan "Fair Tax" Proposal due to its negative impact on nonprofits and those they serve. That MNA adopts the principles for addressing the state structural deficit. That MNA suppmis increased transparency and integrity in the signature gathering process and with these general position statements will guide the work of staff: MNA encourages full examination of the Michigan Election Law to determine if amendments are needed to address concerns of Michigan voters and nonprofits regarding the content of petitions, circulation of petitions, and timing of filing with Secretary of State and appropriate level of review by the Board of Canvassers. 4 �A motion was made by David Price and seconded by Ed Blews, that MNA opposes the so-called Michigan "Fair Tax" Proposal due to its negative impact on nonprofits and those they serve. Finance Committee Report Chair Elyse Rogers thanked Lisa Keefer for the very informative way the Financial Statements and Financial Report Memorandum are reported. Lisa Keefer reported that both revenue and expenses are down, and that there is nothing significant to note. Lisa said overall it has been a good year for MNA. The anticipated funding for NPower has been received. A motion was made by Elyse Rogers to accept the Financial Statements for month ending December 31, 2007, and seconded by David Price. Motion carried. Audit Committee Report Chair Justin King noted that the Audit Committee met and it is the recommendation of the Audit Committee that the trustees approved the audit repot1 completed by auditor Mr. David Ambrose for year ended June 30, 2007. Kyle Caldwell repotted that MNA had a late audit due to the merger ofMNA/CMA and NPower joining MNA. Kyle said that we are vety happy with the results of the audit. A recommendation to accept the audit report for the year ending June 30, 2005 was made by Barbara Hill and seconded by Justin King. Motion carried. Other Kyle Caldwell noted that all of the standard reports have been included in the Board packet, but due to the strategic planning process, we hoped to shotten the repotting pottion of the meeting. Service Delivery a) NPower staff will be conducting workshops and technology assessments: o Battle Creek sessions scheduled: 17 re-assessments of agencies visited in 2007 will take place in July; 26 new assessments in the fall; 3 workshops scheduled in Battle Creek, 1 in Albion. (Coordinated with Nonprofit Alliance) o Jackson: 16 assessment and 4 workshops scheduled (Coordinated with Jackson Nonprofit Support Center) o Traverse City: 2 workshops and 4 additional assessments scheduled (Coordinated with Northsky Network, Inc.) o Michigan Nowl: 12 agencies for assessments (before July 15); 3 are larger planning projects (Coordinated with other Michigan Nonprofit Association Staff) b) Seven technology focused workshops were given at MNA's SuperConference. o NPower operating council members Gavin Clabaugh and Pat McQueen assisted with two of the sessions. Two technology sessions were at capacity (about 50 people): Tracking Outcomes (by Steve Butz, founder of Efforts to Outcomes/ Social Solutions) and Social Networking for Nonprofits (Andy Wolber). 2. NPower Network a) Mark Shaw and Adam King attended the first network-wide training on a standardized technology assessment methodology in Charlotte, NC in May. This is one of the networks' first steps in standardizing services across the country. The rapid growth of the organization through successful programming and two recent mergers have applied increased pressure on staff to think creatively about office space. Thanks to the generosity of the Michigan Community Service Commission, we currently have four MNA staff work in office space next door at the MCSC. We have requested three more spaces in anticipation of our projected growth for 2008-09. Clearly, MNA has outgrown its current space. In an effort to deal with our space needs while also thinking creatively and collaboratively about how to advance our work, I have been in discussions with the Capital Region Community Foundation and the Capital Area United Way about seeking a mutually beneficial co-habitation and programming relationship. After several months of preliminaty investigation and discussions, the senior leadership of these three organizations have agreed to create a working group of board and staff from each organization to explore how we might work more closely together to better serve the Lansing area and Michigan community overall. Attached you will find a draft discussion paper that roughly lays out a plan for mutual space and services our collective organizations might develop. Staff would like to ask the Executive Committee to appoint two members of the Board of Directors to serve on an Ad Hoc Committee to make recommendations on the feasibility of MNA engaging in the development of a nonprofit center. The committee would meet with board and staff of the partnering organizations as needed and be provided staff support to conduct it work and make a formal recommendation to the full board by the annual retreat in 2009. �DRAFT-For Discussion Purposes Only Michigan Nonprofit Partnership Challenge: Reduce the administrative and housing costs for the Michigan Nonprofit Association (MNA) and other pattner organizations. Since 1999, the ConnectMichigan Alliance and MNA have expended more than $1 million in rent to an out of state, for-profit organization. In addition, MNA has potential excess capacity to deliver administrative suppot1, advanced technology, and data management to other organizations at below market costs. Solution: Build an innovative, collaborative and sustainable business model for MNA and partner organizations to increase efficiency, save costs, and build financial reserves. MNA will broker shared administrative services, technology, and office space for statewide and local nonprofit organizations including the Michigan Nonprofit Association. Opportunity: Shared Services-expand the current MNA capacities to service other nonprofit organizations by: • • • • o Be an out sourcing organization for Human Resources including payroll, job posting, screening, and policies. Host a pool of administrative suppmt staff for a variety of duties. Build flexible and common data, communications and other forms of technology support through Npower. Expand fundraising and stewardship services (soliciting, gifting and recognition). Expand grant management, repotting and monitoring services Space-secure 50,000 (or more) square feet of office space in Lansing area with the following requirements: • o • • • o • Secured mortgage-free t1n·ough in-kind donation, private giving or grants. Garner four tenants (ranging in space needs) Located in an area of need or transition that would be improved t1n·ough either the renovation of an existing building or the creation of a new building. Built with "green in mind" with a low- or no-carbon footprint utilizing the latest environmental-friendly technologies. Open architecture and sizable lot to accommodate additional pattners and/or future expansion. Develop a building association fee from each pattner organization to be set aside for building maintenance. Profits from services and fees will be housed at a fund at the Capitol Region Community Foundation as a reserve fund available to the members of the building association to devote toward improvements, expansion or other related projects and initiatives.
